SUMMARY
I have over 20 years of contracts management experience, supporting both sales and
procurement. I have led the proposal, negotiation, and definitization of new contracts and
projects. I am familiar with development, production, services, software and IT contracts
of all types: FAR, DOD, State, Local, Education, commercial, and international (ITAR,
and global outsourcing). I interface with organizational disciplines at all levels and have
written and negotiated terms for a wide variety of contracts and strategic agreements
(Service Level Agreements, teaming, software licensing, non-disclosure, reseller, BOA,
Master Services Agreements). I am well versed in intellectual property issues. I
appreciate a team environment and enjoy forming and maintaining trusting relationships
with team members and customers. I substitute teach and volunteer at Arizona Desert
Botanical Garden, and Circle the City Hospital.

SPECIAL COUNSEL, INC. I am an active member of the California Bar. I am on a
litigation document review team. Present.
LIMELIGHT NETWORKS, INC. (Tempe, AZ): 2008/2009.
Contracts Manager for an internet services company. The core business is a global
Content Delivery Network (CDN). I had responsibility for all contractual matters in the
quote-to-cash cycle. I negotiated contracts with hundreds of the premier companies
doing business on the internet and helped initiate the GSA Schedule (Revenue ~ $200M).
I was the primary “go-to” individual to resolve contract-related issues.
DEER VALLEY UNIFIED SCHOOL DISTRICT (Phoenix, AZ): 2006.
English Teacher. I passed the AZ Educator’s Proficiency Exam in English. I have a
fingerprint clearance card (#2616020587) from the AZ Dept of Public Safety issued
6/15/06. I taught sophomore English at Boulder Creek High School in Anthem.

COUNTRYWIDE FINANCIAL: 2004 to 2006.
Corporate Contracts Manager for the procurement of a wide variety of enterprise level
services and software. Complex contracts, high value, critical business, risk
management, privacy, security, IT, intellectual property. While here I helped implement
a new contract management/contract approval database customized by Nextance. I
brought in 2 new senior team members. I negotiated the hardware and software required
to implement a paperless mortgage strategy (>$40M). I negotiated a SOW for Bearing
Point to provide management consulting to implement the BASEL II Accord for
Countrywide Bank (>$20M). I negotiated contracts for services needed by Countrywide
Securities Corporation (e.g. from Bloomberg). I negotiated cost saves (tracked by
executive management) worth several million dollars. I reviewed and rewrote
department processes. I mentored team members.
AMERICAN EXPRESS: 2001 to 2003 (began as contractor through Modis, Inc.).
I was a Global Procurement Manager in the IT Services Global Procurement
Department. I wrote and negotiated contracts for management consulting, IT Services
and Projects, e-business and e-commerce products, software and services (e.g. Internet
Application Service Provider Agreements, Consulting Agreements, Statements of Work
for Management and Professional Services, Master Services Agreements). I negotiated
their website search services contract with Google. I played a lead role in a major
initiative to capture AMEX’s IT Services procurement worldwide and manage it through
a cost-saving procurement process of “approved suppliers”. I provided support in all
phases of the acquisition cycle: pre-contract award, sourcing, contract preparation,
management and administration. I helped develop acquisition strategy, prepared and
reviewed requests for proposals and statements of work, and provided oversight in the
source selection process. I performed cost-benefit analyses, and administered contracts
through completion and closeout. I interfaced with all levels of the Amex staff and
supplier staff and led and participated in cost saving initiatives and e-enablement
initiatives.
MICRON GOVERNMENT COMPUTER SYSTEMS: 1999/2000.
This was the government sales division of a direct-sale personal computer manufacturer
(competitor to Dell and Gateway). I was Contracts Manager for state, local and
education sales, and for the more complex federal sales that required product
development and program management. I wrote and negotiated sales, software,
technology licensing, teaming, VAR, OEM, non-disclosure, e-business, and third party
supplier agreements and letters of supply. I worked on GSA, State and Ed Schedules. In
this position I wrote and negotiated many terms and conditions addressing issues
involving satisfying the government's contract requirements and customization requests
in the context of a standard commercial, but extremely dynamic, product line. I played a
lead role in contract development from bid decision and proposal preparation through
negotiation, definitization, delivery and close-out. I helped establish the indirect sales
program (sales through resellers) and the 3d party sales program (sales by Micron of
vendor's products). I supervised two Contract Specialists. Team mentor.

MOTOROLA: 1998/1999 (Contractor).
Contracts Manager on the satellite telecommunications programs Iridium and
Teledesic. I negotiated and administered changes to the major subcontract with Siemens,
Munich for the ground station switching computers for Iridium. I reviewed and evaluated
teaming proposals submitted by primary partners for start-up of the Teledesic broadband
communications satellite program. I wrote justification and obtained corporate scientific
review board approval of a royalty sales license for patented phased-array antennae
technology. I participated in major supplier RFP and source selection processes.
MILBERG, WEISS, ATTORNEYS: 1995 to 1997.
I was an attorney on a team developing a California Superior Court fraudulent business
practices lawsuit against the tobacco industry. I pursued disclosure of the industry's
documents related to health research and conspiracy. I qualified and quantified this
information into a usable database.
CUBIC CORPORATION: 1992 to 1993.
I was a Senior Contracts Administrator who negotiated DOD contracts and 3d-party
agreements related to the development and manufacture of SATCOM electronics.
HORIZONS TECHNOLOGY (later became a division of SAIC): 1989 to 1991.
Contracts Manager. I supervised the contracts, subcontracts, and proposal preparation
department (primarily DOD contracts). I led proposal preparation (including pricing and
terms) and negotiation teams, wrote contract terms and other corporate support
agreements, wrote and established standard Contracts Department practices and
procedures, developed cost and pricing data for proposals, and obtained Department of
State (ITAR) export licenses. The contracts were for software development and systems
integration (DOD, and International). I wrote and negotiated agreements for teaming,
technology licensing, and non-disclosure. I supervised two Contract Administrators.
SCIENCE APPLICATIONS INTERNATIONAL (SAIC): 1985 to 1988.
Senior Contracts Representative. I led the proposal, negotiation and administration of
government R&D and manufacturing contracts and technology licensing agreements
necessary for the sale of developmental hardware and software. Contracts included
Trident ICBM, Harpoon Missile, Aegis, Apache, F-18. Contracts for these products were
with prime contractors, the government, and international customers (Australia, UK,
Taiwan) I obtained export licenses from the Department of State for military equipment
and negotiated international letters of credit.
GENERAL DYNAMICS ELECTRONICS DIVISION: 1981 to 1985.
Contracts Administrator. F-16 and C-5Bavionics program sales. This was a strong
contracts management and administration learning environment. I became well versed in
corporate practice and procedure, contracts department best practices, and the FAR.
