Step 1 – Choose the Style of Legal
Structure for Your Business Needs
Joint Stock
Company
(S.A.)
There are number of different legal
structures you can choose from when
forming your company:
• Joint Stock Company (S.A)
• Closely Held Company (S.A.C)
• Public Held Corporation (S.A.A)
• Limited Liability Company (S.R.L)
The majority of companies that are set up
in Peru are Joint Stock Companies
(S.A.C).

Step 2 – Power of Attorney
Get the ball rolling…
• Whether you have someone you trust
in Peru, or you need to hire the
services of a third party to incorporate a
company on Peruvian soil, a power of
attorney must be drafted and signed.
• The idea is to provide the agent with all
faculties needed to represent you or
your foreign company in the country so
that he/she can form the company in a
lawful manner.

Define what your company will do…
You have to carry out a search for your
company name and get it officially
approved in SUNARP.
Once the company’s name has been
approved it is time to start drafting the
bylaws and articles to create the
incorporation document. This includes:
• Name of the company
• Social capital
• General information of leaderships or
partners
• Address
• Duration of the company

Step 4 – Registration SUNARP
An Important Step…
You have to register before the National
Superintendence of Public Registries
(SUNARP), which is done by a notary
public

Step 5 – Registration SUNAT
Getting formal…
• In Peru, all new companies must be
registered and have a Taxpayer
Identification Number (RUC in
Spanish).
• The legal representative must present
documents before the National Tax
Authority (SUNAT) and will obtain the
certificate of registration and obtain the
taxpayer identification number.

Step 6 – Statutory Books & Accounting
Record
Get it in the books…
Another step is the legalization of statutory
books and accounting records.
These must be legalized (stamped) by a
public notary.

Step 7 – Municipal License
Almost there…
The municipal license is needed to
operate commercially, and also for
services, industrial and professional
service establishments.
This is granted by the applicable
municipality.

Step 8 – Bank account
Final step!
Opening an account in the name of the
company is required.
You will need PEN 500 for a Peruvian Soles
bank account, USD $500 if you have a US
bank account and €500 for a Euro bank
account.
• There is no limit on how much you can
put in the account.
You must present:
• A DNI (National Peruvian ID document)
or a foreign residence card
• Proof of residence.

national with a legal right to live and work in
