2. 1. Conditions : All those provisions which are required by
the provisions of the Companies Act to be stated in the
memorandum of a company are deemed to be ‘conditions’.
2. Other Provisions : The provisions which are included
in the memorandum by the choice of a promoters or
directors of the company are known as ‘other provisions’.

3. Change of Name

4. Change of name within 12 months .
 Company may change its name within a period 3 months
from the date of direction.

5.  Changing Place within the same city
 Pass a resolution by the BODs
 Give notice of change within 30 days after the date of
change to the Registrar.

6.  Changing Place within the same state under the
Jurisdiction of same Registrar
 Pass a special resolution in the general meeting of the company
 File a copy of the resolution with registrar within 30 days.
 Within 30 days of the changing the place of registered office , give a
new location to the registrar.

7.  Changing Place within the same state from the
Jurisdiction of one Registrar to another

 Filling the certified copy of the confirmation

8. Purpose of change :-
To carry business more economically or more efficiently.
To attain main purpose by new or improved means.
To enlarge or change the local area of its operation.
To amalgamate with any other company or body of persons.
To restrict or abandon any of the objects specified in the
memorandum.
