2. What is an Effective Board?
• Boards are in place to direct, not to manage.
Working Boards take directed actions.
• Boards have the task of defining the purpose of
their enterprise and agreeing in a strategy for
achieving that purpose.
• Each board member stays informed about the
matters of the enterprise and the means by
which they are addressed.

3. The Board of Directors Landscape
• A Board is only as independent as the CEO wants
it to be and as effective as the Chair is capable of
making it.
• Chair is responsible for managing the Board
• Presiding Officer manages the meeting
• CEO manages the enterprise with the authority
and powers delegated by the Board to which he
or she is accountable to.

BYLAWS ARTICLE III The Board of Directors, by a 2/3
vote at a meeting and constituting at least a
quorum
o Shall have control of and be responsible for the
management of the affairs and property of the
Foundation
o Be responsible for the administration of all
programs within the Foundation and have full
power to do, or require done, everything deemed
necessary or expedient for the promotion of the
welfare of the Foundation.

BYLAWS ARTICLE IV The President shall be the
Executive Director and be an Accredited Teacher
o Shall have, at the direction of the Board of
Directors, the authority to sign such papers,
documents, promises and undertakings as
may be required in the sale of the assets
belonging to the Foundation or of the
obligation of the assets of the Foundation or
which the Foundation has an interest.
