HOW DO I KNOW IF THE
NAME WHICH I WANT
FOR MY PRIVATE
LIMITED COMPANY IS
AVAILABLE OR NOT?
BASIC GUIDELINES
   A Company, whether private limited or public,
    has to comply with the „Guidelines for Name
    Availability‟ prescribed by the Ministry of
    Corporate Affairs.
   Accordingly, the name chosen should be
    unique all over the country.
   The name of a private limited company should
    end with the words „Private Limited‟.
BASIC GUIDELINES (contd.)
   If the name proposed is not the same or
    similar to or does not resemble the name of an
    existing company closely, the ROC (Registrar
    of Companies) usually approves it within two
    days.
   The name of the company should start with a
    noun followed by the activity and end with
    „Private Limited‟, for instance, Reliance
    Consultancy Services Private Limited.
POINTERS BASED ON WHICH
THE NAME COULD BE
REJECTED:
   A Company cannot use the same name or
    closely similar name of another existing
    company registered in India.
   If it is different by the existing company merely
    by addition/deletion of words like
    Nav, New, Modern etc.
   If it is not in consonance with the main object

THE NAME COULD BE
REJECTED (contd.):
   If the proposed name is the exact Hindi/English
    translation of an existing Company
   Close phonetic resemblance with an existing
    Company
   If the name is a general one like „Corporate
    Consultancy Pvt Ltd‟
   Proposed company name contains name of other
    countries unless the promoters satisfy that there is
    some collaboration with the person of that country.
   If it includes words which are offensive to any
    section of people.
POINTERS BASED ON WHICH
THE NAME COULD BE
REJECTED (contd.):
   If it contains the registered trademark unless
    the NOC from the owner of trade mark has
    been produced by the promoters.
   If the company contains the word State with
    State like “Uttar Pradesh State”
   If minimum capital required for that particular
    word and the proposed company does not
    contain that minimum authorized capital.
AUTHORIZED CAPITAL
The Ministry of Corporate Affairs requires that a
  company should have different levels of
  „Authorized Capital‟ to include certain words in
  its name:
 Corporation – 5 Crores

 International, Globe, Global, Universal,

  Universe, Continental, Inter-Continental,
  Asiatic, Asia, Asian, World being the first word
  of the name – 1 Crore
 If any of the key words at 2 above is used
  within the name (with or without brackets) – 50
AUTHORIZED CAPITAL

   Hindustan, Hindustani, Hindustanee, India, Ind
    ian, Bharat, Bhrarati, Bharatiya, Bharateeya, b
    eing the first word of the name – 50 Lakhs
   If any of the key words at 4 above is used
    within the name (with or without brackets) – 5
    Lakhs
   Industries / Udyog / industrial, industry – 1
    Crore
   Enterprises, Enterprise, products, product, Bus
    iness, Manufacturing, manufacture – 10 Lakhs

Availability of company name
