FIRST AMENDMENT TO
CONSOLIDATED AND AMENDED LICENSE AGREEMENT
Effective Date of this First Amendment: The 1st
of May 2018

FLOORING INDUSTRIES LIMITED S.à.r.l., having its business address at Rue des Mérovingiens 10b, Zone
Industrielle Bourmicht, L – 8070 Bertrange, Luxembourg, represented by Bart Van der Stockt, managing
director and ________________________________________, director;
hereinafter referred to as “Licensor”,
UNILIN BEHEER B.V., having its registered office at Beneluxstraat 1, 5061KD, Oisterwijk (The Netherlands),
represented by Bart Van der Stockt, director,
hereinafter referred to as “Unilin Beheer”,
AND
JINAN CAIMING WOOD CO., LTD., having its registered office at Industrial Park, Zaoyuan Zhangqiu, Jinan,
Shandong, 250214, China, represented by Mr. LU Xiuyong, General Manager;
hereinafter referred to as "Licensee",
Licensor, Unilin Beheer and Licensee shall be individually referred to as “Party” and collectively as the
“Parties”.
WHEREAS:
Licensor, Unilin Beheer and Licensee have entered into the Consolidated and Amended License Agreement,
for the manufacture and sale of laminate flooring products, which consolidated, amended and fully
replaced, as of the first of July 2017, the Original License Agreement with effective date the first of July
2016. The Consolidated and Amended License Agreement and the Original License Agreement are
hereinafter also referred to as the “License Agreement” or “Agreement”.
The Parties now wish to extend the product and the patent scope of the Consolidated and Amended
License Agreement.
The Parties have agreed to change the Consolidated and Amended License Agreement as follows.
NOW THEREFORE PARTIES HAVE AGREED AND AGREE AS FOLLOWS:
Article - 1 - Definitions
1.1. Articles 1.4. and 1.5. of the Consolidated and Amended License Agreement shall be changed as
follows:
1.4."Patent Rights":
Collectively, the Basic Patent Rights, as defined in Annex A.1. to this Agreement, and the Fold-
Down Patent Rights, as defined in Annex A.2. to this Agreement;
1.5. "Product" or "Licensed Product":

The Basic Click Product, as defined in Annex C.1. to this Agreement, and/or the Fold-Down
Product, as defined in Annex C.2. to this Agreement;
1.2. Articles 1.10. to 1.14. shall be added to the Consolidated and Amended License Agreement as
follows:
1.10. “Fold-Down Trademark”:
The logo and trademark, as shown in Annex D to this Agreement;
1.11. “Basic Patent Rights”
Any patent, patent application (including any continuation applications, divisional applications
or continuation-in-part applications), utility model and/or utility model application, based upon
the priority applications nr BE 09600527, BE 09700344, BE 09800561, BE 09900256, BE
2000/0397, BE 2004/0476, BE 2005/0169, BE 2006/0024, BE 2006/0309, BE 2006/0641, BE
2010/0283, BE 2010/0420, BE 2004/0635, BE 2003/0020, BE 2004/0618 and BE 2005/0620, the
German priority application nr DE 20 2007 013 059,7, the European priority application EP
09015855,1 the US priority applications US 60/672,538, US 61/333,510, US 61/925,352, US
60/690,866, US 60/438,781 and US 60/672,868, the PCT applications PCT/BE01/00008 and
PCT/BE01/00097, and the design applications BX 27811-01 and BX 27811-02, in the Sales
Territory, and any such right ensuing thereof; an indicative list being added in Annex A.1. to this
Agreement;
1.12. “Fold-Down Patent Rights”
Any patent, patent application (including any continuation applications, divisional applications
or continuation-in-part applications), utility model and/or utility model application, based upon
the priority applications nr. BE 2007/0567, DE 20 2008 008 597,7, US 61/071,201, BE
2009/0025, DE 20 2009 004 530,7, US 61/223,869, BE 2012/0007, US 61/585,798, US
61/664,330, DE 100 01 076, WO 01/51732, WO 01/51733, DE 10 2004 012 582, US 61/700,984,
BE 2012/0470, BE 2013/0382, AZ U20120003, BE 2012/0490, US 61/696,505, US 61/751,521,
US 61/919,049, US 62/103,749, US 62/103,960, US 62/104,108, BE 2015/5158, US 62/104,558,
US 62/274,021, BE 2016/5011, DE 20 2016 102 034, US 62/398,589 and BE 2016/5033, in the
Sales Territory, and any such right ensuing thereof; ; an indicative list being added in Annex A.2.
to this Agreement.;
1.13. “Basic Click Product”
Flooring products, being the Basic Click Laminate Product, Basic Click SPC Product and the Basic
Click Other Product, as defined in Annex C.1. to this Agreement;
1.14. “Fold-Down Product”
The Fold-Down SPC Product, as defined in Annex C.2. to this Agreement.
Article - 2 - Grant of License
2.1. Article 2.1. of the Consolidated and Amended License Agreement shall be changed as follows:
2.1. Licensor hereby grants to Licensee, and Licensee accepts, a non-exclusive right:
− to exploit the Know-how and the Basic Patent Rights, during the Term, for manufacturing
the Basic Click Product, within the Manufacturing Plant;
− to exploit the Know-how and the Basic Patent Rights, during the Term, for selling the Basic
Click Product, manufactured in the Manufacturing Plant, within the Sales Territory;

− to exploit the Know-how, the Basic Patent Rights and Fold-Down Patent Rights, during the
Term, for manufacturing the Fold-Down Product within the Manufacturing Plant; and
− to exploit the Know-how, the Basic Patent Rights, Fold-Down Patent Rights and the Fold-
Down Trademark, during the Term, for selling the Fold-Down Product, manufactured in the
Manufacturing Plant, within the Sales Territory.
2.2. Article 2.3. of the Consolidated and Amended License Agreement shall be deleted.
Article - 3 - Conditions of exploitation by Licensee
3.1. Article 5.2. of the Consolidated and Amended License Agreement shall be changed as follows:
5.2.1. without prejudice to its right to identify itself as the manufacturer of the Basic Click
Product, prior to using or putting such Products on the market, mark them “Produced by Jinan
Caiming Wood under License of Flooring Industries”.
The marking shall be in full compliance with the provisions set forth in Annex B;
5.2.2. without prejudice to identify itself as the manufacturer of the Fold-Down Product, prior
to using or putting such Products on the market, mark them “Produced by Jinan Caiming Wood
under License of Flooring Industries” and with the Fold-Down Trademark, as shown in Annex E.
The marking shall be in full compliance with the provisions set forth in Annex B and Annex F;
3.2. Article 5.9. shall be added to the Consolidated and Amended License Agreement shall be changed as
follows:
5.9. provide to Licensor the full technical specifications and sample panels of any product
falling under the definition of Basic Click Other Product, as defined in Annex C.1., if Licensee
manufactures and/or sells any Basic Click Other Product. Parties agree that, in respect of Basic
Click Other Product, Licensee shall not receive any license on any patent rights belonging to
Licensor or its Connected Undertakings which are not provided for in this Agreement, unless
explicitly agreed otherwise. If Licensee wishes to manufacture a product which would fall
under the Fold-Down Patent Rights and which is not described in Annex C.2., Licensee shall
inform Licensor beforehand and the Parties shall discuss a potential license on the Fold-Down
Patent Rights in good faith.
Article - 4 - Remuneration
Articles 6.2. and 6.3. of the Consolidated and Amended License Agreement shall be changed as follows:
6.2. In addition to the lump sum, Licensee will, during the Term, pay royalties to Licensor with
respect to sales of the Product directly or indirectly into the sub-territories described, including,
but in no way limited to, sales of external samples, sales of internal test materials, samples to
sales force, replacement of customer returns and second choice sales.
Licensee will not only report and pay royalties on the Products sold by its own company, but
also on those sold by Licensee’s Connected Undertakings. Licensee shall add its Connected
Undertakings which are responsible for selling Products to the list added in Annex D to this
Agreement. If Licensee has a new Connected Undertaking that will be responsible for selling
Products, it shall inform Licensor before it actually sells Products through such specific

Connected Undertaking. Sales done by Connected Undertakings which are not notified to
Licensor and thus not added in the list of Annex D, will not be considered as licensed sales
under this Agreement.
These royalties shall amount to:
for sales of Basic Click Laminate Product
• directly or indirectly into USA, Canada, Mexico, Australia and New-Zealand:
• 0.80 $/m² (zero. eighty US dollar per square meter)
• directly or indirectly into Rest of World:
• 0.35 $/m² (zero. thirty-five US dollar per square meter)
• directly or indirectly into China, including Hong Kong, Macao and Taiwan:
• 0.17 $/m² (zero. seventeen US dollar per square meter)
for sales of Basic Click SPC Product and Basic Click Other Product
• directly or indirectly into USA, Canada, Mexico, Australia and New-Zealand:
• 0.80 $/m² (zero. eighty US dollar per square meter)
• directly or indirectly into Rest of World:
• 0.60 $/m² (zero. sixty US dollar per square meter)
• directly or indirectly into China, including Hong Kong, Macao and Taiwan:
• 0.50 $/m² (zero. fifty US dollar per square meter)
for sales of Fold-Down SPC Product
• directly or indirectly into USA, Canada, Mexico, Australia and New Zealand:
• 1.10 $/m² (one. ten US dollar per square meter)
• directly or indirectly into Rest of World:
• 0.90 $/m² (zero. ninety US dollar per square meter)
• directly or indirectly into China, including Hong Kong, Macao and Taiwan:
• 0.80 $/m² (zero. eighty US dollar per square meter)
Parties agree that the following events shall determine the date on which the Product is sold:
- for sales within China, Hong Kong, Macao and Taiwan: the date on which the tax invoice is
made;
- for sales outside China, Hong Kong, Macao and Taiwan: the date on which the export
document is made.
For the avoidance of doubt, all sales of the Product directly or indirectly into the sub-
territories described are subject to a royalty payment. If no tax invoice or no export document
is made up, Licensee shall report these specific sales on the date that the Products leave the
factory.
6.3. Licensee shall deliver within 15 days after the end of each calendar month a written
report to Licensor.
Such report shall contain:
- a detailed calculation of the amount of Product, in number of square meters, sold by
Licensee. This report shall make a distinction between the Basic Click Products (with a

distinction between Basic Click Laminate Product, Basic Click SPC Product and Basic Click Other
Product) and the Fold-Down SPC Products sold into each country world-wide. Furthermore,
the report shall also set out per country Licensee’s own sales and those from its Connected
Undertakings, if any;
- a calculation of royalties to be paid to Licensor.
Information obtained from the above records and reports shall be held in confidence and shall
not be exploited for any other purpose than to verify the accuracy of the royalties paid to
Licensor.
If Licensee does not send the report to Licensor within the above-mentioned timeframe,
Licensee shall pay a fixed penalty of 1,400 USD (one thousand four hundred US dollar) per day
that the report was late.
Article - 5- Annexes
5.1. Annexes A and C to the Consolidated and Amended License Agreement shall be replaced by the

C.1. Basic Click Product
Basic Click Laminate Product
Laminate flooring panels, with or without a bevel, which consist of hard floor panels, comprising a wood-
based core and a decorative surface layer comprising paper or a printed decor with a thickness of
maximum 1 mm, which at least at the edges of two opposite sides, are provided with coupling parts, co-
operating with each other, substantially in the form of a tongue and groove, characterized in that the
coupling parts are provided with integrated mechanical locking means which prevent the drifting apart of
two coupled floor panels into a direction perpendicular to the related edges and parallel to the underside
of the coupled floor panels.
Basic Click SPC Product
Flooring panels which are rigid or semi-rigid and comprise a core made of plastic, whether or not
incorporating a filler, including panels comprising polyvinyl chloride (PVC), wherein the flooring panels
carry a decoration directly or indirectly adhered to the core without the use of separate glue layers and
wherein the panels at least at the edges of two opposite sides are provided with coupling parts, co-
operating with each other, substantially in the form of a tongue and groove, characterized in that the
coupling parts are provided with integrated mechanical locking means which prevent the drifting apart of
two coupled floor panels into a direction perpendicular to the related edges and parallel to the underside
of the coupled floor panels, and which do not fall under the definition of a Fold-Down SPC Product.
Basic Click Other Product
Flooring panels falling under the Basic Patent Rights, but not under Fold-Down Patent Rights, excluding
panels which fall under the definition of Basic Click SPC Product and Basic Click Laminate Product, wherein
the floor panels at least at the edges of two opposite sides, are provided with coupling parts, co-operating
with each other, characterized in that the coupling parts are provided with integrated mechanical locking
means which prevent the drifting apart of two coupled floor panels into a direction perpendicular to the
related edges and parallel to the underside of the coupled floor panels.
Products which fall under any other license agreement that Licensor and Licensee have entered into are
excluded from this definition.
C.2. Fold-Down Product
Fold-Down SPC Product
Flooring panels which are rigid or semi-rigid and comprise a core made of plastic, whether or not
incorporating a filler, including panels comprising polyvinyl chloride (PVC), wherein the flooring panels
carry a decoration directly or indirectly adhered to the core without the use of separate glue layers and
wherein the panels at least at the edges of two opposite sides are provided with coupling parts, co-
operating with each other, substantially in the form of a tongue and groove, characterized in that the
coupling parts are provided with integrated mechanical locking means which prevent the drifting apart of
two coupled floor panels into a direction perpendicular to the related edges and parallel to the underside
of the coupled floor panels and which are provided with coupling parts that allow a joining at least at one
pair of opposite sides by a downward movement whereby, after installation, a vertical locking is achieved
without a plastic strip.
5.2. Annexes E and F shall be added to the Consolidated and Amended License Agreement as follows:

ANNEX F – Conditions to use the Fold-Down Trademark for the Fold-Down Product
1. Licensee shall only mark the Fold-Down Products with the Fold-Down Trademark which are
manufactured according to this License Agreement.
2. The Fold-Down Trademark is linked to a specific system. As a result Licensee shall only exploit the Fold-
Down Trademark in relation to this system and not as an independent brand name. The Fold-Down
Product shall always have a main brand name, which cannot be the Fold-Down Trademark. The
combination of this main brand with the Fold-Down Trademark shall not cause damage to the image
and/or the reputation of the Fold-Down Trademark.
3. The marking of the Fold-Down Trademark shall be in conformity with the prescriptions of size,
positioning and color.
4. The Fold-Down Trademark cannot be exploited in combination with other denominations to identify
the system.
5. Licensee shall not exploit the Fold-Down Trademark as a part of a company name or as part of a web-
address.
6. If Licensee has any concerns about the implementation of these provisions, Licensee shall, before
putting such Fold-Down Products on the market, consult with Licensor.
7. Failure to implement these conditions of exploitation of the Fold-Down Trademark can result in the
termination of the right to exploit the Trademark.

IN WITNESS WHEREOF,
The Parties have signed this First Amendment to the Consolidated and Amended License Agreement in
three counterparts in the English language and of which each Party acknowledges receipt of a duly signed
counterpart.
This First Amendment to the Consolidated and Amended License Agreement shall enter into effect as of the
Effective Date marked on the front page hereof.
This First Amendment to the Consolidated and Amended License Agreement contains 12 pages
