Estate planning benefits everyone, not just the rich, by allowing people to maintain control over their property if they become incapacitated or die. An estate plan such as a living trust or will outlines wishes to avoid disputes and probate court. Without a plan, a court determines how assets are distributed, which may not be the person's wishes. A revocable living trust avoids probate by naming a trustee to manage assets, and is flexible to change over time. Lifetime gifting and estate tax considerations are important parts of a comprehensive estate plan.

Lifting the Corporate Veil. Power Point Presentationseri bangash
"Lifting the Corporate Veil" is a legal concept that refers to the judicial act of disregarding the separate legal personality of a corporation or limited liability company (LLC). Normally, a corporation is considered a legal entity separate from its shareholders or members, meaning that the personal assets of shareholders or members are protected from the liabilities of the corporation. However, there are certain situations where courts may decide to "pierce" or "lift" the corporate veil, holding shareholders or members personally liable for the debts or actions of the corporation.
Here are some common scenarios in which courts might lift the corporate veil:
Fraud or Illegality: If shareholders or members use the corporate structure to perpetrate fraud, evade legal obligations, or engage in illegal activities, courts may disregard the corporate entity and hold those individuals personally liable.
Undercapitalization: If a corporation is formed with insufficient capital to conduct its intended business and meet its foreseeable liabilities, and this lack of capitalization results in harm to creditors or other parties, courts may lift the corporate veil to hold shareholders or members liable.
Failure to Observe Corporate Formalities: Corporations and LLCs are required to observe certain formalities, such as holding regular meetings, maintaining separate financial records, and avoiding commingling of personal and corporate assets. If these formalities are not observed and the corporate structure is used as a mere façade, courts may disregard the corporate entity.
Alter Ego: If there is such a unity of interest and ownership between the corporation and its shareholders or members that the separate personalities of the corporation and the individuals no longer exist, courts may treat the corporation as the alter ego of its owners and hold them personally liable.
Group Enterprises: In some cases, where multiple corporations are closely related or form part of a single economic unit, courts may pierce the corporate veil to achieve equity, particularly if one corporation's actions harm creditors or other stakeholders and the corporate structure is being used to shield culpable parties from liability.

The Missouri probate process
• The primary goal of an estate plan is generally to preserve your estate for your family. Each state has its own
procedures when it comes to probating an estate. For Missouri residents, it is very helpful to, at least, be familiar
with the Missouri probate process, so here are a few things you need to know.
• A common concern many clients have is that their estate will be tied up in probate for many years, which means
their families will have to wait a long time to receive their inheritances.

• While the Missouri probate process can generally
take several months to complete, the length of time
depends mostly on the size and complexity of the
assets involved in the estate.
• Regardless, there are a few steps that need to be
taken with every estate that goes through probate.
For that reason, the Missouri probate process can
usually be expected to take at least 6 months to
complete.

• Regardless of the size of your estate or how complicated or unique your assets may be, there will always be certain
expenses associated with probate proceedings. But, not every estate will necessarily be extremely expensive.
• Some of the typical expenses you can expect include attorney's fees, executor’s fees, court filing fees, appraisal fees,
bond fees and mailing expenses.

weeks to appoint an executor.
• Appointing an executor might cause a delay when
family members cannot agree on who should
serve as executor.
