The presentation provides recommendations for foreign investors looking to develop solar power projects in Vietnam.
1. The current enforcement system of the Energy Community lacks effectiveness due to its political nature, lack of sanctions, and inability to directly involve private parties or allow preliminary references or direct actions.
2. Alternatives for enforcing energy law, such as relying on national courts or international arbitration, are also limited due to weak institutions, lengthy proceedings, and unsuitability for small disputes.
3. Reforming the enforcement system to establish a judicial body and revise the sanctions system could help overcome political deadlocks, allow treaty interpretation, and increase compliance with energy law.

This document summarizes the implications of Brexit for the UK insurance industry. It notes that UK insurers currently rely on EU "passporting" rights to operate across the single market, but these rights will likely be lost after Brexit. As a result, many UK insurers are considering establishing subsidiaries in the EU to maintain access to the single market. Ireland is presented as an attractive option for UK insurers due to its common law system, educated workforce, low corporate tax rate, and proximity and cultural ties to the UK. The document outlines some of Ireland's advantages and why it could be a good jurisdiction for UK insurers to base future EU operations.
The document discusses ways to reduce heating bills in Ukraine through increased energy efficiency without abandoning market reforms. It outlines roles and actions needed from the government, parliament, regulator, local authorities, heating companies, and citizens. The best approach is improving building insulation and establishing transparent, market-based rules as seen in the EU to incentivize efficiency. Cooperation is needed across all stakeholders to modernize infrastructure and manage resources sustainably through strategic planning and investment.

Lawyer in Vietnam Oliver Massmann - Investing in Renewable Energy - getting D...Dr. Oliver Massmann
The document discusses the potential and legal framework of renewable energy in Vietnam. It outlines that Vietnam has significant potential for renewable energy sources like hydro, biomass, wind, and solar power. However, renewable energy currently accounts for a small portion of Vietnam's energy mix. The document also summarizes Vietnam's policies supporting renewable energy development, including feed-in tariffs for wind, biomass, and solar power. It notes issues with the current solar power power purchase agreement template not being bankable. The presentation provides recommendations for foreign investors, including using public-private partnerships and focusing on off-grid areas.
VIETNAM – WATER PROJECTS – LAWS ON PUBLIC PRIVATE PARTNERSHIPS – GLOBAL WATER...Dr. Oliver Massmann
The new PPP law in Vietnam encourages foreign investment in water projects like wastewater treatment in several ways: it protects lenders' rights, provides clear investment incentives like land access, and establishes mechanisms for managing revenue risks and foreign currency. These wastewater treatment projects have been driven by environmental law changes and public needs, as Vietnam's population growth exceeds treatment capacity. Past projects primarily used a build-transfer or build-operate-transfer structure, and future projects are likely to be publicly procured by provincial authorities on that same model according to the expert interviewed.
The document discusses opportunities and obstacles for foreign investment in Vietnam's energy sector. It notes that Vietnam will need to increase investment in renewable energy like solar and wind due to depleted fossil fuel reserves. Foreign investors can develop both small renewable projects under 30MW as well as larger ones. However, obstacles include the electricity authority's ability to renegotiate power prices and the lack of a fully competitive retail electricity market. The document recommends foreign investors thoroughly understand Vietnamese energy law before developing projects.
(1) Poland has transitioned from a green certificate system for renewable energy to an auction system, with the first auctions to be held in 2016.
(2) The auction system favors technologies like biomass and small hydro that can generate electricity for over 4,000 hours per year but may limit growth of intermittent sources like wind.
(3) There is a risk of an "investment gap" between the expiration of the green certificate system in late 2015 and when the first new projects from the auction system begin generating electricity in 2017/2018.
The document outlines the major economic functions of government which include establishing a legal framework, maintaining competition, redistributing income, reallocating resources to address externalities, providing public goods and services, promoting economic stability through fiscal and monetary policies, and financing these functions through tax revenues and expenditures at the federal, state, and local levels. Key economic functions involve setting rules, regulating markets, addressing market failures, providing certain goods and services, and stabilizing the economy.
Dr. Oliver Koch gave a presentation on energy policy and the internal energy market in the European Union. He discussed two major trends: the increasing Europeanization of energy markets and the rise of intermittent renewable energy sources. This presents challenges for ensuring generation adequacy and avoiding market distortions. Koch argued that pursuing further integration of the EU energy market is essential for security of supply, infrastructure planning, and lowering energy prices through competition. National policies need to be coordinated to avoid problems like loop flows that fragment the single market.

This document provides a summary of an article on energy disputes in Ireland. It discusses the following key points:
1) The principal areas of energy development in Ireland are renewable energy, particularly onshore wind, and offshore oil and gas exploration.
2) The Irish government plays an active role in energy resource ownership and development. State-owned companies own and operate much of Ireland's electricity and gas infrastructure. The government also regulates offshore oil and gas development while seeking to promote investment through fiscal policies.
3) Standard forms of contracts are commonly used in the energy sector, including joint operating agreements for offshore oil and gas based on international models. Industry standards help establish liability, including holding parties responsible for negligent acts or o

The document summarizes a World Bank assessment of Bulgaria's power sector following a crisis in January 2013. Key issues identified include:
1) Public distrust in energy companies and oversight due to perceived corruption.
2) An unsustainable cost structure driven by flat demand, poorly regulated renewables growth, and inefficient incentives.
3) Declining affordability as social assistance benefits have decreased by a third since 2003.
Comprehensive reforms are needed to improve governance, eliminate distortions, address financial liabilities, and increase social assistance to restore public confidence, financial viability, and affordability.
The regulatory framework for communications in Ireland is overseen by the Department of Communications, Climate Action and Environment and the Commission for Communications Regulation (ComReg). Operators have a general right to provide electronic communications networks and services once they have notified ComReg. The document discusses issues around developing a global energy charter to protect consumer interests as energy markets liberalize worldwide. Key points include:
1) Consumers in developing markets need protections as many face barriers to affordable, reliable energy access.
2) A global charter should address both social issues of affordability for the poor and sustainability concerns around increasing energy access.
3) Market structures vary greatly globally, so a charter cannot mandate specific models but should uphold principles of consumer participation, fair supplier conduct, and regulatory protection of consumer interests.

Lifting the Corporate Veil. Power Point Presentationseri bangash
"Lifting the Corporate Veil" is a legal concept that refers to the judicial act of disregarding the separate legal personality of a corporation or limited liability company (LLC). Normally, a corporation is considered a legal entity separate from its shareholders or members, meaning that the personal assets of shareholders or members are protected from the liabilities of the corporation. However, there are certain situations where courts may decide to "pierce" or "lift" the corporate veil, holding shareholders or members personally liable for the debts or actions of the corporation.
Here are some common scenarios in which courts might lift the corporate veil:
Fraud or Illegality: If shareholders or members use the corporate structure to perpetrate fraud, evade legal obligations, or engage in illegal activities, courts may disregard the corporate entity and hold those individuals personally liable.
Undercapitalization: If a corporation is formed with insufficient capital to conduct its intended business and meet its foreseeable liabilities, and this lack of capitalization results in harm to creditors or other parties, courts may lift the corporate veil to hold shareholders or members liable.
Failure to Observe Corporate Formalities: Corporations and LLCs are required to observe certain formalities, such as holding regular meetings, maintaining separate financial records, and avoiding commingling of personal and corporate assets. If these formalities are not observed and the corporate structure is used as a mere façade, courts may disregard the corporate entity.
Alter Ego: If there is such a unity of interest and ownership between the corporation and its shareholders or members that the separate personalities of the corporation and the individuals no longer exist, courts may treat the corporation as the alter ego of its owners and hold them personally liable.
Group Enterprises: In some cases, where multiple corporations are closely related or form part of a single economic unit, courts may pierce the corporate veil to achieve equity, particularly if one corporation's actions harm creditors or other stakeholders and the corporate structure is being used to shield culpable parties from liability.
