This advertisement discusses the stress of an IRS audit and provides tips to make the process easier. It notes that navigating an IRS audit can be expensive, costing around $290 per hour for an attorney. However, many employees have access to affordable legal support through prepaid legal plans. Legal plan members pay a low monthly fee, around $20, and get representation from an attorney for IRS audits and other tax issues. Having good records, representation, and a legal plan can help taxpayers feel more prepared and less stressed if the IRS conducts an audit.

It provides guidance on determining what types of social media posts would be considered advertisements subject to filing requirements. The key is for lawyers to exercise caution and good judgment to avoid potential discipline or liability under barratry statutes for violating advertising rules through their social media use.

The document discusses how 2017 may bring significant changes to estate planning law due to potential tax law changes under the new Trump administration and Republican legislature. It suggests that changes like cancelling the federal estate tax and decreasing income and capital gains taxes are possible. This would likely lead to increased scrutiny of Medicaid planning transfers and changes to the stepped-up basis rule. The summary also notes that while trusts will still be important for protecting assets from creditors, divorces, and ensuring qualification for government assistance, estate attorneys will continue to have relevance beyond estate tax planning.

It notes that while social media can help lawyers promote their practice in a crowded legal market, communications must comply with rules against false or misleading information. It provides guidance on using social media ethically without running afoul of filing requirements for advertisements.
The document discusses research and development (R&D) tax incentives available at both the federal and state level. It notes that over $5 billion in federal R&D tax credits are given out annually, though 80% goes to large companies. It highlights that the 20% research tax credit can be taken as a dollar-for-dollar credit against taxes owed and unpaid costs can be expensed. Companies can take the credit for the last 3-4 tax years plus the current year, and any unused credits can be carried forward for up to 20 years. Advocates for Savings offers a free consultation to determine potential cash benefits from pursuing these credits.
- Voters support closing corporate tax loopholes and ensuring large corporations pay their fair share of taxes. They believe some profitable corporations pay no taxes at all or move profits overseas to avoid paying taxes.
- Connecting corporate tax breaks to companies that ship jobs overseas resonates strongly with voters. Ensuring American companies pay similar taxes on overseas profits as domestic profits also has support.
- Revenue from limiting corporate tax deductions and loopholes should go towards reducing budget deficits and funding priorities like education, not reducing corporate tax rates further. Progressive arguments on corporate taxes beat arguments for lower rates by a wide margin.
- Ending tax breaks for corporations that move jobs overseas is a convincing patriotic message for voters. In focus groups,

Lifting the Corporate Veil. Power Point Presentationseri bangash
"Lifting the Corporate Veil" is a legal concept that refers to the judicial act of disregarding the separate legal personality of a corporation or limited liability company (LLC). Normally, a corporation is considered a legal entity separate from its shareholders or members, meaning that the personal assets of shareholders or members are protected from the liabilities of the corporation. However, there are certain situations where courts may decide to "pierce" or "lift" the corporate veil, holding shareholders or members personally liable for the debts or actions of the corporation.
Here are some common scenarios in which courts might lift the corporate veil:
Fraud or Illegality: If shareholders or members use the corporate structure to perpetrate fraud, evade legal obligations, or engage in illegal activities, courts may disregard the corporate entity and hold those individuals personally liable.
Undercapitalization: If a corporation is formed with insufficient capital to conduct its intended business and meet its foreseeable liabilities, and this lack of capitalization results in harm to creditors or other parties, courts may lift the corporate veil to hold shareholders or members liable.
Failure to Observe Corporate Formalities: Corporations and LLCs are required to observe certain formalities, such as holding regular meetings, maintaining separate financial records, and avoiding commingling of personal and corporate assets. If these formalities are not observed and the corporate structure is used as a mere façade, courts may disregard the corporate entity.
Alter Ego: If there is such a unity of interest and ownership between the corporation and its shareholders or members that the separate personalities of the corporation and the individuals no longer exist, courts may treat the corporation as the alter ego of its owners and hold them personally liable.
Group Enterprises: In some cases, where multiple corporations are closely related or form part of a single economic unit, courts may pierce the corporate veil to achieve equity, particularly if one corporation's actions harm creditors or other stakeholders and the corporate structure is being used to shield culpable parties from liability.

This guide aims to provide information on how lawyers will be able to use the opportunities provided by AI tools and how such tools could help the business processes of small firms. Its objective is to provide lawyers with some background to understand what they can and cannot realistically expect from these products. This guide aims to give a reference point for small law practices in the EU
against which they can evaluate those classes of AI applications that are probably the most relevant for them.

Opportunities as seen through the lens of Bridging the Access to Justice Gap
THE MARKET OPPORTUNITY
Access to justice, to lawyers, to legal services - Only 20% of LI & 40% MI Americans with Civil Legal Needs are able to find lawyers to help them
Based on US Census Bureau data and a 2017 study published by the Henry J. Kaiser Family Foundation, we estimate there to be more than 12.7 million or 44.4% of the Texans in the justice gap. That is not including the 5.8 million that qualify for legal aid (where only 100,000 are served each year).
Lawyers have an interest in bridging this justice gap as more and more states consider allowing “limited practice by nonlawyers and/or investment by nonlawyers.”
When only 1 in 5
Using data from the World Justice Project (global – 65%) and American Bar Association’s 2016 Report on the Future of Legal Services (America – 31%)
What does this mean? Have legal needs that go unmet or unresolved with the assistance of a lawyer.
Professor Bill Henderson out of IN used Census data in 2015 to estimate that the average legal spend per US citizen was $232 per year.
With these numbers in Texas, that puts the value of this latent market between $2 – 4.3 billion dollars
5.1 billion vs. 7.8 billion globally
100 million vs. 327.2 million in the US
28.7 million Texans
EFFICIENCY – most of us are NOT lean mean operating machines
59% sought a referral
57% search on their own
16% did both
18% would NEVER seek a referral from family or friends

TDRPC 1.03 Communication - (a) A lawyer shall keep a client reasonably informed about the status of a matter and promptly comply with reasonable requests for information.
#1 top grievance – No/Poor communication
I think we can do better!
2.5 hours utilized – spent on revenue generating activities (31% of an 8 hour day)
2.0 hours realized – bill to client (80% of utilized hours)
1.7 hours collected – paid by client (86% of billed hours)
$280/hour in TX
$476/day ($114,240 annually with 2 weeks and 10 holidays)
CLIENT-CENTRIC SERVICES
Jack Newton (paraphrase from Clio Cloud 2019) –
We have a product/market fit problem – 81% of lawyers and law firms say they want to increase revenue, but have trouble finding business. Yet, potential clients struggle to get help with their legal problems. There is a massive opportunity to bridge that gap by meeting the demand of clients looking for solutions to their legal problem. BUT this will require lawyers and law firms to be entrepreneurial and to innovate the ways they deliver legal services.
No longer a sellers market
Customers are more informed and increasingly demand personalized service at reasonable costs
The law is not immune to the future use of online crowdsourced platforms
