June Denver Workshop Flyer
This is the flyer for one of two half-day workshops we conducted in Colorado in June. We did the same program in Colorado Springs June 10th. Raytheon-DDTC Settlements Summary
If you only read the most recent April 30, 2013, Raytheon-Directorate of Defense Trade Controls (DDTC) settlement documents you did not get a complete picture of their compliance culture, history over the last 15 years, how the DDTC used to handle cases and how they approach them now. That is especially so in the area and evolution of mandated compliance measures.
This one-page side-by-side comparison of the April 2013, February 2003 and October 1999 settlements with the DDTC provide additional valuable insight and telling trend information. There is a significant amount of material to be considered and factored in to your export control/trade compliance program. One thing in particular should be very obvious to you.
April 2013 Raytheon Settlement Summary
The April 30th, 2013, Consent Agreement between the US Department of State (DOS) and Raytheon has some important lessons learned for trade compliance professionals at all levels in an organization. It’s also Raytheon’s third settlement with the DOS in less than 15 years.
This one-page summary captures the important points of their latest settlement. While trade compliance/export control practitioners are encouraged to read all the documents, many C-level executives don’t have the interest or time to digest them including the Proposed Charging Letter, Consent Agreement and Order. These one-page summaries are bite-size tools that have proven education and training benefits. They have also consistently proven useful in beefing-up audit and assessment checklists.
There are some key takeaways buried in the Raytheon settlement documents. If you read carefully you’ll come to the conclusion their compliance program was clearly not up-to-speed (some have said badly broken). Additionally some individuals apparently not fulfill their responsibilities administrating agreements and ensuring previously mandated compliance measures were thoroughly taken care of. They also had serious shortfalls in investigating and correcting violations as well as problems managing voluntary disclosures.
The terse settlement document quotes about the state of their compliance program paint a picture of ineffective, inadequate, insufficient and failed efforts over years that resulted in hundreds of disclosures and violations.
As you read this Settlement Summary and the complete set of documents, ask yourself what your organization is doing in these same areas. If enforcement came knocking at your door what would they find? Do you or your organization have similar issues? If so, what are you doing to close the gaps?
If you want to expand your compliance perspective and better understand the current enforcement environment, review all three of Raytheon’s DOS settlements to gain an appreciation for the evolution of how State handles settlements and particularly so in the area of mandated compliance measures.
UTC-State Department Settlement Summary
This concise one-page document is an overview and Settlement Summary of the June 28, 2012, US State Department, Directorate of Defense Trade Controls (DDTC) Consent Agreement with United Technologies Corporation (UTC). It parallels a June 28, 2012, US Department of Justice (DOJ) action against UTC and its subsidiaries that resulted in a guilty plea and $75 million dollar criminal fine. This template summary is a factual overview of UTC’s five-hundred and seventy-six alleged unauthorized exports and transfers of defense articles, to include technical data, and unauthorized provision of defense services to various countries, including proscribed destinations. To better appreciate the two cases (one criminal and one civil); you must carefully read the entire settlement package on the DDTC website at www.pmddtc.state.gov/compliance/consent_agreements/UTC.html Details on the DOJ case are at www.justice.gov/opa/pr/2012/June/12-nsd-824.html. This summary consolidates material from the US Department of State’s Proposed Charging Letter, Consent Agreement and Order. It is a much more concise and consistent summary in a format that is particularly useful for C-level executives and trade compliance professional’s education/training at all levels. Thoroughly reading settlements and monitoring various US Government enforcement and compliance resources should be an integral part of any trade compliance professional’s reading and an essential element in any comprehensive Trade Compliance Program. One-page summaries like these help get the word out in a more bite-size way and allow readers to more quickly digest and compare individual cases.

Empowered Official Appointment and Designation Letter Templates
Part 120.25 of the International Traffic in Arms Regulations (ITAR) outlines the definition and requirements for an Empowered Official (EO).
One of those requirements [ITAR, Part 120.25 (a)(2)] is the EO must be legally empowered in writing, but there is no required or recommendation format or text for how an EO should be empowered and what should such a document say.
While there are lots of options of how you and your organization can do this, there are two templates that have been refined over the years to appoint and designate your EO(s). Many organizations have used and are using them as a baseline. I recommend them as well. They have been recently updated.
One is an EO Appointment Letter to be used internally in your organization to appoint EOs and make sure everyone in your organization knows who your EO(s) is/are. The other is an EO Designation Letter to be used externally and sent to the US Department of State, Directorate of Defense Trade Controls, to designate EOs.
Feel free to adopt, adapt and modify them to fit the unique nature of your organization. At a minimum compare what you are currently using with these and make adjustments as you and your organization deem appropriate. They have recently been revised.

Latest Dr. Roth Indictment Summary
The appeals for indicted Dr. John Reece Roth, former University of Tennessee Professor that dragged out for years came to a conclusion on October 3, 2011, when the US Supreme Court decided not to hear the case.
Roth, now 73, is serving his four-year sentence in a minimum security facility prison in Ashland. Kentucky about a 4 and-a-half hour drive from his home in Knoxville, TN. He is eligible for early release after serving 86% of his term. Additionally, he may be allowed to spend the last 6 months of his sentence in a halfway house.
According to prosecutors Jeff Theodore and Will Mackie, Roth repeatedly and arrogantly ignored warnings because he disagreed with the Arms Export Control Act (AECA) and International Traffic in Arms Regulations (ITAR) restrictions. Roth and his lawyers countered he was merely ignorant of the law and that the AECA and ITAR only applied to finished products and not to those in research and development.
If your organization does any work with academic institutions and/or research and development facilities, you need to be well up-to-speed on what happened here. Dr. Roth has been and remains “the example” to point to regarding knowing and willful violations of the AECA and the ITAR and what ultimately happens to those who intentionally violate the law.

Raytheon-DDTC Settlements Summary
If you only read the most recent April 30, 2013, Raytheon-Directorate of Defense Trade Controls (DDTC) settlement documents you did not get a complete picture of their compliance culture, history over the last 15 years, how the DDTC used to handle cases and how they approach them now. That is especially so in the area and evolution of mandated compliance measures.
This one-page side-by-side comparison of the April 2013, February 2003 and October 1999 settlements with the DDTC provide additional valuable insight and telling trend information. There is a significant amount of material to be considered and factored in to your export control/trade compliance program. One thing in particular should be very obvious to you.
April 2013 Raytheon Settlement Summary
The April 30th, 2013, Consent Agreement between the US Department of State (DOS) and Raytheon has some important lessons learned for trade compliance professionals at all levels in an organization. It’s also Raytheon’s third settlement with the DOS in less than 15 years.
This one-page summary captures the important points of their latest settlement. While trade compliance/export control practitioners are encouraged to read all the documents, many C-level executives don’t have the interest or time to digest them including the Proposed Charging Letter, Consent Agreement and Order. These one-page summaries are bite-size tools that have proven education and training benefits. They have also consistently proven useful in beefing-up audit and assessment checklists.
There are some key takeaways buried in the Raytheon settlement documents. If you read carefully you’ll come to the conclusion their compliance program was clearly not up-to-speed (some have said badly broken). Additionally some individuals apparently not fulfill their responsibilities administrating agreements and ensuring previously mandated compliance measures were thoroughly taken care of. They also had serious shortfalls in investigating and correcting violations as well as problems managing voluntary disclosures.
The terse settlement document quotes about the state of their compliance program paint a picture of ineffective, inadequate, insufficient and failed efforts over years that resulted in hundreds of disclosures and violations.
As you read this Settlement Summary and the complete set of documents, ask yourself what your organization is doing in these same areas. If enforcement came knocking at your door what would they find? Do you or your organization have similar issues? If so, what are you doing to close the gaps?
If you want to expand your compliance perspective and better understand the current enforcement environment, review all three of Raytheon’s DOS settlements to gain an appreciation for the evolution of how State handles settlements and particularly so in the area of mandated compliance measures.
UTC-State Department Settlement Summary
This concise one-page document is an overview and Settlement Summary of the June 28, 2012, US State Department, Directorate of Defense Trade Controls (DDTC) Consent Agreement with United Technologies Corporation (UTC). It parallels a June 28, 2012, US Department of Justice (DOJ) action against UTC and its subsidiaries that resulted in a guilty plea and $75 million dollar criminal fine. This template summary is a factual overview of UTC’s five-hundred and seventy-six alleged unauthorized exports and transfers of defense articles, to include technical data, and unauthorized provision of defense services to various countries, including proscribed destinations. This summary consolidates material from the US Department of State’s Proposed Charging Letter, Consent Agreement and Order. It is a much more concise and consistent summary in a format that is particularly useful for C-level executives and trade compliance professional’s education/training at all levels. Thoroughly reading settlements and monitoring various US Government enforcement and compliance resources should be an integral part of any trade compliance professional’s reading and an essential element in any comprehensive Trade Compliance Program. One-page summaries like these help get the word out in a more bite-size way and allow readers to more quickly digest and compare individual cases.

CEEC Fact Sheet
- An informal group called the Coalition for Excellence in Export Compliance (CEEC) was formed with the goal of helping US exporters improve compliance with export controls.
- The CEEC is made up of trade compliance professionals from academia, research centers, industry, trade associations, and legal practices who want to share best practices.

AAR International Inc. Settlement Summary (Revised)
This is the one page summary for the State Department’s July 15th, 2010, settlement with AAR International, Inc (AAR). It’s a unique successor liability case in several respects. There was no fine whatsoever for AAR. Additionally, the State Department did not include the material fact in the settlement that AAR purchased Presidential from Xe Services LLC (formerly Blackwater Worldwide). That begged all sorts of questions and expectations including the distinct possibility of a related settlement involving Xe Services and/or Blackwater for the underlying alleged violations. Indications of a significant settlement with Blackwater or its successor (Xe Services LLC) was rumored for months in an investigation that has apparently been underway for years.
The Case Against Doctor Roth: Impact & Implications
Dr. John Reece Roth, a University of Tennessee professor, was convicted of illegally exporting military technical information related to plasma technology. He conspired with Atmospheric Glow Technologies to export this information to China and Iran without State Department approval. Roth was sentenced to 4 years in prison followed by 2 years of supervised release for conspiracy to violate export control laws, actually violating those laws 15 times, and wire fraud. The case highlights the seriousness with which the US views unauthorized exports, especially to restricted countries, and serves as a warning for academics and researchers.
