2. This is a Intermediary Contract for international trade operations
in which potential clients have been identified. The exporter (the
Company), puts either an individual or a company (the Intermediary)
in charge of the management, consulting and the negotiation of
specific operations with a previously determined client (the Buyer).
Once the operations are concluded, the contract is ended.
In contrast with the commercial agency contract, agreements on
exclusivity and non-competition are not established.
Due to the occasional nature of the contract, at the end of it, the
Intermediary does not have the right to indemnity.

3. The Exporter is always a company but the Intermediary
can be a company or a person (independent professional).
For each party, the following has to be included:
• Name of company, full address and nationality.
• Company type: public limited company, limited liability
company, etc.
• Name and position of company representative who
signs the agreement.
• Name, profession, full address and nationality of person
who acts as Intermediary.
• Tax ID number of both parties.

5. “The intervention of the Intermediary shall comprise, among others, the
following activities:
“Obtaining from the Buyer an order in writing for .................... [quantity
or units] of the products described in the present Contract, under
delivery conditions .................... [include Incoterm and place of delivery] at a
price per item of .......... for a total amount of ................... payable by
.................... [include means of payment].”
“Transmitting to the Company the order indicated in the above
paragraph, in a period not exceeding .......... calendar days as from the
placing of the order by the Buyer.”
“Confirming to the Buyer the referred order, once accepted by the
Company, for which a period of ...... days maximum is established, as
from the receipt of the order by the Company.”

6. 3.2 REPRESENTATION OF THE INTERMEDIARY
“The Intermediary shall not negotiate on behalf of the Company
any sales transactions with the Buyer, nor shall have authority to
broker contracts on the Company’s behalf, nor bring any type of
legal obligation upon it. It shall merely inform the Buyer of the sales
conditions established by the Company.”

7. “The Intermediary shall keep the Company regularly informed as to the
meetings and conversations with the Buyer concerning the sales transaction.
Similarly, the Internediary shall inform the Company as to the Buyer’s
solvency within .......... calendar days maximum of receiving the order.”
3.3 INFORMATION TO THE COMPANY

8. “The Intermediary shall be entitled to a commission of …. % on the
total value of the sales carried out with the Buyer. The payment of the
commissions will be made through banking transfer within …….. calendar
days from the date of payment of the Buyer.”
3.4 COMMISSIONS

9. International Law standards are not applied to this type
of Contract.
The parties are free to submit any conflicts regarding the
agreement to International Arbitration or to the Laws of
the country of one of the parties. They will normally be
subject to the Laws of the Exporter´s country.
