What is Seed EIS?
Seed Enterprise Investment Scheme (SEIS) is the most
generous, tax-advantaged venture capital scheme ever
introduced that offers investors enhanced income tax
and Capital Gains Tax (CGT) reliefs.
Higher rate tax payers and profitable business owners now have a low hurdle threshold to recover up to £50,000 income tax annually.
The 2014 Budget has made this a permanent feature of UK tax savings schemes and this Guide highlights the main conditions that need to be satisfied, but the conditions are complex and you should take professional advice before making an investment.

Before Starting Up
Many people dream of running their own business.
In recent years this has become a reality for some who have been made redundant.
Others may decide to start their own business
in search of independence, to work for themselves
and be rewarded for their efforts financially.
Whatever the reason for considering setting up
in business, a number of challenges exist.
Despite considerable effort and financing which
may be poured into a venture, there is always a
risk of business failure.
Before you start your business, take some time spent to think through your plans as
this will minimise the risk of failure.
Think about the possible downfalls of being
self-employed. Certainty of income, both in
terms of quantity and regularity, disappears,
whilst fixed outgoings, such as mortgage
repayments, remain. Consider the loss of other
company benefits such as life assurance cover,
a company pension, medical insurance, a company
car, regular hours and holidays.
Consider the views of your family and friends.
Their support is essential. It is important they
understand that the administrative and financial
requirements of running a business can be time
consuming and stressful.
Success in business depends on many factors;
most importantly you need to critically review all
aspects of the business proposition before
progressing too far.

Introduction to Entrepreneurship, Keith Lawrence MillerKeith Miller
An Entrepreneur is someone who organizes a business venture
This business introduction will provide you with the tools you need for Entrepreneurial Success.
Most small companies start their trading activities by advancing funds via an informal ‘director’s loan’ that in most cases is repaid as soon as the business starts making money.
When a business owner decides to sell the company, there are different scenarios to consider ensuring the sale benefits the seller as much as possible. It’s imperative that the owner should understand the tax implications and how they relate to the company’s corporate structure. When starting a business or changing your business structure, one of the most common options business owners evaluate is whether to form an S corporation or C corporation. These are the two most common ways to incorporate, and the choice really depends on your business goals.
What is the procedure for a members voluntary liquidation in the UKProperty Classifieds
The Sunday Times recently named Norwich as one of their ‘best places to live in 2022’, praising the city for “its creative spirit and thriving independent shops”. Whilst it has struggled over the past year – as every city has done throughout the UK during the pandemic – the city has proved it is in a good position to thrive. But is Norwich a good place to invest in property in 2022?
60% of the shops in Norwich are independents – just look at the much-visited Norwich Lanes – and the city centre revels in its pop-ups. Add to the mix their historic outdoor market that has adapted to customer demand, the council’s green initiatives including a dedicated cycle network and sustainable social housing on Goldsmith Street (it won the Stirling prize for architecture in 2019) and you’ve got a city that is attracting buy-to-let investors in their droves.
Contrast constructive dividends and stock dividends. Explain the tax.pdfarrowit1
Contrast constructive dividends and stock dividends. Explain the taxation of each. Give some
examples. Also respond to another student\'s post. Write two to three large paragraphs
Solution
Most businesses are taxpayers, too. And just like any other taxpayer, they want to pay as little
taxes as possible. Sometimes, however, companies take deductions or other tax benefits when
they\'re not supposed to. For example, a company may pay some personal expenses for a
shareholder and take a business expense deduction.
The IRS can call the payment a constructive dividend. If it does, the company may lose the tax
benefit, and both the company and shareholder may face penalties.
Constructive Dividends
A dividend is any distribution of money or property made by a corporation to its shareholders.
Typically, dividends are declared or announced by the company in advance and are paid out to
all shareholders in proportion to the amount of stock each of them owns.
A constructive dividend is an undeclared dividend by the corporation, usually paid to one or only
a few shareholders. It can be a direct payment of money, like a salary, or some other indirect
economic benefit to the shareholder, like paying a shareholder\'s rent.
If a corporation makes a distribution or payment from profits to a shareholder and doesn\'t report
the payment as a taxable dividend, the IRS may - and often does - reclassify the distribution as a
constructive dividend.
Generally, problems with constructive dividends pop up with small, closely-held corporations.
Shareholders of these companies often treat the corporation and its cash as personal property and
use both as they see fit. However, big, publicly traded companies can run into the problem, too.
Tax Problems with Constructive Dividends
As a practical matter, constructive dividends and ordinary dividends get about the same tax
treatment. Both dividends are taxable income to the shareholder and can\'t be deducted by the
corporation.
This is where the trick lies. If a corporation can pass off payments to a shareholder as
compensation, wages or some work-related expense, the corporation can take a tax deduction for
the payment.
Impact on the Company
When the IRS treats a payment as a constructive dividend, the deduction taken by the company
is denied or disallowed. The payment is then taxed as a regular dividend, up to the earnings and
profits of the corporation. As a result, the company\'s taxable income goes up, and so does its tax
bill..
What are Dividends? UK Limited Company DividendsGoForma
Limited company dividends refer to the distribution of profits that a company makes to its shareholders. In the United Kingdom, a limited company is a business structure that has its finances separate from the personal finances of its owners (shareholders). When a limited company generates profits, the directors may choose to distribute a portion of these profits to shareholders in the form of dividends.

Implicitly or explicitly all competing businesses employ a strategy to select a mix
of marketing resources. Formulating such competitive strategies fundamentally
involves recognizing relationships between elements of the marketing mix (e.g.,
price and product quality), as well as assessing competitive and market conditions
(i.e., industry structure in the language of economics).

How to take money out of a LTD Company
1. How to take money out of a
Limited Company
.... The correct way for you and your
business
2. When you are running a Limited
Company
You must ensure that you are
familiar with the ways in
which you can withdraw
money as a director
3. As a director of a Limited
Company, you can take money
from the company in three ways
4. 1: Salary, Expenses and Benefit
If you want to draw salary, expenses or
benefits you must register the company as
an employer with HMRC
The company must deduct income tax and
national insurance and pay this along with
any employer national insurance
contribution to HMRC
5. 2: Dividends
Dividends are paid out of the business
profits after corporation tax has been
deducted
It is illegal to take out more dividends than
the total amount of available profits from
current and previous financial periods
6. Plus…
You must hold a meeting to ‘declare’
the dividend and keep minutes of the
meeting, even if there is only one
director /shareholder
7. You must also produce a dividend
voucher for each shareholder
detailing – date, company name,
name of shareholder, amount of
the dividend to be paid, and the
dividend tax credit
8. And..
You must give a copy of the dividend
voucher to the shareholder and keep
a copy for the company records.
9. 3: Directors’ Loans
If you take more money out of the
company than you put in, and it
isn’t salary or dividend, it is called
a director’s loan.
10. If the company makes loans to
directors it must keep detailed
records of these transactions –
there are detailed tax rules about
how directors’ loans are handled
11. Don’t leave it to chance…
