3. SOLE/SINGLE PROPRIETORSHIP
Firms owned and managed by one person,
usually the individual who has day-to-day
responsibility for running the business. Sole
proprietorships own all the assets of the business
and the profits generated by it. The owner also
assume complete responsibility for any of its
liabilities or debts. In the eyes of the law and the
public, you (the owner) are one in the same with
the business.
4. Advantages of a Sole Proprietorship
โข Easiest and least expensive form of ownership
to organize.
โข Sole proprietors are in complete control, and
within the parameters of the law, may make
decisions as they see fit.
โข Profits from the business flow-through directly to
the ownerโs personal tax return.
โข The business is easy to dissolve, if desired.
5. Disadvantages of a Sole Proprietorship
โข Sole proprietors have unlimited liability and are legally
responsible for all debts against the business. Their business
and personal assets are at risk.
โข May be at a disadvantage in raising funds and are often
limited to using funds from personal savings or consumer
loans.
โข May have a hard time attracting high-caliber employees, or
those that are motivated by the opportunity to own a part of

โข The partnership may have a limited life; it may end
upon the withdrawal or death of a partner.
12. CORPORATION
A Corporation, chartered by the state in which it is
headquartered, is considered by law to be a unique
entity, separate and apart from those who own it. A
Corporation can be taxed; it can be sued; it can enter
into contractual agreements. The owners of a
corporation are its shareholders. The shareholders
elect a board of directors to oversee the major
policies and decisions. The corporation has a life of
its own and does not dissolve when ownership
changes.
13. A corporation is a business organization that has a
separate legal personality from its owners.
Ownership in a stock corporation is represented
by shares of stock.
The owners (stockholders) enjoy limited liability but
have limited involvement in the company's
operations. The board of directors, an elected group
from the stockholders, controls the activities of the
corporation.
In addition to those basic forms of business
ownership, these are some other types of
organizations that are common today:

โข Shareholders have limited liability for the corporationโs debts or

โข Generally, shareholders can only be held accountable for their investment

โข Corporations can raise additional funds through the sale of stock.

โข Can elect S Corporation status if certain requirements are met. This
election enables company to be taxed similar to a partnership.
15. Disadvantages of a Corporation
โข The process of incorporation requires more time
and money than other forms of organization.
โข Corporations are monitored by federal, state and
some local agencies, and as a result may have more
paperwork to comply with regulations.
โข Incorporating may result in higher overall
taxes. Dividends paid to shareholders are not
deductible from business income; thus this income
can be taxed twice.

and cultural needs and aspirations through a jointly-
owned and democratically-controlled enterprise.

SERVICE BUSINESS
A service type of business provides intangible
products (products with no physical form). Service
type firms offer professional skills, expertise, advice,
and other similar products.
Examples of service businesses are: salons, repair
shops, schools, banks, accounting firms, and law
firms.
19. MERCHANDIZING BUSINESS
This type of business buys products at wholesale
price and sells the same at retail price. They are
known as "buy and sell" businesses. They make
profit by selling the products at prices higher than
their purchase costs.
A merchandising business sells a product without
changing its form. Examples are: grocery stores,
convenience stores, distributors, and other resellers.
20. MANUFACTURING BUSINESS
Unlike a merchandising business, a manufacturing
business buys products with the intention of using
them as materials in making a new product. Thus,
there is a transformation of the products purchased.
A manufacturing business combines raw materials,
labor, and factory overhead in its production process.
The manufactured goods will then be sold to
customers.
