Summary of Intelligent Energy Europe (IEE) project-SMILEGOV
The IEE funded project Smarter Multi Level Governance (SMILEGOV) is examining the major barriers to creating a low carbon society on islands. It is bringing together the various stakeholders and the multilevels of governance required to achieve the EU target of 20% reduction in Carbon and 20% increase in renewable energies by the year 2020, ie less than 6 years from now. The crux of the project is to engage all stakeholders including islanders to agree to the Pact of Islands. The pact asks for commitment to examine and agree an island energy action plan within 12 months of signing the document.

Memorandum of Understanding
This MOU is made and entered into effect as of this 3 September
2022.
BY AND BETWEEN:
(1) Columbia University and Columbia University’s School
of International and Public Affairs, in this act duly
represented by […], hereinafter referred to as “Columbia
University”
and
(2) EDP – Energias de Portugal, S.A., a company incorporated
under the laws of Portugal, with registered seat at Praça
Marquês de Pombal, no. 12, in Lisbon, tax and number
500 697 256, in this act duly represented by Mr. António
Mexia and by […], in the quality, respectively of President and
Member of the Executive Board of Directors, hereinafter
referred to as “EDP”.
WHEREAS:
A. Energy and the environment are one of the greatest challenges
of the XXIst century the response to which will require the
adoption of new technologies and prepare a generation of new
leaders;
B. International dialogue is a key , given that all countries must
contribute to the solution;
C. Columbia University is one of the top academic and research
institutions in the world, conducting research in several areas
such as energy, the environment, medical sciences, business,
law and humanities;
D. Columbia University’s School of International and Public Affairs
(“SIPA”) has a unique track record in training professionals
from around the globe to perform important roles in public,
private and nonprofit organizations in different fields, including
energy and the environment;

E. EDP’s corporate purpose is the direct or indirect promotion,
development and management of activities in the energy sector,
both at the national and international levels;
F. EDP has an important presence in the conventional and
renewable power business in eleven countries, including
Portugal, Spain, Brazil, United States, France, Belgium, Poland,
Romania, United Kingdom, Italy and China;
G. EDP is well aware of the importance of social responsibility,
sustainability, innovation and proactive environmental
management ; the company aims at minimizing and controlling
the environmental impacts resulting from its generation,
distribution and energy supply activities and to support the
development of renewable energies;
H. The Parties share a common vision regarding the promotion,
development and teaching of sustainability policies;
I. In view of the above, the Parties are entering into this MOU to
set out the terms of their collaboration;
IT IS AGREED AS FOLLOWS:
EDP grants to Columbia University, for the benefit of SIPA, the
amount of USD 1 200 000, in order to create a fund (EDP Fund)
whose purpose is to support teaching, research, lectures and
conferences for the Energy and Environment Concentration and
related activities as described on the document attached to this
Protocol (Annex I).
EDP Fund will be paid as follows:
At the present date, EDP will pay Columbia University USD 300 000;
On the 31th
March 2011, EDP will pay Columbia University
USD 300 000;
On the 31th
March 2012, EDP will pay Columbia University
USD 300 000;
On the 31th
March 2013, EDP will pay Columbia University
USD 300 000.

Each year, Columbia University will send, no later than the 25th
January, the invoice correspondent (this shall not be applied on the
first year of the MOU, in which the payment is made at the entering
into date);
SIPA will prepare an annual report describing: i) key activities
performed in connection with the EDP Fund, including costs
incurred, media coverage, [etc]; ii) proposal for activities to be
performed in the following year, including cost estimate, additional
support required from EDP; iii) other issues which Columbia
University deem to be relevant.
Columbia University will also give EDP, the following benefits: i) [10]
invitations to each seminar, conference, lecturers and other public
programs; ii) presence of EDP’s brand mark, or any of its Affiliates,
in each event performed under EDP Fund; iii) EDP’s brand mark, or
any of its Affiliates, in all Columbia University publications related
with the activities developed under EDP Fund; iv) help, whenever it
will be possible, developing training programs involving SIPA’ s
faculty for EDP staff.
Notwithstanding anything to the contrary, neither of the Parties shall
without the prior consent of the other Party concerned make
statements which bind or are to the detriment of the other Party.
Each of the Parties shall treat all information that is disclosed to it by
the other Party for the purposes of this MOU with confidentiality in
relation to third parties and only use such information for the object
of the MOU. The obligation of confidentiality shall not extend to
information developed by a Party irrespective of the information
provided by the other Party.
Any dispute arising out or in connection with this Protocol, which
cannot be amicably solved by the Parties, including any question
regarding its existence, validity or termination, shall be referred to
and finally resolved by arbitration under the Rules of Conciliation and

Arbitration of the International Chamber of Commerce. The seat of
arbitration shall be in Lisbon, the language to be used in the
arbitration shall be English, the governing law of the Protocol shall be
Portuguese law
Notices must be sent via e-mail or by facsimile to the contacts above
referred, and will be effective upon actual receipt.
Duration: the present Protocol shall be valid until the 31th
March 2014.

ANNEX I
Activities supported by the EDP Fund
1. Fund internships and invite a visiting professor or scholar,
to be selected by Columbia in consultation with EDP, who will
teach a one semester course, each year, on energy and the
environment with focus on energy policy, innovation,
international dialogue, and comparative energy systems.
This course should include the discussion of at least one case
study related to EDP’s, or any of its Affiliates’ activities. EDP
will agree on the subject of the case study and will support the
preparation of such case study.
2. Create the World Energy Leaders Forum that will bring world
leaders in energy and environment to Columbia every year. The
lectures will be posted in the net and/or published. The
tentative topics for 2010 are:
a) Energy technology outlook;
b) Electric mobility;
c) European Action Plan for 2010-2014;
d) Energy and technological change;
e) Case study to be chosen: Brazil, China, India.
SIPA and EDP will use their best efforts to have the
participation of world leaders in each of the selected topics for
the annual lecture series.
SIPA, to the extent possible, will support EDP in the media
promotion of the EDP Lectures, in particular within the United
States.
The topics for the subsequent years will be agreed, preferably
by the 31st
of March of every year.
3. Fund lectures, seminars, conferences, and other public
programs related to energy policy and technologies.

SIPA, to the extent possible, will support EDP in the media
promotion of the lectures, seminars, conferences, and other
public programs, in particular within the United States.
Topics for lectures, seminars, conferences, and other public
programs should be proposed by the 31st
March of every year,
either by EDP or by Columbia University.
4. Fund faculty research projects with focus on energy/
environment policy and renewable energies.
The topics for such projects should be agreed by the 31st
March
of every year BETWEEN SIPA and EDP.
EDP has the option to indicate a representative to participate in
these projects.
The presentation of the key findings of the research projects
should be made by the project team to EDP and subsequently
posted in the net and/or published.
5. Fund capstone workshops with SIPA students at EDP-
Horizon, in Texas or any other energy-related workshop
projects.
A minimum of 2 capstone workshops with SIPA students
should be carried out each year.
Preferably, the topics of such workshops should be the same as
the World Energy Leaders Forum and/or faculty research
projects.
6. Fund reasonable travel expenses of Columbia students engaged
in research or internships in the field of energy studies.
These expenses, on an yearly basis, should not exceed [10%], or
[USD 30 000], of the annual contribution by EDP to Columbia
University. In case the expenses exceed this amount on a yearly
basis, EDP should be previously informed in writing and
additional expenses should have the written approval by EDP.
