Daniel Miller was appointed President of Defense Engineers, Inc. in September
2007. He was appointed Interim Chief Executive Officer on February 1, 2008 and
Chief Executive Officer on February 29, 2008. Miller has more than 30 years of
senior management experience in operational management, reorganizations,
acquisitions and business transformations.
From 2005 to 2007, Miller provided business and financial advisory services to
privately-held businesses. Miller was the Chief Operating Officer at the French-
American Trade Association and Senior Vice President of Corporate Development
for Fifth Republic Enterprises – a mutual insurance company.
Miller received the designation of Certified Practicing Accountant (France) and
became an Associate with the French Society of Accountants. He holds a Bachelor
of Arts in Economics from Les Grandes Ecoles in Paris, France. He retired from
Defense Engineers in August, 2012. In retirement, he serves of the Board of the
Charleston Trade Association, promoting economic development.

This	evaluation	is	based	on	Form	4	SEC	Filings	Insider‐Trading	Reports	and	
Compensation	Reports	subject	to	public	disclosure.	During	his	tenure	as	CEO	of	Defense	
Engineers,	Inc.	Moody	quintupled	his	shares	of	company	stock	to	565,000	shares.
The	stock	price	rose	from	a	low	of	$1.25	in	3/07	to	a	high	of	$5.26	in	5/11,	driven	by	the	
news	of	its	merger	with	General	Defense,	Inc.	Moody	disposed	of	22,454	shares	in	5/11,	
which	produced	a	cash	windfall	of	$118,107.
Rainmaker	Solutions	excluded	the	value	of	non‐exercisable	options	from	the	estimated	
net	worth	because	there	was	insufficient	information	available	to	satisfy	standard	option	
values	models,	such	as	the	maturity	dates.
Other	obstacles	to	an	evaluation	of	Miller’s	wealth	were	his	retirement	in	8/12,	and	the	
simultaneous	acquisition	of	Defense	Engineers	by	General	Defense.	His	previous	
employer	no	longer	exists	– and	he	is	no	longer	required	to	disclose	his	related	stock	
transactions	to	the	public.

In	August	2011,	The	Military	Honors	Society	of	Charleston	presented	the	first	General	
Earnest	C.	Montague	Friends	of		George	Washington	Award	to	Mr.	Daniel	Miller,	
Chairman	and	CEO	of	Defense	Engineers,	for	his	contributions	to	the	military	and	the	
Greater	Charleston	community.	This	article	emphasizes	his	concern	for	military	families.
While	the	article	lauds	Mr.	Miller	as	a	generous	supporter	of	many	Charleston‐based	
community	organizations,	Rainmaker’s	rigorous	search	of	two	major	charitable	giving	
databases	yields	only	two	contributions	– listed	on	the	previous	slide.	
We	assume	that	Mr.		Miller	received	this	award	because	he	made	a	generous	contribution	
to	the	Military	Honors	Society,	but	the	details	of	this	presumed	gift	is	not	available	on	the	
recipient’s	website	or	these	industry‐standard	databases.
In	general,	it	appears	that	Mr.	Moody	holds	modest	potential	as	a	$1,000‐$5,000	annual	
fund	prospect	for	Cumberland	University,	without	a	previous	giving	history,
