Whereas, the Company being a For Hire Carrier, operating under authority issued
by the Interstate Commerce Commission or applicable State Agency and Contracted through
Panther Expedited Services for said Agency to utilize vehicular equipment and services in the
Company's business and to accept services under contract from Panther Expedited Services
in connection with the Company's business.
Whereas, the Driver is engaged in the business of transporting freight by motor vehicle
shipment as set forth in exhibit “A” on behalf of or pursuant to operating agreements with
private contract, or common carrier or shippers.
1. Company does not agree furnish any specific or minimum number of loads or pounds freight
transportation by the driver at any particular time or any particular place.
. 2. Company warrants that any and all legal or other fees incurred by driver as a result of
default of any or all terms of this agreement shall be the sole responsibility of the Driver.
3. The parties intend and agree that this agreement shall create an “Independent
Contractor” relationship between the parties and not a master-servant, employer-employee,
Or principal agent relationship. Neither party shall have the right to bind the other
by contract or otherwise except as herein specifically provided.

4. Driver recognizes that the Company's business of providing motor carrier
transportation services the public is subject to regulation by the Federal Government
acting through various agencies, and by various state and local governments.
The Driver shall have a responsibility to the Company of satisfying state regulatory
requirement, subject at all times to verification by the Company by;
(a) Maintaining the equipment in accordance with all applicable regulations;
(b) Operating the equipment in accordance with all applicable regulations;
(c) The hiring and training of drivers who are qualified under all applicable
regulations and who meet all standards will be verified by Panther Expedited
Services.
The Driver is not to be considered the employees, agents, or servants of the
Company at any time under any circumstances, for any purpose.
(d) Doing all other things necessary to conduct the transportation services
provided in the Agreement accordance with all applicable regulations.
5. Company shall determine the method and manner of performance of
transportation service by Driver under the terms of this agreement. The
Company has and shall retain all responsibility for;
(a) Hiring, paying, setting wages, hours, supervising, training, discipline and
firing all drivers, and other workers necessary for the perform.

I. SERVICES RENDERED
The AK Film hereby engages the Contractor to render services for the AK Film as a

The services to be rendered by the Contractor shall include all services usually and customarily rendered
by and required of persons employed in this capacity in the motion picture industry, and such other
services as may be required of the Contractor by the AK Film from time to time. The Contractor shall
provide all equipment, in good working order, listed on the attached Schedule A. The Contractor hereby
accepts such responsibilities upon all the terms and conditions herein contained and agrees to keep and
perform all such obligations and agreements in a professional manner.
II. TERM OF ENGAGEMENT
A. The term of engagement shall commence on or about (date) ___________________ till
___________________ as the AK Film may elect, in its sole discretion. It is specifically understood and
agreed, the Contractor will be available to render services for retakes over after the term hereof, if so
requested by the AK Film.
III. SERVICES
A. During scheduled production, the Contractor will render his services solely and exclusively for
the AK Film. During post production, if requested by the AK Film, the Contractor shall render services for
retakes or otherwise as requested by AK Film on a non-exclusive, but first preference basis. The
Contractor shall keep AK Film informed as to the Contractor's whereabouts so that the Contractor may
be reached at any reasonable time. Such services shall be rendered in a diligent and conscientious
manner under the direction, supervision and control of and/or in collaboration with such person(s) as AK
Film appoints or requests, while at the same time adhering to the rules and regulations established by
AK Film. This including matters relating to artist and/or creative taste and judgment, made or issued by
AK Film or its designees.
3. IV. COMPENSATION
A. During the Term, on condition that the Contractor keeps and performs each and all obligations
and agreements hereunder, AK Film agrees to pay the Contractor and the Contractor agrees to accept as
full compensation for all services and all rights granted hereunder, the sum of

A. the contractor is not entitled to recover any profits, or incur any loss from the amount
generated or cost incurred from the production, exhibition, distribution, rental, lease or sale of the
picture.
b. All payments and notices to the Contractor shall be delivered to the Contractor through Bank

V. EXTENSIONS & SUSPENSIONS
A. AK Film shall have the right to suspend the Contractor's engagement and no compensation
shall accrue or be payable to the Contractor for any period during which the Contractor fails, refuses or
neglects or is unable for any reasons including, without limitation, illness, accident or mental or physical
disability, to render the Contractor's services as required or desired by AK Film or following any
statement made by the Contractor that the Contractor will refuse to render such services or comply
with the Contractor's obligations hereunder
1. AK Film shall have the right to extend the term by a period equal to the aggregate and the
Contractor's engagement and compensation hereunder.
2. In case , and for any period during which AK Film shall be hampered or interrupted in the preparation
of production of the Picture or in the conduct or operation of AK Film's business by any so-called force
majeure event, or by the death, illness or incapacity of the director or the director of photography or
any principal cast member, and natural disasters the contractor shall be available for the reshoot on first
person basis not exclusivly
VI. INTELLECTUAL PROPERTY
A. AK Film shall own, as a work-for-hire and the Contractor hereby transfers and assigns to AK
Film, all rights of every kind and character throughout the world in perpetuity, in any and all languages
and media, in and to any material and/or ideas written, suggested or submitted by the Contractor, and
all results and proceeds of the Contractor's services hereunder. AK Film and its licensees and assigns
shall have the right to adapt, change, revise, delete from, add to and/or rearrange material or any part
4. thereof and to combine the same with other material to any extent, and in this connection the
Contractor hereby waives any so-called moral rights of authors.
B. The Contractor agrees that AK Film owns the copyright therein and renewals and extensions
thereof in the Picture and the Contractor hereby waive any claims (financial or otherwise) based on any
usage of the Picture derived there from, including but not limited to claims for either invasion of privacy
or libel. The Contractor agrees that all the Picture materials, including but not limited to negatives,
transparencies, proofs, videotape, film, computer files, any electronic, mechanical, or other materials
including, but not limited to, all manner of information and image or audio duplicating, storage or
retrieval systems, media and previews, shall be the exclusive property of AK Film. AK Film retains the
exclusive right to reproduce, exhibit, distribute, and otherwise exploit in perpetuity wherever they deem
fit (in whole or in part) such films, prints, negatives, transparencies, proofs, videotape, computer files,
photographs and recordings in any and all media, whether now known or hereafter devised, including
without limitation in and in connection with the Picture and the advertising and other exploitation
thereof.
VII. PUBLICITY
A. The Contractor agrees that AK Film shall have the right to use the Contractor's name, voice
and likeness in and in connection with any production, exhibition, advertising, and other exploitation of
the Picture. The Contractor agrees that AK Film shall have the sole and exclusive right to issue publicity
concerning the Contractor with respect to the Contractor's services hereunder and the Picture and any
exploitation of the Picture.
VIII. BILLING CREDIT
A. On condition that the Contractor fully performs all of contractor’s obligations and
agreements, and on condition that the results of the Contractor's services are contained in the Picture
as released in its first general release to the public, the Contractor shall receive credit on all positive
prints of the Picture distributed and released to the general public. AK Film shall determine, in its sole
discretion, the size, style, manner, position, prominence, mode and placement of presenting such credit.
No casual or inadvertent failure, nor failure of any third party, to give the applicable credit shall
contribute a breach of this agreement.
1. AK Film shall not be obligated to use the Contractor's services or to use in any manner
any of the results and proceeds of the Contractor's services, or to produce, release, market, distribute or
otherwise exploit any motion picture.
5. IX. REPRESENTATION
A. The Contractor acknowledges and agrees that the Contractor has no right or authority to, and
that the Contractor will not, enter into any agreements for AK Film or on AK Film's behalf whereby AK
Film may be required to perform any obligations or to pay any monies or other consideration including,
without limitation, any agreement for the employment of any person or the purchase or rental of any
article or material without AK Film's prior written consent.
X. RELEASE
A. The Contractor warrants that the Contractor is free to enter into this agreement and has not
and will not make any agreement or commitment which might conflict or interfere with this agreement
or AK Film's rights under this agreement. The Contractor further warrants that all material and/or ideas
contributed or submitted by the Contractor to AK Film shall be wholly original with the Contractor and
shall not violate the rights of any other person or entity. The Contractor shall indemnify and hold AK
Film harmless against any loss, liability, judgment, cost or expense of any kind and character suffered or
incurred by AK Film by reason of any breach or alleged breach of any of the foregoing warranties. If
there is a breach by AK Film, the Contractor specifically recognizes and agrees that the damage caused
by such breach is not irreparable or sufficient to entitle the Contractor to injunctive or other equitable
relief, or to rescind any of the rights granted or assigned to AK Film, and that the Contractor's remedies
shall be limited to the right, if any, to obtain money damages at law.
XI. LEGAL CONSENT
A. The Contractor affirms that the Contractor is either more than 18 years of age and is of sound
mind and possess a personal bank account, and the Contractor is competent to sign this release on the
Contractor's own behalf.
XII. ENTIRETY
A. This Agreement contains the full and complete understanding between the parties and
cannot be modified except by the express written agreement of both parties. The Contractor shall not
divulge or make known to any person or entity any matters of a confidential nature pertaining to AK
Film's business and/or the Picture. This Agreement shall be governed by and construed under the laws
of Pakistan

7. XIII. FINALIZATION
The Contractor agrees to execute, acknowledge and deliver to AK Film any and all agreements and/or
other documents necessary or expedient, to AK Film's judgment, to carry out and effectuate the
purposes and intent of this Agreement.
The Contractor has read, understands and agrees to the above Agreement and is fully familiar with all
of its contents, the meaning and effect thereof and, intending to be legally bound, the Contractor has
signed this Agreement.
