CONTRACTELE SWAP
3.1. Contractele SWAP - concept
Contractele swap reprezintă acorduri încheiate pe un anumit termen, între doi
operatori financiari prin care cei doi efectuează un schimb reciproc de active financiare.
Contractele swap au început să fie utilizate în anii ’80 și au la origini contractele de credit
paralele și ”back-to-back”. (Abken, 1991)
Literatura de specialitate cuprinde o serie de opinii privind încadrarea swap-ului fie în
categoria instrumentelor financiare derivate, fie a produselor sintetice ale pieței de capital
(Nițu, 2002). Alți autori (Gaftoniuc, 1997) consideră că swap-ul reprezintă o operațiune
financiară, nu un contract sau un instrument în sine. Legislația pieței de capital din România
(Legea 297/2004) încadrează swap-ul în categoria instrumentelor financiare, însă nu ca
instrument derivat, în timp ce reglementările Băncii Naționale a României privind
instrumentele financiare derivate cu care pot desfășura activități băncile comerciale
(Normele nr. 10/2002) privesc swap-ul ca instrument financiar derivat.
În opinia noastră, contractele swap reprezintă instrumente financiare derivate, prin
prisma faptului că presupun schimburi ce vor avea loc în viitor și , de cele mai multe ori,
valoarea lor se bazează pe valoarea activului suport la o dată viitoare.
În cadrul unui contract swap participanţii schimbă riscurile şi avantajele aferente
unor obligaţii contractuale de plată variabile, cu riscurile şi avantajele aferente unor
obligaţii contractuale de plată fixe. Astfel, contractele swap pot fi considerate instrumente
financiare prin care se pot schimba condiţiile de plată a unor obligaţii, contribuind la
restructurarea portofoliului investitorilor pieţei financiare.
Contractul swap are o existenţă separată faţă de contractele economice ce stau la
baza operaţiunii de schimb reciproc, cei doi parteneri swap neputând fi şi parteneri în aceste
contracte economice.
Deoarece este un contract nestandardizat, contractul de schimb nu poate fi
tranzacţionat pe piaţa bursieră ci numai pe piaţa OTC prin negociere individuală între
parteneri privind condiţiile şi clauzele contractuale. Datorită amplorii pe care au luat-o

2. tranzacţiile swap, începând din anul 2001, bursa de la Londra şi ulterior şi bursa de la
Chicago au pus la punct contracte standardizate de tip futures şi opţiuni swap.
Una din cele mai importante probleme ridicate de contractele swap este legată de
evaluarea riscurilor la care este supusă fiecare parte contractuală. Principalele riscuri
asociate unei operațiuni swap sunt riscul de neplată, riscul de lichiditate și riscul de
dobândă. Evaluarea primelor două categorii de riscuri presupune o bună cunoaștere a
partenerului de schimb ceea ce poate fi o operațiune dificilă și cu costuri ridicate. Analiza
riscurilor unui contract swap poate fi facută pornind de la câteva trăsături caracteristice ale
acestora:
sunt derivate extrabilanțiere
sunt tranzacționate pe piața OTC
sunt flexibile și personalizabile
nu necesită plata unei prime
operațiunea are la bază un singur contract
dobânzile care se schimbă nu sunt negociabile
presupun obligații reciproce și condiționate
nu presupun transferul nominalului (cu excepția swap-ului valutar) și deci nici
riscul de neplată a acestuia
swap-ul valutar implică în plus și riscul cursului de schimb
Literatura de specialitate nu a ajuns la un numitor comun în ceea ce privește
elaboarea unui model de evaluare a riscurilor generate de operațiunile swap. În ceea ce
privește însă evaluarea valorii unui contract swap, aceasta poate fi calculată pornind de la
ipoteza că, în esență, o operațiune de swap presupune schimbul unei obligații cu rată fixă cu
o obligație cu rată variabilă. Pentru o instituție financiară ce efectuează o operațiune swap,
valoarea schimbului este egală cu diferența dintre valoarea obligației fixe și a celei variabile.
În momentul negocierii contractului, valoarea swap-ului este nulă, ea putând deveni ulterior
pozitivă sau negativă, în funcție de evoluția comparativă a celor două rate de dobândă.
Clasificarea contractelor swap poate fi făcută în funcție de piața pe care se încheie
tranzacția și de tipul de activ care se schimbă astfel:

Contractele swap sunt utilizate pe o scară largă de bănci care se manifestă pe
această piaţă fie în calitate de intermediari, fie în calitate de parteneri. Cele mai utilizate
forme de tranzacţii swap sunt cele asupra ratei dobânzii şi asupra valutei. O categorie aparte
a contractelor swap o reprezintă derivatele de credit ce au la bază operaţiuni swap. De
asemenea, ele pot fi utilizate şi in diverse combinaţii cu alte instrumente financiare derivate,
dând naştere altor tipuri de tranzacţii swap.
3.2. Tipologia şi mecanismul contractelor swap
A. Contractele swap pe acțiuni
În ultimele decenii sfera de cuprindere a contractelor swap s-a extins dincolo de
schimbul de împrumuturi în valute diferite sau de rate ale dobânzii către schimbul de
produse primare ale pieței de capital – acțiuni, obligațiuni – sau chiar de produse sintetice
ale acesteia. Au apărut astfel contractele swap pe randamentul acțiunilor (equity swap) ce
presupun schimbul de randamente între două acțiuni sau indici bursieri sau între
randamentul unei acțiuni sau al unui indice bursier și o rată fixa sau variabilă de dobândă.
În funcție de originea fluxurilor de numerar ce se schimbă între cele două părți
principalele trei tipuri de contracte swap pe acțiuni sunt:

4. schimbul dintre randamentul unei acțiuni (pachet de acțiuni, sau indice
bursier) și o rată fixă a dobânzii;
schimbul dintre randamentul unei acțiuni (pachet de acțiuni, sau indice
bursier) și o rată variabilă a dobânzii;
schimbul dintre randamentul unei acțiuni (pachet de acțiuni, sau indice
bursier) și randamentul unei alte acțiuni (pachet de acțiuni, sau indice
bursier).
Contractele swap pe acțiuni prezintă o serie de caracteristici specifice în comparație
cu contractele swap pe rata dobânzii sau pe valute. O primă astfel de caracteristică este
incertitudinea valorii fluxurilor de numerar legate de acțiunile schimbate. În cazul
contractelor swap pe rata dobânzii valoarea plăților variabile este stabilită la momentul
încheierii contractului și plătită la scadență, însă în cazul swap-ului pe acțiuni valoarea
randamentului acțiunilor suport nu este cunoscută decât în momentul scadenței. O a doua
diferență majoră între cele două tipuri de contracte swap este aceea că, așa cum vom ilustra
prin exemplul următor, randamentul acțiunilor poate fi negativ ceea ce va presupune pentru
una din părți atât plata diferenței de randament cât și a ratei fixe a dobânzii. Acesta este un
risc pe care ambele părți contractuale trebuie să fie dispuse să și-l asume.
B. Swap pe rata dobânzii
Contractele swap pe rata dobânzii se bazează pe estimările diferite ale celor doi
parteneri privind evoluţia dobânzii la instrumentele de credit emise sau deţinute. Astfel,
emitentul unor obligaţiuni cu rata a dobânzii fixă mizează pe diminuarea ratei dobânzii în
perioada următoare în timp ce emitentul unor obligaţiuni cu rata a dobânzii variabilă
consideră că rata dobânzii va creşte peste nivelul ratei fixe a celuilalt partener. Cei doi au
posibilitatea să încheie un contract swap prin care:
Emitentul titlurilor de credit cu dobândă fixă va plăti dobânda fixă şi va încasa de
la partenerul său dobânda variabilă;
Emitentul titlurilor de credit cu dobândă variabilă va plăti dobânda variabilă şi va
încasa în schimb o dobândă fixă.
Dobânda variabilă la care se referă contractele swap este de obicei o rată a dobânzii
de referinţă (LIBOR, EURIBOR). Între cei doi parteneri se interpune o bancă comercială

5. specializată în operaţiuni swap ce joacă rol de intermediar. În situaţia în care unul din clienţii
băncii doreşte să încheie un contract swap pe rata dobânzii şi nu găseşte un partener
corespunzător, banca poate acţiona ea însăşi în calitate de partener al clientului său. Riscul
asumat de bancă prin această operaţiune va fi acoperit pe piaţa futures sau pe piaţa
bursieră swap.
Ca şi în cazul altor tipuri de contracte swap (swap-ul pe randament total) schimbul de
active între cei doi parteneri poate fi asimilat cu vânzarea de titluri de credit cu venit fix şi
cumpărarea de titluri de credit cu venit variabil de către una dintre părţi şi efectuarea
operaţiei inverse de către celălalt partener, fără ca să presupună însă transferul efectiv al
titlurilor între cei doi. Costurile operaţiunii vor fi reprezentate de comisionul intermediarului
la care se pot adăuga pierderile ce pot surveni în cazul în care rata dobânzii evoluează în
sens contrar aşteptărilor unuia dintre parteneri.
Schematic, derularea operaţiunii swap cu implicare unei bănci comerciale în calitate
de intermediar are loc astfel:

Pentru a exemplifica fluxurile de numerar ce se stabilesc între cei doi parteneri
pornim de la următoarea situaţie:
Societatea A a emis un împrumut obligatar de 100.000 lei cu o dobândă fixă de 12%
pe an şi o durată de 5 ani, iar societatea B a emis un împrumut de aceeaşi valoare şi pe
aceeaşi durată dar cu o rată a dobânzii variabilă LIBOR+2%. Pentru a se proteja împotriva
riscurilor pe care le anticipează, dar şi pentru a putea profita de pe urma unei evoluţii
favorabile a ratei dobânzii, cei doi se vor adresa unei bănci comerciale specializate şi vor
încheia un contract swap pe rata dobânzii. Conform acestui contract primul emitent va vărsa
trimestrial celui de-al doilea o rată a dobânzii egală cu dobânda LIBOR de la sfârşitul fiecărui
trimestru pentru depozite pe trei luni la care se adaugă un procent de 2% şi va încasa de la
acesta, tot trimestrial, o dobândă fixă de 12% pe an. În primul an, fluxurile de numerar

Evoluţia ascendentă a ratei variabile a dobânzii l-a avantajat pe emitentul B care a
obţinut în primul an de contract un profit de 250 lei în detrimentul emitentului A. În cazul în
care această evoluţie va continua şi în următoarea perioadă, există posibilitatea ca
emitentul A să dorească să renunţe la contractul swap. În această situaţie el se va adresa
băncii comerciale care va căuta o altă parte interesată să preia contractul sau îşi va asuma
ea însăşi rolul de partener. Emitentul A este îndreptăţit la o despăgubire echivalentă cu
actualizarea încasărilor viitoare la care renunţă. Contractul swap rămâne valabil până la

7. scadenţa de cinci ani sau poate fi modificat de banca comercială care va propune
partenerului rămas în contract un alt aranjament ce va ţine cont de evoluţia prognozată a
ratei dobânzii variabile.
C. Swap pe devize
Contractele swap pe devize reprezintă aranjamente prin intermediul cărora doi
parteneri schimbă între ei datorii exprimate în monede diferite pentru fiecare parte. Din
punct de vedere al mecanismului de funcţionare, diferenţa faţă de contractele swap pe rata
dobânzii este că în calculul plăţilor ce vor fi efectuate între părţile contractuale intervine şi
cursul de schimb dintre cele două valute. Contractul se încheie tot prin intermediul unei
bănci comerciale cu rol de intermediar, iar la sfârşitul acestuia restituirea capitalului se face
la un curs de schimb stabilit în avans.
Operaţiunile swap pe valută presupun parcurgerea a trei etape:
schimbul iniţial de capital;
schimbul de dobânzi pe parcursul contractului;
schimbul de capital la maturitate.
Schimbul iniţial de capital se face la un curs stabilit ce are la bază fie cursul la vedere
dintre cele două monede, fie un curs la termen. Acest schimb poate presupune un transfer
efectiv de fonduri, sau poate fi pe bază noţională, fictivă, fără să necesite mişcări fizice de
fonduri între parteneri. Tot în această primă etapă se stabilesc şi ratele dobânzilor ce vor fi
plătite în cea de-a doua etapă între parteneri. La maturitatea contractului, sumele iniţiale de
capital sunt din nou schimbate între parteneri la un curs stabilit încă de la încheierea
contractului.
Utilizarea contractelor swap pe devize permite reducerea riscului valutar şi în acelaşi
timp dă posibilitatea obţinerii de profituri financiare prin specularea ratei dobânzii pe pieţe
externe pe care nu există posibilitatea obţinerii de împrumuturi directe, dar şi prin
specularea ratei de schimb valutar între două monede.
Pentru a exemplifica modul de desfăşurare şi avantajele unei operaţiuni swap pe
devize considerăm cazul a doi agenţi economici situaţi în ţări diferite. Societatea A, din
Franţa, doreşte să facă un împrumut în yeni, în timp ce societatea B, din Japonia este
interesată de un împrumut în euro. Datorită restricţiilor impuse de piaţa japoneză, firma
franceză nu va avea acces direct pe această piaţă, iar pentru firma japoneză un împrumut

8. extern in euro ar presupune costuri mari. De aceea, cei doi parteneri vor alege să se
împrumute fiecare în moneda naţională, urmând ca apoi să încheie un contract swap.
Cursul la vedere este de 1 euro = 160 yeni. Firma franceză va împrumuta 100.000
euro cu o dobândă de 8% pe an, iar firma japoneză 160.000 yeni, cu o dobândă de 7% pe an.
Maturitatea celor două împrumuturi este de 3 ani.
La momentul încheierii contractului swap, între cei doi parteneri are loc un schimb de
capital ce are la bază cursul valutar la vedere din acel moment. Firma franceză livrează
100.000 euro, iar firma japoneză 160.000 yeni.
Timp de trei ani, la termene stabilite prin contract, ce pot fi anuale, semestriale sau
trimestriale, cele două părţi contractuale vor proceda la plata reciprocă a dobânzilor. Firma
franceză va plăti o dobândă anuală de 11.200 yeni, iar firma japoneză o dobândă de 8.000
euro.
La expirarea celor trei ani de contract, între cele două firme va avea loc un nou
schimb de capital, de această dată în sens invers: firma franceză va livra 160.000 yeni, în
timp ce firma japoneză va livra 100.000 euro.
În acest fel, cele două firme au avut posibilitatea să se împrumute în monedă străină
evitând riscul de schimb valutar şi având acces la pieţe financiare străine cu costuri reduse.
Contractele swap pot fi utilizate şi pentru diversificarea surselor de finanţare ale unei
firme, păstrându-şi în acelaşi timp rolul de diminuare a riscului valutar. De exemplu, o
societate comercială americană poate emite un împrumut obligatar în euro în paralel cu
încheierea unui contract de împrumut cu o bancă americană în dolari. Astfel, firma va
schimba la încheierea contractului swap cu banca datoria sa în euro faţă de creditorii
obligatari cu o datorie în dolari faţă de bancă. Pe parcursul derulării contractului ea va primi
de la bancă sume în euro pe care la va plăti creditorilor săi şi va plăti băncii dobânzi în dolari.
La finalul contractului firma îşi va recupera suma în euro pe care o va rambursa investitorilor
în obligaţiunile sale şi plăti valoarea împrumutului în dolari băncii. Riscul de schimb valutar a
fost transferat astfel băncii comerciale. În general, băncile participă la operaţiuni swap
valutare de pe ambele poziţii ale aranjamentului, în sensul că implicarea în calitate de
vânzător swap într-un contract cu o companie este însoţită de asumarea rolului de
cumpărător swap într-un alt contract cu scopul de a diminua expunerea bancară la risc.
O altă utilizare ce poate fi atribuită contractelor swap valutare este aceea de
protejare a portofoliului unui investitor. În cazul în care un investitor de portofoliu deţine

9. titluri de credit pe termen lung exprimate în monedă străină, constată o depreciere a
cursului de schimb valutar dar nu doreşte să renunţe la activele deţinute, el are posibilitatea
unui aranjament swap care să îi permită schimbarea unei sume echivalente cu dobânzile
încasate în urma deţinerii titlurilor de credit cu o sumă în moneda naţională, la un curs fix
sau variabil, aplicat la valoarea monedei naţionale din momentul încheierii contractului
swap. Şi în acest caz partener în contract va fi o bancă comercială.
Aşadar, contractele swap pe devize pot fi utilizate în scopul acoperirii riscului de
schimb sau în scop speculativ, pentru obţinerea de fonduri cu costuri reduse sau de pe pieţe
restrictive din punct de vedere al accesului sau pentru schimbarea devizelor în cadrul
fluxurilor de încasări şi plăţi.
