2. TALENT AGENT, TALENT MANAGER AND
ATTORNEY ROLES
➤ Talent Manager: Oversees the daily grind of an artist(s) including business affairs,
long term plans, and general advice on professional matters.
➤ Examples: Booking hotel rooms, securing transportation, and assuring safe travel
of members and equipment
➤ Talent Agent: Individual or company that works for compensation to obtain or attempt
to obtain arrangements or commitments for artists.
➤ Example: Negotiating terms/contract for a gig
➤ Entertainment Attorney: Licensed attorney eligible to draft and negotiate legal
contracts for artists.
➤ Examples: Merchandising and CD contracts

3. ACTIONS FOR CLYDE
➤ You should inform Snake that he should research the difference between manager
and agent and understand that they cannot be the same individual in the state of
Florida.
➤ Then speak or meet with Nick and the other band members about hiring an agent or
agency to support them in negotiating the contract for the “Save the Gulf” festival.
➤ Then have another separate meeting with Nick, your band mates and a lawyer to
discuss the offer to sell merchandise at the concert as well as the offer for the
publication of a CD in the future.

4. ACTIONS FOR SNAKE
➤ Research the extent of what a manager does and what that means for his future
planning and scheduling (if he would want to continue as talent manager).
➤ Proceed in assisting the loading and unloading equipment and making STRICTLY
informational calls to the venue director in order to assemble details to pass onto the
agent/agency and attorney.
➤ He should not in any way attempt to negotiate any contracts as that can be a
violation of Florida law.
➤ Any information changes should be forwarded to the agent and attorney.

5. HIRING AN ATTORNEY
➤ Attorneys in the entertainment industry can assist artists in many legal situations and
are essential to any band or artist that is gaining popularity.
➤ Utilize the free consultation wisely and do as much inquiring as you can before you
pay their attorney.
➤ Make sure they are the right fit for Wonderboys and that they have your best
interest at heart.
➤ They also may be able to connect you with further industry professionals to further
your careers down the road.

6. ADVICE TO CLYDE
➤ You were one hundred percent in the right to have a bad feeling about Snake taking
on agent responsibilities.
➤ Had the contracts been negotiated by Snake on behalf of the band, action could
have been taken against him in the form of cease and desist, commission
forfeiture and possible fines.
➤ A person acting as an agent must be licensed in the state of Florida unless they are
operating for themself, a family member or an individual artist.
➤ In this case, a band like Wonderboys is considered multiple artists so their agent
must be licensed.

7. OTHER ADVICE ON THE SITUATION
➤ When hiring an agent/agency and attorney make sure they are staying up to date on
all information and any changes to that information.
➤ Snake should be communicating with them on those details.
➤ Keep Snake aware that his calls with the concert director and venue should be strictly
information based and he is not permitted to negotiate contracts on behalf of the
band.
➤ Notify him that this would be a violation of state law.
