RATIONALE FOR SELECTING A PARTICULAR IMPLEMENTING
AGENCY
The lack of standardised reporting procedures, readily available and
transparent information and easily comparable benchmarks compound
the complexity of identifying the right implementing partner - a severe
problem for companies that require information about the NGO for their
own compliances. But legal compliance, responsible governance and
financial sustainability, whilst important criteria, are not sufficient.
There is a need to consider additional factors and look at a ‘good fit’
with an implementation agency, taking into account the dynamic
nature of their work.
The implementing agency is preferred since there is easy availability
and access to the implementing agency (in the target geography working
on identified sector and issue) who can work towards the company’s
objective.
Further,implementing agency has lower costs due to their concentrated
focus in pursuing development activities, cumulative time spent on the
field, cost of human resources deployed, and general operational
efficiencies. Fixed costs are usually averaged down as the implementing
agency usually tries to tap multiple funding sources, including
government assistance.
Further, the project management know-how is sufficient and in-depth
domain knowledge of development issues is not expected.

AGREEMENT
This AGREEMENT is made on the 4th day of October 2021 (Effective
Date):
BETWEEN
ABC Ltd. registered under Companies Act, 2013 and having its
registered office at Connaught Place, New Delhi (hereinafter referred to
as ABC OR the First Party) which expression shall, unless excluded by
or repugnant to the context, be deemed to include its successors,
administrators, heirs, assigns and nominees of First Party
AND
XYZ Foundation, an NGO registeredunder section 8 of the Companies
Act, 2013, having its Principal office registered office at New Friends
Colony, New Delhi, (hereinafter referred to as NGO OR the Second
Party), which expression shall, unless excluded by or repugnant to the
context, be deemed to include its successors, administrators, heirs,
assigns and nominees of Second Party.
The First Party and the Second Party shall hereinafter individually be
referred to as a “Party” and collectively as the “Parties”.
WHEREAS pursuant to Section 135 of the Companies Act, 2013 (“Act”)
read with the Companies (Corporate Social Responsibility Policy) Rules,
2014 (“Rules”) each company that falls under any of the specified
criteria is required to adopt a corporate social responsibility policy
(“CSR Policy”) and shall endeavour to spend a minimum of 2% (two per
cent) of its average net profits during 3 (three) immediately preceding
financial years on CSR activities as prescribed in Schedule VII to the
Act, as amended from time to time (“CSR Activities”).
WHEREAS the First Party has formed a CSR committee in terms of
Section 135 of the Act, (“CSR Committee”) to - (i) formulate and amend,
from time to time, the CSR Policy; (ii) recommend and undertake such
CSR Activities as approved by the Board of Directors of the First Party;
(iii) prepare and recommend the amount of expenditure required to be
incurred on CSR Activities; (iv) monitor the CSR Policy, and
implementation of CSR Activities in terms of; and (v) prepare and
submit reports on the progress of CSR Activities.

WHEREAS pursuant to the recommendation of the CSR Committee,the
First Party has adopted the ABC Ltd. Policy on Corporate Social
Responsibility (“ CSR Policy”), a copy of which has been provided to the
Second Party; The ABC Ltd. CSR Policy is in line with the CSR objectives
set under Schedule VII of the Companies Act, 2013.
WHEREAS ABC, under its Corporate Social Responsibility activities,
has agreed for financing the below mentioned Project (s) of the Second
Party, an organisation which has the necessary infrastructure,
expertise and experience required for carrying out conducting and
providing facilities for the Project “Girls Empowerment through
Education”. The Project aims to put one million girls into school, and
by 2016, the aim is to improve access and quality of education for 1.05
million children in districts with the worst gender indicators in India.
Subject to the terms and conditions in this Agreement, the financial
contribution from ABC to the said Project will be Rs. 76 lakhs (Rupees
seventy-six lakhs only).
NOW, THEREFORE, GOOD AND SUFFICIENT CONSIDERATION, IT IS
HEREBY AGREED BETWEEN THE PARTIES AS FOLLOWS:
1. Commencement and Validity of the Agreement
1.1 This Agreement shall commence on the Effective Date and
shall remain valid for a period of three years “Term”).
1.2 This Agreement shall stand expired by the efflux of time on the
last day of the term unless renewed in writing by the
authorised representatives of the Parties.
2. Scope of Agreement
2.1. The Project shall be implemented by the Second Party in
accordance with the Project Implementation Plan and Scope
of work as set out in Schedule I.
2.2. No variation in the Project implementation plan as detailed in
Schedule 1 shall be allowed to the Second Party unless
otherwise agreed to in writing by ABC in the form of an
amendment.
2.3. ABC shall not provide additional funds in respect of work done
outside the scope of work and time schedule plan and takes
no responsibilities whatsoever for such work.

3. Contractual Obligations
3.1. The Second Party shall not be entitled to payment of any
amount or by way of compensation for termination of the
Agreement for the causes mentioned above under clause 22.
3.2. The Second Party shall submit full accounts of the Project in
writing, taking into account all receipts and payments and
commitments incurred for the purposes of the Agreement and
the termination. ABC or its representative may carry out an
audit of the Project along with the expenditure of accounts.
3.3. ABC shall reimburse funds to the Second Party to meet
approved or agreed expenses of the programme and
commitments related to the said Project up to date of
termination.
3.4. In the event of excess disbursement to the Second Party, ABC
shall demand and recover from the Second Party such excess
disbursements and the Second Party would be liable to refund
the excess disbursements within a period of 30 days of
ascertainment of the final amount.
4. Evaluation
4.1. ABC shall, at its discretion, undertake or cause to be
undertaken, evaluation of the impact and cost-effectiveness of
the Project. Such evaluation shall be carried out during the
tenure of the Agreement.
4.2. The Second Party shall, when required, give First Party or its
representatives reasonable cooperation and access to its
records in connection with the Agreement.
5. Staff And Personnel
5.1. The Second Party shall only engage qualified and skilled staff,
personnel, employees, agents and any persons, associations,
institutions etc. The Second Party shall be fully responsible
for their salaries and payments.
5.2. The Second Party shall be responsible for all acts and
omissions of its staff, personnel, employees, agents and any
persons, associations, institutions etc., engaged by the
Second Party whether or not in the course of implementing
the Project.

5.3. This Agreement shall not be construed as creating a
relationship of employer and employee between the First
Party and any staff, personnel, employees, agents and any
persons, associations, institutions etc. engaged by the
Second Party whether or not in the course of implementing
the Project.
6. Intellectual Property
6.1. All Intellectual Property provided by the First Party to the
Second Party shall remain the exclusive property of First
Party. The Second Party shall only use such intellectual
property in the course of and in connection with the carrying
out of its obligations under this Agreement for the purposes
of this Agreement with the prior written permission of First
Party.
6.2. “Intellectual Property” means and includes names,
trademarks, trade names, trade dress, service marks,
insignias, designs, works of authorship, inventions, whether
patentable or not, trade secret or confidential information,
and any other intellectual and/or industrial property in all
goods, services and material including all documents,
reports, charts, drawings, databases, products, software,
source codes, models, samples, systems, slides, tapes,
graphs, notes, specifications, processes, tools and
methodologies.
6.3. Any intellectual property generated, including inventions
made in performance of the Project under this Agreement, or
any patent granted on such invention, shall be owned by the
Second Party.
6.4. The Second Party shall be free to publish the articles/
research arising from the skill development programmes in
any Journals / Conferences / other modes of publication.
There should however be an acknowledgement of the support
received from the first Party as applicable.
7. Conflict of Interest
7.1. Neither the Second Party, its personnel or agent shall engage
in any personal business or professional activities, either
during the course of or after the termination of this Agreement,

which conflict with or could potentially conflict with the object
of the Project.
7.2. Subject to clause 7.1 above, the Second Party shall notify ABC
immediately of any such conflict and suggest / take immediate
remedial measures under information to ABC to ensure that
the Project is completed as per the terms and conditions
agreed upon.
8. Mode of Payment, Funds requisition and Disbursements
ABC will pay to the Second Party on the basis of the agreed amount
as follows:
8.1. Payment Plan for all programmes shall be as under:
8.1.1. At the time of commencement of the Project and for
the first quarter, 10% of the agreed amount shall be
released as Mobilisation Advance.
8.1.2. The subsequent amount 1st instalment of 40% shall
be released by ABC on application by the Second
Party and submission of the first progress
report/pre-identified modalities if any of the Project
subject to satisfactory completion/implementationof
the Project till such time and proper utilisation of the
funds.
8.1.3. The balance amount 2nd instalment/final of 40%
shall be released by ABC on completion of the
project/programme upon application made by the
Second Party and upon submission of the FINAL
progress report along with Fund Utilisation
Certificate ensuring proper utilisation of the funds of
the Project; subject to certification for satisfactory
completion/ implementation of the Project, till such
time.
8.1.4. Balance 10% of the project/programme cost shall be
released to the Second Party subject to completion of
the Project to the total satisfaction of ABC, along with
details of all beneficiaries and compliance to Clause
8.1.3 of the Agreement.
9. Funds Requisition
9.1. Funds requisition for the instalment amount shall be
presented to ABC by the Second Party and shall contain
details of expenditure to be incurred by the Second Party

during the period in accordance with the Schedule of Amount
disbursements.
9.2. All Funds requisitions shall be endorsed as follows:
“Certified that the amounts mentioned in this Funds
requisition Application are required wholly and necessarily
for the purpose of The Project “Girls Empowerment through
Education” and the same has not been claimed before from
ABC or any other entity. It is also certified that this Project
has not been executed earlier ”.
9.3. The Second Party’s authorised representative shall sign all
Funds requisitions. Any Funds requisitions if not presented
in accordance with the above shall be liable to be rejected.
10. Disbursements
10.1. The funds disbursements shall be made in Indian Rupees.
10.2. The Second Party will submit the Bank account
number/details of SBI or ICICI or HDFC for release of funds
through e-banking.
10.3. Funds requisition shall be submitted by the Second Party in
accordance with the specific instructions as given above.
10.4. Second Party will submit fund utilisation statements along
with the programme progress report, as per the specific
instructions given above.
10.5. Approved funds shall be disbursed by ABC as per the
Schedule of Amount disbursements, only if ABC is satisfied
with the progress of implementation of the Project as per the
Project implementation plan i.e., implementation review and
monitoring plan.
10.6. In the event the implementation of the Project is not as per
the scope of work and targets, ABC shall reserve the right to
withhold or reduce the amount instalment amount applied
for by the Second Party in the Funds Requisition Application
or stop further disbursements of Amount instalments to the
Second Party . Release of the amount instalments shall be
made upon remedying of the unsatisfactory work and on

resolution of the outstanding queries by the Second Party to
the satisfaction of ABC .
10.7. In the event that the cumulative disbursements made to the
Project are in excess of the expenditure actually incurred in
terms of the Project Implementation Plan, ABC shall deduct
the excess amount from future instalments disbursed to the
Second Party.
11. Reporting
11.1. The progress report of the programme/project will be
submitted by the Second Party prior to release of each
instalment i.e., Monthly progress report of the programme
along with fund utilisation certificate and copy of Invoice
wherever applicable of the programme of the instalments
already released. The Quarterly progress report has to be
supported with photographs/video of the Project.
11.2. The Second Party will submit the Final Comprehensive
Completion Report of the programme/project on completion
of the programme incorporating scope of work met, benefits
achieved, financial details mentioned and recommendations
made by the Second Party along with photographs, videos etc.
11.3. At the end of the program, to assess the impact of the
program funded by ABC, a Report clearly indicating activities
undertaken and objectives attained and details of the number
of beneficiaries of the Project providing their Names, age, sex,
category as SC/ST/OBC/ GEN/PHY be submitted to ABC by
Second Party.
11.4. The progress of the Project and proper implementation will be
inspected by the ABCs CSR Co-ordinating team in the form
of visits/surprise visits.
12. Accounts, Records and Audit
12.1. The Second Party shall maintain all accounting records and
documents in accordance with the instructions given. Non-
compliance with the instructions by the Second Party will be
a ground for termination of the Agreement.
12.2. ABC or its representatives /auditors, on giving reasonable
notice to Second Party, may visit the Second Party offices to

review and audit the accounts and records and the Second
Party shall co-operate with such teams during the review,
provide access to accounts and records pertaining to the
Project whether on computer or in manual form, provide
copies of accounts and records, provide oral or written
explanations of the accounts and records as may be
reasonably required by ABC.
12.3. If ABC finds any errors or inaccuracies in the Accounts &
Records of the Second Party, the Second Party shall, within 30
days of a written demand served by ABC, carry out suitable
rectification in its Accounts & Records and inform ABC of the
same.
12.4. Any information/document/record/details requested by ABC
would be promptly attended by Second Party and supplied
within a reasonable time frame of 15 days.
12.5. Second Party will submit Income Tax Exemption certificate in
Form 80 G /35AC Certificate to ABC prior to release of ABC’s
Contribution for the said programme. If 80G /35 AC
Certificate is not applicable to any Company/Organisation Tax
will be deducted at source as per applicable Income Tax Act
prior to release of ABC’s Contribution for the said programme.
ABC will, however, provide the Tax deduction certificate for the
same.
13. Annual audited accounts of the Project
13.1. Second Party will submit annual audited accounts of the
Project, each bearing original signatures, along with an
auditor’s certificate within three months of the closure of the
financial year to ABC for each of the financial years covered
by the Project. The end of the financial year for the Project
shall be 31st March every year.
13.2. The annual accounts of the Project shall be signed by the
Authorised person of the Second Party and be certified by
Practicing Chartered Accountant of an independent firm of
professional auditors. This account should bear a certificate
from the auditors confirming the total receipt and expenditure
in respect of the amount and also to the effect that the amount
was accepted in accordance with the terms of the Agreement.

14. Refund of Unutilised/Unspent Funds
14.1. Any unspent or unutilised amount (disbursed earlier by ABC
for the Project to the Second Party), shall on completion of the
Project, be refunded to ABC within 30 days of the completion
of the Project or termination of the Agreement, whichever is
applicable.
15. Equipment/Fixed Assets
15.1. Any non-consumable items of equipment/materials
contributed or financed by ABC for the Project shall be
utilised for the objective for which it is given and shall not be
transferred/ disposed-off by the beneficiary except with
express permission/directions of ABC.
15.2. In case of purchase of a vehicle to be implemented under the
CSR Programme, the said vehicle shall be Hypothecated to
ABC for a period of five years after the purchase and the
Second Party will submit the Invoice, registration certificate
of the RTO and the Insurance certificate of the vehicle duly
certified. The vehicles registration certificate will be required
to be endorsed from RTO to the effect that the vehicles are
not to be sold, transferred without the permission of ABC.
16. Liabilities
ABC shall not be liable for:
16.1. Any payments of claims by employees of the Second Party.
16.2. Discharging any financial commitments made by the Second
Party.
16.3. Any suit on account of demands for infringement of any laws
by the Second Party.
17. Coordination Team
17.1. The ABCs CSR Co-ordinating team for day to day activities
and implementation of the programme and certification and
release / of payments will be Ms. CFO, Mr. Director, and Ms.
Managing Director.
17.2. Second Party shall appoint a coordinator to coordinate
various activities under this programme and coordinate to
arrange for periodical inspections and monitoring of the

program to the third Party and ABC Officials through its
coordinator, as it may identify.
17.3. Second Party shall provide name and telephone number of
contact persons to ABC, who would be responsible for the
implementation and coordination of the program. Second
Party shall also inform of their website address and email id.
18. Instructions and Obligation of Second Party
18.1. The Second Party shall develop, implement, execute,conduct,
coordinate and carry out, from time to time, one or more
Project (s) listed in Schedule I (“Project”) as CSR Activities in
accordance with this Agreement In case more than one
Project is being developed, implemented, executed,
conducted, coordinated and carried out by the Second Party,
or in case the same Project is being developed, implemented,
executed, conducted, coordinated and carried out in more
than one geographic area, Schedule I shall be prepared
separately for each individual Project and marked as
Schedule I A, Schedule I B etc. No variation in the Project
scope shall be made by the Second Party unless previously
agreed to in writing by First Party.
18.2. Any Funding for a Project shall be utilised in an efficient and
judicious manner and only for the objective for which the
Funding is given (as specified in Schedule I), and such
Funding shall not be diverted, transferred or used for any
other purpose without the prior written consent of First Party
(or any of its Group Company referred to in Schedule I, as the
case may be). Further, Second Party shall not use more the
5% of the Funding amount towards administrative cost. Any
expense towards administrative work for a Project should not
cross beyond 5% of the Funding amount.
18.3. Second Party should inform every event to ABC Corporate
Office. For ensuring proper brand image and visibility of
ABC’s contribution, all such events will be participated and
inaugurated by senior management persons of ABC. Second
Party shall display banners in the Schools/Project sites
highlighting ABC’s contribution along with ABC’s name and
logo with details of contribution.

18.4. Wherever possible, the Second Party may consider giving wide
publicity to the assistance provided by ABC under ABC’s
Corporate Social Responsibility programme not only in their
own internal publications, newslettersbut also in local dailies
/ any other mass communication channel etc. without any
liability/ cost overheads to ABC on this account.
18.5. During the implementation of any activity, the expenditure
on photographs and videography and other related material
should be borne by the Second Party, and no extra payment
on this account shall be made by ABC.
18.6. No switch over/ change of approved program from one to
another will be permitted.
19. Indemnity
19.1. The Second Party hereby agrees to indemnify ABC, its
representatives, administrators and properties from and
against all action, demands, proceedings, prosecutions,
attachments, and the like arising out of its liabilities and all
charges, taxes, etc.
19.2. Second Party hereby undertakes through the signing of this
Agreement that it has not received and will not receive any
contribution/ funding in cash towards the Project from any
other party during the relevant period of the Project.
20. General Provisions
20.1. Nothing contained in this Agreement shall be construed or
have effect as constituting a relationship of employer and
employee or principal and agent between ABC and Second
Party.
20.2. The Second Party shall be responsible for all acts and
omissions of its staff and any persons, associations,
institutions engaged by the Second Party whether or not in the
course of implementing the Project and for the health, safety
and security of such persons or entities and their property.
21. Amendment
21.1. In case any amendments are required to any part of the
Agreement, the Second Party shall agree to incorporate such
amendments and implement the same in the field. The

Agreement shall be amended by written mutual consent of the
parties to the Agreement. The amendments shall be
documented and allotted a distinctive number <Amendment
No>; <Date>.
21.2. No amendment, modification, alteration or enlargement of this
Agreement or its Schedules shall be valid or binding unless it
is in writing and signed by the duly authorised representatives
of the Parties.
22. Termination
ABC may terminate this Agreement after giving the due notice of 30
days to the Second Party and on finding the non-compliance of the
notice for improvement given by the Second Party. However, such
reasons for termination may be related in terms of the following:
22.1. In the event of unsatisfactory performance of the Project by
Second Party, ABC may, at its sole discretion and at any time,
terminate the Agreement and inform the Second Party of its
decision in writing which shall be final and binding on both
the parties. The Agreement shall stand terminatedon the date
as mentioned in the written communication.
22.2. In the event of unsatisfactory performance of the Project by
the Second Party for any reason such as incomplete work
done/ no progress in the work found/ work not being
implemented as specified under Schedule I of this Agreement
(Implementation Plan and scope of work of each Project) etc.
or non-performance of any obligation under this Agreement.
22.3. In the event when the Second Party is found involved in any
manner or form in corrupt practices or misappropriating the
funds/ Assets, which belongs to, or has been marked for the
Project activities and ABC has sufficient grounds to believe so.
22.4. In the event of violation of any of the provisions specified in
various clauses of this Agreement and Terms of Reference that
lead to a conflict which may affect the objectives of the
programme at any time of Agreement period.
23. Force Majeure
23.1. If the performance of the Agreement by either Party is delayed,
hindered or prevented or is otherwise frustrated by reason of

force majeure, which shall mean war/ hostilities, riot or civil
commotion, fire, flood or earthquake, tempest, lightning or
other natural physical disasters; restrictions imposed by the
Government or other Statutory bodies which prevents or
delays the execution of the Agreement by the Second Party any
event beyond the control of the parties to the Agreement, then
the Party so affected shall promptly notify the other Party in
writing specifying the nature of the Force Majeure and of the
anticipated delay in the performance of the Agreement. From
the date of the notification, ABC shall, at its discretion, either
terminate the Agreement forthwith or suspend the
performance of the Agreement for a period not exceeding 6
months.
23.2. If, at the expiry of the second period of suspension, the
reasons for the suspension still remain, ABC and the Second
Party shall treat the Agreement as terminated.
24. Confidentiality
24.1. The existence, nature, terms and conditions of this
Agreement shall not be disclosed by the Second Party in any
manner or form, directly or indirectly, to any person or entity
under any circumstances without the prior written consent
of First Party, except in accordance or in compliance with any
Government Acts. Any press releases in respect of the CSR
Activities, Funding or this Agreement shall only be made with
prior written consent of the First Party.
24.2. The Second Party shall not during or after the termination of
the Agreement disclose to any third party any confidential
information arising from the Agreement (other than in the
proper performance of their duties hereunder or as may be
required by a court or arbitration panel of competent
jurisdiction) except with the prior written permission of ABC.
25. Settlement of disputes
25.1. Should the Parties be unable to reach Agreement on the
meaning or interpretation of any of the clauses set out hereto
or any other matters arising out of the Agreement the matter
in dispute shall be referred to the concerned Director In-
charge for CSR of ABC whose decision in the matter will be
final.

25.2. All disputes arising between the parties shall be subjected to
the jurisdiction of the Courts in Delhi only and in no other
courts.
26. Severability
If any court of competent jurisdiction or other competent authority
holds that any provision of this Agreement is invalid or
unenforceable for any reason then the legality, validity and
enforceability of the remaining provisions of this Agreement shall not
be affected or impaired, and all remaining terms of this Agreement
shall remain in full force and effect.
27. Waiver
The failure of either Party to enforce at any time, or for any period of
time, the terms and conditions contained herein shall not be
construed to be waiver of any of the terms and conditions or of the
right to enforce each and every term and condition of this Agreement.
28. Original Agreement
This Agreement shall be executed in two original copies and both
Parties shall retain one copy each of the same.

Schedule 1
Detailed project implementation plan and scope of work of the Project
Thrust Area: Education
(i) Project: “Girls Empowerment through Education”.
(ii) Total Amount Allocated: Rs. 76 Lakhs (Rupees Seventy Six
Lakhs Only)
(iii) Objective of the Project: The Project aims to put one million
girls in to school and by 2016, the aim is to improve access and
quality of education for 1.05 million children in districts with the
worst gender indicators in India.
(iv) Areas of Operation & Implementation of the CSR Project: The
Project shall be implemented in the rural areas of Rajasthan,
Madhya Pradesh and Orissa.
(v) Scope of Work will be as follows:
Three phases are envisaged for the development of the Advocacy
Plan: Phase I – research and assessment;
Phase II – campaign design; and
Phase III – campaign roll out.
Each phase will build capacity for the next. The advocacy process
must involve several players working together at the regional,
national and sub-national levels.
(vi) Time Frame: October 2021 – March 2023. (18 months)
(vii) Payment Plan/ Schedule:
a. Mobilisation advance will be released as per payment plan.
b. 1st Instalment and 2nd Instalment to the second Party will be
released on submission of the first progress report of
implementation of the Project and fund utilisation certificate .
c. Last Instalment will be release on completion of the CSR
Project and total satisfaction of ABC of the Project
implementedas desired along with all beneficiaries details and
compliance to submission of the FINAL progress report
ALONG with FUND Utilisation certificate of the Project.

Agreement for CSR Implementation Partner / Agency / NGO | Sana Baqai

Page 1 of 17 RATIONALE FOR SELECTING A PARTICULAR IMPLEMENTING AGENCY The lack of standardised reporting procedures, readily available and transparent information and easily comparable benchmarks compound the complexity of identifying the right implementing partner - a severe problem for companies that require information about the NGO for their own compliances. But legal compliance, responsible governance and financial sustainability, whilst important criteria, are not sufficient. There is a need to consider additional factors and look at a ‘good fit’ with an implementation agency, taking into account the dynamic nature of their work. The implementing agency is preferred since there is easy availability and access to the implementing agency (in the target geography working on identified sector and issue) who can work towards the company’s objective. Further,implementing agency has lower costs due to their concentrated focus in pursuing development activities, cumulative time spent on the field, cost of human resources deployed, and general operational efficiencies. Fixed costs are usually averaged down as the implementing agency usually tries to tap multiple funding sources, including government assistance. Further, the project management know-how is sufficient and in-depth domain knowledge of development issues is not expected.

Page 2 of 17 AGREEMENT This AGREEMENT is made on the 4th day of October 2021 (Effective Date): BETWEEN ABC Ltd. registered under Companies Act, 2013 and having its registered office at Connaught Place, New Delhi (hereinafter referred to as ABC OR the First Party) which expression shall, unless excluded by or repugnant to the context, be deemed to include its successors, administrators, heirs, assigns and nominees of First Party AND XYZ Foundation, an NGO registeredunder section 8 of the Companies Act, 2013, having its Principal office registered office at New Friends Colony, New Delhi, (hereinafter referred to as NGO OR the Second Party), which expression shall, unless excluded by or repugnant to the context, be deemed to include its successors, administrators, heirs, assigns and nominees of Second Party. The First Party and the Second Party shall hereinafter individually be referred to as a “Party” and collectively as the “Parties”. WHEREAS pursuant to Section 135 of the Companies Act, 2013 (“Act”) read with the Companies (Corporate Social Responsibility Policy) Rules, 2014 (“Rules”) each company that falls under any of the specified criteria is required to adopt a corporate social responsibility policy (“CSR Policy”) and shall endeavour to spend a minimum of 2% (two per cent) of its average net profits during 3 (three) immediately preceding financial years on CSR activities as prescribed in Schedule VII to the Act, as amended from time to time (“CSR Activities”). WHEREAS the First Party has formed a CSR committee in terms of Section 135 of the Act, (“CSR Committee”) to - (i) formulate and amend, from time to time, the CSR Policy; (ii) recommend and undertake such CSR Activities as approved by the Board of Directors of the First Party; (iii) prepare and recommend the amount of expenditure required to be incurred on CSR Activities; (iv) monitor the CSR Policy, and implementation of CSR Activities in terms of; and (v) prepare and submit reports on the progress of CSR Activities.
  • 3. Page 3 of 17 WHEREAS pursuant to the recommendation of the CSR Committee,the First Party has adopted the ABC Ltd. Policy on Corporate Social Responsibility (“ CSR Policy”), a copy of which has been provided to the Second Party; The ABC Ltd. CSR Policy is in line with the CSR objectives set under Schedule VII of the Companies Act, 2013. WHEREAS ABC, under its Corporate Social Responsibility activities, has agreed for financing the below mentioned Project (s) of the Second Party, an organisation which has the necessary infrastructure, expertise and experience required for carrying out conducting and providing facilities for the Project “Girls Empowerment through Education”. The Project aims to put one million girls into school, and by 2016, the aim is to improve access and quality of education for 1.05 million children in districts with the worst gender indicators in India. Subject to the terms and conditions in this Agreement, the financial contribution from ABC to the said Project will be Rs. 76 lakhs (Rupees seventy-six lakhs only). NOW, THEREFORE, GOOD AND SUFFICIENT CONSIDERATION, IT IS HEREBY AGREED BETWEEN THE PARTIES AS FOLLOWS: 1. Commencement and Validity of the Agreement 1.1 This Agreement shall commence on the Effective Date and shall remain valid for a period of three years “Term”). 1.2 This Agreement shall stand expired by the efflux of time on the last day of the term unless renewed in writing by the authorised representatives of the Parties. 2. Scope of Agreement 2.1. The Project shall be implemented by the Second Party in accordance with the Project Implementation Plan and Scope of work as set out in Schedule I. 2.2. No variation in the Project implementation plan as detailed in Schedule 1 shall be allowed to the Second Party unless otherwise agreed to in writing by ABC in the form of an amendment. 2.3. ABC shall not provide additional funds in respect of work done outside the scope of work and time schedule plan and takes no responsibilities whatsoever for such work.
  • 4. Page 4 of 17 3. Contractual Obligations 3.1. The Second Party shall not be entitled to payment of any amount or by way of compensation for termination of the Agreement for the causes mentioned above under clause 22. 3.2. The Second Party shall submit full accounts of the Project in writing, taking into account all receipts and payments and commitments incurred for the purposes of the Agreement and the termination. ABC or its representative may carry out an audit of the Project along with the expenditure of accounts. 3.3. ABC shall reimburse funds to the Second Party to meet approved or agreed expenses of the programme and commitments related to the said Project up to date of termination. 3.4. In the event of excess disbursement to the Second Party, ABC shall demand and recover from the Second Party such excess disbursements and the Second Party would be liable to refund the excess disbursements within a period of 30 days of ascertainment of the final amount. 4. Evaluation 4.1. ABC shall, at its discretion, undertake or cause to be undertaken, evaluation of the impact and cost-effectiveness of the Project. Such evaluation shall be carried out during the tenure of the Agreement. 4.2. The Second Party shall, when required, give First Party or its representatives reasonable cooperation and access to its records in connection with the Agreement. 5. Staff And Personnel 5.1. The Second Party shall only engage qualified and skilled staff, personnel, employees, agents and any persons, associations, institutions etc. The Second Party shall be fully responsible for their salaries and payments. 5.2. The Second Party shall be responsible for all acts and omissions of its staff, personnel, employees, agents and any persons, associations, institutions etc., engaged by the Second Party whether or not in the course of implementing the Project.

This Agreement shall not be construed as creating a relationship of employer and employee between the First Party and any staff, personnel, employees, agents and any persons, associations, institutions etc. engaged by the Second Party whether or not in the course of implementing the Project. 6. Intellectual Property 6.1. All Intellectual Property provided by the First Party to the Second Party shall remain the exclusive property of First Party. The Second Party shall only use such intellectual property in the course of and in connection with the carrying out of its obligations under this Agreement for the purposes of this Agreement with the prior written permission of First Party. 6.2. “Intellectual Property” means and includes names, trademarks, trade names, trade dress, service marks, insignias, designs, works of authorship, inventions, whether patentable or not, trade secret or confidential information, and any other intellectual and/or industrial property in all goods, services and material including all documents, reports, charts, drawings, databases, products, software, source codes, models, samples, systems, slides, tapes, graphs, notes, specifications, processes, tools and methodologies. 6.3. Any intellectual property generated, including inventions made in performance of the Project under this Agreement, or any patent granted on such invention, shall be owned by the Second Party. 6.4. The Second Party shall be free to publish the articles/ research arising from the skill development programmes in any Journals / Conferences / other modes of publication. There should however be an acknowledgement of the support received from the first Party as applicable. 7. Conflict of Interest 7.1. Neither the Second Party, its personnel or agent shall engage in any personal business or professional activities, either during the course of or after the termination of this Agreement,
  • 6. Page 6 of 17 which conflict with or could potentially conflict with the object of the Project. 7.2. Subject to clause 7.1 above, the Second Party shall notify ABC immediately of any such conflict and suggest / take immediate remedial measures under information to ABC to ensure that the Project is completed as per the terms and conditions agreed upon. 8. Mode of Payment, Funds requisition and Disbursements ABC will pay to the Second Party on the basis of the agreed amount as follows: 8.1. Payment Plan for all programmes shall be as under: 8.1.1. At the time of commencement of the Project and for the first quarter, 10% of the agreed amount shall be released as Mobilisation Advance. 8.1.2. The subsequent amount 1st instalment of 40% shall be released by ABC on application by the Second Party and submission of the first progress report/pre-identified modalities if any of the Project subject to satisfactory completion/implementationof the Project till such time and proper utilisation of the funds. 8.1.3. The balance amount 2nd instalment/final of 40% shall be released by ABC on completion of the project/programme upon application made by the Second Party and upon submission of the FINAL progress report along with Fund Utilisation Certificate ensuring proper utilisation of the funds of the Project; subject to certification for satisfactory completion/ implementation of the Project, till such time. 8.1.4. Balance 10% of the project/programme cost shall be released to the Second Party subject to completion of the Project to the total satisfaction of ABC, along with details of all beneficiaries and compliance to Clause 8.1.3 of the Agreement. 9. Funds Requisition 9.1. Funds requisition for the instalment amount shall be presented to ABC by the Second Party and shall contain details of expenditure to be incurred by the Second Party
  • 7. Page 7 of 17 during the period in accordance with the Schedule of Amount disbursements. 9.2. All Funds requisitions shall be endorsed as follows: “Certified that the amounts mentioned in this Funds requisition Application are required wholly and necessarily for the purpose of The Project “Girls Empowerment through Education” and the same has not been claimed before from ABC or any other entity. It is also certified that this Project has not been executed earlier ”. 9.3. The Second Party’s authorised representative shall sign all Funds requisitions. Any Funds requisitions if not presented in accordance with the above shall be liable to be rejected. 10. Disbursements 10.1. The funds disbursements shall be made in Indian Rupees. 10.2. The Second Party will submit the Bank account number/details of SBI or ICICI or HDFC for release of funds through e-banking. 10.3. Funds requisition shall be submitted by the Second Party in accordance with the specific instructions as given above. 10.4. Second Party will submit fund utilisation statements along with the programme progress report, as per the specific instructions given above. 10.5. Approved funds shall be disbursed by ABC as per the Schedule of Amount disbursements, only if ABC is satisfied with the progress of implementation of the Project as per the Project implementation plan i.e., implementation review and monitoring plan. 10.6. In the event the implementation of the Project is not as per the scope of work and targets, ABC shall reserve the right to withhold or reduce the amount instalment amount applied for by the Second Party in the Funds Requisition Application or stop further disbursements of Amount instalments to the Second Party . Release of the amount instalments shall be made upon remedying of the unsatisfactory work and on
  • 8. Page 8 of 17 resolution of the outstanding queries by the Second Party to the satisfaction of ABC . 10.7. In the event that the cumulative disbursements made to the Project are in excess of the expenditure actually incurred in terms of the Project Implementation Plan, ABC shall deduct the excess amount from future instalments disbursed to the Second Party. 11. Reporting 11.1. The progress report of the programme/project will be submitted by the Second Party prior to release of each instalment i.e., Monthly progress report of the programme along with fund utilisation certificate and copy of Invoice wherever applicable of the programme of the instalments already released. The Quarterly progress report has to be supported with photographs/video of the Project. 11.2. The Second Party will submit the Final Comprehensive Completion Report of the programme/project on completion of the programme incorporating scope of work met, benefits achieved, financial details mentioned and recommendations made by the Second Party along with photographs, videos etc. 11.3. At the end of the program, to assess the impact of the program funded by ABC, a Report clearly indicating activities undertaken and objectives attained and details of the number of beneficiaries of the Project providing their Names, age, sex, category as SC/ST/OBC/ GEN/PHY be submitted to ABC by Second Party. 11.4. The progress of the Project and proper implementation will be inspected by the ABCs CSR Co-ordinating team in the form of visits/surprise visits. 12. Accounts, Records and Audit 12.1. The Second Party shall maintain all accounting records and documents in accordance with the instructions given. Non- compliance with the instructions by the Second Party will be a ground for termination of the Agreement. 12.2. ABC or its representatives /auditors, on giving reasonable notice to Second Party, may visit the Second Party offices to

Page 9 of 17 review and audit the accounts and records and the Second Party shall co-operate with such teams during the review, provide access to accounts and records pertaining to the Project whether on computer or in manual form, provide copies of accounts and records, provide oral or written explanations of the accounts and records as may be reasonably required by ABC. 12.3. If ABC finds any errors or inaccuracies in the Accounts & Records of the Second Party, the Second Party shall, within 30 days of a written demand served by ABC, carry out suitable rectification in its Accounts & Records and inform ABC of the same. 12.4. Any information/document/record/details requested by ABC would be promptly attended by Second Party and supplied within a reasonable time frame of 15 days. 12.5. Second Party will submit Income Tax Exemption certificate in Form 80 G /35AC Certificate to ABC prior to release of ABC’s Contribution for the said programme. If 80G /35 AC Certificate is not applicable to any Company/Organisation Tax will be deducted at source as per applicable Income Tax Act prior to release of ABC’s Contribution for the said programme. ABC will, however, provide the Tax deduction certificate for the same. 13. Annual audited accounts of the Project 13.1. Second Party will submit annual audited accounts of the Project, each bearing original signatures, along with an auditor’s certificate within three months of the closure of the financial year to ABC for each of the financial years covered by the Project. The end of the financial year for the Project shall be 31st March every year. 13.2. The annual accounts of the Project shall be signed by the Authorised person of the Second Party and be certified by Practicing Chartered Accountant of an independent firm of professional auditors. This account should bear a certificate from the auditors confirming the total receipt and expenditure in respect of the amount and also to the effect that the amount was accepted in accordance with the terms of the Agreement.
  • 10. Page 10 of 17 14. Refund of Unutilised/Unspent Funds 14.1. Any unspent or unutilised amount (disbursed earlier by ABC for the Project to the Second Party), shall on completion of the Project, be refunded to ABC within 30 days of the completion of the Project or termination of the Agreement, whichever is applicable. 15. Equipment/Fixed Assets 15.1. Any non-consumable items of equipment/materials contributed or financed by ABC for the Project shall be utilised for the objective for which it is given and shall not be transferred/ disposed-off by the beneficiary except with express permission/directions of ABC. 15.2. In case of purchase of a vehicle to be implemented under the CSR Programme, the said vehicle shall be Hypothecated to ABC for a period of five years after the purchase and the Second Party will submit the Invoice, registration certificate of the RTO and the Insurance certificate of the vehicle duly certified. The vehicles registration certificate will be required to be endorsed from RTO to the effect that the vehicles are not to be sold, transferred without the permission of ABC. 16. Liabilities ABC shall not be liable for: 16.1. Any payments of claims by employees of the Second Party. 16.2. Discharging any financial commitments made by the Second Party. 16.3. Any suit on account of demands for infringement of any laws by the Second Party. 17. Coordination Team 17.1. The ABCs CSR Co-ordinating team for day to day activities and implementation of the programme and certification and release / of payments will be Ms. CFO, Mr. Director, and Ms. Managing Director. 17.2. Second Party shall appoint a coordinator to coordinate various activities under this programme and coordinate to arrange for periodical inspections and monitoring of the
  • 11. Page 11 of 17 program to the third Party and ABC Officials through its coordinator, as it may identify. 17.3. Second Party shall provide name and telephone number of contact persons to ABC, who would be responsible for the implementation and coordination of the program. Second Party shall also inform of their website address and email id. 18. Instructions and Obligation of Second Party 18.1. The Second Party shall develop, implement, execute,conduct, coordinate and carry out, from time to time, one or more Project (s) listed in Schedule I (“Project”) as CSR Activities in accordance with this Agreement In case more than one Project is being developed, implemented, executed, conducted, coordinated and carried out by the Second Party, or in case the same Project is being developed, implemented, executed, conducted, coordinated and carried out in more than one geographic area, Schedule I shall be prepared separately for each individual Project and marked as Schedule I A, Schedule I B etc. No variation in the Project scope shall be made by the Second Party unless previously agreed to in writing by First Party. 18.2. Any Funding for a Project shall be utilised in an efficient and judicious manner and only for the objective for which the Funding is given (as specified in Schedule I), and such Funding shall not be diverted, transferred or used for any other purpose without the prior written consent of First Party (or any of its Group Company referred to in Schedule I, as the case may be). Further, Second Party shall not use more the 5% of the Funding amount towards administrative cost. Any expense towards administrative work for a Project should not cross beyond 5% of the Funding amount. 18.3. Second Party should inform every event to ABC Corporate Office. For ensuring proper brand image and visibility of ABC’s contribution, all such events will be participated and inaugurated by senior management persons of ABC. Second Party shall display banners in the Schools/Project sites highlighting ABC’s contribution along with ABC’s name and logo with details of contribution.

Wherever possible, the Second Party may consider giving wide publicity to the assistance provided by ABC under ABC’s Corporate Social Responsibility programme not only in their own internal publications, newslettersbut also in local dailies / any other mass communication channel etc. without any liability/ cost overheads to ABC on this account. 18.5. During the implementation of any activity, the expenditure on photographs and videography and other related material should be borne by the Second Party, and no extra payment on this account shall be made by ABC. 18.6. No switch over/ change of approved program from one to another will be permitted. 19. Indemnity 19.1. The Second Party hereby agrees to indemnify ABC, its representatives, administrators and properties from and against all action, demands, proceedings, prosecutions, attachments, and the like arising out of its liabilities and all charges, taxes, etc. 19.2. Second Party hereby undertakes through the signing of this Agreement that it has not received and will not receive any contribution/ funding in cash towards the Project from any other party during the relevant period of the Project. 20. General Provisions 20.1. Nothing contained in this Agreement shall be construed or have effect as constituting a relationship of employer and employee or principal and agent between ABC and Second Party. 20.2. The Second Party shall be responsible for all acts and omissions of its staff and any persons, associations, institutions engaged by the Second Party whether or not in the course of implementing the Project and for the health, safety and security of such persons or entities and their property. 21. Amendment 21.1. In case any amendments are required to any part of the Agreement, the Second Party shall agree to incorporate such amendments and implement the same in the field. The
  • 13. Page 13 of 17 Agreement shall be amended by written mutual consent of the parties to the Agreement. The amendments shall be documented and allotted a distinctive number <Amendment No>; <Date>. 21.2. No amendment, modification, alteration or enlargement of this Agreement or its Schedules shall be valid or binding unless it is in writing and signed by the duly authorised representatives of the Parties. 22. Termination ABC may terminate this Agreement after giving the due notice of 30 days to the Second Party and on finding the non-compliance of the notice for improvement given by the Second Party. However, such reasons for termination may be related in terms of the following: 22.1. In the event of unsatisfactory performance of the Project by Second Party, ABC may, at its sole discretion and at any time, terminate the Agreement and inform the Second Party of its decision in writing which shall be final and binding on both the parties. The Agreement shall stand terminatedon the date as mentioned in the written communication. 22.2. In the event of unsatisfactory performance of the Project by the Second Party for any reason such as incomplete work done/ no progress in the work found/ work not being implemented as specified under Schedule I of this Agreement (Implementation Plan and scope of work of each Project) etc. or non-performance of any obligation under this Agreement. 22.3. In the event when the Second Party is found involved in any manner or form in corrupt practices or misappropriating the funds/ Assets, which belongs to, or has been marked for the Project activities and ABC has sufficient grounds to believe so. 22.4. In the event of violation of any of the provisions specified in various clauses of this Agreement and Terms of Reference that lead to a conflict which may affect the objectives of the programme at any time of Agreement period. 23. Force Majeure 23.1. If the performance of the Agreement by either Party is delayed, hindered or prevented or is otherwise frustrated by reason of

Page 14 of 17 force majeure, which shall mean war/ hostilities, riot or civil commotion, fire, flood or earthquake, tempest, lightning or other natural physical disasters; restrictions imposed by the Government or other Statutory bodies which prevents or delays the execution of the Agreement by the Second Party any event beyond the control of the parties to the Agreement, then the Party so affected shall promptly notify the other Party in writing specifying the nature of the Force Majeure and of the anticipated delay in the performance of the Agreement. From the date of the notification, ABC shall, at its discretion, either terminate the Agreement forthwith or suspend the performance of the Agreement for a period not exceeding 6 months. 23.2. If, at the expiry of the second period of suspension, the reasons for the suspension still remain, ABC and the Second Party shall treat the Agreement as terminated. 24. Confidentiality 24.1. The existence, nature, terms and conditions of this Agreement shall not be disclosed by the Second Party in any manner or form, directly or indirectly, to any person or entity under any circumstances without the prior written consent of First Party, except in accordance or in compliance with any Government Acts. Any press releases in respect of the CSR Activities, Funding or this Agreement shall only be made with prior written consent of the First Party. 24.2. The Second Party shall not during or after the termination of the Agreement disclose to any third party any confidential information arising from the Agreement (other than in the proper performance of their duties hereunder or as may be required by a court or arbitration panel of competent jurisdiction) except with the prior written permission of ABC. 25. Settlement of disputes 25.1. Should the Parties be unable to reach Agreement on the meaning or interpretation of any of the clauses set out hereto or any other matters arising out of the Agreement the matter in dispute shall be referred to the concerned Director In- charge for CSR of ABC whose decision in the matter will be final.
  • 15. Page 15 of 17 25.2. All disputes arising between the parties shall be subjected to the jurisdiction of the Courts in Delhi only and in no other courts. 26. Severability If any court of competent jurisdiction or other competent authority holds that any provision of this Agreement is invalid or unenforceable for any reason then the legality, validity and enforceability of the remaining provisions of this Agreement shall not be affected or impaired, and all remaining terms of this Agreement shall remain in full force and effect. 27. Waiver The failure of either Party to enforce at any time, or for any period of time, the terms and conditions contained herein shall not be construed to be waiver of any of the terms and conditions or of the right to enforce each and every term and condition of this Agreement. 28. Original Agreement This Agreement shall be executed in two original copies and both Parties shall retain one copy each of the same.   • 16. Page 16 of 17 Schedule 1 Detailed project implementation plan and scope of work of the Project Thrust Area: Education (i) Project: “Girls Empowerment through Education”. (ii) Total Amount Allocated: Rs. 76 Lakhs (Rupees Seventy Six Lakhs Only) (iii) Objective of the Project: The Project aims to put one million girls in to school and by 2016, the aim is to improve access and quality of education for 1.05 million children in districts with the worst gender indicators in India. (iv) Areas of Operation & Implementation of the CSR Project: The Project shall be implemented in the rural areas of Rajasthan, Madhya Pradesh and Orissa. (v) Scope of Work will be as follows: Three phases are envisaged for the development of the Advocacy Plan: Phase I – research and assessment; Phase II – campaign design; and Phase III – campaign roll out. Each phase will build capacity for the next. The advocacy process must involve several players working together at the regional, national and sub-national levels. (vi) Time Frame: October 2021 – March 2023. (18 months) (vii) Payment Plan/ Schedule: a. Mobilisation advance will be released as per payment plan. b. 1st Instalment and 2nd Instalment to the second Party will be released on submission of the first progress report of implementation of the Project and fund utilisation certificate . c. Last Instalment will be release on completion of the CSR Project and total satisfaction of ABC of the Project implementedas desired along with all beneficiaries details and compliance to submission of the FINAL progress report ALONG with FUND Utilisation certificate of the Project.
