CONSIGNMENT SALES AGREEMENT
An agreement made this 8th day of August, 2014 Between M/s TEAM FERRO ALLOYS PVT.LTD. ; B-
17, MIDC VILLAGE – MUNDIPAR, GONDIA, MAHARASHTRA. (Hereinafter called principal and
party of the FIRST PART) And M/s SHREE SIDDHIVINAYAK INTERNATIONAL, SHOP NO. 156
SECTOR 27 A AMLOH ROAD, MANDI GOBINDGARH SAHIB (P.B.) (Hereinafter referred as an Agent
and party of SECOND PART). Whereas the party of the FIRST PART id being Manufacturer and
Dealer of Ferro Alloys like Ferro Manganese , Ferro Silicon , Ferro titanium and various others
Ferro Alloys having its office at 79 UNIVERSAL ANNEX 4TH FLOOR SHIVAJI NAGAR, NAGPUR -10
MAHARASHTRA is desirous to sell its products in the state of Punjab and the party of the SECOND
PART is capable of doing & equipped with facilities of suitable Godown and office in the state of
Punjab.
Now the Agreement Witnessed as follows:
1) That the Principal has appointed the party if the Second Part as its selling agent at Punjab
for the purpose of effecting Consignment and Commission sales of material send by them
on account, risk and responsibility of the “Principal”.
2) That the Principals will send to its Agent for sales on consignment basis on their behalf
from time to time or as per the indent send by the agent.
3) That the Agent on receipt of goods , is to sell the goods accordingly tothe prevailing best
marketing rates, but never below the Profarma value but as per the instructions, if any
given by the “Principal” from time to time in writing.
4) That First Party will issue necessary Invoice to the Second Part and send the same along
with Consignment Challan. The Second Part will take credit with their Excise Invoice (if
any) as per the applicable law for Modvat Credit tothe respective Buyer.
5) That all expenses such as Freight, Octroi, cartage & other handling charges and other
incidental expenditure which has been incurred and paid by the agent will be deducted by
the agent from the sale proceed before remitting to the principals.
6) That the Principals shall pay to the agent a commission of Rs. 500 /- per Ton to him which
shall be deducted along with the expenses as mentioned in clause 5 from the sales
proceeds before remittance to the Principals.
7) The agent shall maintain necessary sales Bill as prescribed by Sales Tax and Other Laws of
appropriate State and send the monthly statement of accounts or
commission/consignment sales particulars duly signed by the authorized persons.
8) That the agent may collect taxes including sales tax where ever necessary from the buyer
as per the state laws but shall pay and deposit with the Sales Tax authorities even not
realized separately from his customers as required under Sales Tax Laws and the provision
there to.
9) That the agent shall be absolutely responsible for the payment of all the taxes including
Sales Tax etc. for the goods sold by him in his state.
10) That the Agent will furnish statement of account along with an account of sales from time
to time for each transaction giving the details of sales and expenses etc incurred therein.
11) That in token of having paid or payable the taxes if any on the sales of goods in questions
being accounted for at their end , the Agent is to send “ F- Forms ‘’ or any other forms as
may be applicable under the sales tax laws and rules thereof for the purpose of claiming
the exemptions from payment of tax from the assessing authority having jurisdiction over
the place of business of the Principal.
12) That the Agent has to send the Ledger extracts of the Principals accounts maintained for
each year duly signed by him as the same are to be produced by the Principals to the
respective Sales Tax Authorities at the time of final examination.
13) The said Agreement along with its terms and conditions shall be deemed to have come
into effect from August 8, 2014 and all the business if already transacted so far shall also
be guided and regulated by the said Agreement.
14) That the said agreement can be terminated by giving one months notice in writing to each
other.
15) That this agreement does not stop the First Party in selling theirgoods directly to other
prospective buyer in Punjab for which the Second Party will not be entitled for
commission.
16) This agreement shall be executed in duplicate. The agent shall retain one copy with him
and the other one will be with the Principals with the above conditions. M/s TEAM FERRO
ALLOYS PVT. LTD. and SHREE SIDDHIVINAYAK INTERNATIONAL affixed their own hands
and seal this August 8, 2014.
