RE: NON-BINDING LETTER OF INTEREST
Dear Bear Crossing Partner,
We have received your brochure for the Bear Crossing Development in Mt. Crested
Butte, Colorado and are interested in receiving additional information about this
project.This non-binding Letter of Interest (“LOI”) shall confirm our intentions of
reviewing a marketing package for the project. While we anticipate that all of the
terms and conditions will be fully set forth in an offering, we understand our current
mutual intentions to be as follows:
Description & Quantity:
Bear Crossing is a planned 28 unit condo complex located between Hunter Hill
Road and Castle Road just across the street from the West Wall lift. This is one of
the last multi-family zoned properties on the mountain and has the best views of
any location on the mountain. The unobstructed views of Gothic, Red Lady and
Whetstone mountains, along with the Town of Crested Butte, are the best views that
could be expected anywhere around.
The intent is for the property to be fractionalized into 12ths as the property is built.
Each investor/partner will invest/own a particular unit in this development and have
the option to liquidate however many “fractions” they wish. Each investor/partner
will have multiple options for their investment, as they are going to be integral
partners of this development. Should there be changes to the description and/or
specifications, said changes will be voted on by investors/owners and approved by
such votes.
Construction:
Bear Crossing will begin construction in the spring of 2013 and has been estimated
to take 12 months to complete. With our experience, a qualified project manager, and
proper planning, this ambitious goal can be obtained. The real estate market is on
the rise and no one knows where it will be in the spring/summer of 2014 when this
project is completed, but we will be in position with new inventory at that time. The
plans have been completed and the Town of Mt. Crested Butte has approved these
plans in 2008.The Town will have to review the plans, but no problems are expected.

disclose any of the terms of the LOI and any other information related to the
other party or its representatives or affiliates except to the extent required by law.
It is understood that all press releases or other public communications of any sort
relating to the LOI or the transactions contemplated between us, including the
method of release for publication, shall be subject to the approval of each of the
parties; provided, however, that the parties shall be entitled to make such disclosures
as may be required pursuant to applicable law or the lawful requirements of any
governmental agency or by order of a court of competent jurisdiction.
Effect of this Letter of Interest:
This LOI is intended merely as a guide in the preparation of a Marketing Offering
on terms and conditions satisfactory to both parties. Nothing contained in this LOI
shall be construed to preclude other provisions from being included in the Marketing
Offering, provided that such other provisions are consistent with the content of
this LOI and otherwise satisfactory to both parties. While we intend to proceed
promptly to complete the Marketing Offering, it is expressly understood that this is
a LOI only, and no liability or obligation of any nature whatsoever is intended to be
created between either of the parties.

LIFE ENHANCING DESIGN.
GoldenWest Manor is a Not-for-Profit provider of active adult housing.This new
independent living community features 54 market rate apartments situated
on their existing 3.5 acre campus. OZ worked closely and successfully with city
officials during the rigorous permitting and entitlements process, making sure
the design fit the city’s vision for the 28th Street corridor, the major gateway
into the city.
The multi-story row house is situated to take advantage of the views of the
Flatirons Mountains.The design evokes an urban feel and incorporates local
colors and materials.The Craftsman style is carried into the building interior
and features fireplaces, warm-colored wood and wall finishes that provide
a comfortable, cozy feel throughout the common areas and public spaces.
Outdoor terraces connect residents with nature and provide ample opportunities
to enjoy the area’s 300 days of sunshine a year.

OLD DESIGN REINVENTED.
This former student dormitory, built in 1966, is being transformed into an upscale
senior housing community that features quality residential unit plans and luxury
finishes.
The existing tower will provide 63 new residential units, while two new three-story
buildings will flank the tower and add an additional 54 units and covered parking
into the mix.The one and two-bedroom units vary in size and, while they are
designed for assisted living, they have the appearance of independent living units.
The design of the tower common areas creates an interactive living environment
that encourages residents to remain connected to the community. Hospitality
design concepts influenced the generous amenities package, which include a full
restaurant, indoor pool, fitness center, activities areas, and a small theater and spa.
