3. OUR COMPLETE EXPERTISE
 After getting the details of your requirement we will shout for offers from the potential vendors.
 We will gather more offers and make the comparative charts showing most suitable landed cost
to you.
 We will send the comparative chart to you for approval and preparation of purchase order.
 After getting the purchase order from you, we will hand-over the same to the selected vendor
and keep close observation on the manufacturing process.
 We will send weekly production report to you along with the photograph of the materials at WIP.
 On completion of the production we will send you the final photograph & Inspection report. We
will also ask for your nominated transporter.
 Side by side you have to make the payment to the vendor as per the agreed payment terms.
 If you have any transporter, we will arrange the pick-up through them, otherwise we will also
finalise the same, as we have finalise the vendor.
 Finally after despatch, we will send the Invoice Copy, Excise Invoice ( if any ), Packing List,
Inspection Report and Transporter’s Docket to you through courier.
 We will also send a weekly despatch report to you.

8. NON DISCLOSURE
 Negotian is further obliged to use any
knowledge earned and any trade secrets
disclosed under the framework of this
contractual relationship solely to perform
contractual services and not to disclose
them to third parties.
 The aforementioned obligations do not
apply to:
 information already publicly known
when passed on to the receiving party
or information that later becomes
publicly known due to no fault of the
receiving party; or
 information already known to the
receiving party before it was passed
on by the disclosing party, as long as
a written record of this is available; or
 information rightly obtained by the
receiving party from a third party who
received this information from the
disclosing party neither directly nor
indirectly. 8
 All information received by one
party from the other – any records
as well as all information passed
orally or in writing (of an economic,
financial or technical nature, and
regardless of whether or not they
were expressly designated as
confidential) shall be held by the
receiving party as confidential.
Without the previous written
consent of the disclosing party, such
records and information may neither
be disclosed to a third party nor
shall copies be made thereof. The
parties may use, respectively copy
such records and information, solely
to perform services according to this
contract.

9. DECLARATION FROM NEGOTIAN
negotian is further committed to protect his
clients all information regardless of
financial & technical matters. negotian
will bound all vendors to sign the NDA
as prescribed or approved by the client.
negotian shall not disclose secrets of the
Company nor those of any Associated
Companies nor any information
relating to the Company’s or
Associate’s Business to any firm,
person or company whatsoever during
the tenure of negotian’s engagement
hereunder or after its termination.
negotian will not publish any article or
statement, deliver any lecture or
broadcast or make any communication
to press including magazine
publication, website publication relating
to the Company’s business without
prior permission of the Company in
writing.
negotian also declares that, information of
visitors, who visits the website
www.negotian.in is neither copied nor
saved anywhere for the security
purpose of the visitors.
