DRAFT Summary For An
Investment Partnership
1. Superior Marine is seeking a Partner ( the”SM Partner”) to issue a
contingent commitment to purchase a $5M BG to finalize a JP54 fuel
purchase. The commitment would be contingent on the SM Partner
being satisfied, in its sole discretion, as to the safety and assured
completion of the transaction. To initiate the process the SM Partner
will set up a $5M Escrow account with its own Bank and in its own
100% control. The $5M will only be used for the BG purchase upon
completion of the Due Diligence by the SM Partner in its sole
discretion. The SM Partner will have full control of the funds and or BG
at all times prior to proceeding. Due Diligence will be conducted to
verify all elements including the following items:
A. A $250,000,000.00M Investor commits $250,000,000.00 for JP54
fuel purchase.
B. JP 54 Seller commits to sell 2,000,000 barrels of JP54 fuel at a
fixed price and an End Buyer commits to purchase 2,000,000 barrels
of JP54 at a higher fixed price.
C. Upon completion of Due diligence, a closing occurs if SM Partner
agrees to proceed.
i.) the $5 M is transferred to the $250M INVESTOR
(Simultaneously a satisfactory BG IS ISSUED TO SM PARTNER) and
$250,000,000.00 is paid to the fuel Seller. The Exit Buyer then buys
the fuel generating a profit.
ii.) within 2-3 business days from the $250,000,000.00 purchase of
the fuel from the Seller…. $6 M is paid to SM Partner (20% ROi per
transaction) and the BG is returned to 250 M Investor.
