1. MANPOWER SUPPLY AGREEMENT
• SCOPE OF THE PROPOSAL
shall refer to Makshi Infotech Pvt Ltd suitable candidates (hereinafter referred to as
“Candidate(s)”) who are qualified and interested for being screened and interviewed by Makshi
Infotech Pvt Ltd with reference to the job opening and requirement of Makshi Infotech Pvt
Ltd from time to time for Makshi Infotech Pvt Ltd Business and offices, within Mumbai and
elsewhere in India in a upon the terms and conditions as contained herein.
• TERM
Validity of this Proposal is for a period of One year, commencing from Oct 2021 and expiring on
the Nov 2022 and shall thereafter continue till either side terminates it by giving written notice of
30 (Thirty) days, in advance, to the other party or by payment of compensation in lieu of notice
thereof.
• FEE STRUCTURE
• Makshi Infotech Pvt Ltd shall pay to in following manner for each Candidate who is referred
by and is appointed/ recruited by Makshi Infotech Pvt Ltd for their needs and requirements:

• If a candidate leaves the organization within 60 days of service with or without notice, Future
Enterprises will be liable to give a free replacement.
•
• Complete authority to change the above mentioned slabs based on organizational needs and
market fluctuations solely lies with Makshi Infotech pvt ltd.
• The Service Tax if applicable shall be charged by in their invoice hereby agrees that the above
fees are firm for all the branches/offices of Makshi Infotech Pvt Ltd located all over India.
• Makshi Infotech Pvt Ltd shall make the payments to post 60 days from the employee
Makshi Infotech Pvt Ltd (Post completing of training period) by the successful Candidate
referred by Consultant Name & can raise the invoice post 60 days.
• All the payments should be made in Cheque / DD / PO drawn in favor ofpayable at Mumbai.

2. • COVENANTS OF
• Shall provide to Makshi Infotech Pvt Ltd with information relevant to the candidates which
includes, profile of the their earlier company, nature and responsibilities of jobs handled.
• shall provide to Makshi Infotech Pvt Ltd with preliminary review of qualification, eligibility
of Candidates as mentioned above and the short list of candidates for further screening along with
preliminary review comments.
• shall co-ordinate with the Candidates and Makshi Infotech Pvt Ltd for completing the
selection/recruitment procedure of the candidates referred to Makshi Infotech Pvt Ltd by .
• TERMINATION
Either party shall be entitled to withdraw the services by giving one (1) calendar month’s advance
written notice without having to give any reason thereof.
• SETTLEMENT OF DISPUTES
The Parties hereto shall endeavor to resolve all claims, disputes, questions or controversies
involving them and arising out of or in connection with this Manpower Supply Proposal, or the
execution, interpretation, validity, performance, breach or termination hereof through amicable
negotiation and conciliation within 30 (thirty) days from the date of arising of such dispute.

3. • GENERAL
• Shall keep all information and other materials passed to them in relation to the business
transactions, trade secrets, client database and the confidential financial arrangements shall not,
without the prior written consent of Makshi Infotech Pvt Ltd divulge such information to any
other person or use the same for any personal or business purposes.
• None of the rights granted hereby shall be assigned by either Party to any other person except
with the prior written consent of the other party.
• No waiver of any right will be deemed a continuing waiver, and no failure on the part of either
party to exercise wholly or in part, any right will prevent a later exercise of such or any other
right.
