Robin Dobson
Robin Dobson is an experienced Corporate Law Clerk who specializes in federal and provincial corporate law, she is
familiar with all business transactions (i.e. asset transactions, share transactions, redemption transactions, estate
transfers, financing/securing and dissolutions), Federal and/or Provincial Articles (incorporation, amendment,
amalgamation, dissolutions & professional corporations, Not-for Profit), share restructuring for tax implications (i.e.
butterfly transactions, section 85 rollovers), deemed trust liability issues, corporate compliance issues, and lease
negotiations.
Equipped with extensive hands on experience in matters relating to Ontario and Federal corporations, Robin has a
strong comprehension of forms, procedures, regulations, and audits. She is well versed in corporate due diligence,
corporate minute book audits, financing, corporate estate planning reorganizations, and request for tenders. She is
experienced in the processes of negotiations relating to leases (on behalf of Landlord and Tenant), letter of intent,
settlement of litigious matters, transactions (small to very large scale).
Robin is particularly familiar with asset purchases and sales (under the Bulk Sales Act) and as such can confidently
prepare all ancillary documentation including all negotiation of commercial leases or obtaining the Consent to
assignment of Leases. She is also well versed in corporate regulatory filings, maintenance of corporate records,
annual resolutions and declaration of dividends, and compliance with law and regulations. She encourages
consistency of standard practices of corporate governance and is familiar with the registration and drafting of General
Security Agreements, the process of perfection and enforcement under the PPSA. Robin is apprised of corporate tax
matters, issues relating to transfer of municipal licences, Worker’s Safety Insurance Board, Ontario Motor Vehicle
Industry Council, Ministry of Revenue, Ministry of Finance, Ministry of Government Services, and Canada Revenue
Agency audits. Robin has attended to several hundred matters relating to College Applications regarding issuance of
Certificate of Authorization (i.e.: Medical, Dental, Accounting, Legal etc), and Alcohol Gaming and Commission
(Ontario) applications.
As she is experienced with certain matters, Robin can competently provide ‘layman’s advice’ to clients regarding
initial business start-up, options for businesses types, amending of articles to provide classes of shares, and general
queries. She is able to work as a team or independently on any corporate matter with complete understanding of the
application and theory while reporting to lawyers succinctly. Trained to work independently on multiple matters with
little supervision to completion while maintaining aggressive timelines; this ability has made her been invaluable in a
rapidly changing legal environment.
Having the opportunity to work with various firms in the Windsor/Detroit area and in the Greater Toronto Area, Robin
has had extensive legal exposure with various areas of law such as litigation, estate, personal injury, trade-marking,
Bankruptcy, Insolvency, real estate, refinance, debt consolidation, employment, and family law; Robin is easily able to
document identify and provide guidance to clients to determine what next steps need to occur.
Robin is currently the Corporate Law Clerk for a full service law firm working under the senior partner and associate
lawyers by servicing clients’ needs and providing sound legal assistance. Robin has rebuilt the corporate department
at Dale Streiman Law LLP and takes genuine pride in each matter which is completed by her and the Corporate
Department and works with commitment and dedication for their clients. Robin has a successful track record due to
