• The Compliance Officer oversees the Compliance Management
Program, functioning as an independent and objective body that
reviews and evaluates compliance issues/concerns within the
organization. I ensure the Board of Directors, management and
employees are in compliance with the rules and regulations of
Federal Deposit Insurance Corporation and Tennessee
Department of Financial Institutions regulatory agencies, that
company policies and procedures are being followed.
Acts as a channel of communication to receive and direct
compliance issues to appropriate resources for investigation and
resolution, and a final internal resource with which concerned
parties may communicate after other formal channels and
resources have been exhausted. The Compliance Officer acts
as staff to the Chief Executive Officer and Board of Directors by
monitoring and reporting results of the compliance/ethics efforts
of the bank and in providing guidance for the Board and senior
management team on matters relating to compliance. The
Compliance Officer is authorized to implement all necessary
actions to ensure achievement of the objectives of an effective
compliance program. Develops, initiates, maintains, and revises
policies and procedures for the general operation of the
Compliance Program and its related activities to prevent illegal,
unethical, or improper conduct. Manages day-to-day operation
of the Program. Collaborates with other departments to direct
compliance issues to appropriate existing channels for
investigation and resolution. Consults with the corporate
attorney as needed to resolve difficult legal compliance issues.
Responds to alleged violations of rules, regulations, policies,
procedures, and Standards of Conduct by evaluating or
recommending the initiation of investigative procedures.
Develops and oversees a system for uniform handling of such
violations. Acts as an independent review and evaluation body
to ensure that compliance Issues/concerns within the
organization are being appropriately evaluated, investigated and
resolved.
Monitors, and as necessary, coordinates compliance activities of
other departments to remain abreast of the status of all
compliance activities and to identify trends. Identifies potential
areas of compliance vulnerability and risk; develops/implements
corrective action plans for resolution of problematic issues, and
provides general guidance on how to avoid or deal with similar
situations in the future. Provides reports on a regular basis, and
as directed or requested, to keep the Board and senior
management informed of the operation and progress of
compliance efforts. Institutes and maintains an effective
compliance communication program for the organization,
including promoting heightened awareness of Standards of
Conduct, and understanding of new and existing compliance
issues and related policies and procedures. Works with the
Human Resources Department and others as appropriate to
develop an effective compliance training program, including
appropriate introductory training for new employees as well as
ongoing training for all employees and managers. Monitors the
performance of the Compliance Program and relates activities
on a continuing basis, taking appropriate steps to improve its
effectiveness.
• The internal bank auditor is responsible to the Audit Committee
of the Board for the internal auditing and reviewing of all
functions performed by bank personnel. Maintains and updates
auditing procedures as regulated by the Board and regulatory
agencies and reports to the Board results of the audits
conducted. Develop a comprehensive internal audit program for
the bank. Perform financial, operational, and compliance audits
in accordance with the internal audit program.
Coordinate with the independent CPA and all applicable
regulatory agencies and examiners to best utilize available
resources and achieve established objectives.
Assist Audit Committee in fulfillment of its duties and
responsibilities. Meet with Audit Committee quarterly to discuss
and audit findings from the previous quarter. Review bank
practices and records for compliance with established internal
policies and procedures. Develop recommendations for
improving internal controls, operating efficiency, and the
adequacy of bank records and recordkeeping. Report audit
findings and recommendations to appropriate management
based on the results of regularly scheduled audits, non-
scheduled audits, and at any time when issues need to be
addressed by management. Conduct follow-up reviews of
financial, operational, or regulatory compliance deficiencies
noted during audits. Conduct investigations of irregularities
discovered by or brought to the auditor’s attention. Investigate,
as requested by senior management or the bank’s security
officer, fraud, embezzlements, and defalcations within the bank.
Work in cooperation with law enforcement agencies in any such
cases as deemed necessary. Perform other duties as required,
consistent with the goals, objectives, and responsibilities of the
internal audit department and with the approval of the Audit
Committee.

• Examine and audit bank financial statements, ledgers, accounts
and related computer documents to ensure compliance with
accepted accounting principles and practices and adherence to
state laws, rules, and regulations. Conduct test checks and
samplings of income and disbursement items and accounts
maintained during the period of examination in order to
determine statutory compliance and the use of sound banking
practices. Verify bank assets and liabilities; reconcile bank
statements and analyze information on earnings, dividends, and
pertinent ratios. Examine corporate structure, managerial
practices, investment practices, internal controls, and record-
keeping procedures and methods in order to identify any existing
unsound business practices. Prepare detailed and complex
banking examination narrative reports and supporting financial
and statistical documents identifying legal, financial and
administrative problems or discrepancies and recommending
methods of improvement. Establish and maintain a variety of
personal contacts with bank executives and other personnel,
accountants, examiners, departmental associates and
supervisory staff in order to suggest solutions and resolve
problems uncovered in banking examinations and explain,

 Conducted examinations of non-depository financial intuitions. Assessed
business practices to ensure sound and non-predatory lending
practices. Documented all violations of State or Federal law, and
implemented solutions to resolve the violations. Conducted
examinations of Consumer Complaints, and identified all customer
documents necessary for enforcement actions. Wrote a technical
report that summarized the investigation, and recommended
