Att, sabiex jiġu eżerċitati mill-Awtorità tal-Innovazzjoni Diġitali ta’ Malta jew
f’isimha funzjonijiet regolatorji fir-rigward ta’ dawk l-arranġamenti u servizzi.

TAQSIMA I
Preliminari
Titolu fil-qosor
u bidu fis-seħħ.
1. (1) It-titolu fil-qosor ta’ dan l-Att hu l-Att tal-2018 dwar
Arranġamenti u Servizzi ta’ Teknoloġija Innovattiva.
(2) Dan l-Att għandu jidħol fis-seħħ f’dik id-data li l-Ministru
responsabbli għall-Ekonomija Diġitali jista’ b’avviż fil-Gazzetta
jistabbilixxi, u dati differenti jistgħu jiġu hekk stabbiliti għal
dispożizzjonijiet differenti jew għanijiet differenti ta’ dan l-Att.

2. (1) Sakemm ir-rabta tal-kliem ma teħtieġx xort’oħra,
kliem u frażijiet mhux imfissra f’dan l-Att ikollhom l-istess tifsira kif
l-imsemmija kliem u frażijiet għandhom fl-Att tal-2018 dwar l-
Awtorità tal-Innovazzjoni Diġitali ta’ Malta.
(2) F’dan l-Att u fl-Iskedi li jinsabu miegħu, sakemm ir-rabta
tal-kliem ma teħtieġx xort’oħra -

"amministratur" tfisser uffiċjal jew kull persuna li tiġi maħtura
biex twettaq funzjonijiet ta’ rappreżentanza u fiduċjarji fil-kontroll u
amministrazzjoni ta’ organizzazzjoni ġuridika, u kull persuna li
twettaq tali funzjonijiet ukoll jekk taħt isem ieħor, iżda ma tinkludix
amministratur tekniku jew aġent residenti taħt dan l-Att jew taħt l-Att
tal-2018 dwar l-Attiv Finanzjarju Virtwali, u l-frażi "bord ta’
amministrazzjoni" għandha tinftiehem skont hekk;
"amministratur tekniku" tfisser persuna li, abbażi ta’ inġagg bil-
miktub, taċċetta li twettaq funzjonijiet speċifiċi fir-rigward tal-
operazzjoni, kollha jew ta’ parti msemmija tagħha, tas-sistema, kif
stabbiliti f’dan l-Att, f’linji gwida maħruġin mill-Awtorità, kif dawn
jistgħu jiġu supplimentati bil-kondizzjonijiet applikabbli għaċ-
ċertifikazzjoni tal-arranġament ta’ teknoloġija innovattiva ċċertifikat
partikolari;
"arranġament ta’ teknoloġija innovattiva" tfisser arranġament
elenkat fl-Ewwel Skeda;
"dan l-Att" tfisser Att tal-2018 dwar Arranġamenti u Servizzi ta’
Teknoloġija Innovattiva, u tinkludi regolamenti magħmulin, u regoli
u linji gwida maħruġin taħtu sakemm ir-rabta tal-kliem ma teħtieġx
xort’oħra;

Innovazzjoni Diġitali ta’ Malta u tinkludi regolamenti magħmulin, u
regoli u linji gwida maħruġin taħtu sakemm ir-rabta tal-kliem ma
teħtieġx xort’oħra;

"awditur" tfisser awditur ta’ sistemi ta’ arranġamenti ta’
teknoloġija innovattiva u smart contracts li għandhom x’jaqsmu
magħhom rikonoxxuti taħt dan l-Att;
Kap. 281.
"awditur ta’ sistemi" tfisser persuna li, abbażi ta’ ingaġġ bil-
miktub taċċetta li tirrevedi u, jew tivverifika arranġamenti ta’
teknoloġija innovattiva u smart contracts jew partijiet minnhom li
mhux neċessarjament tkun accountant jew awditur b’ċertifikat biex
wieħed jipprattika taħt l-Att dwar il-Professjoni tal-Accountancy;
"Awtorità" tfisser l-Awtorità dwar l-Innovazzjoni Diġitali ta’
Malta stabbilita bl-Att MIDA u kull referenza għall-Awtorità
għandha, sakemm ir-rabta tal-kliem ma teħtieġx xort’oħra, tinftiehem
bħala li tinkludi kull persuna awtorizzata mill-Awtorità biex taġixxi
f’isimha;
"awtoritajiet kompetenti nazzjonali" tfisser awtoritajiet,
dipartimenti, aġenziji jew diviżjonijiet tal-Gvern jew entitajiet
governattivi li jwettqu funzjonijiet ta’ superviżjoni, regolatorji jew ta’
verifika fuq persuni li japplikaw għal kwalunkwe forma ta’ għarfien
taħt liġi applikabbli;
"Ministru" tfisser il-Ministru għall-Ekonomija Diġitali;
"servizz ta’ teknoloġija innovattiva" tfisser servizz elenkat fit-
Tieni Skeda, u "provditur ta’ servizz ta’ teknoloġija innovattiva"
għandha tinftiehem skont hekk;
TAQSIMA II
Prinċipji ta’ Għarfien
Kamp ta’
applikazzjoni
tal-Att.
3. (1) L-Awtorità għandha tamministra d-dispożizzjonijiet
ta’ dan l-Att skont il-prinċipji ta’ gwida u konformement mal-
objettivi regolatorji stabbiliti bl-Att MDIA. Id-dispożizzjonijiet
kollha tal-Att MDIA għandhom japplikaw fir-rigward ta’ persuni li
huma rikonoxxuti taħt dan l-Att, inkluż mingħajr limitazzjonijiet
safejn jirrigwarda s-setgħat vestiti fl-Awtorità li għandhom x’jaqsmu
ma’ għarfien u awtorizzazzjonijiet jew iċ-ċaħda tagħhom,
investigazzjoni, u infurzar kif ukoll fir-rigward ta’ azzjonijiet
regolatorji li jistgħu jittieħdu.
(2) Dan l-Att jipprovdi għal diversi metodi ta’ għarfien li l-
Awtorità tista’ testendi għal tipi varji ta’ arranġamenti ta’ teknoloġija
innovattiva u servizzi ta’ teknoloġija innovattiva kif hemm referenza
għalihom fl-Iskedi u dan skont id-dispożizzjonijiet ta’ dan l-Att.
(3) Sakemm ma jkollux il-funzjonijiet u, jew il-karatteristiċi

msemmija fl-Iskeda, għandu jkun preżunt li t-tip jew klassi ta’
arranġament jew servizz ta’ teknoloġija innovattiva ma jkunx
eliġibbli għal għarfien mill-Awtorità taħt dan l-Att.
(4) Fil-każ li jkun hemm dubju raġjonevoli dwar jekk -
(a) arranġament ta’ teknoloġija innovattiva jew servizz
ta’ teknoloġija innovattiva għandux il-funzjonijiet u, jew il-
karatteristiċi msemmija jew jekk jaqax taħt it-tip jew klassi ta’
arranġamenti jew servizzi msemmija fl-Iskeda;
(b) arranġament huwiex suffiċjentement simili fil-kamp
ta’ applikazzjoni u funzjonalità għal arranġament ta’ teknoloġija
innovattiva kif imfisser f’dan l-Att; jew
(ċ) l-arranġament jinkudix, iżda mhuwiex magħmul
biss minn, arranġament ta’ teknoloġija innovattiva,
l-Awtorità tista’, fuq applikazzjoni bil-miktub għal deċiżjoni fir-
rigward ta’ xi arranġament ta’ teknoloġija innovattiva jew xi servizz
ta’ teknoloġija innovattiva partikolari, toħroġ deċiżjoni li tikkonferma
jew tiċħad l-applikazzjoni, f’parti minnha jew għal kollox.
Fil-każ ta’ konferma, l-arranġament ta’ teknoloġija
innovattiva jew is-servizz ta’ teknoloġija innovattiva rilevanti għandu
b’hekk jitqies li għandu l-funzjonijiet u, jew il-karatteristiċi
msemmija jew li hu tat-tip jew klassi ta’ arranġamenti jew servizzi
elenkati fl-Iskedi u l-applikant jista’ jipproċedi b’applikazzjoni għal
għarfien taħt id-dispożizzjonijiet ta’ dan l-Att.
(5) Id-deċiżjoni mill-Awtorità li tiċħad applikazzjoni taħt dan
l-artikolu għandha tkun soġġetta għal reviżjoni jew appell mit-
Tribunal taħt id-dispożizzjonijiet tal-Att MDIA u fil-każ ta’
determinazzjoni negattiva tal-appell, l-arranġament ta’ teknoloġija
innovattiva jew is-servizz ta’ teknoloġija innovattiva partikolari ma
jkunx eliġibbli għal għarfien sakemm tali arranġament ta’ teknoloġija
innovattiva jew servizz ta’ teknoloġija innovattiva partikolari ma
jiġix modifikat sabiex jinkwadra fil-kamp ta’ applikazzjoni tal-Iskedi
jew sa dak iż-żmien li l-Iskedi jiġu emendati biex jinkludu tali tip jew
klassi.

4. Sakemm ma jkunx espressament dikjarat f’dispożizzjoni
ta’ dan l-Att jew f’xi liġi speċjali oħra, xejn f’dan l-Att ma għandu
jitqies bħala li jeżenta xi provditur ta’ arranġament ta’ teknoloġija
innovattiva jew ta’ xi servizz ta’ teknoloġija innovattiva mid-
dispożizzjonijiet ta’ xi liġi oħra, inklużi liġijiet regolatorji li jeħtieġu
awtorizzazzjonijiet jew approvazzjonijiet simili:

Iżda, abbażi tal-prinċipji ta’ simplifikazzjoni u l-evitar tad-
duplikazzjoni, fil-każ li ħtieġa taħt dan l-Att hi simili fil-kamp ta’
applikazzjoni għal dik taħt xi liġi oħra u ġiet sodisfaċentement
osservata mill-applikant, l-Awtorità għandha, jekk ikun neċessarju
bil-kunsens bil-miktub tal-applikant, tikkordina mal-awtoritajiet
kompetenti nazzjonali l-oħra u toqgħod fuq is-sottomissjonijiet u
proċessi li qed jiġu mwettqa mill-awtoritajiet l-oħra fit-twettiq tad-
dmirijiet tagħha taħt dan l-Att.
Applikazzjoni-
jiet.
5. (1) Kull persuna li tixtieq tikseb għarfien għal xi
arranġament ta’ teknoloġija innovattiva jew xi servizz ta’ teknoloġija
innovattiva kif imsemmi fl-Iskedi tista’ tapplika għand l-Awtorità
billi tagħmel użu mill-formuli preskritti rilevanti maħruġin mill-
Awtorità għal dak il-għan jew, fl-assenza ta’ formula preskritta,
b’applikazzjoni bil-miktub li tipprovdi l-informazzjoni meħtieġa
mill-Awtorità għal dak il-għan b’referenza għas-suġġett tal-
applikazzjoni.
(2) Applikant għandu jipprovdi l-informazzjoni, id-
dokumentazzjoni u l-assikurazzjonijiet kollha li jistgħu jkunu
meħtieġa mill-Awtorità biex l-Awtorità tkun tista’ tikkunsidra kull
applikazzjoni u tiddetermina l-adattabilità tal-applikant biex jiġi
rikonoxxut, skont l-arranġament ta’ teknoloġija innovattiva jew is-
servizz ta’ teknoloġija innovattiva li hu s-suġġett tal-applikazzjoni.
(3) Ladarba jiġi rikonoxxut, l-applikant, jew jekk differenti, il-
persuna li lilha nħareġ l-għarfien, ikunu marbuta li jissodisfaw il-
kondizzjonijiet kollha preskritti b’dan l-Att u bl-Att MDIA, ir-
regolamenti kif ukoll xi regoli jew strumenti regolatorji oħra fis-seħħ
għaż-żmien kollu li l-għarfien jibqa’ fis-seħħ.
Reġistru ta’
għarfien.
6. (1) L-Awtorità għandha żżomm reġistru, hawn iżjed ’il
quddiem imsejjaħ ''ir-Reġistru'', tal-għarfien kollu maħruġ jew
miksub taħt dan l-Att u dan skont l-artikolu 27(5) tal-Att MDIA.
(2) Ir-Reġistru jkun maqsum f’tali taqsimiet, u kull taqsima
b’dawk il-klassijiet, kif l-Awtorità tiddetermina minn żmien għal
żmien, sabiex ikunu rappreżentati t-tipi differenti ta’ għarfien mogħti
lil applikanti.
(3) Ir-Reġistru għandu jipprovdi d-dettalji kollha kif l-
Awtorità tikkonsidra neċessarji għall-identifikazzjoni tal-applikant
rilevanti u l-attivitajiet li qed jiġu mwettqa.
(4) Ir-Reġistru jkun disponibbli għall-pubbliku fuq is-sit tal-
web tal-Awtorità.

TAQSIMA III
Ċertifikazzjoni ta’ Arranġamenti ta’ Teknoloġija Innovattiva
Prinċipji li
għandhom
x’jaqsmu ma’
ċertifikazzjoni.
7. (1) L-Awtorità tista’ tiċċertifika arranġamenti differenti
ta’ teknoloġija innovattiva għal għan speċifikat, wieħed jew aktar, fi
fir-rigward ta’ -
(a) kwalità;
(b) karatteristika;
(ċ) attribut;
(d) imġiba; jew
(e) aspett,
speċifikat, wieħed jew aktar, kif jista’ jiġi speċifikat mill-Awtorità, li
għandu jiġi dikjarat fiċ-ċertifikazzjoni.
(2) Il-ħruġ ta’ ċertifikat għal għan wieħed, kwalità u
karatteristika waħda, attribut wieħed u mġiba waħda jew xi aspett
ieħor la ma għandu jopera bħala ċertifikazzjoni għal għanijiet,
kwalitajiet u karatteristiċi, attributi u mġiba jew aspetti differenti u l-
anqas ma jkun ta’ xkiel għall-ħruġ ta’ ċertifikazzjonijiet oħra għal
għanijiet, kwalitajiet u karatteristiċi, attributi u mġiba jew aspetti
oħra.
(3) L-Awtorità tista’ minn żmien għal żmien tistabbilixxi linji
gwida dwar l-għanijiet, il-kwalitajiet u l-karatteristiċi, l-attributi u l-
imġiba jew aspetti li għalihom toħroġ, jew ma toħrogx,
ċertifikazzjonijiet u meta tkun qed tagħmel dan għandha tistabbilixxi
wkoll l-bażi għal ċertifikazzjonijiet u ċaħda partikolari.
Għandha wkoll tistabbilixxi linji gwida fuq materji oħra
bħal ma huma l-proċessi ta’ reviżjoni u ż-żminijiet meta jsiru tali
reviżjonijiet sabiex iżżomm fis-seħħ iċ-ċertifikazzjonijiet li tista’
toħroġ.
(4) L-Awtorità tista’ tagħżel, u tagħmel pubblika dik l-għażla,
standards ta’ ċertifikazzjoni internazzjonali jew oħra li tista’ tafda
fuqhom meta toħroġ iċ-ċertifikazzjonijiet tagħha taħt dan l-Att.
(5) L-Awtorità tista’ temenda l-linji gwida fuq imsemmija
minn żmien għal żmien inkluż sabiex ittejjeb l-istandards kwalitattivi
tar-reviżjonijiet tagħha iżda tali emendi m’għandhomx, ħlief bil-
kunsens ta’ xi applikant b’applikazzjoni pendenti jew tad-detentur ta’

ċertifikazzjoni, jiġu fis-seħħ qabel ma jgħaddu għall-inqas sitt (6)
xhur mill-pubblikazzjoni ta’ dawk l-emendi u, fi kwalunkwe każ,
jkunu japplikaw biss mir-reviżjoni li jkun imiss taħt il-linji gwida
rilevanti minnufih wara li jiskadu l-imsemmija sitt (6) xhur.
(6) Ladarba jiġi ċċertifikat, arranġament ta’ teknoloġija
innovattiva għandu jingħata Ċertifikat taħt dan l-Att li jiddikjara d-
dettalji dwar kif l-arranġament ta’ teknoloġija innovattiva jiġi
identifikat, inklużi kull ċavetta pubblika jew isem tad-ditta, u ċ-
Ċertifikat għandu jingħata numru uniku għall-finijiet ta’
identifikazzjoni.
(7) L-arranġament ta’ teknoloġija innovattiva ċċertifikat
għandu jqiegħed iċ-Ċertifikat dwar l-arranġament f’post speċifiku li
għandu jiġi notifikat lill-Awtorità, f’format aċċessibbli faċilment u
leġibbli sabiex ikun jista’ jiġi spezzjonat u mifhum mill-utenti kollha
tal-arranġament ta’ teknoloġija innovattiva.
(8) Meta Ċertifikat jinħareġ favur arranġament ta’ teknoloġija
innovattiva għandu jkun preżunt li jirreferi għall-partijiet kollha tal-
arranġament li huma deskritti bħala li jikkostitwixxu l-arranġament
fl-applikazzjoni sakemm ma jkunx espressament dikjarat xort’oħra,
f’liema każ għandu jirreferi biss għall-partijiet speċifiċi msemmijin
bħala s-suġġett taċ-ċertifikazzjoni.

8. (1) Kull arranġament ta’ teknoloġija innovattiva
msemmi fl-Ewwel Skeda, jew li fir-rigward tiegħu l-Awtorità tkun
ħarġet deċiżjoni bil-miktub dwar l-eliġibilità taħt l-artikolu 3, jista’ fi
kwalunkwe żmien ikun is-suġġett ta’ applikazzjoni lill-Awtorità għal
ċertifikazzjoni.
(2) L-Awtorità tista’ tiċċertifika arranġament ta’ teknoloġija
innovattiva meta tkun sodisfatta li l-ħtiġiet ġenerali u speċifiċi
ta’ dan l-artikolu jkun ġew sodisfatti.
(3) Il-ħtiġiet ġenerali huma maħsuba biex jilħqu l-istandards
ta’ legalità, integrità, trasparenza, konformità u kontabilità stabbiliti
għal arranġamenti ta’ teknoloġija innovattiva mill-Awtorità li
jirriflettu l-prinċipji tal-Att MDIA u ta’ dan l-Att, u konferma li ma
tinħoloq l-ebda waħda miċ-ċirkostanzi msemmija fl-artikolu 29 tal-
Att MDIA, u għandhom jiġu valutati mill-Awtorità fuq il-bażi tar-
reviżjonijiet tagħha stess tal-persuni kollha involuti, id-
dokumentazzjoni kollha disponibbli u s-software li għandha aċċess
għalih bħal ma jista’ jkollu kull utent tiegħu.
(4) Il-ħtiġiet speċifiċi għandhom jistabbilixxu għas-
sodisfazzjon tal-Awtorità li:

(a) l-arranġament ta’ teknoloġija innovattiva huwa
idoneu u xieraq għall-għanijiet li għalihom iddikjara li ġie
stabbilit u għandu l-kwalitajiet, attributi, karatteristiċi, imġiba u
aspetti dikjarati wkoll; u meta jkun ikkontrollat minn
organizzazzjoni ġuridika:
(i) li kull amministratur ta’ tali organizzazzjoni,
jekk ikun hemm, huwa persuna idonea u xierqa biex
twettaq il-funzjonijiet tagħha bħala amministratur; u
(ii) jekk hemm azzjonisti f’xi organizzazzjoni
ġuridika li hi s-sid ta’ jew tikkontrolla l-arranġament ta’
teknoloġija innovattiva, li kull azzjonist li għandu iktar
minn ħamsa u għoxrin fil-mija (25%) tal-azzjonijiet jew
interessi ta’ sjieda fl-imsemmija organizzazzjoni
ġuridika jew li, permezz tad-dispożizzjonijiet tal-istatut,
għandu drittijiet speċjali ta’ vot jew drittijiet oħra li
jippermettu li jeżerċita kontroll effettiv fuq l-attivitajiet
tal-organizzazzjoni ġuridika, (minn hawn ’il quddiem
imsejjaħ "azzjonist kwalifikanti") ikun persuna idonea u
xierqa bla ħsara għad-dispożizzjonijiet iktar dettaljati
tar-Raba’ Skeda;
(b) is-software li jikkomprendi l-arranġament ta’
teknoloġija innovattiva, jew tali partijiet minnu li huma
msemmija f’regoli applikabbli jew xort’oħra bil-miktub mill-
Awtorità, ġie rivedut minn awditur reġistrat ta’ sistemi, jew
awdituri reġistrati ta’ sistemi, li huma indipendenti mill-persuni
kollha li huma s-sidien ta’, jamministraw, joperaw jew huma
mod ieħor involuti fl-arranġament ta’ teknoloġija innovattiva, u
l-Awtorità ingħatat assikurazzjoni pożittiva mill-awditur ta’
sistemi, jew jekk iktar minn wieħed, minn kull awditur ta’
sistemi, fir-rigward tal-kwistjoni tal-verifika u reviżjoni li
għalihom ikun ġie ingaġġjat.
L-awditur ta’ sistemi għandu jikkonferma li l-
arranġament ta’ teknoloġija innovattiva jilħaq l-istandards
raġjonevoli fir-rigward ta’ -
(i) l-għanijiet, il-kwalitajiet, il-karatteristiċi, l-
attributi, l-imġiba jew l-aspetti speċifiċi tal-arranġamenti
ta’ teknoloġija innovattiva;
(ii) kull awtorizzazzjoni jew setgħa mogħtija -
(A) lill-Awtorità jew lil xi awtorità kompetenti
nazzjonali oħra, jekk ikun hemm; jew

(B) lill-amministratur tekniku; jew
(Ċ) lill-arranġament ta’ teknoloġija
innovattiva stess,
jeżistu kif dikjarat u joperaw kif maħsub; u
(iii) konformità ma’ xi regoli u regolamenti
magħmulin taħt dan l-Att u xi linji gwida maħruġa mill-
Awtorità applikabbli għat-tip partikolari ta’ arranġament
ta’ teknoloġija innovattiva, kif ukoll ma’ kull
kondizzjoni stabbilita mill-Awtorità fil-każ partikolari.
L-Awtorità tista’ fid-diskrezzjoni tagħha,
kumulattivament jew alternattivament, teħtieġ livell għoli ta’
reviżjoni jew verifika tal-karatteristiċi tal-arranġament ta’
teknoloġija innovattiva meta l-għanijiet, l-imġiba jew l-aspetti
speċifiċi tal-arranġament ta’ teknoloġija innovattiva:
(i) jeħtieġ li jiġu kkunsidrati b’mod olistiku
minħabba fil-komplessità tiegħu; jew
(ii) mhumiex suxxettibbli għal reviżjoni speċifika
jew assikurazzjonijiet għal raġunijiet aċċettabbli għall-
Awtorità, għar-reviżjoni u assikurazzjoni msemmija
hawn qabel;
u f’każijiet bħal dawn il-livell ta’ reviżjoni jew verifika u l-
assikurazzjonijiet relattivi għandhom jiġu espressament
dikjarati fiċ-ċertifikazzjoni u riflessi b’mod prominenti fuq is-sit
tal-web tal-applikant, jekk ikun hemm, fl-arranġament ta’
teknoloġija innovattiva u fir-Reġistru tal-Awtorità;
(ċ) l-arranġament ta’ teknoloġija innovattiva għandu
amministratur tekniku reġistrat fil-kariga l-ħin kollu, u li hu
kapaċi juri lill-Awtorità l-kapaċità tal-arranġament ta’
teknoloġija innovattiva li jissodisfa -
(i) il-prerekwiżiti kollha għaċ-ċertifikazzjoni li
tista’ tiġi mogħtija lilu taħt dan l-Att;
(ii) jilħaq standards fuq bażi kontinwa u li
jindirizza kwistjonijiet kritiċi kif huma msemmija fil-
linji gwida, jekk ikun hemm, mill-Awtorità fil-każ li
dawn iseħħu;
(iii) il-kapaċità tiegħu li jvarja parametri jew
funzjonalitajiet fejn l-objettiv tas-sistema hu li jiġu

indirizzati ħtiġiet legali mandatorji li jistgħu
raġjonevolment jitbassru li jinbidlu tul iż-żmien; u
(iv) għal dak li jirrigwarda materji, jekk ikun hemm,
li fuqhom -
(A) l-amministratur tekniku;
(B) l-Awtorità jew awtoritajiet kompetenti
nazzjonali oħra; jew
(Ċ) xi persuna oħra msemmija,
jistgħu jingħataw id-diskrezzjoni jew jistgħu jkunu
meħtieġa li jintervjenu u li huma indirizzati mis-
software, l-awtorizzazzjonijiet jew setgħat kollha
meħtieġa biex jitwettqu dawk l-interventi jeżistu u
joperaw kif maħsuba;
(d) l-arranġament ta’ teknoloġija innovattiva hu
f’pożizzjoni li -
(i) jkun konformi ma’ u josserva kull regola u
regolament dwar awtorizzazzjoni għal teknoloġija
innovattiva applikabbli għalih, kull linja gwida maħruġa
mill-Awtorità kif ukoll kull kondizzjoni stabbilita mill-
Awtorità fil-każ partikolari; u
(ii) jwettaq kull obbligu impost fuqu b’liġi
applikabbli, inklużi dawk li għandhom x’jaqsmu mal-
prevenzjoni ta’ ħasil ta’ flus u l-finanzjament tat-
terroriżmu, il-protezzjoni ta’ data personali, ir-rispett
tad-drittijiet ta’ konsumaturi u liġijiet oħra mandatorji; u
(iii) għandu karatteristiċi ta’ teknoloġija fih stess,
sabiex l-amministratur tekniku jkun jista’ jintervjeni
b’mod trasparenti u effettiv fil-każ li jkun hemm -
(A) kawża materjali ta’ telf għal xi utent; jew
(B) ksur materjali tal-liġi,
sabiex jiġi żgurat li l-kawża ta’ telf jew il-ksur tal-liġi
jiġu indirizzati b’mod sodisfaċenti skont l-aħjar
kapaċitajiet tiegħu u biex jiġi żgurat li ma tiġrix jew ma
terġax tiġri, u fil-każ ta’ nuqqas mhux ġustifikabbli min-
naħa tal-amministratur tekniku, bl-intervent tal-
Awtorità;

(e) l-għanijiet, kwalitajiet, karatteristiċi, attributi,
limitazzjonijiet, kondizzjonijiet, pattijiet dwar is-servizz, u
mġiba jew aspetti speċifiċi tal-arranġamenti rilevanti ta’
teknoloġija innovattiva li abbażi tagħhom utent hu mistieden
jipparteċipa jew joqgħod fuq jew juża l-arranġament ta’
teknoloġija innovattiva huma mniżżlin bl-ilsien Ingliż f’format
li hu faċilment aċċessibbli u inteliġibbli. Dwar il-materji li
huma mniżżlin, fil-każ ta’ konflitt bejn l-ilsien Ingliż u l-kodiċi
sottostanti tal-arranġament ta’ teknoloġija innovattiva, għandu
jipprevali l-ilsien Ingliż. Fejn l-applikant jixtieq juża ilsna
multipli għal dan il-għan, fil-każ ta’ konflitt bejn l-ilsna, għandu
jipprevali l-ilsien Ingliż.
(5) Fil-każ ta’ -
(a) DLTs jew arranġamenti oħra ta’ teknoloġija
innovattiva li jkunu qed joperaw, jew jkunu fi stadju ta’ żvilupp
avvanzat ħafna, fid-data tal-bidu fis seħħ ta’ dan l-Att; u
(b) DLTs miftuħa, pubbliċi u li m’għandhomx permessi,
u arranġamenti oħra simili ta’ teknoloġija innovattiva,
fejn il-konformità ma’ xi waħda mill-ħtiġiet imsemmija f’dan l-
artikolu mhijiex prattikabbli fi żminijiet qosra minħabba fi sfidi
tekniċi kif jiġi konfernat mill-awditur ta’ sistemi reġistrat taħt dan l-
Att, jekk l-Awtorità tikkonsidra li ċ-ċirkostanzi tal-każ huma xierqa,
l-Awtorità tista’ abbażi tar-rakkomandazzjoni tal-imsemmi awditur
ta’ sistemi u bi qbil mal-applikant tidentifika -
(a) il-kwistjonijiet li dwarhom m’kemmx konformità
mal-ħtiġiet legali msemmija f’dan l-artikolu
(b) il-materji li għandhom jiġu megħluba sabiex dawk
il-kwistjonijiet jiġu indirizzati;
(ċ) il-mod li bih dawk il-kwistjonijiet għandhom jiġu
indirizzati sabiex jissodisfaw lill-Awtorità dwar konformità ma’
dan l-artikolu; u
(d) il-perjodu ta’ żmien li matulu l-kwistjonijiet ser jiġu
indirizzati,
u tipproċedi biex toħroġ ċertifikazzjoni tal-imsemmi arranġament ta’
teknoloġija innovattiva bil-kondizzjoni ta’ konformità f’perjodi ta’
żmien maqbula mal-applikant u bla ħsara għall-kondizzjoni
addizzjonali li awditur ta’ sistemi li ġie reġistrat taħt dan l-Att u li
jkollu tali għarfien fil-ħinijiet kollha rilevanti joħroġ assikurazzjoni

pożittiva li l-azzjonijiet u modifiki neċessarji għall-arranġament ta’
teknoloġija innovattiva jkunu saru sabiex jinkisbu l-eżiti li hemm qbil
dwarhom u konformità ma’ dan l-artikolu.
Il-kondizzjoni għandha tiġi reġistrata fiċ-ċertifikazzjoni.
(6) Meta l-Awtorità tipproċedi biex tiċċertifika l-arranġament
ta’ teknoloġija innovattiva taħt dan l-Att hi għandha tniżżel ismu fir-
Reġistru ta’ arranġamenti rikonoxxuti ta’ teknoloġija innovattiva, taħt
dik il-kategorija kif tista’ tiddetermina.
(7) Il-provdituri ta’ servizzi ta’ teknoloġija innovattiva hawn
qabel imsemmija għandhom jiġu maħtura minn xi persuna li tkun
applikant, żviluppatur jew sid tal-arranġament ta’ teknoloġija
innovattiva jew fil-każ fejn l-arranġament ta’ teknoloġija innovattiva
jinżamm f’organizzazzjoni ġuridika, mir-rappreżentant legali tal-
organizzazzjoni.
(8) Meta arranġament ta’ teknoloġija innovattiva jinżamm
f’organizzazzjoni ġuridika, kemm jekk ikollha personalità ġuridika
kemm jekk le, iċ-ċertifikazzjoni għandha ssir f’isem l-
organizzazzjoni ġuridika u fejn ma tikkwalifikax bħala
organizzazzjoni ġuridika, iċ-Ċertifikat għandu jsir f’isem
amministratur tekniku, li jkun ġie reġistrat taħt dan l-Att u li jżomm
fis-seħħ dak l-għarfien fiż-żmien kollu rilevanti, li jkun ġie ingaġġjat
fir-rigward tal-arranġament ta’ teknoloġija innovattiva.
TAQSIMA IV
Reġistrazzjoni ta’ Provdituri ta’ Servizz
Prinċipji li
għandhom
x’jaqsmu ma’
reġistrazzjoni.
9. (1) L-Awtorità tista’ taċċetta li tirreġistra persuni li
jipprovdu servizzi differenti ta’ teknoloġija innovattiva kif ikun
dikjarat fir-reġistrazzjoni. Ir-reġistrazzjoni għall-għoti ta’ tip wieħed
ta’ servizz ma twaqqafx ir-reġistrazzjoni tal-istess persuna li
tipprovdi tipi oħra ta’ servizzi.
(2) L-Awtorità għandha minn żmien għal żmien tistabbilixxi
linji gwida dwar l-għanijiet li għalihom tirreġistra provdituri ta’
servizz ta’ teknoloġija innovattiva u waqt li tagħmel dan għandha
wkoll tistabbilixxi l-ħtiġiet għal reġistrazzjonijiet partikolari.
Għandha wkoll tistabbilixxi aspetti oħra bħal ma huma l-proċessi ta’
reviżjoni u ż-żminijiet meta għandhom isiru tali reviżjonijiet sabiex
jinżammu fis-seħħ reġistrazzjonijiet li tista’ taċċetta.
(3) L-Awtorità tista’ tagħżel, u tagħmel pubblika dik l-għażla,
standards ta’ servizz internazzjonali jew oħra li tista’ tafda fuqhom
meta tikkonsidra reġistrazzjoni ta’ provdituri ta’ servizzi taħt dan l-

(4) L-Awtorità tista’ temenda l-linji gwida fuq imsemmija
minn żmien għal żmien inkluż sabiex ittejjeb l-aspetti kwalitattivi jew
l-għanijiet tar-reviżjonijiet tagħha iżda tali emendi m’għandhomx jiġu
fis-seħħ qabel ma jgħaddu għall-inqas sitt (6) xhur mill-
pubblikazzjoni ta’ dawk l-emendi u, fi kwalunkwe każ, jkunu
japplikaw biss mir-reviżjoni li jkun imiss taħt il-linji gwida rilevanti
minnufih wara li jiskadu l-imsemmija sitt (6) xhur.
(5) Ladarba jkun ġie reġistrat, provditur ta’ servizz għandu
jingħata Ċertifikat ta’ Reġistrazzjoni li jiddikjara ismu u l-indirizz
tiegħu u jkollu numru uniku għall-għanijiet ta’ identifikazzjoni u
għandu jelenka l-klassi jew klassijiet ta’ servizzi li l-applikant ġie
reġistrat biex jipprovdi.
(6) Il-provditur reġistrat ta’ servizz għandu jqiegħed iċ-
Ċertifikat ta’ Reġistrazzjoni fuq is-sit tal-web tiegħu, jekk ikollu, kif
ukoll fuq kull arranġament ta’ teknoloġija innovattiva li lilu jagħti s-
servizzi tiegħu u dan għandu jitqiegħed fuqu f’format faċilment
aċċessibbli u leġibbli sabiex ikun jista’ jinqara u jinftiehem mill-
utenti kollha tal-arranġament ta’ teknoloġija innovattiva.
Servizz ta’

(7) Ir-reġistrazzjoni ta’ provditur ta’ servizz ta’ teknoloġija
innovattiva tista’ ssir fir-rigward ta’ persuni, li jkunu individwi jew
organizzazzjonijiet ġuridiċi, kemm jekk ikollhom personalità
ġuridika jew le, u tista’ ssir -
(a) personalment;
(b) permezz tar-riżorsi tal-organizzazzjoni;
(ċ) permezz ta’ delegati approvati mill-Awtorità;
(d) permezz ta’ sistemi ta’ teknoloġija:
Iżda fil-każijiet imsemmija fil-paragrafi (b) u (ċ), minbarra
l-isem tal-provditur reġistrat tas-servizzi ta’ teknoloġija innovattiva
approvat mill-Awtorità, l-individwu li jkun approvat biex jipprovdi s-
servizzi jkun imsemmi wkoll fiċ-ċertifikazzjoni.
Servizzi ta’

10. (1) Kull provditur ta’ servizz ta’ teknoloġija innovattiva
li hu msemmi fit-Tieni Skeda, jew li fir-rigward tiegħu l-Awtorità
tkun ħarġet deċiżjoni bil-miktub dwar eliġibilità taħt l-artikolu 3,
jista’ fi kwalunkwe żmien japplika għand l-Awtorità biex jiġi reġistrat
taħt dan l-Att.
(2) L-Awtorità tista’ tirreġistra kull provditur ta’ servizz ta’

teknoloġija innovattiva meta tkun sodisfatta li l-provditur ta’ servizz
ta’ teknoloġija innovattiva:
(a) hu idoneu u xieraq biex jpprovdi s-servizzi li
jiddikjara li qed jipprovdi jew li biħsiebu jipprovdi u, meta jkun
organizzat bħala organizzazzjoni ġuridika, kull azzjonist li
jkollu iktar minn ħamsa u għoxrin fil-mija (25%) tal-azzjonijiet
li għandhom vot ikun persuna idonea u xierqa u kull
amministratur ta’ tali organizzazzjoni ġuridika jkun persuna
idonea u xierqa biex twettaq dawk l-attivitajiet jew funzjonijiet
jew ir-rwol li dik il-persuna jkollha fir-rigward tal-
organizzazzjoni ġuridika:
(b) għandu l-kwalifiki u, jew l-esperjenza li l-Awtorità
teħtieġ għal reġistrazzjoni bħala provditur ta’ servizzi fil-klassi
partikolari li dwarha saret l-applikazzjoni,
(ċ) għandu riżorsi tekniċi suffiċjenti jew appoġġ minn
parti terza, personalment, permezz ta’ delegati jew permezz ta’
sistemi awtomattizzati, u hu f’pożizzjoni biex ikun konformi
ma’ u josserva r-regoli u regolamenti dwar awtorizzazzjoni għal
teknoloġija innovattiva applikabbli għalih, kull linja gwida
maħruġa mill-Awtorità kif ukoll kull kondizzjoni stabbilita mill-
Awtorità fil-każ partikolari.
(3) L-Awtorità m’għandhiex tirreġistra provditur ta’ servizz
ta’ teknoloġija innovattiva jekk jinħolqu ċ-ċirkostanzi msemmija fl-
artikolu 29 tal-Att MDIA.
(4) Meta l-Awtorità tipproċedi biex tirreġistra l-provditur ta’
servizz ta’ teknoloġija innovattiva taħt dan l-Att, għandha ddaħħal
ismu fir-Reġistru ta’ provdituri rikonoxxuti ta’ servizz ta’ teknoloġija
innovattiva, taħt dik il-kategorija li tista’ tiddetermina.
(5) Meta provditur ta’ servizz ta’ teknoloġija innovattiva ġie
kostitwit bħal organizzazzjoni ġuridika, kemm jekk b’personalità
ġuridika kemm jekk le, ir-reġistrazzjoni għandha ssir f’isem l-
organizzazzjoni ġuridika u fejn is-servizz jingħata personalment minn
tali provditur ta’ servizz, ir-reġistrazzjoni għandha ssir f’isem il-
provditur innifsu.

(6) Provdituri ta’ servizz ta’ teknoloġija innovattiva reġistrati
taħt id-dispożizzjonijiet ta’ dan l-artikolu għandhom jitqiesu li huma
professjonisti li jaġixxu bħala fiduċjarji fir-rigward ta’ informazzjoni
sottomessa lilhom minn xi klijenti u jkunu wkoll marbutin bid-
dispożizzjonijiet tal-Att dwar is-Segretezza Professjonali u għandhom
jaġixxu skont hekk.

Prinċipji ta’

11. (1) Kull provditur ta’ servizz ta’ teknoloġija innovattiva
u kull persuna li tista’ tiġi msemmija biex twettaq xi rwol f’xi
arranġament ta’ teknoloġija innovattiva, ukoll jekk ma tkunx
rikonoxxuta taħt dan l-Att, għandha tirrispetta l-prinċipji li ġejjin
dwar l-aħjar prattika fir-rigward tal-attivitajiet tagħha.
(2) Fit-twettiq tal-operazzjonijiet tagħha, hi għandha:
(a) tmexxi n-negozju tagħha b’onestà u integrità;
(b) tieħu f’konsiderazzjoni dovuta d-drittijiet, interessi
u ħtiġiet ta’ kull wieħed mill-klijenti tagħha u għandha
tikkomunika magħhom b’mod li jkun ġust, ċar u mhux qarrieqi;
(ċ) timmaniġġa u tikkontrolla n-negozju tagħha b’mod
effettiv, u tmexxi n-negozju tagħha bil-ħila, kura u diliġenza
dovuta; u
(d) ikollha arranġamenti fis-seħħ, permezz ta’ riżorsi
umani, inklużi delegati u kuntratturi terzi, riżorsi finanzjarji kif
ukoll faċilitajiet ta’ teknoloġija biex tkun tista’ tosserva l-
obbligi operattivi u ta’ konformità tagħha.
TAQSIMA V
Dispożizzjonijiet Mixxellanji
Dmir dwar
avviż ta’ bidliet.
12. (1) Kull persuna li ġiet rikonoxxuta wara li tkun saret
applikazzjoni taħt dan l-Att u li jkollha -
(a) Ċertifikat għal arranġament ta’ teknoloġija
innovattiva;
(b) Ċertifikat ta’ Reġistrazzjoni bħala provditur ta’
servizz ta’ teknoloġija innovattiva; jew
(ċ) xi forma oħra ta’ għarfien li tinħareġ mill-Awtorità,
għandha tipprovdi lill-Awtorità dettalji dwar bidliet materjali fl-
informazzjoni mogħtija lill-Awtorità fil-proċessi ta’ applikazzjoni
taħt dan l-Att fi żmien tletin (30) ġurnata mis-seħħ ta’ tali bidliet.
Għall-finijiet ta’ dan l-artikolu "bidliet materjali" fir-
rigward ta’ arranġament ta’ teknoloġija innovattiva għandhom
jinkludu:
(a) kull alterazzjoni ta’ xi wieħed mis-software li dwaru
ingħatat assikurazzjoni minn awditur ta’ sistemi;

(b) kull żvilupp li jibdel id-drittijiet ta’ utenti;
(ċ) kull żvilupp li jibdel id-drittijiet, l-awtorizzazzjoni u
s-setgħat tal-amministratur tekniku jew tal-Awtorità; u
(d) kull bidla fl-amministratur tekniku.
Barra minn dan, b’mod ġenerali tiġi konsidrata li tinkludi:
(a) kull bidla f’amministratur ta’ organizzazzjoni
ġuridika rilevanti;
(b) kull bidla f’azzjonist kwalifikanti;
(ċ) kull bidla fil-persuna li b’referenza għaliha ġiet
maħruġa ċertifikazzjoni jew ġie maħruġ Ċertifikat ta’
Reġistrazzjoni; u
(d) kull ħaġa oħra li tiġi dikjarata mill-Awtorità li hi
materjali f’linji gwida li jinħarġu minn żmien għal żmien.
(2) Safejn jirrigwarda arranġament ta’ teknoloġija innovattiva,
id-detentur ta’ Ċertifikat għandu jipprovdi wkoll lill-Awtorità
dikjarazzjoni minn awditur reġistrat ta’ sistemi u minn amministratur
tekniku reġistrat li huma konxji tal-bidliet materjali li saru għall-
informazzjoni li preċedentement ingħatat lill-Awtorità u li tali bidliet
ma jaffettwawx il-kontenut tar-reviżjoni, assikurazzjonijiet jew
dikjarazzjonijiet tagħhom mogħtija lill-Awtorità għall-finijiet taċ-
ċertifikazzjoni tal-arranġament rilevanti ta’ teknoloġija innovattiva
jew, safejn il-bidliet jirriżulaw f’karatteristiċi addizzjonali li ma ġewx
riveduti u ma jaqawx fi ħdan il-parametri ta’ assikurazzjonijiet u
dikjarazzjonijiet eżistenti maħruġa minnhom kif meħtieġ bl-artikolu
8:
(a) l-awditur ta’ sistemi wettaq ir-reviżjoni kif meħtieġ
taħt l-imsemmi artikolu u jipprovdi l-assikurazzjonijiet
rilevanti; u
(b) l-amministratur tekniku ċċertifika l-bidliet u
jikkonferma l-kontinwazzjoni tal-validità tad-dikjarazzjoni
tiegħu maħruġa għall-għan taċ-ċertifikazzjoni tal-arranġament
ta’ teknoloġija innovattiva.
(3) Safejn jirrigwarda Ċertifikat ta’ Reġistrazzjoni bħala
provditur ta’ servizz ta’ teknoloġija innovattiva, id-detentur ta’
Ċertifikat ta’ Reġistrazzjoni għandu wkoll jipprovdi lill-Awtorità l-
informazzjoni kollha li tkun rilevanti sabiex l-Awtorità tkun tista’
taġġorna ċ-Ċertifikat ta’ Reġistrazzjoni bl-informazzjoni ġdida wara

li twettaq dawk il-proċessi li kienu jkunu applikabbli li kieku kienet
applikazzjoni ġdida fir-rigward ta’ informazzjoni ġdida.

13. (1) L-Awtorità għandha taġixxi b’mod miftuħ u
trasparenti meta tikkonsidra applikazzjonijiet u għandha tipprova
tipprovdi informazzjoni dwar il-progress ta’ applikazzjoni u, fil-każ
ta’ ċaħda, raġunijiet għal tali rifjut li tiġi aċċettata xi applikazzjoni
taħt dan l-Att.
(2) In-nuqqas li tieħu deċiżjoni dwar applikazzjoni fi żmien
tliet (3) xhur mill-applikazzjoni għandu jitqies bħala caħda u l-
applikant għandu jgawdi mid-drittijiet ta’ appell taħt l-Att MDIA
minn dik id-data.

14. (1) L-awtorizzazzjonijiet kollha taħt dan l-Att
għandhom jkunu għall-perjodi ta’ validità u effett kif imsemmi fit-
Tielet Skeda u għandhom jitqiesu li jiskadu fl-ewwel ġurnata ta’
xogħol wara l-anniversarju rilevanti tad-data tal-awtorizzazzjoni kif
jidher fuq iċ-ċertifikat li jikkonferma l-awtorizzazzjoni.
(2) Ikun id-dmir ta’ detentur ta’ awtorizzazzjoni ta’
teknoloġija innovattiva li jiżgura li l-awtorizzazzjoni tinżamm valida
u effettiva u tiġi mġedda għall-inqas fi żmien l-aħħar tliet xhur tal-
validità tagħha u fi kwalunkwe każ qabel ma tiskadi, billi:
(a) tiġi sottomessa l-informazzjoni dwar
assikurazzjonijiet, dikjarazzjonijiet u materjali oħra jew billi
jittieħdu tali azzjonijiet kif meħtieġa mill-Awtorità għat-tiġdid
tal-awtorizzazzjonijiet rilevanti u b’mod partikolari li juru li l-
applikant għadu f’konformità mal-Att u mal-kondizzjonijiet tal-
awtorizzazzjoni;
(b) fil-każ ta’ arranġamenti ta’ teknoloġija innovattiva,
jitwettqu l-verifiki u r-reviżjonijiet u jinkisbu d-dikjarazzjonijiet
neċessarji mill-awditur reġistrat u mill-amministratur tekniku
reġistrat; u
(ċ) jitħallsu lill-Awtorità d-drittijiet rilevanti.
Ħatra ta’ aġent
residenti.
15. (1) Meta l-persuni li jagħmlu applikazzjoni għal xi forma
ta’ għarfien mhumiex ordinarjament residenti f’Malta, tali applikant
hu meħtieġ li jaħtar bil-miktub qabel ir-reġistrazzjoni, aġent residenti
li -
(a) hu abitwalment residenti f’Malta;
(b) mhuwiex interdett jew inabilitat jew fallut mhux
rijabilitat;

(ċ) ma ġiex misjub ħati ta’ xi wieħed mir-reati li
jaffettwaw il-fiduċja pubblika jew ta’ serq jew frodi jew ħasil
ta’ flus jew li xjentement irċieva proprjetà miksuba b’serq jew
bi frodi; u
(d) issodisfa lill-Awtorità li hu persuna kapaċi li twettaq
il-funzjonijiet msemmija taħt dan l-Att.
(2) Id-detentur ta’ awtorizzazzjoni għal teknoloġija
innovattiva għandu jiżgura li jkollu aġent residenti validament maħtur
il-ħin kollu meta ma jkunx hemm persuna involuta fl-
amministrazzjoni tad-detentur li hu residenti f’Malta:
Iżda:
(a) jekk kemm l-arranġament ta’ teknoloġija
innovattiva kif ukoll l-amministratur tekniku maħtur
b’referenza għall-arranġament mhumiex residenti f’Malta, il-
ħatra ta’ aġent residenti għall-amministratur tekniku għandha
tissodisfa l-ħtieġa taħt dan l-artikolu wkoll għall-arranġament
ta’ teknoloġija innovattiva għal kemm idum ingaġġjat tali
amministratur tekniku u l-ingaġġ ta’ aġent residenti jkun
magħmul mill-amministratur tekniku wkoll għall-arranġament
ta’ teknoloġija innovattiva meta jiġi awtorizzat jagħmel hekk; u
(b) meta arranġament ta’ teknoloġija innovattiva hu
magħmul minn bosta partijiet kostitwenti - DLT u smart
contracts - li kull waħda minnhom tista’ tikseb ċertifikazzjoni
taħt dan l-Att, l-applikanti kollha jistgħu legalment isemmu l-
parti kostitwenti prinċipali u wara dan il-partijiet anċillari
kollha għandhom jitqiesu li jissodisfaw il-ħtiġiet ta’ dan l-
artikolu jekk l-ingaġġ tal-aġent residenti fir-rigward tal-parti
kostitwenti prinċipali jsemmi l-partijiet anċillari kollha u
jikkonferma li l-applikant hu awtorizzat jagħmel dan
b’referenza għall-imsemmija partijiet anċillari.
(3) Avviżi dwar il-ħatra, ir-riżenja jew it-tneħħija tal-aġent
residenti għandhom jiġu ppreżentati lill-Awtorità fil-formula
preskritta, u sa meta tali formula tinħareġ permezz ta’ notifika bil-
miktub u fejn jingħata avviż tal-ħatra dan għandu jkollu miegħu l-
aċċettazzjoni bil-miktub tal-aġent residenti dwar tali ħatra.
(4) L-Awtorità tista’ f’kull żmien tiċħad jew ma tilqax kull
avviż dwar ħatra li jidhrilha ma jkunx konformi ma’ dan l-Att u f’dan
il-każ l-applikant jew id-detentur ta’ awtorizzazzjoni għal teknoloġija
innovattiva, kif ikun il-każ, għandu minnufih jaħtar aġent resident
ieħor.

Funzjonijiet ta’
aġent residenti.
16. (1) Għandha tkun il-funzjoni ta’ aġent residenti, f’isem
id-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva, li -
(a) jaġixxi bħala l-kanal ta’ komunikazzjoni bejn id-
detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva u l-
Awtorità u dipartiment u awtoritajiet governattivi Maltin oħra;
(b) jiffirma u jippreżenta lill-Awtorità u dipartiment u
awtoritajiet governattivi Maltin oħra d-dikjarazzjonijiet u
formuli kollha meħtieġa skont il-liġi Maltija;
(ċ) jaġixxi bħala r-rappreżentant legali tad-detentur ta’
awtorizzazzjoni għal teknoloġija innovattiva fi proċeduri
ġudizzjarji f’Malta, u kull avviż kemm mill-Awtorità jew minn
xi awtorità oħra mibgħut lill-aġent residenti fl-aħħar indirizz
reġistrat tiegħu għandu jitqies li jkun ġie debitament riċevut
minn u notifikat lid-detentur ta’ awtorizzazzjoni għal
teknoloġija innovattiva.
(2) L-aġent residenti ma jkunx personalment responsabbli
għan-nuqqas ta’ konformità min-naħa tad-detentur ta’
awtorizzazzjoni għal teknoloġija innovattiva ma’ xi liġi, l-anqas għal
xi rappreżentazzjoni żbaljata magħmula f’sottomissjonijiet jew
dikjarazzjonijiet maħruġa mill-applikant, ukoll jekk awtentikati mill-
aġent residenti għall-finijiet tal-applikazzjoni jew xi liġi oħra,
sakemm l-aġent residenti ma jkunx assuma dik ir-responsabbiltà
għall-konformità personalment bil-miktub jew ikun hu stess għamel
dikjarazzjoni falza xjentement jew bi traskuraġni.
(3) L-aġent residenti ma għandu l-anqas ikun responsabbli
għal xi spejjeż tal-qorti, legali jew relatati fil-każ ta’ xi proċeduri
ġudizzjarji mibdija kontra tiegħu fil-kapaċità tiegħu bħala
rappreżentant legali tad-detentur ta’ arranġament ta’ teknoloġija
innovattiva jew xi wieħed mill-uffiċjali tiegħu, ikun min jkun li
ppreżenta l-każ.
Setgħat tal-
aġent residenti.
17. (1) Mingħajr preġudizzju għas-setgħat espressi li
jgawdi detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva fil-
ħatra tiegħu, l-aġent residenti jkollu s-setgħa, f’isem id-detentur ta’
awtorizzazzjoni għal teknoloġija innovattiva, li -
(a) jiffirma u jippreżenta applikazzjonijiet,
dikjarazzjonijiet, avviżi, prospetti u kull dokument ieħor
meħtieġ skont il-liġi Maltija;
(b) japplika għaċ-ċertifikazzjoni ta’ arranġament ta’
teknoloġija innovattiva jew għar-reġistrazzjoni ta’ provditur ta’
servizz ta’ teknoloġija innovattiva taħt dan l-Att jew għar-

revoka jew kanċellament ta’ awtorizzazzjoni, u li jwettaq kull
att anċillari fir-rigward tagħhom;
(ċ) iħallas id-drittijiet u taxxi relattivi kollha li
għandhom jitħallsu skont il-liġi Maltija;
(d) jagħmel l-affarijiet kollha li jistgħu jiġu kkunsidrati
bħala li jwasslu jew huma anċillari għaċ-ċertifikazzjoni jew
reġistrazzjoni jew xi forma oħra ta’ għarfien taħt dan l-Att jew
għaż-żamma ta’ tali għarfien;
(e) jawtentika dokumenti maħruġa mid-detentur ta’
awtorizzazzjoni għal teknoloġija innovattiva; u
(f) jirċievi notifika formali f’isem id-detentur ta’
awtorizzazzjoni ta’ teknoloġija innovattiva meta huma meħtieġa
notifiki taħt id-dispożizzjonijiet ta’ dan l-Att jew xi liġi oħra
jew xi ftehim:
Iżda fir-rigward ta’ kull awtorizzazzjoni bil-miktub,
ċertifikazzjoni jew ċertifikat ta’ reġistrazzjoni, waqt li ma jkunx
projbit li l-aġent residenti jieħu pussess u jżomm l-oriġinal għal
salvagwardja, u għal emendi jew reviżjonijiet mill-Awtorità, l-
awtorizzazzjoni għal teknoloġija innovattiva ma tistax tinħareġ
f’isem l-aġent residenti, ukoll jekk hu ikun formalment
awtorizzat għal dak il-għan.
Għall-finijiet ta’ dan l-artikolu l-frażi "detentur ta’
awtorizzazzjoni għal teknoloġija innovattiva" għandha tkun preżunta
li tinkludi wkoll applikant għal tali awtorizzazzjoni.
(2) L-aġent residenti għandu jitqies li jkollu s-setgħat kollha
neċessarji biex jipprovdi garanziji vinkolanti lill-Awtorità dwar
materji li għandhom x’jaqsmu mal-għarfien mill-Awtorità f’isem id-
detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva u l-Awtorità
hi awtorizzata taġixxi skont hekk; iżda xejn f’dan l-Att ma għandu
jimplika xi setgħa ta’ aġent residenti li jeżegwixxi xi dokument li
għandu x’jaqsam ma’ garanzija li tinvolvi responsabbiltà sakemm ma
jkunx espressament awtorizzat bil-miktub li jagħmel dan.
(3) Id-detentur ta’ awtorizzazzjoni għal teknoloġija
innovattiva jista’ jirrestrinġi xi waħda jew aktar mis-setgħat fuq
imsemmija tal-aġent residenti:
Iżda fejn id-detentur ta’ awtorizzazzjoni għal teknoloġija
innovattiva jillimita tali setgħat hu għandu jippreżenta għand l-
Awtorità dikjarazzjoni għal dak il-għan fil-forma preskritta u tali

limitazzjoni ma jkollhiex effett fir-rigward ta’ partijiet terzi sa meta
tiġi hekk ippreżentata u reġistrata fir-Reġistru miżmum mill-Awtorità
b’referenza għal awtorizzazzjonijiet għal teknoloġija innovattiva.
(4) Sakemm ma jkunx espressament projbit milli jagħmel
hekk skont il-pattijiet tal-ħatra tiegħu, l-aġent residenti jista’
jiddelega u jaħtar bil-miktub persuna oħra biex taġixxi fi kwistjonijiet
speċifiċi f’ismu hekk iżda li meta jagħmel dan l-aġent residenti ma
jkunx qed jirrinunzja għall-funzjonijiet, setgħat u responsabbiltajiet
konferiti fuqu taħt din it-Taqsima.
(5) Il-pattijiet tal-ingaġġ u l-ħatra jew tneħħija jew riżenja ta’
aġent residenti għandhom jiġu reġistrati fir-Reġistru miżmum mill-
Awtorità b’referenza għal awtorizzazzjonijiet għal teknoloġija
innovattiva.
Riżenja jew
tneħħija ta’
aġent residenti.
18. (1) Aġent residenti jista’ jirriżenja billi jagħti avviż ta’
għall-inqas ħmistax-il ġurnata (jew tali perjodu inqas kif id-detentur
ta’ awtorizzazzjoni għal teknoloġija innovattiva jew l-Awtorità
jistgħu jagħtu l-kunsens tagħhom) bil-miktub lid-detentur ta’
awtorizzazzjoni għal teknoloġija innovattiva u lill-Awtorità.
(2) Id-detentur ta’ awtorizzazzjoni għal teknoloġija
innovattiva jista’ jneħħi l-aġent residenti billi jagħti avviż ta’ għall-
inqas ħmistax-il ġurnata (jew tali perjodu inqas kif l-Awtorità tista’
tagħti l-kunsens tagħha) bil-miktub lill-Awtorità.
(3) L-Awtorità jkollha s-setgħa li taħtar, għal perjodu limitat u
temporanju, aġent residenti f’isem id-detentur ta’ awtorizzazzjoni
għal teknoloġija innovattiva fil-każ tan-nuqqas tad-detentur ta’
awtorizzazzjoni għal teknoloġija innovattiva li jaħtar tali aġent u tali
aġent residenti għandu jara li jistabbilixxi kuntatt mal-persuni li
għandhom dmirijiet fir-rigward tal-governanza tal-arranġament ta’
teknoloġija innovattiva sabiex jkunu jistgħu jaħtru aġent residenti tal-
għażla tagħhom:
Iżda f’kull każ bħal dan u f’każ ta’ dak imsemmi fis-
subartikolu (4), min jinħatar għandu jkun avukat b’warrant valida
biex jipprattika f’Malta.
(4) Fejn id-detentur ta’ awtorizzazzjoni għal teknoloġija
innovattiva jonqos mill-obbligi tiegħu taħt dan l-Att, l-Awtorità tista’,
mingħajr preġudizzju għal kull azzjoni oħra li tista’ tittieħed taħt dan
l-Att, tirrikorri għand il-Prim’ Awla tal-Qorti Ċivili għall-ħatra
ta’ kuratur biex jaġixxi bħala aġent residenti sa dak iż-żmien li jiġi
validament maħtur aġent residenti ieħor jew l-arranġament ma jibqax
ikun ċertifikat.

Drittijiet. 19. Kull detentur ta’ awtorizzazzjoni għal teknoloġija
innovattiva għandu jħallas lill-Awtorità dawk id-drittijiet mal-ewwel
applikazzjoni u ma’ kull tiġdid wara dan kif jistgħu jkunu preskritti
minn żmien għal żmien.

20. (1) Il-Ministru jista’, waqt li jaġixxi bil-parir tal-
Awtorità, jagħmel regolamenti biex jagħti effett lid-dispożizzjonijiet
ta’ dan l-Att u biex jippreskrivi kull ħaġa li tista’ tiġi preskritta skont
dan l-Att u biex jipprovdi għal kull ħaġa konsegwenzjali, inċidentali
jew konnessa magħhom.
(2) Mingħajr preġudizzji għall-ġeneralità ta’ dak li ntqal qabel,
il-Ministru jista’, waqt li jaġixxi bil-parir tal-Awtorità, permezz ta’
dawk ir-regolamenti:
(a) jirregola aktar ċertifikazzjonijiet ta’ arranġamenti ta’
teknoloġija innovattiva;
(b) jirregola aktar reġistrazzjonijiet ta’ provdituri ta’
servizzi ta’ teknoloġija innovattiva, inkuża dikjarazzjoni dwar
liema indipendenza u kwalitajiet oħrajn, jekk ikun hemm, huma
meħtieġa għat-twettiq tal-funzjonijiet tagħhom u t-tifsira ta’
dawk il-frażijiet;
(ċ) jippreskrivi l-formuli li għandhom x’jaqsmu ma’
applikazzjonijiet u proċessi involuti fiċ-ċertifikazzjoni u r-
reġistrazzjoni;
(d) jippreskrivi d-drittijiet li jistgħu jkunu applikabbli
għal applikazzjonijiet;
(e) idaħħal jew jemenda xi tifsiriet f’dan l-Att;
(f) jemenda, jissostitwixxi jew jirrevoka kull waħda
mill-Iskedi;
(g) joħroġ regoli jew linji gwida fir-rigward tar-Reġistru
ta’ awtorizzazzjonijiet li jinżamm taħt dan l-Att;
(h) jiddefinixxi l-kriterji biex jiġi determinat jekk
parteċipazzjoni tkunx parteċipazzjoni indiretta u, jew għall-
finijiet li jiġi determinat jekk teżistix parteċipazzjoni
kwalifikanti;
(i) jiddefinixxi l-kriterji biex jiġi determinat jekk is-
sistemi u l-protokolli ta’ sigurtà ta’ aċċess ta’ applikanti u
detenturi ta’ awtorizzazzjoni, kif ikun applikabbli, jilħqux jew
humiex qed jinżammu skont l-istandards internazzjonali għoljin

xierqa li jistgħu jiġu stabbiliti minn żmien għal żmien;

(j) jirregola aktar aġenti residenti u l-funzjonijiet u
dmirijiet tagħhom u jippreskrivi kif dawk il-funzjonijiet
għandhom jitwettqu waqt li jitqiesu l-funzjonijiet u dmirijiet ta’
aġent ta’ VFA taħt l-Att tal-2018 dwar Attiv Finanzjarju
Virtwali, meta persuna tiġi maħtura taħt u għall-finijiet ta’ dak l-
Att; u
(k) jistabbilixxi ċ-ċirkostanzi li fihom persuni involuti
f’konnessjoni ma’ detentur ta’ awtorizzazzjoni, inklużi kull
awditur ta’ sistemi jew amministratur tekniku, huma obbligati li
jikkomunikaw informazzjoni lill-Awtorità, jippreskrivi
regolamenti li jirregolaw l-iżvelar ta’ informazzjoni minn
awdituri ta’ sistemi jew amministraturi tekniċi u jistabbilixxi
proċeduri superviżorji u dixxiplinarji għal awdituri ta’ sistemi
jew amministraturi tekniċi fir-rigward tad-dmirijiet tagħhom.
(3) Regolamenti magħmulin taħt dan l-artikolu jistgħu jkunu
soġġetti għal tali eżenzjonijiet jew kondizzjonijiet kif jista’ jiġi
speċifikat fihom, u jistgħu jipprovdu b’mod differenti għal każi,
ċirkostanzi jew għanijiet differenti u jistgħu jagħtu lill-Awtorità dawk
is-setgħat ta’ adattament kif jista’ wkoll jiġi speċifikat.
(4) Fejn ikunu saru regolamenti skont dan l-artikolu, l-
Awtorità tista’ toħroġ linji gwida għall-aħjar twettiq u l-aħjar
implimentazzjoni tad-dispożizzjonijiet tar-regolamenti.

Arranġamenti ta’ Teknoloġija Innovattiva
Dawn li ġejjin għandhom jitqiesu li huma arranġamenti ta’ teknoloġija
innovattiva għall-finijiet ta’ dan l-Att:
1. software u arkitetturi li huma wżati fl-iddiżinjar u l-konsenja ta’
DLT li normalment, iżda mhux neċessarjament:
(a) juża reġistru distribwit, deċentralizzat, li jitqassam u, jew
replikat;
(b) jista’ jkun pubbliku jew privat jew ibridi tagħhom;
(ċ) hu permess jew mingħajr permess jew ibridi tagħhom;
(d) hu immutabbli;
(e) hu protett bil-kriptografija; u
(f) jista’ jiġi verifikat;
2. smart contracts u applikazzjonijiet relatati, inklużi
organizzazzjonijiet awtonomi deċentralizzati, kif ukoll arranġamenti simili
oħra;
3. kull arranġament ieħor ta’ teknoloġija innovattiva li jista’ jiġi
msemmi mill-Ministru, fuq ir-rakkomandazzjoni tal-Awtorità, f’avviż minn
żmien għal żmien.

Servizzi ta’ Teknoloġija Innovattiva
Dawn li ġejjin għandhom jitqiesu li huma servizzi ta’ teknoloġija innovattiva
għall-finijiet ta’ dan l-Att:
1. is-servizzi ta’ reviżjoni msemmija f’dan l-Att b’referenza għal
arranġamenti ta’ teknoloġija innovattiva provduti minn awdituri ta’ sistemi;
2. servizzi ta’ amministrazzjoni teknika msemmija f’dan l-Att
b’referenza għal arranġamenti ta’ teknoloġija innovattiva provduti minn
amministraturi tekniċi.

(Artikolu 8)
Dispożizzjonijiet li għandhom x’jaqsmu mal-artikolu 8(4)(a)
Għall-finijiet tal-artikolu 8(4)(a), u mingħajr preġudizzju għall-mod li bih
jistgħu joperaw xi regoli oħra taħt liġijiet oħra, inklużi dawk li jirrigwardaw l-
prevenzjoni tal-ħasil ta’ flus:
(a) il-kelma "azzjonist" m’għandhiex tinkludi is-sid ta’ attiv
tokenised jew attiv ieħor diġitali li jistgħu jkollhom setgħat bħal ma huma
sjieda, drittijiet ta’ vot jew drittijiet biex jipparteċipaw fi kwalunkwe forma
ta’ income jew kapital b’referenza għall-arranġament ta’ teknoloġija
innovattiva sakemm is-setgħat ta’ tali persuni mhumiex materjali fir-rigward
ta’ valur jew materjal għal dak li jirrigwarda deċiżjonijiet meħuda
b’referenza għall-imsemmi arranġament ta’ teknoloġija innovattiva;

(b) il-frażi "materjali fir-rigward ta’ valur" għandha tfisser jew valur
nominali ta’ għaxart elef euro (€10,000) jew il-valur ta’ tnejn fil-mija (2%)
tan-numru totali ta’ tokens maħruġin, skont liema minnhom ikun l-inqas fil-
valur; u
(ċ) il-frażi "materjali għal dak li jirrigwarda deċiżjonijiet" għandha
tfisser il-kapaċità li wieħed jivvota fuq proposta biex jiġu emendati s-
software jew l-arkitettura ta’ arranġament ta’ teknoloġija innovattiva li tista’
timmodifika d-drittijiet tad-detenturi tiegħu, ħlief fuq aspetti amministrattivi
li m’għandhomx konsegwenzi.
Għall-finijiet tal-imsemmi artikolu 8(4)(a), il-kelma "azzjonist" għandha
tinkludi kull detentur ta’ azzjonijiet f’kumpannija, kull soċju f’soċjetà, kull
benefiċjarju taħt fondazzjoni jew kull membru ieħor f’koperattiva jew
assoċjazzjoni ta’ persuni li għandu sehem fil-kapital jew sehem fil-profitti tal-
organizzazzjoni ġuridika, u l-istess għandu japplika fir-rigward ta’ token maħruġ
minn organizzazzjoni ġuridika b’referenza għal arranġament ta’ teknoloġija
innovattiva, jew fir-rigward ta’ tokens iġġenerati mill-arranġament ta’ teknoloġija
stess.
Jekk għal xi raġuni l-azzjonijiet jew it-tokens jinżammu minn intermedjarju
allura it-testijiet f’din l-Iskeda għandhom jiġu applikati għall-intermedjarju meta
hu jkun persuna regolata jew għas-sidien benefiċjarji tal-azzjonijiet jew tokens
meta l-interemedjarju mhuwiex persuna regolata.
"Persuna regolata" tfisser persuna awtorizzata biex taġixxi bħala kustodju,
nominee jew trustee taħt il-liġijiet applikabbli ta’ Malta jew l-ekwivalenti f’xi

A BILL
entitled
AN ACT to provide for the regulation of designated innovative technology
arrangements referred to in the Act, as well as of designated innovative technology
services referred to in the Act, and for the exercise by or on behalf of the Malta
Digital Innovation Authority of regulatory functions with regard thereto.
BE IT ENACTED by the President, by and with the advice and consent of the
House of Representatives, in this present Parliament assembled, and by the
authority of the same, as follows:-

PART I
Preliminary
Short title and
commencement.
1. (1) The short title of this Act is the Innovative
Technology Arrangements and Services Act, 2018.
(2) This Act shall come into force on such date as the Minister
for Digital Economy may by notice in the Gazette establish, and
different dates may be so established for different provisions and
different purposes of the Act.
Interpretation.

2. (1) Unless the context otherwise requires, terms and
phrases not defined in this Act shall have the same meaning as the
said terms and phrases are given in the Malta Digital Innovation
Authority Act, 2018.
(2) In this Act, unless the context otherwise requires -
Bill No 43. "this Act" means the Innovative Technology Arrangements and
Services Act, 2018, and includes any regulations made, and rules and
guidelines issued thereunder unless the context otherwise requires;
Bill No 44.
"administrator" means an officer or any person who is appointed
to carry out representative and fiduciary functions in the control and
administration of a legal organisation, and any person who carries out
such functions even if under another name, but shall not include a
technical administrator or a resident agent under this Act or a VFA
agent under the Virtual Financial Assets Act, 2018, and the term
"board of administrators" shall be construed accordingly;
"auditor" means a systems auditor of innovative technology
arrangements and related smart contracts recognised under this Act;
"Authority" means the Malta Digital Innovation Authority
established by the MDIA Act and any reference to the Authority
shall, unless the context otherwise requires, be construed as including
a reference to any person authorised by the Authority to act for or on
its behalf;
"innovative technology arrangement" means an arrangement
listed in the First Schedule;
"innovative technology service" means a service listed in the
Second Schedule, and "innovative technology service provider" shall
be construed accordingly;

"the MDIA Act" means the Malta Digital Innovation Authority
Act, 2018, and includes any regulations made, and rules and

guidelines issued thereunder, unless the context otherwise requires;
"Minister" means the Minister responsible for Digital Economy;
"national competent authorities" are authorities, departments,
agencies or divisions of the Government or government entities
which carry out supervision, regulatory or assessment functions of
persons applying for any form of recognition under applicable law;

"systems auditor" means a person who, upon a written
engagement accepts to review and, or audit innovative technology
arrangements and smart contracts or parts thereof who may not
necessarily be an accountant or auditor with a practicing certificate
under the Accountancy Profession Act;
"technical administrator" means the person who, upon a written
engagement accepts to carry out specific functions relating to the
operation, of the whole or a designated part, of the system as are
established in this Act, in guidelines issued by the Authority, as the
same may be supplemented by the conditions applicable to the
certification of the particular certified innovative technology
arrangement.
PART II
Principles of Recognition
Scope of the
Act.
3. (1) The Authority shall administer the provisions of this
Act in line with the guiding principles and in furtherance of the
regulatory objectives established by MDIA Act. All the provisions of
the MDIA Act shall apply in relation to persons who are recognised
under this Act, including without limitations in so far as relates to the
powers vested in the Authority regarding recognition and
authorisations or refusal thereof, investigation, and enforcement and
also with regard to regulatory actions which may be taken.
(2) This Act provides for various methods of recognition
which the Authority may extend to varied types of innovative
technology arrangements and innovative technology services as are
referred to in the Schedules and this in accordance with the provisions
of this Act.
(3) Unless having the functions and, or the characteristics
referred to in the Schedules, it shall be presumed that the type or class
of innovative technology arrangement or service shall not be eligible
for recognition by the Authority under this Act.
(4) In the event of reasonable doubt as to whether -

(a) an innovative technology arrangement or innovative
technology service has the functions and, or the characteristics
referred to or is within the type or class of arrangements or
services referred to in the Schedules; or
(b) the arrangement is sufficiently similar in scope and
functionality to an innovative technology arrangement as
defined in this Act; or
(c) the arrangement includes but does not consist solely
of an innovative technology arrangement,
the Authority may, on a written application for a ruling regarding any
particular innovative technology arrangement or innovative
technology service, issue a ruling confirming or denying the
application, in part or in full.
In case of confirmation, the relevant innovative technology
arrangement or innovative technology service shall thereby be
considered to have the functions and, or the characteristics referred to
or be of the type or class of arrangements or services listed in the
Schedules and the applicant may proceed with an application for
recognition under the provisions of this Act.
(5) The decision by the Authority to deny an application under
this article shall be subject to review or appeal by the Tribunal under
the provisions of the MDIA Act and in case of a negative
determination of the appeal, the particular innovative technology
arrangement or innovative technology service shall not be eligible for
recognition unless such particular innovative technology arrangement
or innovative technology service is modified to fit within the scope of
the Schedules or until such time as the Schedules are amended to
include such type or class.
No exemption
from other laws.
4. Unless expressly stated in a provision of this Act or other
special law, nothing in this Act shall be considered as exempting any
innovative technology arrangement or any innovative technology
service provider from the provisions of any other law, including other
regulatory laws requiring authorisations or similar approvals:
Provided that, on the basis of the principles of
simplification and avoidance of duplication, in the event that a
requirement under this Act is similar in scope to that under another
law and has been satisfactorily met by an applicant, the Authority
shall, if necessary with the written consent of the applicant, co-
ordinate with the other national competent authorities and rely on the
submissions and processes being carried out by the other authorities

in carrying out its duties under this Act.
Applications.5. (1) Any person who desires to obtain recognition for
any innovative technology arrangement or any innovative technology
service as stated in the Schedules may apply to the Authority by
making use of the relevant prescribed forms issued by the Authority
for the purpose or in the absence of a prescribed form, by an
application in writing providing the information required by the
Authority for such purpose with reference to the subject matter of the
application.
(2) An applicant shall provide all information, documentation
and assurances as may be required by the Authority to permit the
Authority to consider any application and determine the suitability of
the applicant to be recognised, depending on the innovative
technology arrangement or the innovative technology service being
the subject of the application.
(3) Once recognised, the applicant, or if different, the person
to whom the recognition has been issued, shall be bound to fulfil all
the conditions prescribed by this Act and the MDIA Act, any
regulations as well as any rules or other regulatory instruments in
force for as long as the recognition remains in force.
Register of
recognitions.
6. (1) The Authority shall maintain an electronic register,
hereinafter referred to as ''the Register'', of all recognitions issued or
obtained under this Act and this in accordance with article 27(5) of
the MDIA Act.
(2) The Register shall be divided into such parts, and each part
with such classes, as the Authority shall from time to time determine,
so as to represent the different types of recognition granted to
applicants.
(3) The Register shall provide all such details as the Authority
shall consider necessary to identify the relevant applicant and the
activities being carried out.
(4) The Register shall be available to the public on the website
of the Authority.
PART III
Certification of Innovative Technology Arrangements
Principles
relating to
certification.
7. (1) The Authority may certify different innovative
technology arrangements for one or more specified purposes and with
reference to one or more specified -

(a) qualities;
(b) features;
(c) attributes;
(d) behaviours; or
(e) aspects,
as may be determined by the Authority, and which shall be stated in
the certification.
(2) The issue of a certification for one purpose, quality and
feature, attribute and behaviour or other aspect shall neither operate
as a certification for different purposes, qualities and features,
attributes and behaviours or aspects nor shall it bar the issue of other
certifications for other purposes, qualities and features, attributes and
behaviours or aspects.
(3) The Authority shall from time to time establish guidelines
on the purposes, qualities and features, attributes and behaviours or
aspects for which it will and, or will not issue certifications and in so
doing shall also establish the basis for the particular certifications or
refusals.
It shall also establish guidelines on other matters such as
the review processes and the timing of such reviews for the purposes
of maintaining in place any certifications it may issue.
(4) The Authority may designate, and make public, any
international or other standards of certification it may rely on when
issuing its own certification under this Act.
(5) The Authority may amend the guidelines referred to above
from time to time including to enhance the qualitative standards of its
reviews but such amendments shall not, except with the consent of
any applicant with a pending application or the holder of the
certification, come into force prior to the lapse of at least six (6)
months after the publication of such amendments and, in any case,
shall only apply from the next review due under the relative
guidelines immediately after the lapse of the said six (6) months.
(6) Once certified, an innovative technology arrangement shall
be granted a Certificate under this Act which shall state the details of
how the innovative technology arrangement is identified, including
any public key or a brand name, and the Certificate shall be given a
unique number for purposes of identification.

(7) The certified innovative technology arrangement shall post
the Certificate on the arrangement, in a specific location which shall
be notified to the Authority, in an easily accessible and legible format
so it can be viewed and understood by all users of the innovative
technology arrangement.
(8) When a Certificate is issued in favour of an innovative
technology arrangement it shall be presumed to refer to all parts of
the arrangement which are described as constituting the arrangement
in the application unless expressly stated otherwise, in which case, it
shall refer only to the specific parts designated as the subject of the
certification.
Certification of
innovative
technology
arrangements.
8. (1) Any innovative technology arrangement which is
referred to in the First Schedule, or in relation to which the Authority
has issued a written ruling on eligibility under article 3, may at any
time be the subject of an application to the Authority for certification.
(2) The Authority may certify any innovative technology
arrangement when it is satisfied that the general and the specific
requirements of this article have been satisfied.
(3) The general requirements are intended to meet the
standards of legality, integrity, transparency, compliance and
accountability generally established for innovative technology
arrangements by the Authority reflecting the principles of the MDIA
Act and this Act, and confirmation that none of the circumstances
referred to in article 29 of the MDIA Act arise, and shall be assessed
by the Authority based on its own reviews of all persons involved, all
documentation available and the software it may access as would any
user thereof.
(4) The specific requirements shall establish to the satisfaction
of the Authority that:
(a) the innovative technology arrangement is fit and
proper for the purposes for which it declares to have been
established and having the qualities, attributes, features,
behaviours or aspects also declared; and when controlled by a
legal organisation:
(i) any administrator of such organisation, if any, is
a fit and proper person to carry out his functions as
administrator; and
(ii) if there are shareholders in any legal
organisation which owns or controls the innovative
technology arrangement, any shareholder holding more

than twenty-five per cent (25%) of the shares or
ownership interests in the said legal organisation or who,
through provisions of the statute, has special voting or
other rights permitting him to exercise effective control
over the activities of the legal organisation, (hereafter
referred to as a "qualifying shareholder") shall be a fit
and proper person subject to the more detailed
provisions of the Fourth Schedule;
(b) the software comprising the innovative technology
arrangement, or such parts of it as are designated in applicable
rules or otherwise in writing by the Authority, has been
reviewed by a registered systems auditor, or registered systems
auditors, who are independent from all persons owning,
administering, operating or otherwise involved in the innovative
technology arrangement, and the Authority has been provided
with positive assurance by the systems auditor, or when more
than one, each systems auditor, in relation to the matter of audit
and review on which he has been engaged.
The systems auditor shall confirm that the
innovative technology arrangement meets reasonable standards
with reference to -
(i) the specific purposes, qualities, features,
attributes, behaviours or aspects of innovative
technology arrangements;
(ii) all authorisations or powers granted to -
(A) the Authority or other national competent
authority, if any; or
(B) the technical administrator; or
(C) the innovative technology arrangement
itself,
exist as stated and operate as intended; and
(iii) compliance with any rules and regulations made
under this Act and any guidelines issued by the
Authority applicable to the particular type of innovative
technology arrangement, as well as any conditions
established by the Authority in the particular case.
The Authority may at its discretion, cumulatively or
alternatively, require a high level review or audit on the

characteristics of the innovative technology arrangement when
the specific purposes, behaviours or aspects of the relevant
innovative technology arrangement:
(i) need to be considered holistically in view of its
complexity; or
(ii) are not susceptible to specific review or
assurances for reasons acceptable to the Authority, to the
review and assurance described above;
and in such cases the level of the review or audit and the relative
assurances shall be expressly stated in the certification and
prominently reflected in the website of the applicant, if any, the
innovative technology arrangement and in the Register of the
Authority.
(c) the innovative technology arrangement has a
registered technical administrator in office at all times, and who
is able to demonstrate to the Authority the ability of the
innovative technology arrangement to satisfy -
(i) all pre-requisites for the certification which may
be granted to it under this Act;
(ii) its ability to meet standards on a continuing
basis and to address critical matters as are stated in
guidelines, if any, by the Authority in the event they
occur;
(iii) its ability to vary parameters or functionalities
where the objective of the system is to address
mandatory legal requirements which may reasonably be
predicted to change over time; and
(iv) with reference to matters, if any, upon which -
(A) the technical administrator;
(B) the Authority or other national competent
authorities; or
(C) any other designated person,
may be given the discretion or may be required to
intervene and which are addressed by the software, all
authorisations or powers required to carry out such
interventions exist and operate as intended;

(d) the innovative technology arrangement is in a
position to -
(i) comply with and observe any innovative
technology authorisation rules and regulations
applicable to it, any guidelines issued by the Authority
as well as any conditions established by the Authority in
the particular case; and
(ii) carry out any obligations imposed upon it by
applicable law, including those relating to the prevention
of money laundering and the financing of terrorism, the
protection of personal data, the respect of the rights of
consumers and other mandatory laws; and
(iii) has in-built technology features, to enable the
technical administrator to intervene in a transparent and
effective manner in the event of -
(A) a material cause of loss to any user; or
(B) a material breach of law,
so as to ensure that the cause of loss or breach of law is
satisfactorily addressed to the best of his abilities and to
ensure it does not occur or re-occur, and in case of
unjustifiable failure by the technical administrator, on
the intervention of the Authority;
(e) the specific purposes, qualities, features, attributes,
limitations, conditions, terms of service and behaviours or
aspects of the relevant innovative technology arrangements and
on the basis of which a user is invited to participate or rely on or
use the innovative technology arrangement are stated in the
English language in an easily accessible and intelligible format.
On such matters as are stated, in case of conflict between the
English language and the underlying code of the innovative
technology arrangement, the English language shall prevail.
Where the applicant wishes to use multiple languages for this
purpose, in case of conflict between languages, the English
language version shall prevail.
(5) In the case of -
(a) DLTs or other innovative technology arrangements
which are in operation, or at a very advanced stage of
development, on the date of the coming into force of this Act;

(b) open, decentralised, public and permission-less
DLTs, and other similar innovative technology arrangements,
where compliance with one of the requirements stated in this article is
not practicable within short time frames due to technical challenges
as shall be confirmed by a systems auditor registered under this Act,
if the Authority considers the circumstances of the case appropriate,
the Authority may, on the basis of the recommendation of the said
systems auditor and the agreement of the applicant identify -
(a) the issues on which there is non-compliance with the
legal requirements stated in this article;
(b) the matters which need to be overcome for such
issues to be addressed;
(c) the manner in which such issues may be addressed
as would satisfy the Authority of compliance with this article;
and
(d) the time frame within which the issues are to be
addressed,
and proceed to issue a certification of the said innovative technology
arrangement conditionally upon compliance within the time frames
agreed with the applicant and subject to the additional condition that a
systems auditor who has been registered under this Act and who
maintains such recognition at all relevant times issues a positive
assurance that the necessary actions and modifications have been
made to the innovative technology arrangement to achieve the agreed
outcomes and compliance with this article.
The condition shall be recorded in the certification.
(6) When the Authority proceeds to certify the innovative
technology arrangement under this Act it shall enter its name in the
Register of recognised innovative technology arrangements, under
such category as it may determine.
(7) The innovative technology services providers referred to
above shall be appointed by any person who is an applicant,
developer or owner of the innovative technology arrangement or in
case the innovative technology arrangement is held within a legal
organisation, by the legal representative of the organisation.
(8) When an innovative technology arrangement is held within

a legal organisation, whether with legal personality or not, the
certification shall be made in the name of the legal organisation and
where it does not qualify as a legal organisation, the Certificate shall
be made in the name of a technical administrator, who has been
registered under this Act and who maintains such recognition at all
relevant times, who has been engaged in respect to the innovative
technology arrangement.
PART IV
Registration of Service Providers
Principles
relating to
registration.
9. (1) The Authority may accept to register persons
providing different innovative technology services as shall be stated
in the registration. The registration for the provision of one type of
service shall not bar the registration of the same person to provide
other types of services.
(2) The Authority shall from time to time establish guidelines
on the purposes for which it will register innovative technology
service providers and in so doing shall also establish the requirements
for the particular registrations. It shall also establish other aspects
such as the review processes and the timing of such reviews for the
purposes of maintaining in place any registrations it may accept.
(3) The Authority may designate and make public any
international or other standards of service it may rely on when
considering a registration of services providers under this Act.
(4) The Authority may amend the guidelines referred to above
from time to time including to enhance the qualitative aspects or
purposes of its reviews but such amendments shall not come into
force prior to the lapse of at least six (6) months after the publication
of such amendments and, in any case, shall only apply from the next
review due under the relative guidelines immediately after the lapse
of the said six (6) months.
(5) Once registered, a service provider shall be granted a
Certificate of Registration which shall state its name and address and
have a unique number for purposes of identification and shall list the
class or classes of services which the applicant has been registered to
provide.
(6) The registered service provider shall post the Certificate of
Registration on its website, if it has one, as well as on any innovative
technology arrangement to which it renders its services and this shall
be posted thereon in an easily accessible and legible format so it can
be viewed and understood by all users of the innovative technology

arrangement.
Innovative
technology
services.
(7) The registration of an innovative technology service
provider may be made in relation to persons, being individuals or
legal organisations, whether having legal personality or not, and may
be carried out -
(a) personally;
(b) through the resources of the organisation;
(c) through delegates approved by the Authority;
(d) through technology systems:
Provided that in cases referred to in paragraphs (b) and (c),
apart from the name of the registered innovative technology services
provider approved by the Authority, the individual who is approved to
provide the services shall also be named in the certification.
Technology
services.
10. (1) Any innovative technology service provider who is
referred to in the Second Schedule, or in relation to which the
Authority has issued a written ruling on eligibility under article 3,
may at any time apply to the Authority to be registered under this Act.
(2) The Authority may register any innovative technology
service provider when it is satisfied that the innovative technology
service provider:
(a) is fit and proper for the provision of the services it
declares he is providing or intends to provide and, when
organised as a legal organisation, any shareholder holding more
than twenty-five per cent (25%) of the voting shares shall be a
fit and proper person and any administrator of such legal
organisation shall be a fit and proper person to carry out such
activities or functions or the role such person has assumed with
regard to the legal organisation;
(b) has the qualifications and, or experience which the
Authority requires for registration as a provider of services in
the particular class applied for;
(c) has sufficient technical resources or third party
support, personally, through delegates or through automated
systems, and is in a position to comply with and observe any
innovative technology authorisation rules and regulations
applicable to him, any guidelines issued by the Authority as
well as any conditions established by the Authority in the

particular case.
(3) The Authority shall not register an innovative technology
service provider if the circumstances referred to in article 29 of the
MDIA Act arise.
(4) When the Authority proceeds to register the innovative
technology service provider under this Act, it shall enter his name in
the Register of recognised innovative technology service providers,
under such category as it may determine.
(5) When an innovative technology service provider has been
constituted as a legal organisation, whether with legal personality or
not, the registration shall be made in the name of the legal
organisation and where the service is carried out personally by such
service provider, the registration shall be made in the name of the
service provider himself.

(6) Innovative technology service providers registered under
the provisions of this article shall be considered to be professionals
who act as fiduciaries in relation to the information submitted to them
by any customers and shall also be bound by the provisions of the
Professional Secrecy Act and shall act accordingly.
Guiding
principles on
behaviour of
innovative
technology
service
providers.
11. (1) Every innovative technology service provider and
every person who may be designated to carry out any role in any
innovative technology arrangement, even if not recognised under this
Act, shall respect the following principles of best practice in relation
to his or its activities.
(2) In carrying on its operations, it shall:
(a) conduct its business with honesty and integrity;
(b) pay due regard to the rights, interests and needs of
each and all its customers and must communicate with them in a
way that is fair, clear and not misleading;
(c) manage and control its business effectively, and
conduct its business with due skill, care and diligence; and
(d) have effective arrangements in place, through
human resources, including third party delegates or contractors,
financial resources as well as technology facilities to be able to
meet its operational and compliance obligations.

PART V
Miscellaneous Provisions
Duty to notify
changes.
12. (1) Any person who has been recognised following an
application under this Act and holds -
(a) a Certificate for an innovative technology
arrangement;
(b) a Certificate of Registration as an innovative
technology service provider; or
(c) any other form of recognition which is issued by the
Authority,
shall provide the Authority with particulars of any material changes
in the information provided to the Authority in the application
processes under this Act within thirty (30) days of such changes.
For the purpose of this article "material changes" with
reference to an innovative technology arrangement shall include:
(a) any alternations of any of the software on which an
assurance has been provided by a systems auditor;
(b) any development altering the rights of users;
(c) any development altering the rights, authorisation
and powers of the technical administrator or the Authority; and
(d) any change in the technical administrator.
Furthermore, it shall generally be taken to include:
(a) any change in an administrator of a relevant legal
organisation;
(b) any change in a qualifying shareholder;
(c) any change in the person with reference to whom a
certification or a Certificate of Registration has been issued; and
(d) any other matter which shall be declared to be
material by the Authority in guidelines issued from time to time.
(2) In so far as an innovative technology arrangement is
concerned, the holder of the Certificate shall also provide the
Authority with a declaration by a registered systems auditor and a

registered technical administrator that they are aware of the material
changes which have been made to the information previously
provided to the Authority and that such changes do not affect the
content of their review, assurances or declarations provided to the
Authority for the purposes of the certification of the relevant
innovative technology arrangement or, to the extent that the changes
result in additional features which have not been reviewed and do not
fall within the parameters of existing assurances and declarations
issued by them as required under article 8:
(a) the systems auditor has carried out the review as
required under the said article and provides the relative
assurances; and
(b) the technical administrator has certified the changes
and confirms that continuing validity of his declaration issued
for the purpose of the certification of the innovative technology
arrangement.
(3) In so far as a Certificate of Registration as an innovative
technology service provider is concerned, the holder of the Certificate
of Registration shall also provide the Authority with all information
which shall be relevant in order to enable the Authority to update the
Certificate of Registration with the new information after carrying out
such processes as would be applicable as though it were a new
application with regard to the new information.
Reasons for
refusals to
recognise.
13. (1) The Authority shall act in a open and transparent
manner in considering applications and shall seek to provide
reasonable information on the progress of an application and, in case
of refusal, reasons for such refusals to accept any application under
this Act.
(2) Failure to take a decision on an application within three (3)
months of an application shall be deemed to be a refusal and the
applicant shall enjoy the rights of appeal under the MDIA Act from
such date.
Renewals of
certifications
and
registrations.
14. (1) All authorisations under this Act shall be for the
periods of validity and effect as stated in the Third Schedule and shall
be presumed to expire on the first working day after the relevant
anniversary of the date of authorisation as appears on the certificate
confirming the authorisation.
(2) It shall be the duty of an innovative technology
authorisation holder to ensure that the authorisation is kept valid and
effective and will be renewed at least within the last three months of
its duration and in any case prior to expiry, by:

(a) submitting the information assurances, declarations
and other materials or taking such actions as are required by the
Authority for renewals of the relevant authorisations and in
particular to demonstrate that the applicant is still in compliance
with the Act and the conditions of its authorisation;
(b) in case of innovative technology arrangements,
carrying out the audits and reviews and obtaining the necessary
declarations from the registered auditor and the registered
technical administrator; and
(c) by paying to the Authority the relevant fees.
Appointment of
resident agent.
15. (1) When the persons making an application for any form
of recognition are not ordinarily resident in Malta, such applicant is
required to appoint in writing prior to registration, a resident agent
who -
(a) is habitually resident in Malta;
(b) is not interdicted or incapacitated or is an
undischarged bankrupt;
(c) has not been convicted of any of the crimes affecting
public trust or of theft or of fraud or money laundering or of
knowingly receiving property obtained by theft or fraud; and
(d) has satisfied the Authority that he is a person
capable of carrying out the functions stated under this Act.
(2) The holder of an innovative technology authorisation shall
ensure that it has a validly appointed resident agent at all times when
there is no person involved in the administration of the holder who is
resident in Malta:
Provided that:
(a) if both the innovative technology arrangement and
the technical administrator appointed with reference to it are not
resident in Malta, the appointment of a resident agent for the
technical administrator shall satisfy the requirement under this
article also for the innovative technology arrangement for as
long as such technical administrator is engaged and the
engagement of the resident agent is made by the technical
administrator also for the innovative technology arrangement on
being authorised to do so; and

(b) when an innovative technology arrangement is made
up of several constituent parts - DLT and smart contracts -
which may each obtain a certification under this Act, it shall be
lawful for all applicants to designate the main constituent part
and thereafter all the ancillary parts shall be deemed to satisfy
the requirements of this article if the engagement of the resident
agent with reference to the main constituent part names all the
ancillary parts and confirms that the applicant is authorised to
do so with reference to the said ancillary parts.
(3) Notices of the appointment, resignation or removal of the
resident agent shall be filed with the Authority in the prescribed form,
and until such form is issued by means of a notification in writing and
where a notice of appointment is given it shall be accompanied by the
acceptance in writing of the resident agent of such appointment.
(4) The Authority may at any time refuse or reject any notice
of an appointment which it considers is not in compliance with this
Act and in such case the applicant or the innovative technology
authorisation holder, as the case may be, shall immediately appoint
another resident agent.
Functions of the
resident agent.
16. (1) It shall be the function of the resident agent, on
behalf of the innovative technology authorisation holder, to -
(a) act as the channel of communication between the
innovative technology authorisation holder and the Authority
and other Maltese government departments and authorities;
(b) sign and file with the Authority and other Maltese
government departments and authorities all declarations and
forms required in terms of Maltese law;
(c) act as the judicial representative of the innovative
technology authorisation holder for judicial proceedings in
Malta, and any notice whether by the Authority or any other
authority, sent to the resident agent at his last registered address,
shall be deemed to have been duly received by and notified to
the innovative technology authorisation holder.
(2) The resident agent shall not be personally liable for non-
compliance by the innovative technology authorisation holder with
any law, nor for any misrepresentation made in any submissions or
documents issued by the applicant, even if authenticated by the
resident agent for the purposes of the application or any other law,
unless the resident agent has personally undertaken such liability for
the compliance in writing or has himself wilfully or recklessly made a

(3) The resident agent shall neither be responsible for any
court, legal or related costs in the event of any judicial proceedings
filed against him in his capacity as judicial representative of the
holder of the innovative technology arrangement or any of its
officers, by whosoever they may have been filed.
Powers of
resident agent.
17. (1) Without prejudice to the express powers enjoyed by
an innovative technology authorisation holder in his engagement, the
resident agent shall have the power, on behalf of the innovative
technology authorisation holder, to -
(a) sign and file applications, declarations, notices,
returns and any other document required in terms of Maltese
law;
(b) apply for the certification of an innovative
technology arrangement or for the registration of an innovative
technology service provider under this Act and for the
revocation or cancellation of an authorisation, and to perform
any ancillary act in relation thereto;
(c) pay all relative fees and taxes payable in terms of
Maltese law;
(d) do all other things as may be considered conducive
or ancillary for the certification or registration or other form of
recognition under this Act or for the maintenance of such
recognition;
(e) authenticate documents issued by the innovative
technology authorisation holder; and
(f) receive formal notification on behalf of the
innovative technology authorisation holder when notifications
are required under the provisions of this Act or any other law or
any agreement:
Provided that with reference to any written
authorisation, certification or registration certificate, while it
shall not be prohibited that the resident agent take possession
and hold the original for safekeeping, and for amendment or
revisions by the Authority, it shall not be lawful for the
innovative technology authorisation to be issued in the name of
the resident agent, even if he is formally authorised for such
purpose.

For the purposes of this article the term "innovative
technology authorisation holder" shall be presumed to include also an
applicant for such authorisation.
(2) The resident agent shall be deemed to have all the
necessary powers to provide binding undertakings to the Authority on
matters relating to the recognition by the Authority on behalf of the
innovative technology authorisation holder and the Authority is
authorised to act accordingly; provided that nothing in this Act shall
imply any power of a resident agent to execute any document relating
to an undertaking involving liability unless expressly authorised to do
so in writing.
(3) The innovative technology authorisation holder may
restrict any of the above powers of the resident agent:
Provided that where the innovative technology
authorisation holder limits such powers he shall file with the
Authority a declaration to that effect in the prescribed form and such
limitation shall not have effect with regard to third parties until it is so
filed and recorded in the Register held by the Authority with
reference to innovative technology authorisations.
(4) Unless expressly prohibited from doing so in the terms of
his own engagement, the resident agent may delegate and appoint in
writing another person to act in specific matters on his behalf
provided that in so doing the resident agent shall not be relinquishing
the functions, powers and responsibilities conferred on him under this
Part.
(5) The terms of engagement and the appointment or removal
or resignation of a resident agent shall be recorded in the Register
held by the Authority with reference to the innovative technology
authorisations.

18. (1) A resident agent may resign by giving at least fifteen
days’ notice (or such other shorter period as the innovative
technology authorisation holder or the Authority may consent to) in
writing to the innovative technology authorisation holder and the
Authority.
(2) The innovative technology authorisation holder may
remove the resident agent by giving at least fifteen days’ notice (or
such other shorter period as the Authority may consent to) in writing
to the Authority.
(3) The Authority shall have the power to appoint, on a limited
and temporary basis, a resident agent on behalf of the innovative

  • 4. C 664 TAQSIMA I Preliminari Titolu fil-qosor u bidu fis-seħħ. 1. (1) It-titolu fil-qosor ta’ dan l-Att hu l-Att tal-2018 dwar Arranġamenti u Servizzi ta’ Teknoloġija Innovattiva. (2) Dan l-Att għandu jidħol fis-seħħ f’dik id-data li l-Ministru responsabbli għall-Ekonomija Diġitali jista’ b’avviż fil-Gazzetta jistabbilixxi, u dati differenti jistgħu jiġu hekk stabbiliti għal dispożizzjonijiet differenti jew għanijiet differenti ta’ dan l-Att. Tifsir. Abbozz Nru 45. 2. (1) Sakemm ir-rabta tal-kliem ma teħtieġx xort’oħra, kliem u frażijiet mhux imfissra f’dan l-Att ikollhom l-istess tifsira kif l-imsemmija kliem u frażijiet għandhom fl-Att tal-2018 dwar l- Awtorità tal-Innovazzjoni Diġitali ta’ Malta. (2) F’dan l-Att u fl-Iskedi li jinsabu miegħu, sakemm ir-rabta tal-kliem ma teħtieġx xort’oħra - Abbozz Nru 44. "amministratur" tfisser uffiċjal jew kull persuna li tiġi maħtura biex twettaq funzjonijiet ta’ rappreżentanza u fiduċjarji fil-kontroll u amministrazzjoni ta’ organizzazzjoni ġuridika, u kull persuna li twettaq tali funzjonijiet ukoll jekk taħt isem ieħor, iżda ma tinkludix amministratur tekniku jew aġent residenti taħt dan l-Att jew taħt l-Att tal-2018 dwar l-Attiv Finanzjarju Virtwali, u l-frażi "bord ta’ amministrazzjoni" għandha tinftiehem skont hekk; "amministratur tekniku" tfisser persuna li, abbażi ta’ inġagg bil- miktub, taċċetta li twettaq funzjonijiet speċifiċi fir-rigward tal- operazzjoni, kollha jew ta’ parti msemmija tagħha, tas-sistema, kif stabbiliti f’dan l-Att, f’linji gwida maħruġin mill-Awtorità, kif dawn jistgħu jiġu supplimentati bil-kondizzjonijiet applikabbli għaċ- ċertifikazzjoni tal-arranġament ta’ teknoloġija innovattiva ċċertifikat partikolari; "arranġament ta’ teknoloġija innovattiva" tfisser arranġament elenkat fl-Ewwel Skeda; "dan l-Att" tfisser Att tal-2018 dwar Arranġamenti u Servizzi ta’ Teknoloġija Innovattiva, u tinkludi regolamenti magħmulin, u regoli u linji gwida maħruġin taħtu sakemm ir-rabta tal-kliem ma teħtieġx xort’oħra; Abbozz Nru 45. "l-Att MDIA" tfisser l-Att tal-2018 dwar l-Awtorità dwar l- Innovazzjoni Diġitali ta’ Malta u tinkludi regolamenti magħmulin, u regoli u linji gwida maħruġin taħtu sakemm ir-rabta tal-kliem ma teħtieġx xort’oħra; VERŻJONI ELETTRONIKA
  • 5. C 665 "awditur" tfisser awditur ta’ sistemi ta’ arranġamenti ta’ teknoloġija innovattiva u smart contracts li għandhom x’jaqsmu magħhom rikonoxxuti taħt dan l-Att; Kap. 281. "awditur ta’ sistemi" tfisser persuna li, abbażi ta’ ingaġġ bil- miktub taċċetta li tirrevedi u, jew tivverifika arranġamenti ta’ teknoloġija innovattiva u smart contracts jew partijiet minnhom li mhux neċessarjament tkun accountant jew awditur b’ċertifikat biex wieħed jipprattika taħt l-Att dwar il-Professjoni tal-Accountancy; "Awtorità" tfisser l-Awtorità dwar l-Innovazzjoni Diġitali ta’ Malta stabbilita bl-Att MIDA u kull referenza għall-Awtorità għandha, sakemm ir-rabta tal-kliem ma teħtieġx xort’oħra, tinftiehem bħala li tinkludi kull persuna awtorizzata mill-Awtorità biex taġixxi f’isimha; "awtoritajiet kompetenti nazzjonali" tfisser awtoritajiet, dipartimenti, aġenziji jew diviżjonijiet tal-Gvern jew entitajiet governattivi li jwettqu funzjonijiet ta’ superviżjoni, regolatorji jew ta’ verifika fuq persuni li japplikaw għal kwalunkwe forma ta’ għarfien taħt liġi applikabbli; "Ministru" tfisser il-Ministru għall-Ekonomija Diġitali; "servizz ta’ teknoloġija innovattiva" tfisser servizz elenkat fit- Tieni Skeda, u "provditur ta’ servizz ta’ teknoloġija innovattiva" għandha tinftiehem skont hekk; TAQSIMA II Prinċipji ta’ Għarfien Kamp ta’ applikazzjoni tal-Att. 3. (1) L-Awtorità għandha tamministra d-dispożizzjonijiet ta’ dan l-Att skont il-prinċipji ta’ gwida u konformement mal- objettivi regolatorji stabbiliti bl-Att MDIA. Id-dispożizzjonijiet kollha tal-Att MDIA għandhom japplikaw fir-rigward ta’ persuni li huma rikonoxxuti taħt dan l-Att, inkluż mingħajr limitazzjonijiet safejn jirrigwarda s-setgħat vestiti fl-Awtorità li għandhom x’jaqsmu ma’ għarfien u awtorizzazzjonijiet jew iċ-ċaħda tagħhom, investigazzjoni, u infurzar kif ukoll fir-rigward ta’ azzjonijiet regolatorji li jistgħu jittieħdu. (2) Dan l-Att jipprovdi għal diversi metodi ta’ għarfien li l- Awtorità tista’ testendi għal tipi varji ta’ arranġamenti ta’ teknoloġija innovattiva u servizzi ta’ teknoloġija innovattiva kif hemm referenza għalihom fl-Iskedi u dan skont id-dispożizzjonijiet ta’ dan l-Att. (3) Sakemm ma jkollux il-funzjonijiet u, jew il-karatteristiċi VERŻJONI ELETTRONIKA
  • 6. C 666 msemmija fl-Iskeda, għandu jkun preżunt li t-tip jew klassi ta’ arranġament jew servizz ta’ teknoloġija innovattiva ma jkunx eliġibbli għal għarfien mill-Awtorità taħt dan l-Att. (4) Fil-każ li jkun hemm dubju raġjonevoli dwar jekk - (a) arranġament ta’ teknoloġija innovattiva jew servizz ta’ teknoloġija innovattiva għandux il-funzjonijiet u, jew il- karatteristiċi msemmija jew jekk jaqax taħt it-tip jew klassi ta’ arranġamenti jew servizzi msemmija fl-Iskeda; (b) arranġament huwiex suffiċjentement simili fil-kamp ta’ applikazzjoni u funzjonalità għal arranġament ta’ teknoloġija innovattiva kif imfisser f’dan l-Att; jew (ċ) l-arranġament jinkudix, iżda mhuwiex magħmul biss minn, arranġament ta’ teknoloġija innovattiva, l-Awtorità tista’, fuq applikazzjoni bil-miktub għal deċiżjoni fir- rigward ta’ xi arranġament ta’ teknoloġija innovattiva jew xi servizz ta’ teknoloġija innovattiva partikolari, toħroġ deċiżjoni li tikkonferma jew tiċħad l-applikazzjoni, f’parti minnha jew għal kollox. Fil-każ ta’ konferma, l-arranġament ta’ teknoloġija innovattiva jew is-servizz ta’ teknoloġija innovattiva rilevanti għandu b’hekk jitqies li għandu l-funzjonijiet u, jew il-karatteristiċi msemmija jew li hu tat-tip jew klassi ta’ arranġamenti jew servizzi elenkati fl-Iskedi u l-applikant jista’ jipproċedi b’applikazzjoni għal għarfien taħt id-dispożizzjonijiet ta’ dan l-Att. (5) Id-deċiżjoni mill-Awtorità li tiċħad applikazzjoni taħt dan l-artikolu għandha tkun soġġetta għal reviżjoni jew appell mit- Tribunal taħt id-dispożizzjonijiet tal-Att MDIA u fil-każ ta’ determinazzjoni negattiva tal-appell, l-arranġament ta’ teknoloġija innovattiva jew is-servizz ta’ teknoloġija innovattiva partikolari ma jkunx eliġibbli għal għarfien sakemm tali arranġament ta’ teknoloġija innovattiva jew servizz ta’ teknoloġija innovattiva partikolari ma jiġix modifikat sabiex jinkwadra fil-kamp ta’ applikazzjoni tal-Iskedi jew sa dak iż-żmien li l-Iskedi jiġu emendati biex jinkludu tali tip jew klassi. Ebda eżenzjoni minn liġijiet oħra. 4. Sakemm ma jkunx espressament dikjarat f’dispożizzjoni ta’ dan l-Att jew f’xi liġi speċjali oħra, xejn f’dan l-Att ma għandu jitqies bħala li jeżenta xi provditur ta’ arranġament ta’ teknoloġija innovattiva jew ta’ xi servizz ta’ teknoloġija innovattiva mid- dispożizzjonijiet ta’ xi liġi oħra, inklużi liġijiet regolatorji li jeħtieġu awtorizzazzjonijiet jew approvazzjonijiet simili: VERŻJONI ELETTRONIKA

C 667 Iżda, abbażi tal-prinċipji ta’ simplifikazzjoni u l-evitar tad- duplikazzjoni, fil-każ li ħtieġa taħt dan l-Att hi simili fil-kamp ta’ applikazzjoni għal dik taħt xi liġi oħra u ġiet sodisfaċentement osservata mill-applikant, l-Awtorità għandha, jekk ikun neċessarju bil-kunsens bil-miktub tal-applikant, tikkordina mal-awtoritajiet kompetenti nazzjonali l-oħra u toqgħod fuq is-sottomissjonijiet u proċessi li qed jiġu mwettqa mill-awtoritajiet l-oħra fit-twettiq tad- dmirijiet tagħha taħt dan l-Att. Applikazzjoni- jiet. 5. (1) Kull persuna li tixtieq tikseb għarfien għal xi arranġament ta’ teknoloġija innovattiva jew xi servizz ta’ teknoloġija innovattiva kif imsemmi fl-Iskedi tista’ tapplika għand l-Awtorità billi tagħmel użu mill-formuli preskritti rilevanti maħruġin mill- Awtorità għal dak il-għan jew, fl-assenza ta’ formula preskritta, b’applikazzjoni bil-miktub li tipprovdi l-informazzjoni meħtieġa mill-Awtorità għal dak il-għan b’referenza għas-suġġett tal- applikazzjoni. (2) Applikant għandu jipprovdi l-informazzjoni, id- dokumentazzjoni u l-assikurazzjonijiet kollha li jistgħu jkunu meħtieġa mill-Awtorità biex l-Awtorità tkun tista’ tikkunsidra kull applikazzjoni u tiddetermina l-adattabilità tal-applikant biex jiġi rikonoxxut, skont l-arranġament ta’ teknoloġija innovattiva jew is- servizz ta’ teknoloġija innovattiva li hu s-suġġett tal-applikazzjoni. (3) Ladarba jiġi rikonoxxut, l-applikant, jew jekk differenti, il- persuna li lilha nħareġ l-għarfien, ikunu marbuta li jissodisfaw il- kondizzjonijiet kollha preskritti b’dan l-Att u bl-Att MDIA, ir- regolamenti kif ukoll xi regoli jew strumenti regolatorji oħra fis-seħħ għaż-żmien kollu li l-għarfien jibqa’ fis-seħħ. Reġistru ta’ għarfien. 6. (1) L-Awtorità għandha żżomm reġistru, hawn iżjed ’il quddiem imsejjaħ ''ir-Reġistru'', tal-għarfien kollu maħruġ jew miksub taħt dan l-Att u dan skont l-artikolu 27(5) tal-Att MDIA. (2) Ir-Reġistru jkun maqsum f’tali taqsimiet, u kull taqsima b’dawk il-klassijiet, kif l-Awtorità tiddetermina minn żmien għal żmien, sabiex ikunu rappreżentati t-tipi differenti ta’ għarfien mogħti lil applikanti. (3) Ir-Reġistru għandu jipprovdi d-dettalji kollha kif l- Awtorità tikkonsidra neċessarji għall-identifikazzjoni tal-applikant rilevanti u l-attivitajiet li qed jiġu mwettqa. (4) Ir-Reġistru jkun disponibbli għall-pubbliku fuq is-sit tal- web tal-Awtorità. VERŻJONI ELETTRONIKA
  • 8. C 668 TAQSIMA III Ċertifikazzjoni ta’ Arranġamenti ta’ Teknoloġija Innovattiva Prinċipji li għandhom x’jaqsmu ma’ ċertifikazzjoni. 7. (1) L-Awtorità tista’ tiċċertifika arranġamenti differenti ta’ teknoloġija innovattiva għal għan speċifikat, wieħed jew aktar, fi fir-rigward ta’ - (a) kwalità; (b) karatteristika; (ċ) attribut; (d) imġiba; jew (e) aspett, speċifikat, wieħed jew aktar, kif jista’ jiġi speċifikat mill-Awtorità, li għandu jiġi dikjarat fiċ-ċertifikazzjoni. (2) Il-ħruġ ta’ ċertifikat għal għan wieħed, kwalità u karatteristika waħda, attribut wieħed u mġiba waħda jew xi aspett ieħor la ma għandu jopera bħala ċertifikazzjoni għal għanijiet, kwalitajiet u karatteristiċi, attributi u mġiba jew aspetti differenti u l- anqas ma jkun ta’ xkiel għall-ħruġ ta’ ċertifikazzjonijiet oħra għal għanijiet, kwalitajiet u karatteristiċi, attributi u mġiba jew aspetti oħra. (3) L-Awtorità tista’ minn żmien għal żmien tistabbilixxi linji gwida dwar l-għanijiet, il-kwalitajiet u l-karatteristiċi, l-attributi u l- imġiba jew aspetti li għalihom toħroġ, jew ma toħrogx, ċertifikazzjonijiet u meta tkun qed tagħmel dan għandha tistabbilixxi wkoll l-bażi għal ċertifikazzjonijiet u ċaħda partikolari. Għandha wkoll tistabbilixxi linji gwida fuq materji oħra bħal ma huma l-proċessi ta’ reviżjoni u ż-żminijiet meta jsiru tali reviżjonijiet sabiex iżżomm fis-seħħ iċ-ċertifikazzjonijiet li tista’ toħroġ. (4) L-Awtorità tista’ tagħżel, u tagħmel pubblika dik l-għażla, standards ta’ ċertifikazzjoni internazzjonali jew oħra li tista’ tafda fuqhom meta toħroġ iċ-ċertifikazzjonijiet tagħha taħt dan l-Att. (5) L-Awtorità tista’ temenda l-linji gwida fuq imsemmija minn żmien għal żmien inkluż sabiex ittejjeb l-istandards kwalitattivi tar-reviżjonijiet tagħha iżda tali emendi m’għandhomx, ħlief bil- kunsens ta’ xi applikant b’applikazzjoni pendenti jew tad-detentur ta’ VERŻJONI ELETTRONIKA

C 669 ċertifikazzjoni, jiġu fis-seħħ qabel ma jgħaddu għall-inqas sitt (6) xhur mill-pubblikazzjoni ta’ dawk l-emendi u, fi kwalunkwe każ, jkunu japplikaw biss mir-reviżjoni li jkun imiss taħt il-linji gwida rilevanti minnufih wara li jiskadu l-imsemmija sitt (6) xhur. (6) Ladarba jiġi ċċertifikat, arranġament ta’ teknoloġija innovattiva għandu jingħata Ċertifikat taħt dan l-Att li jiddikjara d- dettalji dwar kif l-arranġament ta’ teknoloġija innovattiva jiġi identifikat, inklużi kull ċavetta pubblika jew isem tad-ditta, u ċ- Ċertifikat għandu jingħata numru uniku għall-finijiet ta’ identifikazzjoni. (7) L-arranġament ta’ teknoloġija innovattiva ċċertifikat għandu jqiegħed iċ-Ċertifikat dwar l-arranġament f’post speċifiku li għandu jiġi notifikat lill-Awtorità, f’format aċċessibbli faċilment u leġibbli sabiex ikun jista’ jiġi spezzjonat u mifhum mill-utenti kollha tal-arranġament ta’ teknoloġija innovattiva. (8) Meta Ċertifikat jinħareġ favur arranġament ta’ teknoloġija innovattiva għandu jkun preżunt li jirreferi għall-partijiet kollha tal- arranġament li huma deskritti bħala li jikkostitwixxu l-arranġament fl-applikazzjoni sakemm ma jkunx espressament dikjarat xort’oħra, f’liema każ għandu jirreferi biss għall-partijiet speċifiċi msemmijin bħala s-suġġett taċ-ċertifikazzjoni. Ċertifikazzjoni ta’ arranġamenti ta’ teknoloġija innovattiva. 8. (1) Kull arranġament ta’ teknoloġija innovattiva msemmi fl-Ewwel Skeda, jew li fir-rigward tiegħu l-Awtorità tkun ħarġet deċiżjoni bil-miktub dwar l-eliġibilità taħt l-artikolu 3, jista’ fi kwalunkwe żmien ikun is-suġġett ta’ applikazzjoni lill-Awtorità għal ċertifikazzjoni. (2) L-Awtorità tista’ tiċċertifika arranġament ta’ teknoloġija innovattiva meta tkun sodisfatta li l-ħtiġiet ġenerali u speċifiċi ta’ dan l-artikolu jkun ġew sodisfatti. (3) Il-ħtiġiet ġenerali huma maħsuba biex jilħqu l-istandards ta’ legalità, integrità, trasparenza, konformità u kontabilità stabbiliti għal arranġamenti ta’ teknoloġija innovattiva mill-Awtorità li jirriflettu l-prinċipji tal-Att MDIA u ta’ dan l-Att, u konferma li ma tinħoloq l-ebda waħda miċ-ċirkostanzi msemmija fl-artikolu 29 tal- Att MDIA, u għandhom jiġu valutati mill-Awtorità fuq il-bażi tar- reviżjonijiet tagħha stess tal-persuni kollha involuti, id- dokumentazzjoni kollha disponibbli u s-software li għandha aċċess għalih bħal ma jista’ jkollu kull utent tiegħu. (4) Il-ħtiġiet speċifiċi għandhom jistabbilixxu għas- sodisfazzjon tal-Awtorità li: VERŻJONI ELETTRONIKA
  • 10. C 670 (a) l-arranġament ta’ teknoloġija innovattiva huwa idoneu u xieraq għall-għanijiet li għalihom iddikjara li ġie stabbilit u għandu l-kwalitajiet, attributi, karatteristiċi, imġiba u aspetti dikjarati wkoll; u meta jkun ikkontrollat minn organizzazzjoni ġuridika: (i) li kull amministratur ta’ tali organizzazzjoni, jekk ikun hemm, huwa persuna idonea u xierqa biex twettaq il-funzjonijiet tagħha bħala amministratur; u (ii) jekk hemm azzjonisti f’xi organizzazzjoni ġuridika li hi s-sid ta’ jew tikkontrolla l-arranġament ta’ teknoloġija innovattiva, li kull azzjonist li għandu iktar minn ħamsa u għoxrin fil-mija (25%) tal-azzjonijiet jew interessi ta’ sjieda fl-imsemmija organizzazzjoni ġuridika jew li, permezz tad-dispożizzjonijiet tal-istatut, għandu drittijiet speċjali ta’ vot jew drittijiet oħra li jippermettu li jeżerċita kontroll effettiv fuq l-attivitajiet tal-organizzazzjoni ġuridika, (minn hawn ’il quddiem imsejjaħ "azzjonist kwalifikanti") ikun persuna idonea u xierqa bla ħsara għad-dispożizzjonijiet iktar dettaljati tar-Raba’ Skeda; (b) is-software li jikkomprendi l-arranġament ta’ teknoloġija innovattiva, jew tali partijiet minnu li huma msemmija f’regoli applikabbli jew xort’oħra bil-miktub mill- Awtorità, ġie rivedut minn awditur reġistrat ta’ sistemi, jew awdituri reġistrati ta’ sistemi, li huma indipendenti mill-persuni kollha li huma s-sidien ta’, jamministraw, joperaw jew huma mod ieħor involuti fl-arranġament ta’ teknoloġija innovattiva, u l-Awtorità ingħatat assikurazzjoni pożittiva mill-awditur ta’ sistemi, jew jekk iktar minn wieħed, minn kull awditur ta’ sistemi, fir-rigward tal-kwistjoni tal-verifika u reviżjoni li għalihom ikun ġie ingaġġjat. L-awditur ta’ sistemi għandu jikkonferma li l- arranġament ta’ teknoloġija innovattiva jilħaq l-istandards raġjonevoli fir-rigward ta’ - (i) l-għanijiet, il-kwalitajiet, il-karatteristiċi, l- attributi, l-imġiba jew l-aspetti speċifiċi tal-arranġamenti ta’ teknoloġija innovattiva; (ii) kull awtorizzazzjoni jew setgħa mogħtija - (A) lill-Awtorità jew lil xi awtorità kompetenti nazzjonali oħra, jekk ikun hemm; jew VERŻJONI ELETTRONIKA

C 671 (B) lill-amministratur tekniku; jew (Ċ) lill-arranġament ta’ teknoloġija innovattiva stess, jeżistu kif dikjarat u joperaw kif maħsub; u (iii) konformità ma’ xi regoli u regolamenti magħmulin taħt dan l-Att u xi linji gwida maħruġa mill- Awtorità applikabbli għat-tip partikolari ta’ arranġament ta’ teknoloġija innovattiva, kif ukoll ma’ kull kondizzjoni stabbilita mill-Awtorità fil-każ partikolari. L-Awtorità tista’ fid-diskrezzjoni tagħha, kumulattivament jew alternattivament, teħtieġ livell għoli ta’ reviżjoni jew verifika tal-karatteristiċi tal-arranġament ta’ teknoloġija innovattiva meta l-għanijiet, l-imġiba jew l-aspetti speċifiċi tal-arranġament ta’ teknoloġija innovattiva: (i) jeħtieġ li jiġu kkunsidrati b’mod olistiku minħabba fil-komplessità tiegħu; jew (ii) mhumiex suxxettibbli għal reviżjoni speċifika jew assikurazzjonijiet għal raġunijiet aċċettabbli għall- Awtorità, għar-reviżjoni u assikurazzjoni msemmija hawn qabel; u f’każijiet bħal dawn il-livell ta’ reviżjoni jew verifika u l- assikurazzjonijiet relattivi għandhom jiġu espressament dikjarati fiċ-ċertifikazzjoni u riflessi b’mod prominenti fuq is-sit tal-web tal-applikant, jekk ikun hemm, fl-arranġament ta’ teknoloġija innovattiva u fir-Reġistru tal-Awtorità; (ċ) l-arranġament ta’ teknoloġija innovattiva għandu amministratur tekniku reġistrat fil-kariga l-ħin kollu, u li hu kapaċi juri lill-Awtorità l-kapaċità tal-arranġament ta’ teknoloġija innovattiva li jissodisfa - (i) il-prerekwiżiti kollha għaċ-ċertifikazzjoni li tista’ tiġi mogħtija lilu taħt dan l-Att; (ii) jilħaq standards fuq bażi kontinwa u li jindirizza kwistjonijiet kritiċi kif huma msemmija fil- linji gwida, jekk ikun hemm, mill-Awtorità fil-każ li dawn iseħħu; (iii) il-kapaċità tiegħu li jvarja parametri jew funzjonalitajiet fejn l-objettiv tas-sistema hu li jiġu VERŻJONI ELETTRONIKA
  • 12. C 672 indirizzati ħtiġiet legali mandatorji li jistgħu raġjonevolment jitbassru li jinbidlu tul iż-żmien; u (iv) għal dak li jirrigwarda materji, jekk ikun hemm, li fuqhom - (A) l-amministratur tekniku; (B) l-Awtorità jew awtoritajiet kompetenti nazzjonali oħra; jew (Ċ) xi persuna oħra msemmija, jistgħu jingħataw id-diskrezzjoni jew jistgħu jkunu meħtieġa li jintervjenu u li huma indirizzati mis- software, l-awtorizzazzjonijiet jew setgħat kollha meħtieġa biex jitwettqu dawk l-interventi jeżistu u joperaw kif maħsuba; (d) l-arranġament ta’ teknoloġija innovattiva hu f’pożizzjoni li - (i) jkun konformi ma’ u josserva kull regola u regolament dwar awtorizzazzjoni għal teknoloġija innovattiva applikabbli għalih, kull linja gwida maħruġa mill-Awtorità kif ukoll kull kondizzjoni stabbilita mill- Awtorità fil-każ partikolari; u (ii) jwettaq kull obbligu impost fuqu b’liġi applikabbli, inklużi dawk li għandhom x’jaqsmu mal- prevenzjoni ta’ ħasil ta’ flus u l-finanzjament tat- terroriżmu, il-protezzjoni ta’ data personali, ir-rispett tad-drittijiet ta’ konsumaturi u liġijiet oħra mandatorji; u (iii) għandu karatteristiċi ta’ teknoloġija fih stess, sabiex l-amministratur tekniku jkun jista’ jintervjeni b’mod trasparenti u effettiv fil-każ li jkun hemm - (A) kawża materjali ta’ telf għal xi utent; jew (B) ksur materjali tal-liġi, sabiex jiġi żgurat li l-kawża ta’ telf jew il-ksur tal-liġi jiġu indirizzati b’mod sodisfaċenti skont l-aħjar kapaċitajiet tiegħu u biex jiġi żgurat li ma tiġrix jew ma terġax tiġri, u fil-każ ta’ nuqqas mhux ġustifikabbli min- naħa tal-amministratur tekniku, bl-intervent tal- Awtorità; VERŻJONI ELETTRONIKA

C 673 (e) l-għanijiet, kwalitajiet, karatteristiċi, attributi, limitazzjonijiet, kondizzjonijiet, pattijiet dwar is-servizz, u mġiba jew aspetti speċifiċi tal-arranġamenti rilevanti ta’ teknoloġija innovattiva li abbażi tagħhom utent hu mistieden jipparteċipa jew joqgħod fuq jew juża l-arranġament ta’ teknoloġija innovattiva huma mniżżlin bl-ilsien Ingliż f’format li hu faċilment aċċessibbli u inteliġibbli. Dwar il-materji li huma mniżżlin, fil-każ ta’ konflitt bejn l-ilsien Ingliż u l-kodiċi sottostanti tal-arranġament ta’ teknoloġija innovattiva, għandu jipprevali l-ilsien Ingliż. Fejn l-applikant jixtieq juża ilsna multipli għal dan il-għan, fil-każ ta’ konflitt bejn l-ilsna, għandu jipprevali l-ilsien Ingliż. (5) Fil-każ ta’ - (a) DLTs jew arranġamenti oħra ta’ teknoloġija innovattiva li jkunu qed joperaw, jew jkunu fi stadju ta’ żvilupp avvanzat ħafna, fid-data tal-bidu fis seħħ ta’ dan l-Att; u (b) DLTs miftuħa, pubbliċi u li m’għandhomx permessi, u arranġamenti oħra simili ta’ teknoloġija innovattiva, fejn il-konformità ma’ xi waħda mill-ħtiġiet imsemmija f’dan l- artikolu mhijiex prattikabbli fi żminijiet qosra minħabba fi sfidi tekniċi kif jiġi konfernat mill-awditur ta’ sistemi reġistrat taħt dan l- Att, jekk l-Awtorità tikkonsidra li ċ-ċirkostanzi tal-każ huma xierqa, l-Awtorità tista’ abbażi tar-rakkomandazzjoni tal-imsemmi awditur ta’ sistemi u bi qbil mal-applikant tidentifika - (a) il-kwistjonijiet li dwarhom m’kemmx konformità mal-ħtiġiet legali msemmija f’dan l-artikolu (b) il-materji li għandhom jiġu megħluba sabiex dawk il-kwistjonijiet jiġu indirizzati; (ċ) il-mod li bih dawk il-kwistjonijiet għandhom jiġu indirizzati sabiex jissodisfaw lill-Awtorità dwar konformità ma’ dan l-artikolu; u (d) il-perjodu ta’ żmien li matulu l-kwistjonijiet ser jiġu indirizzati, u tipproċedi biex toħroġ ċertifikazzjoni tal-imsemmi arranġament ta’ teknoloġija innovattiva bil-kondizzjoni ta’ konformità f’perjodi ta’ żmien maqbula mal-applikant u bla ħsara għall-kondizzjoni addizzjonali li awditur ta’ sistemi li ġie reġistrat taħt dan l-Att u li jkollu tali għarfien fil-ħinijiet kollha rilevanti joħroġ assikurazzjoni VERŻJONI ELETTRONIKA
  • 14. C 674 pożittiva li l-azzjonijiet u modifiki neċessarji għall-arranġament ta’ teknoloġija innovattiva jkunu saru sabiex jinkisbu l-eżiti li hemm qbil dwarhom u konformità ma’ dan l-artikolu. Il-kondizzjoni għandha tiġi reġistrata fiċ-ċertifikazzjoni. (6) Meta l-Awtorità tipproċedi biex tiċċertifika l-arranġament ta’ teknoloġija innovattiva taħt dan l-Att hi għandha tniżżel ismu fir- Reġistru ta’ arranġamenti rikonoxxuti ta’ teknoloġija innovattiva, taħt dik il-kategorija kif tista’ tiddetermina. (7) Il-provdituri ta’ servizzi ta’ teknoloġija innovattiva hawn qabel imsemmija għandhom jiġu maħtura minn xi persuna li tkun applikant, żviluppatur jew sid tal-arranġament ta’ teknoloġija innovattiva jew fil-każ fejn l-arranġament ta’ teknoloġija innovattiva jinżamm f’organizzazzjoni ġuridika, mir-rappreżentant legali tal- organizzazzjoni. (8) Meta arranġament ta’ teknoloġija innovattiva jinżamm f’organizzazzjoni ġuridika, kemm jekk ikollha personalità ġuridika kemm jekk le, iċ-ċertifikazzjoni għandha ssir f’isem l- organizzazzjoni ġuridika u fejn ma tikkwalifikax bħala organizzazzjoni ġuridika, iċ-Ċertifikat għandu jsir f’isem amministratur tekniku, li jkun ġie reġistrat taħt dan l-Att u li jżomm fis-seħħ dak l-għarfien fiż-żmien kollu rilevanti, li jkun ġie ingaġġjat fir-rigward tal-arranġament ta’ teknoloġija innovattiva. TAQSIMA IV Reġistrazzjoni ta’ Provdituri ta’ Servizz Prinċipji li għandhom x’jaqsmu ma’ reġistrazzjoni. 9. (1) L-Awtorità tista’ taċċetta li tirreġistra persuni li jipprovdu servizzi differenti ta’ teknoloġija innovattiva kif ikun dikjarat fir-reġistrazzjoni. Ir-reġistrazzjoni għall-għoti ta’ tip wieħed ta’ servizz ma twaqqafx ir-reġistrazzjoni tal-istess persuna li tipprovdi tipi oħra ta’ servizzi. (2) L-Awtorità għandha minn żmien għal żmien tistabbilixxi linji gwida dwar l-għanijiet li għalihom tirreġistra provdituri ta’ servizz ta’ teknoloġija innovattiva u waqt li tagħmel dan għandha wkoll tistabbilixxi l-ħtiġiet għal reġistrazzjonijiet partikolari. Għandha wkoll tistabbilixxi aspetti oħra bħal ma huma l-proċessi ta’ reviżjoni u ż-żminijiet meta għandhom isiru tali reviżjonijiet sabiex jinżammu fis-seħħ reġistrazzjonijiet li tista’ taċċetta. (3) L-Awtorità tista’ tagħżel, u tagħmel pubblika dik l-għażla, standards ta’ servizz internazzjonali jew oħra li tista’ tafda fuqhom meta tikkonsidra reġistrazzjoni ta’ provdituri ta’ servizzi taħt dan l- VERŻJONI ELETTRONIKA
  • 15. C 675 Att. (4) L-Awtorità tista’ temenda l-linji gwida fuq imsemmija minn żmien għal żmien inkluż sabiex ittejjeb l-aspetti kwalitattivi jew l-għanijiet tar-reviżjonijiet tagħha iżda tali emendi m’għandhomx jiġu fis-seħħ qabel ma jgħaddu għall-inqas sitt (6) xhur mill- pubblikazzjoni ta’ dawk l-emendi u, fi kwalunkwe każ, jkunu japplikaw biss mir-reviżjoni li jkun imiss taħt il-linji gwida rilevanti minnufih wara li jiskadu l-imsemmija sitt (6) xhur. (5) Ladarba jkun ġie reġistrat, provditur ta’ servizz għandu jingħata Ċertifikat ta’ Reġistrazzjoni li jiddikjara ismu u l-indirizz tiegħu u jkollu numru uniku għall-għanijiet ta’ identifikazzjoni u għandu jelenka l-klassi jew klassijiet ta’ servizzi li l-applikant ġie reġistrat biex jipprovdi. (6) Il-provditur reġistrat ta’ servizz għandu jqiegħed iċ- Ċertifikat ta’ Reġistrazzjoni fuq is-sit tal-web tiegħu, jekk ikollu, kif ukoll fuq kull arranġament ta’ teknoloġija innovattiva li lilu jagħti s- servizzi tiegħu u dan għandu jitqiegħed fuqu f’format faċilment aċċessibbli u leġibbli sabiex ikun jista’ jinqara u jinftiehem mill- utenti kollha tal-arranġament ta’ teknoloġija innovattiva. Servizz ta’ teknoloġija innovattiva. (7) Ir-reġistrazzjoni ta’ provditur ta’ servizz ta’ teknoloġija innovattiva tista’ ssir fir-rigward ta’ persuni, li jkunu individwi jew organizzazzjonijiet ġuridiċi, kemm jekk ikollhom personalità ġuridika jew le, u tista’ ssir - (a) personalment; (b) permezz tar-riżorsi tal-organizzazzjoni; (ċ) permezz ta’ delegati approvati mill-Awtorità; (d) permezz ta’ sistemi ta’ teknoloġija: Iżda fil-każijiet imsemmija fil-paragrafi (b) u (ċ), minbarra l-isem tal-provditur reġistrat tas-servizzi ta’ teknoloġija innovattiva approvat mill-Awtorità, l-individwu li jkun approvat biex jipprovdi s- servizzi jkun imsemmi wkoll fiċ-ċertifikazzjoni. Servizzi ta’ teknoloġija. 10. (1) Kull provditur ta’ servizz ta’ teknoloġija innovattiva li hu msemmi fit-Tieni Skeda, jew li fir-rigward tiegħu l-Awtorità tkun ħarġet deċiżjoni bil-miktub dwar eliġibilità taħt l-artikolu 3, jista’ fi kwalunkwe żmien japplika għand l-Awtorità biex jiġi reġistrat taħt dan l-Att. (2) L-Awtorità tista’ tirreġistra kull provditur ta’ servizz ta’ VERŻJONI ELETTRONIKA
  • 16. C 676 teknoloġija innovattiva meta tkun sodisfatta li l-provditur ta’ servizz ta’ teknoloġija innovattiva: (a) hu idoneu u xieraq biex jpprovdi s-servizzi li jiddikjara li qed jipprovdi jew li biħsiebu jipprovdi u, meta jkun organizzat bħala organizzazzjoni ġuridika, kull azzjonist li jkollu iktar minn ħamsa u għoxrin fil-mija (25%) tal-azzjonijiet li għandhom vot ikun persuna idonea u xierqa u kull amministratur ta’ tali organizzazzjoni ġuridika jkun persuna idonea u xierqa biex twettaq dawk l-attivitajiet jew funzjonijiet jew ir-rwol li dik il-persuna jkollha fir-rigward tal- organizzazzjoni ġuridika: (b) għandu l-kwalifiki u, jew l-esperjenza li l-Awtorità teħtieġ għal reġistrazzjoni bħala provditur ta’ servizzi fil-klassi partikolari li dwarha saret l-applikazzjoni, (ċ) għandu riżorsi tekniċi suffiċjenti jew appoġġ minn parti terza, personalment, permezz ta’ delegati jew permezz ta’ sistemi awtomattizzati, u hu f’pożizzjoni biex ikun konformi ma’ u josserva r-regoli u regolamenti dwar awtorizzazzjoni għal teknoloġija innovattiva applikabbli għalih, kull linja gwida maħruġa mill-Awtorità kif ukoll kull kondizzjoni stabbilita mill- Awtorità fil-każ partikolari. (3) L-Awtorità m’għandhiex tirreġistra provditur ta’ servizz ta’ teknoloġija innovattiva jekk jinħolqu ċ-ċirkostanzi msemmija fl- artikolu 29 tal-Att MDIA. (4) Meta l-Awtorità tipproċedi biex tirreġistra l-provditur ta’ servizz ta’ teknoloġija innovattiva taħt dan l-Att, għandha ddaħħal ismu fir-Reġistru ta’ provdituri rikonoxxuti ta’ servizz ta’ teknoloġija innovattiva, taħt dik il-kategorija li tista’ tiddetermina. (5) Meta provditur ta’ servizz ta’ teknoloġija innovattiva ġie kostitwit bħal organizzazzjoni ġuridika, kemm jekk b’personalità ġuridika kemm jekk le, ir-reġistrazzjoni għandha ssir f’isem l- organizzazzjoni ġuridika u fejn is-servizz jingħata personalment minn tali provditur ta’ servizz, ir-reġistrazzjoni għandha ssir f’isem il- provditur innifsu. Kap. 377. (6) Provdituri ta’ servizz ta’ teknoloġija innovattiva reġistrati taħt id-dispożizzjonijiet ta’ dan l-artikolu għandhom jitqiesu li huma professjonisti li jaġixxu bħala fiduċjarji fir-rigward ta’ informazzjoni sottomessa lilhom minn xi klijenti u jkunu wkoll marbutin bid- dispożizzjonijiet tal-Att dwar is-Segretezza Professjonali u għandhom jaġixxu skont hekk.   • 17. C 677 Prinċipji ta’ gwida dwar l- imġiba ta’ provdituri ta’ servizz ta’ teknoloġija innovattiva. 11. (1) Kull provditur ta’ servizz ta’ teknoloġija innovattiva u kull persuna li tista’ tiġi msemmija biex twettaq xi rwol f’xi arranġament ta’ teknoloġija innovattiva, ukoll jekk ma tkunx rikonoxxuta taħt dan l-Att, għandha tirrispetta l-prinċipji li ġejjin dwar l-aħjar prattika fir-rigward tal-attivitajiet tagħha. (2) Fit-twettiq tal-operazzjonijiet tagħha, hi għandha: (a) tmexxi n-negozju tagħha b’onestà u integrità; (b) tieħu f’konsiderazzjoni dovuta d-drittijiet, interessi u ħtiġiet ta’ kull wieħed mill-klijenti tagħha u għandha tikkomunika magħhom b’mod li jkun ġust, ċar u mhux qarrieqi; (ċ) timmaniġġa u tikkontrolla n-negozju tagħha b’mod effettiv, u tmexxi n-negozju tagħha bil-ħila, kura u diliġenza dovuta; u (d) ikollha arranġamenti fis-seħħ, permezz ta’ riżorsi umani, inklużi delegati u kuntratturi terzi, riżorsi finanzjarji kif ukoll faċilitajiet ta’ teknoloġija biex tkun tista’ tosserva l- obbligi operattivi u ta’ konformità tagħha. TAQSIMA V Dispożizzjonijiet Mixxellanji Dmir dwar avviż ta’ bidliet. 12. (1) Kull persuna li ġiet rikonoxxuta wara li tkun saret applikazzjoni taħt dan l-Att u li jkollha - (a) Ċertifikat għal arranġament ta’ teknoloġija innovattiva; (b) Ċertifikat ta’ Reġistrazzjoni bħala provditur ta’ servizz ta’ teknoloġija innovattiva; jew (ċ) xi forma oħra ta’ għarfien li tinħareġ mill-Awtorità, għandha tipprovdi lill-Awtorità dettalji dwar bidliet materjali fl- informazzjoni mogħtija lill-Awtorità fil-proċessi ta’ applikazzjoni taħt dan l-Att fi żmien tletin (30) ġurnata mis-seħħ ta’ tali bidliet. Għall-finijiet ta’ dan l-artikolu "bidliet materjali" fir- rigward ta’ arranġament ta’ teknoloġija innovattiva għandhom jinkludu: (a) kull alterazzjoni ta’ xi wieħed mis-software li dwaru ingħatat assikurazzjoni minn awditur ta’ sistemi; VERŻJONI ELETTRONIKA

C 678 (b) kull żvilupp li jibdel id-drittijiet ta’ utenti; (ċ) kull żvilupp li jibdel id-drittijiet, l-awtorizzazzjoni u s-setgħat tal-amministratur tekniku jew tal-Awtorità; u (d) kull bidla fl-amministratur tekniku. Barra minn dan, b’mod ġenerali tiġi konsidrata li tinkludi: (a) kull bidla f’amministratur ta’ organizzazzjoni ġuridika rilevanti; (b) kull bidla f’azzjonist kwalifikanti; (ċ) kull bidla fil-persuna li b’referenza għaliha ġiet maħruġa ċertifikazzjoni jew ġie maħruġ Ċertifikat ta’ Reġistrazzjoni; u (d) kull ħaġa oħra li tiġi dikjarata mill-Awtorità li hi materjali f’linji gwida li jinħarġu minn żmien għal żmien. (2) Safejn jirrigwarda arranġament ta’ teknoloġija innovattiva, id-detentur ta’ Ċertifikat għandu jipprovdi wkoll lill-Awtorità dikjarazzjoni minn awditur reġistrat ta’ sistemi u minn amministratur tekniku reġistrat li huma konxji tal-bidliet materjali li saru għall- informazzjoni li preċedentement ingħatat lill-Awtorità u li tali bidliet ma jaffettwawx il-kontenut tar-reviżjoni, assikurazzjonijiet jew dikjarazzjonijiet tagħhom mogħtija lill-Awtorità għall-finijiet taċ- ċertifikazzjoni tal-arranġament rilevanti ta’ teknoloġija innovattiva jew, safejn il-bidliet jirriżulaw f’karatteristiċi addizzjonali li ma ġewx riveduti u ma jaqawx fi ħdan il-parametri ta’ assikurazzjonijiet u dikjarazzjonijiet eżistenti maħruġa minnhom kif meħtieġ bl-artikolu 8: (a) l-awditur ta’ sistemi wettaq ir-reviżjoni kif meħtieġ taħt l-imsemmi artikolu u jipprovdi l-assikurazzjonijiet rilevanti; u (b) l-amministratur tekniku ċċertifika l-bidliet u jikkonferma l-kontinwazzjoni tal-validità tad-dikjarazzjoni tiegħu maħruġa għall-għan taċ-ċertifikazzjoni tal-arranġament ta’ teknoloġija innovattiva. (3) Safejn jirrigwarda Ċertifikat ta’ Reġistrazzjoni bħala provditur ta’ servizz ta’ teknoloġija innovattiva, id-detentur ta’ Ċertifikat ta’ Reġistrazzjoni għandu wkoll jipprovdi lill-Awtorità l- informazzjoni kollha li tkun rilevanti sabiex l-Awtorità tkun tista’ taġġorna ċ-Ċertifikat ta’ Reġistrazzjoni bl-informazzjoni ġdida wara VERŻJONI ELETTRONIKA
  • 19. C 679 li twettaq dawk il-proċessi li kienu jkunu applikabbli li kieku kienet applikazzjoni ġdida fir-rigward ta’ informazzjoni ġdida. Raġunijiet għal ċaħda ta’ għarfien. 13. (1) L-Awtorità għandha taġixxi b’mod miftuħ u trasparenti meta tikkonsidra applikazzjonijiet u għandha tipprova tipprovdi informazzjoni dwar il-progress ta’ applikazzjoni u, fil-każ ta’ ċaħda, raġunijiet għal tali rifjut li tiġi aċċettata xi applikazzjoni taħt dan l-Att. (2) In-nuqqas li tieħu deċiżjoni dwar applikazzjoni fi żmien tliet (3) xhur mill-applikazzjoni għandu jitqies bħala caħda u l- applikant għandu jgawdi mid-drittijiet ta’ appell taħt l-Att MDIA minn dik id-data. Tiġdid ta’ ċertifikazzjoni- jiet u reġistrazzjoni- jiet. 14. (1) L-awtorizzazzjonijiet kollha taħt dan l-Att għandhom jkunu għall-perjodi ta’ validità u effett kif imsemmi fit- Tielet Skeda u għandhom jitqiesu li jiskadu fl-ewwel ġurnata ta’ xogħol wara l-anniversarju rilevanti tad-data tal-awtorizzazzjoni kif jidher fuq iċ-ċertifikat li jikkonferma l-awtorizzazzjoni. (2) Ikun id-dmir ta’ detentur ta’ awtorizzazzjoni ta’ teknoloġija innovattiva li jiżgura li l-awtorizzazzjoni tinżamm valida u effettiva u tiġi mġedda għall-inqas fi żmien l-aħħar tliet xhur tal- validità tagħha u fi kwalunkwe każ qabel ma tiskadi, billi: (a) tiġi sottomessa l-informazzjoni dwar assikurazzjonijiet, dikjarazzjonijiet u materjali oħra jew billi jittieħdu tali azzjonijiet kif meħtieġa mill-Awtorità għat-tiġdid tal-awtorizzazzjonijiet rilevanti u b’mod partikolari li juru li l- applikant għadu f’konformità mal-Att u mal-kondizzjonijiet tal- awtorizzazzjoni; (b) fil-każ ta’ arranġamenti ta’ teknoloġija innovattiva, jitwettqu l-verifiki u r-reviżjonijiet u jinkisbu d-dikjarazzjonijiet neċessarji mill-awditur reġistrat u mill-amministratur tekniku reġistrat; u (ċ) jitħallsu lill-Awtorità d-drittijiet rilevanti. Ħatra ta’ aġent residenti. 15. (1) Meta l-persuni li jagħmlu applikazzjoni għal xi forma ta’ għarfien mhumiex ordinarjament residenti f’Malta, tali applikant hu meħtieġ li jaħtar bil-miktub qabel ir-reġistrazzjoni, aġent residenti li - (a) hu abitwalment residenti f’Malta; (b) mhuwiex interdett jew inabilitat jew fallut mhux rijabilitat; VERŻJONI ELETTRONIKA

C 680 (ċ) ma ġiex misjub ħati ta’ xi wieħed mir-reati li jaffettwaw il-fiduċja pubblika jew ta’ serq jew frodi jew ħasil ta’ flus jew li xjentement irċieva proprjetà miksuba b’serq jew bi frodi; u (d) issodisfa lill-Awtorità li hu persuna kapaċi li twettaq il-funzjonijiet msemmija taħt dan l-Att. (2) Id-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva għandu jiżgura li jkollu aġent residenti validament maħtur il-ħin kollu meta ma jkunx hemm persuna involuta fl- amministrazzjoni tad-detentur li hu residenti f’Malta: Iżda: (a) jekk kemm l-arranġament ta’ teknoloġija innovattiva kif ukoll l-amministratur tekniku maħtur b’referenza għall-arranġament mhumiex residenti f’Malta, il- ħatra ta’ aġent residenti għall-amministratur tekniku għandha tissodisfa l-ħtieġa taħt dan l-artikolu wkoll għall-arranġament ta’ teknoloġija innovattiva għal kemm idum ingaġġjat tali amministratur tekniku u l-ingaġġ ta’ aġent residenti jkun magħmul mill-amministratur tekniku wkoll għall-arranġament ta’ teknoloġija innovattiva meta jiġi awtorizzat jagħmel hekk; u (b) meta arranġament ta’ teknoloġija innovattiva hu magħmul minn bosta partijiet kostitwenti - DLT u smart contracts - li kull waħda minnhom tista’ tikseb ċertifikazzjoni taħt dan l-Att, l-applikanti kollha jistgħu legalment isemmu l- parti kostitwenti prinċipali u wara dan il-partijiet anċillari kollha għandhom jitqiesu li jissodisfaw il-ħtiġiet ta’ dan l- artikolu jekk l-ingaġġ tal-aġent residenti fir-rigward tal-parti kostitwenti prinċipali jsemmi l-partijiet anċillari kollha u jikkonferma li l-applikant hu awtorizzat jagħmel dan b’referenza għall-imsemmija partijiet anċillari. (3) Avviżi dwar il-ħatra, ir-riżenja jew it-tneħħija tal-aġent residenti għandhom jiġu ppreżentati lill-Awtorità fil-formula preskritta, u sa meta tali formula tinħareġ permezz ta’ notifika bil- miktub u fejn jingħata avviż tal-ħatra dan għandu jkollu miegħu l- aċċettazzjoni bil-miktub tal-aġent residenti dwar tali ħatra. (4) L-Awtorità tista’ f’kull żmien tiċħad jew ma tilqax kull avviż dwar ħatra li jidhrilha ma jkunx konformi ma’ dan l-Att u f’dan il-każ l-applikant jew id-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva, kif ikun il-każ, għandu minnufih jaħtar aġent resident ieħor.   • 21. C 681 Funzjonijiet ta’ aġent residenti. 16. (1) Għandha tkun il-funzjoni ta’ aġent residenti, f’isem id-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva, li - (a) jaġixxi bħala l-kanal ta’ komunikazzjoni bejn id- detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva u l- Awtorità u dipartiment u awtoritajiet governattivi Maltin oħra; (b) jiffirma u jippreżenta lill-Awtorità u dipartiment u awtoritajiet governattivi Maltin oħra d-dikjarazzjonijiet u formuli kollha meħtieġa skont il-liġi Maltija; (ċ) jaġixxi bħala r-rappreżentant legali tad-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva fi proċeduri ġudizzjarji f’Malta, u kull avviż kemm mill-Awtorità jew minn xi awtorità oħra mibgħut lill-aġent residenti fl-aħħar indirizz reġistrat tiegħu għandu jitqies li jkun ġie debitament riċevut minn u notifikat lid-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva. (2) L-aġent residenti ma jkunx personalment responsabbli għan-nuqqas ta’ konformità min-naħa tad-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva ma’ xi liġi, l-anqas għal xi rappreżentazzjoni żbaljata magħmula f’sottomissjonijiet jew dikjarazzjonijiet maħruġa mill-applikant, ukoll jekk awtentikati mill- aġent residenti għall-finijiet tal-applikazzjoni jew xi liġi oħra, sakemm l-aġent residenti ma jkunx assuma dik ir-responsabbiltà għall-konformità personalment bil-miktub jew ikun hu stess għamel dikjarazzjoni falza xjentement jew bi traskuraġni. (3) L-aġent residenti ma għandu l-anqas ikun responsabbli għal xi spejjeż tal-qorti, legali jew relatati fil-każ ta’ xi proċeduri ġudizzjarji mibdija kontra tiegħu fil-kapaċità tiegħu bħala rappreżentant legali tad-detentur ta’ arranġament ta’ teknoloġija innovattiva jew xi wieħed mill-uffiċjali tiegħu, ikun min jkun li ppreżenta l-każ. Setgħat tal- aġent residenti. 17. (1) Mingħajr preġudizzju għas-setgħat espressi li jgawdi detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva fil- ħatra tiegħu, l-aġent residenti jkollu s-setgħa, f’isem id-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva, li - (a) jiffirma u jippreżenta applikazzjonijiet, dikjarazzjonijiet, avviżi, prospetti u kull dokument ieħor meħtieġ skont il-liġi Maltija; (b) japplika għaċ-ċertifikazzjoni ta’ arranġament ta’ teknoloġija innovattiva jew għar-reġistrazzjoni ta’ provditur ta’ servizz ta’ teknoloġija innovattiva taħt dan l-Att jew għar- VERŻJONI ELETTRONIKA

C 682 revoka jew kanċellament ta’ awtorizzazzjoni, u li jwettaq kull att anċillari fir-rigward tagħhom; (ċ) iħallas id-drittijiet u taxxi relattivi kollha li għandhom jitħallsu skont il-liġi Maltija; (d) jagħmel l-affarijiet kollha li jistgħu jiġu kkunsidrati bħala li jwasslu jew huma anċillari għaċ-ċertifikazzjoni jew reġistrazzjoni jew xi forma oħra ta’ għarfien taħt dan l-Att jew għaż-żamma ta’ tali għarfien; (e) jawtentika dokumenti maħruġa mid-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva; u (f) jirċievi notifika formali f’isem id-detentur ta’ awtorizzazzjoni ta’ teknoloġija innovattiva meta huma meħtieġa notifiki taħt id-dispożizzjonijiet ta’ dan l-Att jew xi liġi oħra jew xi ftehim: Iżda fir-rigward ta’ kull awtorizzazzjoni bil-miktub, ċertifikazzjoni jew ċertifikat ta’ reġistrazzjoni, waqt li ma jkunx projbit li l-aġent residenti jieħu pussess u jżomm l-oriġinal għal salvagwardja, u għal emendi jew reviżjonijiet mill-Awtorità, l- awtorizzazzjoni għal teknoloġija innovattiva ma tistax tinħareġ f’isem l-aġent residenti, ukoll jekk hu ikun formalment awtorizzat għal dak il-għan. Għall-finijiet ta’ dan l-artikolu l-frażi "detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva" għandha tkun preżunta li tinkludi wkoll applikant għal tali awtorizzazzjoni. (2) L-aġent residenti għandu jitqies li jkollu s-setgħat kollha neċessarji biex jipprovdi garanziji vinkolanti lill-Awtorità dwar materji li għandhom x’jaqsmu mal-għarfien mill-Awtorità f’isem id- detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva u l-Awtorità hi awtorizzata taġixxi skont hekk; iżda xejn f’dan l-Att ma għandu jimplika xi setgħa ta’ aġent residenti li jeżegwixxi xi dokument li għandu x’jaqsam ma’ garanzija li tinvolvi responsabbiltà sakemm ma jkunx espressament awtorizzat bil-miktub li jagħmel dan. (3) Id-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva jista’ jirrestrinġi xi waħda jew aktar mis-setgħat fuq imsemmija tal-aġent residenti: Iżda fejn id-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva jillimita tali setgħat hu għandu jippreżenta għand l- Awtorità dikjarazzjoni għal dak il-għan fil-forma preskritta u tali VERŻJONI ELETTRONIKA

C 683 limitazzjoni ma jkollhiex effett fir-rigward ta’ partijiet terzi sa meta tiġi hekk ippreżentata u reġistrata fir-Reġistru miżmum mill-Awtorità b’referenza għal awtorizzazzjonijiet għal teknoloġija innovattiva. (4) Sakemm ma jkunx espressament projbit milli jagħmel hekk skont il-pattijiet tal-ħatra tiegħu, l-aġent residenti jista’ jiddelega u jaħtar bil-miktub persuna oħra biex taġixxi fi kwistjonijiet speċifiċi f’ismu hekk iżda li meta jagħmel dan l-aġent residenti ma jkunx qed jirrinunzja għall-funzjonijiet, setgħat u responsabbiltajiet konferiti fuqu taħt din it-Taqsima. (5) Il-pattijiet tal-ingaġġ u l-ħatra jew tneħħija jew riżenja ta’ aġent residenti għandhom jiġu reġistrati fir-Reġistru miżmum mill- Awtorità b’referenza għal awtorizzazzjonijiet għal teknoloġija innovattiva. Riżenja jew tneħħija ta’ aġent residenti. 18. (1) Aġent residenti jista’ jirriżenja billi jagħti avviż ta’ għall-inqas ħmistax-il ġurnata (jew tali perjodu inqas kif id-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva jew l-Awtorità jistgħu jagħtu l-kunsens tagħhom) bil-miktub lid-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva u lill-Awtorità. (2) Id-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva jista’ jneħħi l-aġent residenti billi jagħti avviż ta’ għall- inqas ħmistax-il ġurnata (jew tali perjodu inqas kif l-Awtorità tista’ tagħti l-kunsens tagħha) bil-miktub lill-Awtorità. (3) L-Awtorità jkollha s-setgħa li taħtar, għal perjodu limitat u temporanju, aġent residenti f’isem id-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva fil-każ tan-nuqqas tad-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva li jaħtar tali aġent u tali aġent residenti għandu jara li jistabbilixxi kuntatt mal-persuni li għandhom dmirijiet fir-rigward tal-governanza tal-arranġament ta’ teknoloġija innovattiva sabiex jkunu jistgħu jaħtru aġent residenti tal- għażla tagħhom: Iżda f’kull każ bħal dan u f’każ ta’ dak imsemmi fis- subartikolu (4), min jinħatar għandu jkun avukat b’warrant valida biex jipprattika f’Malta. (4) Fejn id-detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva jonqos mill-obbligi tiegħu taħt dan l-Att, l-Awtorità tista’, mingħajr preġudizzju għal kull azzjoni oħra li tista’ tittieħed taħt dan l-Att, tirrikorri għand il-Prim’ Awla tal-Qorti Ċivili għall-ħatra ta’ kuratur biex jaġixxi bħala aġent residenti sa dak iż-żmien li jiġi validament maħtur aġent residenti ieħor jew l-arranġament ma jibqax ikun ċertifikat.   • 24. C 684 Drittijiet. 19. Kull detentur ta’ awtorizzazzjoni għal teknoloġija innovattiva għandu jħallas lill-Awtorità dawk id-drittijiet mal-ewwel applikazzjoni u ma’ kull tiġdid wara dan kif jistgħu jkunu preskritti minn żmien għal żmien. Setgħa tal- Ministru li jagħmel regolamenti. 20. (1) Il-Ministru jista’, waqt li jaġixxi bil-parir tal- Awtorità, jagħmel regolamenti biex jagħti effett lid-dispożizzjonijiet ta’ dan l-Att u biex jippreskrivi kull ħaġa li tista’ tiġi preskritta skont dan l-Att u biex jipprovdi għal kull ħaġa konsegwenzjali, inċidentali jew konnessa magħhom. (2) Mingħajr preġudizzji għall-ġeneralità ta’ dak li ntqal qabel, il-Ministru jista’, waqt li jaġixxi bil-parir tal-Awtorità, permezz ta’ dawk ir-regolamenti: (a) jirregola aktar ċertifikazzjonijiet ta’ arranġamenti ta’ teknoloġija innovattiva; (b) jirregola aktar reġistrazzjonijiet ta’ provdituri ta’ servizzi ta’ teknoloġija innovattiva, inkuża dikjarazzjoni dwar liema indipendenza u kwalitajiet oħrajn, jekk ikun hemm, huma meħtieġa għat-twettiq tal-funzjonijiet tagħhom u t-tifsira ta’ dawk il-frażijiet; (ċ) jippreskrivi l-formuli li għandhom x’jaqsmu ma’ applikazzjonijiet u proċessi involuti fiċ-ċertifikazzjoni u r- reġistrazzjoni; (d) jippreskrivi d-drittijiet li jistgħu jkunu applikabbli għal applikazzjonijiet; (e) idaħħal jew jemenda xi tifsiriet f’dan l-Att; (f) jemenda, jissostitwixxi jew jirrevoka kull waħda mill-Iskedi; (g) joħroġ regoli jew linji gwida fir-rigward tar-Reġistru ta’ awtorizzazzjonijiet li jinżamm taħt dan l-Att; (h) jiddefinixxi l-kriterji biex jiġi determinat jekk parteċipazzjoni tkunx parteċipazzjoni indiretta u, jew għall- finijiet li jiġi determinat jekk teżistix parteċipazzjoni kwalifikanti; (i) jiddefinixxi l-kriterji biex jiġi determinat jekk is- sistemi u l-protokolli ta’ sigurtà ta’ aċċess ta’ applikanti u detenturi ta’ awtorizzazzjoni, kif ikun applikabbli, jilħqux jew humiex qed jinżammu skont l-istandards internazzjonali għoljin VERŻJONI ELETTRONIKA
  • 25. C 685 xierqa li jistgħu jiġu stabbiliti minn żmien għal żmien; Abbozz Nru 44. (j) jirregola aktar aġenti residenti u l-funzjonijiet u dmirijiet tagħhom u jippreskrivi kif dawk il-funzjonijiet għandhom jitwettqu waqt li jitqiesu l-funzjonijiet u dmirijiet ta’ aġent ta’ VFA taħt l-Att tal-2018 dwar Attiv Finanzjarju Virtwali, meta persuna tiġi maħtura taħt u għall-finijiet ta’ dak l- Att; u (k) jistabbilixxi ċ-ċirkostanzi li fihom persuni involuti f’konnessjoni ma’ detentur ta’ awtorizzazzjoni, inklużi kull awditur ta’ sistemi jew amministratur tekniku, huma obbligati li jikkomunikaw informazzjoni lill-Awtorità, jippreskrivi regolamenti li jirregolaw l-iżvelar ta’ informazzjoni minn awdituri ta’ sistemi jew amministraturi tekniċi u jistabbilixxi proċeduri superviżorji u dixxiplinarji għal awdituri ta’ sistemi jew amministraturi tekniċi fir-rigward tad-dmirijiet tagħhom. (3) Regolamenti magħmulin taħt dan l-artikolu jistgħu jkunu soġġetti għal tali eżenzjonijiet jew kondizzjonijiet kif jista’ jiġi speċifikat fihom, u jistgħu jipprovdu b’mod differenti għal każi, ċirkostanzi jew għanijiet differenti u jistgħu jagħtu lill-Awtorità dawk is-setgħat ta’ adattament kif jista’ wkoll jiġi speċifikat. (4) Fejn ikunu saru regolamenti skont dan l-artikolu, l- Awtorità tista’ toħroġ linji gwida għall-aħjar twettiq u l-aħjar implimentazzjoni tad-dispożizzjonijiet tar-regolamenti. VERŻJONI ELETTRONIKA

C 686 L-EWWEL SKEDA (Artikoli 2 u 8) Arranġamenti ta’ Teknoloġija Innovattiva Dawn li ġejjin għandhom jitqiesu li huma arranġamenti ta’ teknoloġija innovattiva għall-finijiet ta’ dan l-Att: 1. software u arkitetturi li huma wżati fl-iddiżinjar u l-konsenja ta’ DLT li normalment, iżda mhux neċessarjament: (a) juża reġistru distribwit, deċentralizzat, li jitqassam u, jew replikat; (b) jista’ jkun pubbliku jew privat jew ibridi tagħhom; (ċ) hu permess jew mingħajr permess jew ibridi tagħhom; (d) hu immutabbli; (e) hu protett bil-kriptografija; u (f) jista’ jiġi verifikat; 2. smart contracts u applikazzjonijiet relatati, inklużi organizzazzjonijiet awtonomi deċentralizzati, kif ukoll arranġamenti simili oħra; 3. kull arranġament ieħor ta’ teknoloġija innovattiva li jista’ jiġi msemmi mill-Ministru, fuq ir-rakkomandazzjoni tal-Awtorità, f’avviż minn żmien għal żmien. C 687 IT-TIENI SKEDA (Artikolu 2) Servizzi ta’ Teknoloġija Innovattiva Dawn li ġejjin għandhom jitqiesu li huma servizzi ta’ teknoloġija innovattiva għall-finijiet ta’ dan l-Att: 1. is-servizzi ta’ reviżjoni msemmija f’dan l-Att b’referenza għal arranġamenti ta’ teknoloġija innovattiva provduti minn awdituri ta’ sistemi; 2. servizzi ta’ amministrazzjoni teknika msemmija f’dan l-Att b’referenza għal arranġamenti ta’ teknoloġija innovattiva provduti minn amministraturi tekniċi.   • 30. C 690 PART I Preliminary Short title and commencement. 1. (1) The short title of this Act is the Innovative Technology Arrangements and Services Act, 2018. (2) This Act shall come into force on such date as the Minister for Digital Economy may by notice in the Gazette establish, and different dates may be so established for different provisions and different purposes of the Act. Interpretation. Bill No 45. 2. (1) Unless the context otherwise requires, terms and phrases not defined in this Act shall have the same meaning as the said terms and phrases are given in the Malta Digital Innovation Authority Act, 2018. (2) In this Act, unless the context otherwise requires - Bill No 43. "this Act" means the Innovative Technology Arrangements and Services Act, 2018, and includes any regulations made, and rules and guidelines issued thereunder unless the context otherwise requires; Bill No 44. "administrator" means an officer or any person who is appointed to carry out representative and fiduciary functions in the control and administration of a legal organisation, and any person who carries out such functions even if under another name, but shall not include a technical administrator or a resident agent under this Act or a VFA agent under the Virtual Financial Assets Act, 2018, and the term "board of administrators" shall be construed accordingly; "auditor" means a systems auditor of innovative technology arrangements and related smart contracts recognised under this Act; "Authority" means the Malta Digital Innovation Authority established by the MDIA Act and any reference to the Authority shall, unless the context otherwise requires, be construed as including a reference to any person authorised by the Authority to act for or on its behalf; "innovative technology arrangement" means an arrangement listed in the First Schedule; "innovative technology service" means a service listed in the Second Schedule, and "innovative technology service provider" shall be construed accordingly; Bill No 45. "the MDIA Act" means the Malta Digital Innovation Authority Act, 2018, and includes any regulations made, and rules and VERŻJONI ELETTRONIKA

C 691 guidelines issued thereunder, unless the context otherwise requires; "Minister" means the Minister responsible for Digital Economy; "national competent authorities" are authorities, departments, agencies or divisions of the Government or government entities which carry out supervision, regulatory or assessment functions of persons applying for any form of recognition under applicable law; Cap. 281. "systems auditor" means a person who, upon a written engagement accepts to review and, or audit innovative technology arrangements and smart contracts or parts thereof who may not necessarily be an accountant or auditor with a practicing certificate under the Accountancy Profession Act; "technical administrator" means the person who, upon a written engagement accepts to carry out specific functions relating to the operation, of the whole or a designated part, of the system as are established in this Act, in guidelines issued by the Authority, as the same may be supplemented by the conditions applicable to the certification of the particular certified innovative technology arrangement. PART II Principles of Recognition Scope of the Act. 3. (1) The Authority shall administer the provisions of this Act in line with the guiding principles and in furtherance of the regulatory objectives established by MDIA Act. All the provisions of the MDIA Act shall apply in relation to persons who are recognised under this Act, including without limitations in so far as relates to the powers vested in the Authority regarding recognition and authorisations or refusal thereof, investigation, and enforcement and also with regard to regulatory actions which may be taken. (2) This Act provides for various methods of recognition which the Authority may extend to varied types of innovative technology arrangements and innovative technology services as are referred to in the Schedules and this in accordance with the provisions of this Act. (3) Unless having the functions and, or the characteristics referred to in the Schedules, it shall be presumed that the type or class of innovative technology arrangement or service shall not be eligible for recognition by the Authority under this Act. (4) In the event of reasonable doubt as to whether - VERŻJONI ELETTRONIKA

C 692 (a) an innovative technology arrangement or innovative technology service has the functions and, or the characteristics referred to or is within the type or class of arrangements or services referred to in the Schedules; or (b) the arrangement is sufficiently similar in scope and functionality to an innovative technology arrangement as defined in this Act; or (c) the arrangement includes but does not consist solely of an innovative technology arrangement, the Authority may, on a written application for a ruling regarding any particular innovative technology arrangement or innovative technology service, issue a ruling confirming or denying the application, in part or in full. In case of confirmation, the relevant innovative technology arrangement or innovative technology service shall thereby be considered to have the functions and, or the characteristics referred to or be of the type or class of arrangements or services listed in the Schedules and the applicant may proceed with an application for recognition under the provisions of this Act. (5) The decision by the Authority to deny an application under this article shall be subject to review or appeal by the Tribunal under the provisions of the MDIA Act and in case of a negative determination of the appeal, the particular innovative technology arrangement or innovative technology service shall not be eligible for recognition unless such particular innovative technology arrangement or innovative technology service is modified to fit within the scope of the Schedules or until such time as the Schedules are amended to include such type or class. No exemption from other laws. 4. Unless expressly stated in a provision of this Act or other special law, nothing in this Act shall be considered as exempting any innovative technology arrangement or any innovative technology service provider from the provisions of any other law, including other regulatory laws requiring authorisations or similar approvals: Provided that, on the basis of the principles of simplification and avoidance of duplication, in the event that a requirement under this Act is similar in scope to that under another law and has been satisfactorily met by an applicant, the Authority shall, if necessary with the written consent of the applicant, co- ordinate with the other national competent authorities and rely on the submissions and processes being carried out by the other authorities VERŻJONI ELETTRONIKA
  • 33. C 693 in carrying out its duties under this Act. Applications.5. (1) Any person who desires to obtain recognition for any innovative technology arrangement or any innovative technology service as stated in the Schedules may apply to the Authority by making use of the relevant prescribed forms issued by the Authority for the purpose or in the absence of a prescribed form, by an application in writing providing the information required by the Authority for such purpose with reference to the subject matter of the application. (2) An applicant shall provide all information, documentation and assurances as may be required by the Authority to permit the Authority to consider any application and determine the suitability of the applicant to be recognised, depending on the innovative technology arrangement or the innovative technology service being the subject of the application. (3) Once recognised, the applicant, or if different, the person to whom the recognition has been issued, shall be bound to fulfil all the conditions prescribed by this Act and the MDIA Act, any regulations as well as any rules or other regulatory instruments in force for as long as the recognition remains in force. Register of recognitions. 6. (1) The Authority shall maintain an electronic register, hereinafter referred to as ''the Register'', of all recognitions issued or obtained under this Act and this in accordance with article 27(5) of the MDIA Act. (2) The Register shall be divided into such parts, and each part with such classes, as the Authority shall from time to time determine, so as to represent the different types of recognition granted to applicants. (3) The Register shall provide all such details as the Authority shall consider necessary to identify the relevant applicant and the activities being carried out. (4) The Register shall be available to the public on the website of the Authority. PART III Certification of Innovative Technology Arrangements Principles relating to certification. 7. (1) The Authority may certify different innovative technology arrangements for one or more specified purposes and with reference to one or more specified - VERŻJONI ELETTRONIKA
  • 34. C 694 (a) qualities; (b) features; (c) attributes; (d) behaviours; or (e) aspects, as may be determined by the Authority, and which shall be stated in the certification. (2) The issue of a certification for one purpose, quality and feature, attribute and behaviour or other aspect shall neither operate as a certification for different purposes, qualities and features, attributes and behaviours or aspects nor shall it bar the issue of other certifications for other purposes, qualities and features, attributes and behaviours or aspects. (3) The Authority shall from time to time establish guidelines on the purposes, qualities and features, attributes and behaviours or aspects for which it will and, or will not issue certifications and in so doing shall also establish the basis for the particular certifications or refusals. It shall also establish guidelines on other matters such as the review processes and the timing of such reviews for the purposes of maintaining in place any certifications it may issue. (4) The Authority may designate, and make public, any international or other standards of certification it may rely on when issuing its own certification under this Act. (5) The Authority may amend the guidelines referred to above from time to time including to enhance the qualitative standards of its reviews but such amendments shall not, except with the consent of any applicant with a pending application or the holder of the certification, come into force prior to the lapse of at least six (6) months after the publication of such amendments and, in any case, shall only apply from the next review due under the relative guidelines immediately after the lapse of the said six (6) months. (6) Once certified, an innovative technology arrangement shall be granted a Certificate under this Act which shall state the details of how the innovative technology arrangement is identified, including any public key or a brand name, and the Certificate shall be given a unique number for purposes of identification. C 695 (7) The certified innovative technology arrangement shall post the Certificate on the arrangement, in a specific location which shall be notified to the Authority, in an easily accessible and legible format so it can be viewed and understood by all users of the innovative technology arrangement. (8) When a Certificate is issued in favour of an innovative technology arrangement it shall be presumed to refer to all parts of the arrangement which are described as constituting the arrangement in the application unless expressly stated otherwise, in which case, it shall refer only to the specific parts designated as the subject of the certification. Certification of innovative technology arrangements. 8. (1) Any innovative technology arrangement which is referred to in the First Schedule, or in relation to which the Authority has issued a written ruling on eligibility under article 3, may at any time be the subject of an application to the Authority for certification. (2) The Authority may certify any innovative technology arrangement when it is satisfied that the general and the specific requirements of this article have been satisfied. (3) The general requirements are intended to meet the standards of legality, integrity, transparency, compliance and accountability generally established for innovative technology arrangements by the Authority reflecting the principles of the MDIA Act and this Act, and confirmation that none of the circumstances referred to in article 29 of the MDIA Act arise, and shall be assessed by the Authority based on its own reviews of all persons involved, all documentation available and the software it may access as would any user thereof. (4) The specific requirements shall establish to the satisfaction of the Authority that: (a) the innovative technology arrangement is fit and proper for the purposes for which it declares to have been established and having the qualities, attributes, features, behaviours or aspects also declared; and when controlled by a legal organisation: (i) any administrator of such organisation, if any, is a fit and proper person to carry out his functions as administrator; and (ii) if there are shareholders in any legal organisation which owns or controls the innovative technology arrangement, any shareholder holding more VERŻJONI ELETTRONIKA

C 696 than twenty-five per cent (25%) of the shares or ownership interests in the said legal organisation or who, through provisions of the statute, has special voting or other rights permitting him to exercise effective control over the activities of the legal organisation, (hereafter referred to as a "qualifying shareholder") shall be a fit and proper person subject to the more detailed provisions of the Fourth Schedule; (b) the software comprising the innovative technology arrangement, or such parts of it as are designated in applicable rules or otherwise in writing by the Authority, has been reviewed by a registered systems auditor, or registered systems auditors, who are independent from all persons owning, administering, operating or otherwise involved in the innovative technology arrangement, and the Authority has been provided with positive assurance by the systems auditor, or when more than one, each systems auditor, in relation to the matter of audit and review on which he has been engaged. The systems auditor shall confirm that the innovative technology arrangement meets reasonable standards with reference to - (i) the specific purposes, qualities, features, attributes, behaviours or aspects of innovative technology arrangements; (ii) all authorisations or powers granted to - (A) the Authority or other national competent authority, if any; or (B) the technical administrator; or (C) the innovative technology arrangement itself, exist as stated and operate as intended; and (iii) compliance with any rules and regulations made under this Act and any guidelines issued by the Authority applicable to the particular type of innovative technology arrangement, as well as any conditions established by the Authority in the particular case. The Authority may at its discretion, cumulatively or alternatively, require a high level review or audit on the VERŻJONI ELETTRONIKA

C 697 characteristics of the innovative technology arrangement when the specific purposes, behaviours or aspects of the relevant innovative technology arrangement: (i) need to be considered holistically in view of its complexity; or (ii) are not susceptible to specific review or assurances for reasons acceptable to the Authority, to the review and assurance described above; and in such cases the level of the review or audit and the relative assurances shall be expressly stated in the certification and prominently reflected in the website of the applicant, if any, the innovative technology arrangement and in the Register of the Authority. (c) the innovative technology arrangement has a registered technical administrator in office at all times, and who is able to demonstrate to the Authority the ability of the innovative technology arrangement to satisfy - (i) all pre-requisites for the certification which may be granted to it under this Act; (ii) its ability to meet standards on a continuing basis and to address critical matters as are stated in guidelines, if any, by the Authority in the event they occur; (iii) its ability to vary parameters or functionalities where the objective of the system is to address mandatory legal requirements which may reasonably be predicted to change over time; and (iv) with reference to matters, if any, upon which - (A) the technical administrator; (B) the Authority or other national competent authorities; or (C) any other designated person, may be given the discretion or may be required to intervene and which are addressed by the software, all authorisations or powers required to carry out such interventions exist and operate as intended; VERŻJONI ELETTRONIKA

C 698 (d) the innovative technology arrangement is in a position to - (i) comply with and observe any innovative technology authorisation rules and regulations applicable to it, any guidelines issued by the Authority as well as any conditions established by the Authority in the particular case; and (ii) carry out any obligations imposed upon it by applicable law, including those relating to the prevention of money laundering and the financing of terrorism, the protection of personal data, the respect of the rights of consumers and other mandatory laws; and (iii) has in-built technology features, to enable the technical administrator to intervene in a transparent and effective manner in the event of - (A) a material cause of loss to any user; or (B) a material breach of law, so as to ensure that the cause of loss or breach of law is satisfactorily addressed to the best of his abilities and to ensure it does not occur or re-occur, and in case of unjustifiable failure by the technical administrator, on the intervention of the Authority; (e) the specific purposes, qualities, features, attributes, limitations, conditions, terms of service and behaviours or aspects of the relevant innovative technology arrangements and on the basis of which a user is invited to participate or rely on or use the innovative technology arrangement are stated in the English language in an easily accessible and intelligible format. On such matters as are stated, in case of conflict between the English language and the underlying code of the innovative technology arrangement, the English language shall prevail. Where the applicant wishes to use multiple languages for this purpose, in case of conflict between languages, the English language version shall prevail. (5) In the case of - (a) DLTs or other innovative technology arrangements which are in operation, or at a very advanced stage of development, on the date of the coming into force of this Act; VERŻJONI ELETTRONIKA

C 699 and (b) open, decentralised, public and permission-less DLTs, and other similar innovative technology arrangements, where compliance with one of the requirements stated in this article is not practicable within short time frames due to technical challenges as shall be confirmed by a systems auditor registered under this Act, if the Authority considers the circumstances of the case appropriate, the Authority may, on the basis of the recommendation of the said systems auditor and the agreement of the applicant identify - (a) the issues on which there is non-compliance with the legal requirements stated in this article; (b) the matters which need to be overcome for such issues to be addressed; (c) the manner in which such issues may be addressed as would satisfy the Authority of compliance with this article; and (d) the time frame within which the issues are to be addressed, and proceed to issue a certification of the said innovative technology arrangement conditionally upon compliance within the time frames agreed with the applicant and subject to the additional condition that a systems auditor who has been registered under this Act and who maintains such recognition at all relevant times issues a positive assurance that the necessary actions and modifications have been made to the innovative technology arrangement to achieve the agreed outcomes and compliance with this article. The condition shall be recorded in the certification. (6) When the Authority proceeds to certify the innovative technology arrangement under this Act it shall enter its name in the Register of recognised innovative technology arrangements, under such category as it may determine. (7) The innovative technology services providers referred to above shall be appointed by any person who is an applicant, developer or owner of the innovative technology arrangement or in case the innovative technology arrangement is held within a legal organisation, by the legal representative of the organisation. (8) When an innovative technology arrangement is held within VERŻJONI ELETTRONIKA

C 700 a legal organisation, whether with legal personality or not, the certification shall be made in the name of the legal organisation and where it does not qualify as a legal organisation, the Certificate shall be made in the name of a technical administrator, who has been registered under this Act and who maintains such recognition at all relevant times, who has been engaged in respect to the innovative technology arrangement. PART IV Registration of Service Providers Principles relating to registration. 9. (1) The Authority may accept to register persons providing different innovative technology services as shall be stated in the registration. The registration for the provision of one type of service shall not bar the registration of the same person to provide other types of services. (2) The Authority shall from time to time establish guidelines on the purposes for which it will register innovative technology service providers and in so doing shall also establish the requirements for the particular registrations. It shall also establish other aspects such as the review processes and the timing of such reviews for the purposes of maintaining in place any registrations it may accept. (3) The Authority may designate and make public any international or other standards of service it may rely on when considering a registration of services providers under this Act. (4) The Authority may amend the guidelines referred to above from time to time including to enhance the qualitative aspects or purposes of its reviews but such amendments shall not come into force prior to the lapse of at least six (6) months after the publication of such amendments and, in any case, shall only apply from the next review due under the relative guidelines immediately after the lapse of the said six (6) months. (5) Once registered, a service provider shall be granted a Certificate of Registration which shall state its name and address and have a unique number for purposes of identification and shall list the class or classes of services which the applicant has been registered to provide. (6) The registered service provider shall post the Certificate of Registration on its website, if it has one, as well as on any innovative technology arrangement to which it renders its services and this shall be posted thereon in an easily accessible and legible format so it can be viewed and understood by all users of the innovative technology VERŻJONI ELETTRONIKA
  • 41. C 701 arrangement. Innovative technology services. (7) The registration of an innovative technology service provider may be made in relation to persons, being individuals or legal organisations, whether having legal personality or not, and may be carried out - (a) personally; (b) through the resources of the organisation; (c) through delegates approved by the Authority; (d) through technology systems: Provided that in cases referred to in paragraphs (b) and (c), apart from the name of the registered innovative technology services provider approved by the Authority, the individual who is approved to provide the services shall also be named in the certification. Technology services. 10. (1) Any innovative technology service provider who is referred to in the Second Schedule, or in relation to which the Authority has issued a written ruling on eligibility under article 3, may at any time apply to the Authority to be registered under this Act. (2) The Authority may register any innovative technology service provider when it is satisfied that the innovative technology service provider: (a) is fit and proper for the provision of the services it declares he is providing or intends to provide and, when organised as a legal organisation, any shareholder holding more than twenty-five per cent (25%) of the voting shares shall be a fit and proper person and any administrator of such legal organisation shall be a fit and proper person to carry out such activities or functions or the role such person has assumed with regard to the legal organisation; (b) has the qualifications and, or experience which the Authority requires for registration as a provider of services in the particular class applied for; (c) has sufficient technical resources or third party support, personally, through delegates or through automated systems, and is in a position to comply with and observe any innovative technology authorisation rules and regulations applicable to him, any guidelines issued by the Authority as well as any conditions established by the Authority in the VERŻJONI ELETTRONIKA
  • 42. C 702 particular case. (3) The Authority shall not register an innovative technology service provider if the circumstances referred to in article 29 of the MDIA Act arise. (4) When the Authority proceeds to register the innovative technology service provider under this Act, it shall enter his name in the Register of recognised innovative technology service providers, under such category as it may determine. (5) When an innovative technology service provider has been constituted as a legal organisation, whether with legal personality or not, the registration shall be made in the name of the legal organisation and where the service is carried out personally by such service provider, the registration shall be made in the name of the service provider himself. Cap. 377. (6) Innovative technology service providers registered under the provisions of this article shall be considered to be professionals who act as fiduciaries in relation to the information submitted to them by any customers and shall also be bound by the provisions of the Professional Secrecy Act and shall act accordingly. Guiding principles on behaviour of innovative technology service providers. 11. (1) Every innovative technology service provider and every person who may be designated to carry out any role in any innovative technology arrangement, even if not recognised under this Act, shall respect the following principles of best practice in relation to his or its activities. (2) In carrying on its operations, it shall: (a) conduct its business with honesty and integrity; (b) pay due regard to the rights, interests and needs of each and all its customers and must communicate with them in a way that is fair, clear and not misleading; (c) manage and control its business effectively, and conduct its business with due skill, care and diligence; and (d) have effective arrangements in place, through human resources, including third party delegates or contractors, financial resources as well as technology facilities to be able to meet its operational and compliance obligations.   • 43. C 703 PART V Miscellaneous Provisions Duty to notify changes. 12. (1) Any person who has been recognised following an application under this Act and holds - (a) a Certificate for an innovative technology arrangement; (b) a Certificate of Registration as an innovative technology service provider; or (c) any other form of recognition which is issued by the Authority, shall provide the Authority with particulars of any material changes in the information provided to the Authority in the application processes under this Act within thirty (30) days of such changes. For the purpose of this article "material changes" with reference to an innovative technology arrangement shall include: (a) any alternations of any of the software on which an assurance has been provided by a systems auditor; (b) any development altering the rights of users; (c) any development altering the rights, authorisation and powers of the technical administrator or the Authority; and (d) any change in the technical administrator. Furthermore, it shall generally be taken to include: (a) any change in an administrator of a relevant legal organisation; (b) any change in a qualifying shareholder; (c) any change in the person with reference to whom a certification or a Certificate of Registration has been issued; and (d) any other matter which shall be declared to be material by the Authority in guidelines issued from time to time. (2) In so far as an innovative technology arrangement is concerned, the holder of the Certificate shall also provide the Authority with a declaration by a registered systems auditor and a VERŻJONI ELETTRONIKA

C 704 registered technical administrator that they are aware of the material changes which have been made to the information previously provided to the Authority and that such changes do not affect the content of their review, assurances or declarations provided to the Authority for the purposes of the certification of the relevant innovative technology arrangement or, to the extent that the changes result in additional features which have not been reviewed and do not fall within the parameters of existing assurances and declarations issued by them as required under article 8: (a) the systems auditor has carried out the review as required under the said article and provides the relative assurances; and (b) the technical administrator has certified the changes and confirms that continuing validity of his declaration issued for the purpose of the certification of the innovative technology arrangement. (3) In so far as a Certificate of Registration as an innovative technology service provider is concerned, the holder of the Certificate of Registration shall also provide the Authority with all information which shall be relevant in order to enable the Authority to update the Certificate of Registration with the new information after carrying out such processes as would be applicable as though it were a new application with regard to the new information. Reasons for refusals to recognise. 13. (1) The Authority shall act in a open and transparent manner in considering applications and shall seek to provide reasonable information on the progress of an application and, in case of refusal, reasons for such refusals to accept any application under this Act. (2) Failure to take a decision on an application within three (3) months of an application shall be deemed to be a refusal and the applicant shall enjoy the rights of appeal under the MDIA Act from such date. Renewals of certifications and registrations. 14. (1) All authorisations under this Act shall be for the periods of validity and effect as stated in the Third Schedule and shall be presumed to expire on the first working day after the relevant anniversary of the date of authorisation as appears on the certificate confirming the authorisation. (2) It shall be the duty of an innovative technology authorisation holder to ensure that the authorisation is kept valid and effective and will be renewed at least within the last three months of its duration and in any case prior to expiry, by: VERŻJONI ELETTRONIKA

C 705 (a) submitting the information assurances, declarations and other materials or taking such actions as are required by the Authority for renewals of the relevant authorisations and in particular to demonstrate that the applicant is still in compliance with the Act and the conditions of its authorisation; (b) in case of innovative technology arrangements, carrying out the audits and reviews and obtaining the necessary declarations from the registered auditor and the registered technical administrator; and (c) by paying to the Authority the relevant fees. Appointment of resident agent. 15. (1) When the persons making an application for any form of recognition are not ordinarily resident in Malta, such applicant is required to appoint in writing prior to registration, a resident agent who - (a) is habitually resident in Malta; (b) is not interdicted or incapacitated or is an undischarged bankrupt; (c) has not been convicted of any of the crimes affecting public trust or of theft or of fraud or money laundering or of knowingly receiving property obtained by theft or fraud; and (d) has satisfied the Authority that he is a person capable of carrying out the functions stated under this Act. (2) The holder of an innovative technology authorisation shall ensure that it has a validly appointed resident agent at all times when there is no person involved in the administration of the holder who is resident in Malta: Provided that: (a) if both the innovative technology arrangement and the technical administrator appointed with reference to it are not resident in Malta, the appointment of a resident agent for the technical administrator shall satisfy the requirement under this article also for the innovative technology arrangement for as long as such technical administrator is engaged and the engagement of the resident agent is made by the technical administrator also for the innovative technology arrangement on being authorised to do so; and VERŻJONI ELETTRONIKA

C 706 (b) when an innovative technology arrangement is made up of several constituent parts - DLT and smart contracts - which may each obtain a certification under this Act, it shall be lawful for all applicants to designate the main constituent part and thereafter all the ancillary parts shall be deemed to satisfy the requirements of this article if the engagement of the resident agent with reference to the main constituent part names all the ancillary parts and confirms that the applicant is authorised to do so with reference to the said ancillary parts. (3) Notices of the appointment, resignation or removal of the resident agent shall be filed with the Authority in the prescribed form, and until such form is issued by means of a notification in writing and where a notice of appointment is given it shall be accompanied by the acceptance in writing of the resident agent of such appointment. (4) The Authority may at any time refuse or reject any notice of an appointment which it considers is not in compliance with this Act and in such case the applicant or the innovative technology authorisation holder, as the case may be, shall immediately appoint another resident agent. Functions of the resident agent. 16. (1) It shall be the function of the resident agent, on behalf of the innovative technology authorisation holder, to - (a) act as the channel of communication between the innovative technology authorisation holder and the Authority and other Maltese government departments and authorities; (b) sign and file with the Authority and other Maltese government departments and authorities all declarations and forms required in terms of Maltese law; (c) act as the judicial representative of the innovative technology authorisation holder for judicial proceedings in Malta, and any notice whether by the Authority or any other authority, sent to the resident agent at his last registered address, shall be deemed to have been duly received by and notified to the innovative technology authorisation holder. (2) The resident agent shall not be personally liable for non- compliance by the innovative technology authorisation holder with any law, nor for any misrepresentation made in any submissions or documents issued by the applicant, even if authenticated by the resident agent for the purposes of the application or any other law, unless the resident agent has personally undertaken such liability for the compliance in writing or has himself wilfully or recklessly made a VERŻJONI ELETTRONIKA

(3) The resident agent shall neither be responsible for any court, legal or related costs in the event of any judicial proceedings filed against him in his capacity as judicial representative of the holder of the innovative technology arrangement or any of its officers, by whosoever they may have been filed. Powers of resident agent. 17. (1) Without prejudice to the express powers enjoyed by an innovative technology authorisation holder in his engagement, the resident agent shall have the power, on behalf of the innovative technology authorisation holder, to - (a) sign and file applications, declarations, notices, returns and any other document required in terms of Maltese law; (b) apply for the certification of an innovative technology arrangement or for the registration of an innovative technology service provider under this Act and for the revocation or cancellation of an authorisation, and to perform any ancillary act in relation thereto; (c) pay all relative fees and taxes payable in terms of Maltese law; (d) do all other things as may be considered conducive or ancillary for the certification or registration or other form of recognition under this Act or for the maintenance of such recognition; (e) authenticate documents issued by the innovative technology authorisation holder; and (f) receive formal notification on behalf of the innovative technology authorisation holder when notifications are required under the provisions of this Act or any other law or any agreement: Provided that with reference to any written authorisation, certification or registration certificate, while it shall not be prohibited that the resident agent take possession and hold the original for safekeeping, and for amendment or revisions by the Authority, it shall not be lawful for the innovative technology authorisation to be issued in the name of the resident agent, even if he is formally authorised for such purpose.   • 48. C 708 For the purposes of this article the term "innovative technology authorisation holder" shall be presumed to include also an applicant for such authorisation. (2) The resident agent shall be deemed to have all the necessary powers to provide binding undertakings to the Authority on matters relating to the recognition by the Authority on behalf of the innovative technology authorisation holder and the Authority is authorised to act accordingly; provided that nothing in this Act shall imply any power of a resident agent to execute any document relating to an undertaking involving liability unless expressly authorised to do so in writing. (3) The innovative technology authorisation holder may restrict any of the above powers of the resident agent: Provided that where the innovative technology authorisation holder limits such powers he shall file with the Authority a declaration to that effect in the prescribed form and such limitation shall not have effect with regard to third parties until it is so filed and recorded in the Register held by the Authority with reference to innovative technology authorisations. (4) Unless expressly prohibited from doing so in the terms of his own engagement, the resident agent may delegate and appoint in writing another person to act in specific matters on his behalf provided that in so doing the resident agent shall not be relinquishing the functions, powers and responsibilities conferred on him under this Part. (5) The terms of engagement and the appointment or removal or resignation of a resident agent shall be recorded in the Register held by the Authority with reference to the innovative technology authorisations. Resignation or removal of resident agent. 18. (1) A resident agent may resign by giving at least fifteen days’ notice (or such other shorter period as the innovative technology authorisation holder or the Authority may consent to) in writing to the innovative technology authorisation holder and the Authority. (2) The innovative technology authorisation holder may remove the resident agent by giving at least fifteen days’ notice (or such other shorter period as the Authority may consent to) in writing to the Authority. (3) The Authority shall have the power to appoint, on a limited and temporary basis, a resident agent on behalf of the innovative VERŻJONI ELETTRONIKA
