 Have transacted many multi-million dollar commercial purchases and sales involving conventional and mezzanine
financing for national real estate investor and property manager entity (client for 10 years, working directly with
CEO/Owners); acted as quasi in-house general counsel for a variety of legal tasks and consulted on risk assessment,
including assisting with form leases, drafting and negotiating constructions contracts, negotiating software
agreements for company property management software, negotiated corporate office leases, assisted with HUD
refinance transactions, evaluated, advised and negotiated settlements with potential litigation matters with tenants
and applied for and obtained federal trademarks for software applications
 On behalf of 30+ store retail clothing chain with stores in Illinois, Indiana, Wisconsin, Florida (a client for 14 years,
working directly with CEO/Owners), have drafted and negotiated dozens of retail leases, Estoppel Certificates,
Subordination, Non-disturbance and Attornment Agreements; negotiated and closed purchase of multi-million dollar
corporate office and construction contract for rehab of building, and negotiated and closed on purchase of land for
store locations and negotiated construction contracts for new store building; acted as quasi in-house general counsel,
for a variety of legal tasks, including negotiating retail software agreements, litigation risks matters, transacting cross-
collateralized refinance transactions and commercial swap agreement
 Consult for a commercial real estate brokerage firm, acting as quasi in-house general counsel, working directly with
CEO for a variety of legal tasks and consult on risk assessment, including tenant disputes, lease reviews, and
commission disputes
 Assisted condo associations in amending declarations of condominium
 Transacted many purchases and sales of investment properties on behalf of investors
 Assisted hundreds of clients in purchases and sales of homes
 Served as general counsel to several businesses including, real estate companies (assisting with commercial
purchases, sales, assignments, leases, construction contracts, commission disputes), designers (handled contracts,
litigation disputes and corporate counseling), consultants and a not for profit school (leasing, corporate counseling
and litigation matters) and construction companies (construction litigation, real estate transactions and corporate
counseling
Litigation Matters
 Won several motions for summary judgment motions, arbitrations and bench trial in personal injury defense
 Succeeded in defending manufacturing company in personal injury matter where plaintiff sued for severe hand injury
(I convinced a witness in deposition to admit to lying about injury, essentially winning the case)
 Counseled a client being sued for excess judgment in a personal injury case leading to settlement within policy limits
 Successfully handled multiple cases on behalf of a construction company, developed better contracts and policies
 Successfully defended a member of a condo association board against accusations of breach of fiduciary duty
 Secured a guilty verdict at trial and on appeal to enforce $300,000 promissory note on a commercial loan;
 Handled prosecutions and defenses of condo assessment cases
 Won defense of case in federal court involving zoning dispute with allegations of constitutional violations
