1. MEMORANDUM OF UNDERSTANDING
This Memorandum of understanding is made on this 31st day of October, 2016 between Mr. Donnino
Smeraldo of Via Oppido Mamertina, 30, 00178 Rome Italy of the first part (hereinafter called the investor) and
Mr. Marius Enea of Str. Liviu Rebreanu nr.40, Ap.94, 400446, Cluj-Napoca, Romania of the second part
(hereinafter called the project facilitator).
Parties on both sides agree to mutually co-operate in fund/capital transfer and management and
investment programme to mutual benefit of both parties.
WHERE AS:
1. The party of the first part hereby agrees to arrange for the transfer of the sum of US$12.5M (Twelve
Million Five Hundred Thousand United State Dollars Only) into the account nominated by the project
facilitator in view of the nationality incapacity of the first party, the second party hereby agrees and
confirms his ability and willingness to ensure the successful transfer of the funds into his bank account.
2. It is hereby agreed that upon a successful transfer of the said funds, the second party shall be
automatically entitled to a sum equal to fifty percent (50%) of the funds devoid of any deduction or
taxation and shall keep safe for the first party the remaining amount after due deduction of any expenses
which he (the second party) may incur in the course of executing the transfer.
3. The project facilitator will not be held responsible or held liable to any claims of other parties as to the
said funds.
4. Both parties agree to be transparent in the business cooperation and tasks assign to each on the basis of
honesty and trust. Therefore, both parties based on trust and honesty using common sense, mutual respect
and with the mutual understanding that each would respect the prevailing law shall settle any possible
dispute in future amicably.
5. The business cooperation is based on mutual understanding that each party can use its own funds at
their own discretion. However, the project facilitator shall advise investor on areas where the funds can be
profitably invested in blue chip companies, or commodity trade.
6. Both parties agree that the utilisation of the funds will not be for purchasing any weapon or narcotic
drugs nor will it be used for aiding and abating terrorist activities.
7. Any expenses (commuting, correspondence, communication or postal services and other as may be
require to comply with the task set forth to the project facilitator) incur by the project facilitator for and/
on behalf of Mr. Donnino Smeraldo request will be deducted from the Mr. Donnino Smeraldo’s share
of 50%.
