Trustee Services
All Puerto Rico qualified employee retirement plans are regulated by Title I of the Employment Retirement
Income Security Act of 1974 (ERISA), which imposes significant fiduciary responsibilities on plan sponsors,
trustees, administrators and other fiduciaries.
 
ERISA states that all fiduciaries of an employee retirement plan must act with care, skill, prudence and
due diligence in the best interests of plan participants and beneficiaries. Non-compliance with these
duties may result in personal liability for plan fiduciaries.
Banco Popular de Puerto Rico, with over 50 years of experience in fiduciary services, will assist you in
managing the complex and ever-changing fiduciary responsibilities in relation to your Plan.

investment and participant accounting services with daily valuation of account balances, including
participant-driven daily transactions.
Our recordkeeping services include:
• Daily valuation of participant’s accounts
• Quarterly participant statements
• Employer Summary Statements
• Actual Deferral Percentage Non-Discrimination Test
• Preparation of federal form 5500 and other regulatory forms
• Participants’ access to their account through the 24-hour VRU system with access to a service
representative or Internet service.
• Preparation of plan’s Summary Annual Report
• Plan Sponsor web access to Plan participants’ account activity, daily valuation, plan demographics, and
investment results and statistics.
Our customers value the capability of monitoring or managing their retirement assets at their
convenience. Either through our Voice Response Unit available 24-hours at 787-724-3657, 1-888-724-

a stand-alone plan, for which we serve as trustee and record-keeper, will benefit from the conveniences

Popular can not only accommodate your stand-alone defined contribution plan and provide the same
trustee, recordkeeping and investment services as other top service providers, but it can also offer you
the alternative to participate in the Popular Master Plan, our prototype, pre-qualified, 1165(e) Plan.
The Popular Master Plan offers distinct advantages, namely, savings in both time and money, made
possible by utilizing a plan already established and qualified by the Puerto Rico Treasury Department.
Through our Popular Master Plan, as an employer, you receive professional advice in the design and
implementation of the plan.
Our specialized staff of professionals in the area of pension plans are constantly on top of legal and
regulatory changes that may affect the way a pension plan should be structured and managed. They
will implement the appropriate changes to the Popular Master Plan taking that additional burden away
from you as a plan sponsor who has adopted our Master Plan.
The Popular Master Plan can be adopted by corporations, partnerships, sole proprietors and self
employed individuals as a Money Purchase, a Profit Sharing Plan, an 1165 (e) Cash or Deferred
Arrangement or a combination of the above.

The Popular Master Plan simplifies and reduces the implementation and operating cost of your defined
contribution retirement plan. The Popular Master Plan consolidates in one institution the following
services, resulting in a more efficient administration:
-	Trustee Services
-	Plan Design Implementation and Qualification
-	Three Flexible Plan Adoption Agreements
-	Daily Valuation Record-Keeping Services
-	Diversified Investment Options Menu
-	Enrollment and Investment Education Sessions
-	Client Support
Our executives will assist you in the establishment and ongoing administration of your plan, in strict
compliance with local regulations and the Employee Retirement Income Security Act of 1974, as amended
(ERISA).
QUALIFICATION & IMPLEMENTATION
In order to design the plan that best suits your needs, a thorough analysis of the following is necessary:
-	work force demographics
-	costs and administrative considerations
-	staff’s capability of efficiently administering the plan
-	your feasibility in implementing and communicating the plan to all eligible employees in order to
encourage high participation at all times
-	feasibility of reliable sources outside your company, who can provide their services efficiently, accurately
and economically
Once your retirement plan is implemented, we are able to assist you in fulfilling your administrative
duties, regardless of your company’s size. We can help you in designing, qualifying, implementing and
administrating your retirement plan in the most cost-effective manner.
If you opt to adopt our Master Plan, we at Banco Popular, are fully responsible for maintaining the
ongoing qualified status. This means we will keep the Master Plan updated in terms of any changes
required by the Puerto Rico Internal Revenue Code of 1994 and/or ERISA. By doing this, we save you
substantial time and legal expenses.

As a Plan Sponsor, you have the fiduciary responsibility of searching for, implementing and monitoring a
successful investment program for your plan participants.
 
Banco Popular’s Fiduciary Services Division, through its Investment Management Consulting Group, will
assist you in reducing your fiduciary responsibility by implementing a formal and prudent investment
process in the selection and monitoring of your Plan’s investment options.
 
We will first assist in the design of the investment policy which provides the ground rules for the selection
of the plan’s investments, as well as setting criteria for the evaluation and monitoring of the investment
options that will be selected. Once an Investment Policy is approved, we will provide guidance in the
selection of the particular mutual fund options that will be chosen as investments for your plan.
OUR ADOPTION AGREEMENTS
As an employer, you choose the plan that best suits your needs and then sign an Adoption Agreement
with its particular features or details.
The available Popular Master Plan contribution plans are three:
1. Money Purchase Plan
Under this plan, you as employer may contribute to each plan year with up to a maximum of 25% of the
total compensation paid to all participants. Upon adoption of the Popular Master Plan, a fixed percentage
is specified and you must contribute to it, in one or more payments. You must refrain from waiving or
altering the contribution amount unilaterally, unless you decide to amend the plan.
2. Profit Sharing Plan
Under this contribution plan, you have the choice to change the amount that is contributed to the plan
on an annual basis. As employer, you may contribute annually, in one or more payments, the lesser of
15% of the total compensation paid to all plan participants. However, your annual contribution is subject
to a net profit requirement. Yet, you may opt not to make a profit sharing contribution in any particular
plan year, if you decide to.
3. Cash or Deferred Arrangement 1165(e) / 401 (k) Plan
Under this plan, your employees’ contributions must be made through payroll deductions. Your employees
choose to contribute part of their salary to the Plan on a pre-tax basis. As an employer, however, your
contributions may be made as a profit sharing contribution, or as an employer-matching contribution,
tied to the employees’ contribution, or both.

We provide a list of pre-screened mutual funds for you to select from. Also, we offer an open architecture
structure and therefore screen all the publicly traded mutual funds available (over 24,000) in the market
in order to narrow down your choices to a more manageable menu from diverse families covering all the
major investment styles. Nonetheless, we are willing and able to work with any mutual fund or mutual
fund company you may wish to select.
INVESTMENT MONITORING 
Once the Plan’s investment options have been selected, we provide on-going support to your investment
program, ensuring compliance with laws and regulations while maintaining an attractive lineup for your
participants.
Our quarterly fund review will:
• Monitor performance compared to index and peers
• Monitor risk statistics and expense ratios
• Review funds for possible style drift
• Confirm management changes
• Review Plan’s asset allocation
• Provide recommendations for replacement, as necessary
In addition to this, we will also provide a general financial markets review in order for your participants
to stay up to date with the latest events in the world of investments.

We will coordinate, along with your human resources division, the best way to organize and conduct
educational orientations to your employees. We will provide educational material to be distributed among
the attendants, along with the Summary Plan Description. During these presentations we will also:
-	inform your employees about the details and benefits of the plan
-	explain the available investment options, including objectives, historical returns and other details of the
investment fund you have chosen as employer
-	enable participants to direct the investment of their contributions
-	discuss disbursement issues, such as regulatory restrictions, tax responsibilities and payment options

Our Plan Sponsor Web provides you with access to the same information your participants will receive
plus you can:
- review plan totals and demographics
-	review transaction history at plan level
-	process your payroll file and receive online confirmations
CUSTOMER SUPPORT
Your employees will have access to Spanish and English Speaking Representatives Monday through
Friday from 7:00 a.m. to 8:00 p.m.
Participants will have access to a representative, who will assist him/her on how to navigate through the
VRU system or the Internet, and may answer questions regarding his or her account.
You, as an employer, will have an Account Officer assigned to work with your Plan. The Account Officer
will be your primary contact to work on a day to day basis on your needs related to payroll contributions,
plan reporting, payment processing, and audit reports.

Your participants will be able to choose the most convenient method of support:
Managed by Morningstar® – professional investment management that provides ongoing account
monitoring and management of their retirement account. Ideal for those who prefer to have someone
manage their account for them (extra cost for participant).
Managed by You – A comprehensive suite of resources providing personalized recommendations for
those who prefer to manage their retirement accounts themselves.
All your plan needs, such as handling your participants’ transactions, reporting, check printing, investment
monitoring and Plan Audit needs will be handled by the same division at Banco Popular. We strive in
providing a high service level. Every year, we have our external auditors prepare a SAS70 report, which
not only helps us monitor our internal controls and help you reduce your Plan audit costs but it also
provides you assurance of our capabilities as a pension plan administrator.

Identify the Client’s Needs – You will receive support from our specialized staff, who will work with you

  • 6. 7 As a Plan Sponsor, you have the fiduciary responsibility of searching for, implementing and monitoring a successful investment program for your plan participants.   Banco Popular’s Fiduciary Services Division, through its Investment Management Consulting Group, will assist you in reducing your fiduciary responsibility by implementing a formal and prudent investment process in the selection and monitoring of your Plan’s investment options.   We will first assist in the design of the investment policy which provides the ground rules for the selection of the plan’s investments, as well as setting criteria for the evaluation and monitoring of the investment options that will be selected. Once an Investment Policy is approved, we will provide guidance in the selection of the particular mutual fund options that will be chosen as investments for your plan. OUR ADOPTION AGREEMENTS As an employer, you choose the plan that best suits your needs and then sign an Adoption Agreement with its particular features or details. The available Popular Master Plan contribution plans are three: 1. Money Purchase Plan Under this plan, you as employer may contribute to each plan year with up to a maximum of 25% of the total compensation paid to all participants. Upon adoption of the Popular Master Plan, a fixed percentage is specified and you must contribute to it, in one or more payments. You must refrain from waiving or altering the contribution amount unilaterally, unless you decide to amend the plan. 2. Profit Sharing Plan Under this contribution plan, you have the choice to change the amount that is contributed to the plan on an annual basis. As employer, you may contribute annually, in one or more payments, the lesser of 15% of the total compensation paid to all plan participants. However, your annual contribution is subject to a net profit requirement. Yet, you may opt not to make a profit sharing contribution in any particular plan year, if you decide to. 3. Cash or Deferred Arrangement 1165(e) / 401 (k) Plan Under this plan, your employees’ contributions must be made through payroll deductions. Your employees choose to contribute part of their salary to the Plan on a pre-tax basis. As an employer, however, your contributions may be made as a profit sharing contribution, or as an employer-matching contribution, tied to the employees’ contribution, or both. Investment Services

Also, we offer an open architecture structure and therefore screen all the publicly traded mutual funds available (over 24,000) in the market in order to narrow down your choices to a more manageable menu from diverse families covering all the major investment styles. Nonetheless, we are willing and able to work with any mutual fund or mutual fund company you may wish to select. INVESTMENT MONITORING  Once the Plan’s investment options have been selected, we provide on-going support to your investment program, ensuring compliance with laws and regulations while maintaining an attractive lineup for your participants.
