NexTier merges with Eureka Financial in USD-35m deal

January 11 (SeeNews) – US NexTier Inc, which owns NexTier Bank, said on Friday it has closed the merger with local sector
player Eureka Financial Corp in a deal valued at about USD 35 million (EUR 32.05m).
NexTier agreed to pay shareholders of Eureka Financial about USD 28.50 per share in cash in early September.
Following the deal, the combined company will have about 26 branches and over USD 1.1 billion in assets.
The transaction will strengthen NexTier's geographic presence, in particular in the Allegheny County market, CEO Rich
Krauland said.
Cohen & Grigsby PC advised NexTier, while Eureka Financial took counsel from Sandler O'Neill + Partners LP and Kilpatrick
Townsend & Stockton LLP.

Eureka Financial merges with NexTier
Eureka Financial Corp., a holding company of Eureka Bank, has merged with and into NexTier, Inc., a holding company of
NexTier Bank. Eureka Bank and NexTier Bank are US-based providers of banking services.
Following the transaction, Eureka Bank will also merge with and into NexTier Bank.

Announcement (September 03, 2015 ):
Eureka Bank has signed a definitive merger agreement to merge with NexTier Bank.
Under the terms of the agreement shareholders of Eureka Financial will receive approximately $35 million in cash, or $28.50
per share.
Following the transaction, the combined company will operate under the NexTier Bank brand.
The agreement was unanimously approved by the Boards of Directors of NexTier and Eureka Financial.
