Responsibilities:
Transformation Secretary
 Take minutes and offer legal Advisory services to the Senior
Management Transformation Committee
 Liase with external service providers involved and engaged in the
Transformation of ECLOF Kenya Microfinance
 Development of Departmental Policy Manual and Procedures
Regulatory compliance
 Formulate compliance check-lists to be used for the purpose of ensuring that
all information required is provided accordingly.
 Continuously monitor compliance with statutory obligations and advise
management accordingly.
 Prepare monthly and quarterly reports for the department for executive
management meetings.
Contract negotiation
 Review all contracts or any other documentation where the Company has
committed itself and assess legal implications that need to be brought to the
executive management’s attention.
 Prepare, review and modify contractual instruments to assist and support
various business activities.
 Negotiate, review and draft documentation for business transactions and
prepare and advise on the necessary checklist to be adopted to ensure
information is submitted on time
Legal risk
 Review ongoing cases and advice management accordingly.
 Liaise with relevant departments to ensure that where legal risks have been
identified, appropriate courses of action have been taken.
 Provide legal protection and risk management advice to management
especially on contract management.
 Provide and interpret legal information, conduct training and disseminate
appropriate legal requirements to staff.
Policy development
 Review and advise management on legal implications of internal policies
and procedures.
 Review and draft contracts, agreements and internal policies and ensure that
they are in compliance with all statutory or legal requirements.
Litigation management

Responsibilities:
 Maintain and update the database of cases and management of
Litigation.
 Review progress of outstanding litigation and liase with and manage
external lawyers.
 Diarize hearing notices for pending cases and follow up on outcome
thereof.
 Negotiate, review and draft documentation for business transactions
and prepare and advise on the necessary checklist to be adopted to
ensure information is submitted on time Training.
 Transformation to a Deposit Taking microfinance Advise.
 Review and analyses client file has all the necessary documents for
perfection process by external Advocates.
 Liase with Advocate’s where professional undertaking is issued to
another financial Organization.
 Forward all the relevant documents like Original Title’s, Certificate of
Lease, Lease agreements.
 Update the loan register system on every stage until completion.
 Receive instruction from credit on clearance of loan.
 Prepare discharge forms.
 Forward the complete discharge together with the Title document to
the client the relevant parties.
 Identify legal training needs for Faulu Staff.
 Prepare TOR for Advocates to train the staff.
 Review all leases both old and new.
 Issue termination and renewal of leases as per instructions.
 Instruct Advocates on registration of leases.
 Management and record keeping of all original leases both in soft and
hard copies.
 Receive and follow up with the affected department for facts.
 Follow up on transmission of deceased accounts to the next of Kin
Search through instructing Advocates.
 Assist in legalRiskManagement with Internal audit,CBK and external
audit.

Work Experience July 2015 to Date ECLOF Microfinance Position: Legal Officer Responsibilities: Transformation Secretary  Take minutes and offer legal Advisory services to the Senior Management Transformation Committee  Liase with external service providers involved and engaged in the Transformation of ECLOF Kenya Microfinance  Development of Departmental Policy Manual and Procedures Regulatory compliance  Formulate compliance check-lists to be used for the purpose of ensuring that all information required is provided accordingly.  Continuously monitor compliance with statutory obligations and advise management accordingly.  Prepare monthly and quarterly reports for the department for executive management meetings.
