meet at the regular intervals in order to ensure smooth functioning of the

Frequency of Board Meetings
• The minimum number of Board Meetings in the year should not be less
than 4.
• The Board of Directors must meet minimum once in every 3 months.
• Maximum gap between 2 Board Meetings cannot be more than 120
days.

• Notice should served 7 days in advance for the meeting
First Board Meeting of the Company
• After incorporation ,the first Board Meeting should be held within 30 days
Quorum of Meeting
• Quorum for a Board Meeting is one third of total number of Directors or
two directors whichever is more

5. Meeting of Board of Directors
Passing of resolution by circulation
• Company can circulate the draft resolution with necessary documents to
all the directors by hand delivery, post or electronic means
• If majority of the directors approve the draft, the resolution is considered
to be passed
