Standard contract for consulting services

1. StandardContract for ConsultingServices
ThisAgreementismade this -- dayof -------,20--,between__________________________ ("Client"),
havingitsprincipal place of businessat4595 MacDonald Drive,Burnaby,B.C.
and BizTechInc.("BizTech Inc."),havingitsprincipal place of businessat10517-A JuniperWay,Delta,
B.C.
In considerationof ClientretainingBizTechInc.toperformsupportservicesforClient,itisagreedas
follows:
1. CompensationandTerm
ClientherebyretainsBizTech Inc.andBizTechInc.herebyagreestoperformthe followingservices:
Consultingservicesof BizTechInc.asrequiredbyClient,throughDecember31,20--. BizTechInc.will at
varioustimesperformservicesatClient'sheadquarters,atotherClientfacilities,oratBizTechInc.
facilities,asdirectedbyClient.BizTechInc.will performthe servicesatvarioustimesandforvarious
durationsasdirectedbyClient.
The followingfeesshall apply:

Reasonable andnecessarybusinessandtravel expensesactuallyincurredbyBizTechInc.shall be
reimbursedbyClientuponsubmissionof expense reportswithback-updocumentation.All such
expensesandall travel plansmustbe approvedinadvance byClient.
BizTechInc.shall provide detailedinvoicesandshall maintain,andprovide,uponrequest,backup
documentationforaperiodof one yearfrom the date of the respective invoices.Clientshallmake full
paymentforserviceswithinthirtydaysof invoice.If BizTechInc. bringsalegal actionto collectanysums
due underthisAgreement,itshall be entitledtocollect,inadditiontoall damages,itscostsof
collection,includingreasonable attorney'sfees.

2. ThisAgreementshall commence onthe date statedabove,andshall remainineffectuntilall obligations
underthisAgreementhave beenproperlycompleted.EitherpartytothisAgreementmayterminatethis
Agreementwithorwithoutcause byprovidingatleast21 dayswrittennotice tothe otherparty.
2. Warrantiesby BizTechInc.
BizTechInc.representsandwarrantsto Clientthatithas the experience andabilitytoperformthe
servicesrequiredbythisAgreement;thatitwill performsaidservicesinaprofessional,competentand
timelymanner;thatithas the powerto enterintoandperformthisAgreement;andthatits
performance of thisAgreementshall notinfringe uponorviolate the rightsof anythirdpartyor violate
any federal,provincial andmunicipal laws.Clientshall provide requisite trainingforadditional products
or servicesrequiredbythisAgreementwhichare notwithinBizTechInc.areaof expertise.
3. IndependentContractor
BizTechInc.acknowledgesthatthe servicesrenderedunderthisAgreementshall be solelyasan
independentcontractor. BizTechInc.shall notenterintoanycontract or commitmentonbehalf of
Client.BizTechInc.furtheracknowledgesthatitisnot consideredanaffiliate orsubsidiaryof Client,and
isnot entitledtoanyClientemploymentrightsorbenefits.Itisexpresslyunderstoodthatthis
undertakingisnota jointventure.
4. Confidentiality
BizTechInc.recognizesandacknowledgesthatthisAgreementcreatesaconfidential relationship
betweenBizTech Inc.andClientandthatinformationconcerningClient'sbusinessaffairs,customers,
vendors,finances,properties,methodsof operation,computerprograms,anddocumentation,and
othersuch information,whetherwritten,oral,orotherwise,isconfidential innature.All such
informationconcerningClientishereinaftercollectivelyreferredtoas"Confidential Information."
BizTechInc.agreesto followClientInformationSecurityproceduresandotherwise take all reasonable
precautionsforthe protectionof Confidential Information.
5. Non-Disclosure

3. BizTechInc.agreesthat, exceptasdirectedbyClient,itwillnotatany time duringor afterthe term of
thisAgreementdisclose anyConfidential Informationtoanypersonwhatsoeverandthatuponthe
terminationof thisAgreementitwillturnovertoClientall documents,papers,andothermatterinits
possessionorcontrol thatrelate toClient.BizTechInc.furtheragreestobinditsemployeesand
subcontractorsto the termsand conditionsof thisAgreement.
6. Grant
BizTechInc.agreesthat itswork productproducedinthe performance of thisAgreementshall remain
the exclusive propertyof Client,andthatitwill notsell,transfer,publish,disclose orotherwise make the
workproduct available tothirdpartieswithoutClient'spriorwrittenconsent.Anyrightsgrantedto
BizTechInc.underthisAgreementshall notaffectClient'sexclusiveownershipof the workproduct.
7. Office Rules
BizTechInc.shall complywithall office rulesandregulations,includingsecurityrequirements,whenon
Clientpremises.
8. Conflictof Interest
BizTechInc.shall not offerorgive a gratuityof anytype to any Clientemployee oragent.
9. GoverningLaw
ThisAgreementshall be construedandenforcedinaccordance withthe lawsof the Province of British
Columbia.
10. Entire AgreementandNotice

4. ThisAgreementcontainsthe entireunderstandingof the partiesandmaynot be amendedwithoutthe
specificwrittenconsentof bothparties.Anynotice givenunder thisAgreementshall be sufficientif itis
inwritingandif sentbycertifiedorregisteredmail.
