We FJ Commerce Ltd, acting with full corporate responsibility and authority as a Seller, hereby wish to confirm that
we are willing and able to transact and supply the commodity under following terms and conditions:
COMMODITY: Rafined Sanflower Oil (as per the specification below)
ORIGIN: Russia
DELIVERY (CIF): European port (to be appointed by Buyer)
PACKING: 1 ,2,3, 5 ,10 LITTER PET BOTTLE
QUANTITY: ………………..per month (+-5%), one year contract with possible Rolls & Extensions
INSPECTION: By SGS at loading and unloading port. The inspection at unloading port shall be at Buyer's cost,
final and binding to the parties
PRICE: 1 070 USD/MT (One Thousand Forty USD per metric ton), Cost, Insurance and Freight (CIF)
PAYMENT GUARANTEE: 100% Irrevocable, Auto-Revolving Documentary Letter of Credit (ARDLC), covering
one month' quantity and operational for the contract term, issued or confirmed by a prime European bank, negotiable
and payable at Seller's bank 100% at Sight upon delivery at Port of Destination, against presentation SGS report and
shipping documents stated in the contract at the Buyer's bank
PAYMENT TERMS: Payments will be made on a shipment basis, via SWIFT (MT 760/ MT103/23 T/T), by
Buyer's bank to Seller's bank
DELIVERY PERIOD: First delivery within 30/45 DAYS after verification and acceptance of the ARDLC, and
thereafter every 30 days until the total quantity has been delivered
PERFORMANCE BOND (PB): The Seller will post to Buyer a Performance Bond Guarantee for 2% of the value

3. Seller issues FCO (Full Corporate Offer)
4. Buyer signs, seals and return the FCO to Seller

7. Seller issues final contract and the hard copies are signed and exchanged at a face-to-face meeting between the
parties or via express international courier
8. Seller is responsible for registration and legalization of the international contract with the Refinery at Ministry of
industry and trade of Russia federation and for obtaining of the "Certificate of Product Ownership & Allocation
Code”. Seller finalizes and verifies the shipment schedule with shipping Companies and confirms it to the Buyer
9. The Buyer and Seller each lodge a hard copy of the final contract in the respective banks, negotiate and confirm to
each other the wording, terms and conditions of Draft of Letter of Credit and wording of PB
10. After Seller's approval of the Draft of Letter of Credit, Buyers Bank, within Five (5) banking days will issue a
Non-Operative ARDLC to Seller' Bank
11. Seller's Bank, within Ten (10) days upon receiving Non-Operative ARDLC from Buyer's Bank, will handle a
POP (Proof of Product) and will issue a PB in amount of 2% of the ARDLC value that makes the ARDLC
"operative"
12. Shipments shall commence after fulfillment the necessary procedures, acceptance of instructions from the Buyer
and as per the contracts terms and conditions
