Dozens of U.S. states are currently suing Meta for contributing to the youth mental health crisis by inserting addictive features into their products, while the U.S. Surgeon General is touring the nation to bring awareness to the growing epidemic of loneliness and isolation. The country has endured periods of low national morale, such as in the 1970s when high inflation and the energy crisis worsened public sentiment following the Vietnam War. The current mood, however, feels different. Gallup recently reported that national mental health is at an all-time low, with few bright spots to lift spirits.
To better understand how Americans are feeling and their attitudes towards mental health in general, ThinkNow conducted a nationally representative quantitative survey of 1,500 respondents and found some interesting differences among ethnic, age and gender groups.
Technology
For example, 52% agree that technology and social media have a negative impact on mental health, but when broken out by race, 61% of Whites felt technology had a negative effect, and only 48% of Hispanics thought it did.
While technology has helped us keep in touch with friends and family in faraway places, it appears to have degraded our ability to connect in person. Staying connected online is a double-edged sword since the same news feed that brings us pictures of the grandkids and fluffy kittens also feeds us news about the wars in Israel and Ukraine, the dysfunction in Washington, the latest mass shooting and the climate crisis.
Hispanics may have a built-in defense against the isolation technology breeds, owing to their large, multigenerational households, strong social support systems, and tendency to use social media to stay connected with relatives abroad.
Age and Gender
When asked how individuals rate their mental health, men rate it higher than women by 11 percentage points, and Baby Boomers rank it highest at 83%, saying it’s good or excellent vs. 57% of Gen Z saying the same.
Gen Z spends the most amount of time on social media, so the notion that social media negatively affects mental health appears to be correlated. Unfortunately, Gen Z is also the generation that’s least comfortable discussing mental health concerns with healthcare professionals. Only 40% of them state they’re comfortable discussing their issues with a professional compared to 60% of Millennials and 65% of Boomers.
Race Affects Attitudes
As seen in previous research conducted by ThinkNow, Asian Americans lag other groups when it comes to awareness of mental health issues. Twenty-four percent of Asian Americans believe that having a mental health issue is a sign of weakness compared to the 16% average for all groups. Asians are also considerably less likely to be aware of mental health services in their communities (42% vs. 55%) and most likely to seek out information on social media (51% vs. 35%).

1. Đề Tài:Thị trường chứng khoán phái sinh ở Việt Nam
1.Khái quát về thị trường chứng khoán phái sinh
1.1.khái niệm chứng khoán phái sinh
-Chứng khoán phái sinh là những công cụ được phát hành trên cơ sở những công
cụ đã có như cổ phiếu, trái phiếu, nhằm nhiều mục tiêu khác nhau như phân tán
rủi ro, bảo vệ lợi nhuận hoặc tạo lợi nhuận
1.2.Các loại công cụ phái sinh
1. 2.1.Quyền lựa chọn
- Quyền lựa chọn là một công cụ cho phép người nắm giữ nó được mua (nếu là
quyền chọn mua) hoặc bán (nếu là quyền chọn bán) một khối lượng nhất định
hàng hoá với một mức giá xác định, và trong một thời gian nhất định.
Các hàng hoá cơ sở này có thể là cổ phiếu, chỉ số cổ phiếu, trái phiếu, chỉ số trái
phiếu, thương phẩm, đồng tiền hay hợp đồng tương lai.
+Đối với quyền chọn mua, nếu giá thực hiện thấp hơn giá hiện hành của chứng
khoán cơ sở, thì quyền đó được gọi là đang được tiền tức là người có quyền có
thể có lợi từ việc thực hiện quyền. Nếu giá thực hiện bằng với giá thị trường,
quyền đang ở trạng thái hoà vốn và nếu cao hơn, gọi là đang mất tiền
+Đối với quyền chọn bán thì ngược lại, người thực hiện quyền sẽ có lợi nếu giá
bán thực hiện quyền cao hơn giá thị trường của hàng hoá cơ sở và sẽ bị mất tiền
nếu giá thực hiện quyền thấp hơn giá thị trường của hàng hoá cơ sở.
-Giá trị mà người nắm giữ quyền lựa chọn sẽ nhận được bằng cách thực hiện
quyền được gọi là giá trị nội tại. Nếu quyền ở trạng thái bị mất tiền, giá trị nội
tại bằng 0. Giá thị trường của một quyền thường ít nhất là bằng giá trị nội tại.
Giá bán quyền được gọi là phần phụ trội, chênh lệch giữa giá bán quyền với giá
trị nội tại (trong trường hợp quyền đang được tiền) được gọi là phần phụ trội giá
trị theo thời gian.
2. -Quyền lựa chọn cho phép nhà đầu tư thu được tỷ lệ % lợi tức trên vốn đầu tư
cao nhất.
1.2.2 Quyền mua trước
-Quyền mua trước là một quyền lựa chọn mua có thời hạn rất ngắn, có khi chỉ
vài tuần. Quyền này được phát hành khi các công ty tăng vốn bằng cách phát
hành thêm các cổ phiếu thường. Quyền cho phép một cổ đông mua cổ phiếu mới
phát hành với mức giá đã ấn định trong một khoảng thời gian xác định.
-Loại quyền này thường được phát hành theo từng đợt, mỗi cổ phiếu đang lưu
hành được kèm theo một quyền. Số quyền cần để mua một cổ phiếu mới được
quy định tuỳ theo từng đợt phát hành mới.
-Giá cổ phiếu ghi trên quyền thường là thấp hơn giá hiện hành của cổ phiếu. Giá
của quyền tính bằng chênh lệch giữa giá thị trường hiện hành của cổ phần đang
lưu hành và giá mua cổ phần mới theo quyền, chia cho số lượng quyền cần có để
mua một cổ phần mới.Nếu không muốn thực hiện quyền, cổ đông thường có thể
bán quyền trên thị trường trong thời gian quyền chưa hết hạn. Giá quyền có thể
lên xuống trong khoảng thời gian chào bán, tuỳ thuộc biến động giá thị trường
của cổ phiếu.
1.2.3. Chứng quyền
Chứng quyền là quyền cho phép mua một số cổ phần xác định của một cổ phiếu,
với một giá xác định, trong một thời hạn nhất định. Quyền này được phát hành
khi tiến hành tổ chức lại các công ty, hoặc khi công ty muốn khuyến khích các
nhà đầu tư tiềm năng mua những trái phiếu hay cổ phiếu ưu đăi nhưng có những
điều kiện kém thuận lợi. Để chấp nhận những điều kiện đó, nhà đầu tư có được
một lựa chọn đối với sự lên giá có thể xảy ra của cổ phiếu thường.
-Đặc điểm:
+Khác với quyền mua trước, chứng quyền có thời hạn dài hơn, do công ty đã
phát hành công cụ cơ sở phát hành đồng thời với công cụ cơ sở. Khác với quyền
lựa chọn khi chứng quyền được thực hiện, nó tạo thành dòng tiền vào cho công
3. ty và tăng thêm lượng cổ phiếu lưu hành trên thị trường.
+Chứng quyền có thể được giao dịch tách rời với trái phiếu hay cổ phiếu mà nó
đi kèm.
+Các điều kiện của chứng quyền được ghi rõ trên tờ chứng chỉ: số cổ phiếu
được mua theo mỗi chứng quyền (thường là 1:1); giá thực hiện cho mỗi cổ
phiếu; tại thời điểm chứng quyền được phát hành, giá này bao giờ cũng cao hơn
giá thị trường của cổ phiếu cơ sở, và giá đó có thể cố định, có thể được tăng lên
định kỳ; và thời hạn của quyền, đa số trường hợp là 5 đến 10 năm.
1.2.4.Hợp đồng kỳ hạn
-Hợp dồng kỳ hạn là một thoả thuận trong đó một người mua và một người bán
chấp thuận thực hiện một giao dịch hàng hoá với khối lượng xác định, tại một
thời điểm xác định trong tương lai với một mức giá được ấn định vào ngày hôm
nay.
-Hàng hoá ở đây có thể là bất kỳ thứ hàng hoá nào; từ nông sản, các đồng tiền,
cho tới các chứng khoán.
-Theo hợp đồng này thì chỉ có hai bên tham gia vào việc ký kết, giá cả do hai
bên tự thoả thuận với nhau, dựa theo những ước tính mang tính các nhân. Giá
hàng hoá đó trên thị trường giao ngay vào thời điểm giao nhận hàng hoá có thể
thay đôỉ, tăng lên hoặc giảm xuống so với mức giá đă kí kết trong hợp đồng. Khi
đó, một trong hai bên mua và bán sẽ bị thiệt hại do đă cam kết một mức giá thấp
hơn (bên bán) hoặc cao hơn (bên mua) theo giá thị trường.
1.2. 5. Hợp đồng tương lai
Hợp đồng tương lai, nhờ đặc tính linh hoạt của nó, đã khắc phục được những
nhược điểm của hợp đồng kỳ hạn, và thường được xem là một cách thức tốt hơn
để phòng ngừa rủi ro trong kinh doanh.

1.4 Thành viên của thị trường chứng khoán phái sinh
5. -Người đầu tư: họ sử dụng nghiệp vụ phái sinh để giảm thiểu hoặc loại bỏ
rủi ro do họ luôn phải đối mặt với những rủi ro do biến động giá cả của các
sản phẩm chính.
-Người đầu cơ: với tõm lớ muốn đánh cuộc trên những biến động giá cả
của sản phẩm chỉnh nên họ sử dụng nghiệp vụ này như mét đòn bẩy đặc biệt.
-Người cơ lợi (thực hiện lợi nhuận mà không có rủi ro): bằng cách sử
dụng chênh lệch giá giữa các thị trường tài chính khác nhau, họ đã sử dụng
rất hiệu quả các nghiệp vụ phái sinh để hưởng chênh lệch giá.
2 .Thị trường chứng khoán phái sinh ở việt nam
2.1.Khái quát về thị trường chứng khoán phái sinh ở việt nam
-Lịch sử của thị trường chứng khoán phái sinh được bắt đầu từ thị trường nông
phẩm - sản phẩm thiết yếu của con người. Những năm “mưa thuận gió hòa”,
nông phẩm dồi dào, sử dụng dư thừa; những năm thời tiết khắc nghiệt, nông
phẩm trở nên khan hiếm, đắt đỏ. Trong từng năm, cũng có những nghịch lý giữa
các kỳ giáp hạt và sau mùa vụ thu hoạch. Vì thế, từ thế kỷ thứ XI - XII, tại châu
Âu và Nhật Bản, trên thị trường nông phẩm, bên cạnh các giao dịch “tiền trao
cháo múc”, các nhà buôn và các nông gia đã thực hiện mua bán kỳ hạn, bằng các
cam kết tay đôi, mua bán trước, giao nhận hàng sau, theo các kỳ hạn xác định
nhằm giảm thiểu rủi ro về giá cho người sản xuất và tiêu thụ, qua đó điều tiết
sản xuất. Việt Nam tuy là một nền kinh tế nhỏ, nhưng đã là một nước xuất khẩu
lớn, nông phẩm xuất khẩu được đánh giá là mặt hàng tiềm năng
-Thị trường chứng khoán phái sinh tại Việt Nam bắt đầu ra đời 20/07/2000 được
đánh dấu bởi sự kiện đưa trung tâm giao dịch chứng khoán tại thành phố Hồ
Chí Minh đi vào hoạt động từ đó đến nay thị trường chứng khoán (TTCK) Việt
Nam kỷ niệm hơn 13 năm thành lập. Dù đã có hơn13 năm phát triển nhưng để

là không hề đơn giản
-Thị trường chứng khoán phái sinh ở việt nam vấn còn rất non trẻ chưa có các
công cụ đầu tư đa dạng và còn nhiều tiềm năng chưa được khai thác.
-Ngân hàng thương mại tiên phong trong thị trường này tại Việt Nam là BIDV.
Bắt đầu kinh doanh sản phẩn phái sinh từ năm 2003, BIDV phát triển công cụ
phái sinh có gốc từ tỷ giá, dưới dạng hợp đồng kỳ hạn và hợp đồng hoán đổi là
chủ yếu. Năm 2002, Trung tâm GDCK TP. HCM (nay là Sở giao dịch) hợp tác
với một tổ chức tài chính Hoa Kỳ tổ chức Sàn giao dịch kỳ hạn hạt điều. Năm
2004, UBND tỉnh Đắk Lắk cho ra đời Trung tâm Giao dịch cà phê Buôn Ma
Thuột và Ngân hàng TMCP Techcombank cung cấp dịch vụ môi giới giao dịch
mua bán cà phê trên các thị trường cà phê quốc tế. Năm 2005, Quốc hội ban
hành Luật Thương mại, trong đó có quy định giao dịch hàng hóa qua Sở giao
dịch hàng hóa. Năm 2006, Chính phủ ban hành Nghị định 158/2006/NĐ-CP
hướng dẫn hoạt động mua bán hàng hóa qua Sở giao dịch hàng hóa. Năm 2010,
Công ty TNHH Triệu Phong cho ra đời Sở Giao dịch hàng hóa Việt Nam, giao
dịch quyền lựa chọn về cà phê, cao su và sắt thép. Năm 2011, Ủy ban Chứng
khoán Nhà nước bắt đầu xây dựng đề án và tổ chức nhiều cuộc hội thảo về
TTCK phái sinh.
Tuy nhiên, cho đến nay, các hoạt động kể trên vẫn chưa có kết quả cụ thể: Sàn
giao dịch hạt điều không có phiên giao dịch thứ hai; Trung tâm giao dịch cà phê
Buôn Ma Thuột hiện vẫn chưa biết phải bắt đầu từ đâu; Sở Giao dịch hàng hóa
Việt Nam đã phải đóng cửa sàn giao dịch sau gần ba năm khai trương hoạt động;
giao dịch mua bán cà phê qua Techcombank có kết quả rất hạn chế, bởi trong
hoạt động này, Techcombank chỉ là một tổ chức môi giới của một tổ chức môi
giới ở nước ngoài
-Cho đến nay, đã 3 công cụ phái sinh chính, bao gồm: phái sinh tiền tệ, lãi suất,
hàng hóa và một công cụ mới - sản phẩm cơ cấu
7. Hầu hết các sản phẩm phái sinh được giao dịch trên thị trường phi tập trung
(OTC), do chưa có một thị trường giao dịch tập trung. Hiện nay các tổ chức tín
dụng cung cấp và khách hàng doanh nghiệp có nhu cầu tự tìm đến với nhau.
Những hình thức và sản phẩm còn rất manh nha, chưa đồng bộ nên đã có những
tác động tiêu cực tới thị trường chung , giao dịch vẫn đơn điệu, phổ biến chỉ là
cổ phiếu phổ thông và một ít chứng chỉ quỹ đầu tư. Hàng triệu người đầu tư Việt
Nam đã và đang đầu tư “chay”, đến nay vẫn chưa có công cụ bảo hiểm.Nhiều
chuyên gia tài chính trong và ngoài nước đồng nhất quan điểm đã đến lúc thị
trường chứng khoánViệt Nam nên xem xét đưa vào vận hành các sản phẩm mới
có hiệu ứng đòn bẩy cao
Đối tượng tham gia chủ yếu là NHTM nước ngoài và nội địa lớn, các công ty có
vốn đầu tư nước ngoài. Riêng đối với doanh nghiệp nhà nước hoat động kinh
doanh chứng khoán phái sinh dường như rất hạn chế, thâm chí không hề tham
gia.
-Chứng khoán không phải là lĩnh vực đầu tiên xây dựng sản phẩm phái sinh ở
Việt Nam. Minh chứng là từ cuối năm 2006, Chính phủ đã ban hành Nghị định
số 158/2006/NĐ- CP thiết lập thị trường phái sinh hàng hóa tập trung.
-Ở Việt Nam hiên nay chưa có một thông tư nghị định riêng nào được xây dựng
cho thị trường chứng khoán phái sinh Những công cụ cơ sở cho các CKPS tài
chính : Hiện tại Việt Nam chưa có các giao dịch phái sinh tài chính mà công cụ
cơ sở là hàng hóa trên TTCK, nhưng trên thực tế, các giaodịch phái sinh tài
chính thực hiện từ vài năm gần đây trên thị trường Ngân hàng và kim loại qúy.
-Bộ Tài chính và UBCKNN đã đưa ra lộ trình xây dựng Nghị định về chứng
khoán phái sinh trình Chính phủ vào cuối năm 2013. Quá trình chuẩn bị và các
văn bản thông tư hướng dẫn chi tiết để vận hành sẽ đưa ra vào đầu năm 2014.
Dự kiến, năm 2015-2016 các sản phẩm có thể đưa vào triển khai thực hiện.
2.2.Nguyên nhân
8. Thị trường chứng khoán phái sinh ở Việt Nam chưa phất triển và còn non kém
do
- Từ cuối năm 2006, Chính phủ đã ban hành Nghị định số 158/2006/NĐ-CP
thiết lập thị trường phái sinh hàng hóa tập trung và đã giao cho Bộ Công thương
chủ trì, phối hợp với Bộ Kế hoạch và Đầu tư, Bộ Tài chính và Bộ Nông nghiệp
và Phát triển nông thôn hướng dẫn thực hiện. Nhưng rất tiếc, cho đến nay, cơ
quan quản lý thị trường phái sinh hàng hóa, có vai trò giống như Ủy ban Chứng
khoán Nhà nước vẫn chưa được thành lập nên hoạt động của thị trường này chưa
có gì đáng kể
-Những đối tượng tham gia vào thị trường chứng khoán phái sinh chưa hiếu rõ
hết bản chất của thị trường này nên có thể có một số cái nhìn sai lầm
-Việt Nam nền kinh tế vẫn còn ở trình độ thấp, nông nghiệp là chủ yếu ,lạc hậu
nên khi mở của thị trường ra nhập WTO, thực hiện toàn cầu hóa và hội nhập
quốc tế thì thị trường chứng khoán phái sinh vẫn còn được coi là mới mẻ với
chúng ta
-Cơ sở vật chất còn thiếu thốn, trang thiết bị hệ thồng thông tin chưa được đồng
bộ hóa
- Nguồn nhân lực ở trình độ thấp ,tỏ ra nhiều yếu kém, không được đào tạo bài
bản
-Chúng ta chỉ mới hoàn thành xong lộ trình cổ phần hóa
2.3 Giải pháp
2.3.1 Hoàn thiện hệ thống pháp lý.
Yêu cầu về một khung pháp lý hoàn chỉnh và đầy đủ cho hoạt động của thị
trường, cho các đối tượng liên quan và đảm bảo phù hợp khi hoạt động trong
nước và kết nối và quốc tế ,sự ra đời và phát triển của TTCKPS muốn có sự phát
triển an toàn, lành mạnh, công bằng và bền vững đòi hỏi một khung pháp lý, các
9. văn bản hướng dẫn thi hành một cách rõ ràng, chặt chẽ và toàn diện. Vì vậy,
việc xây dựng khung pháp lý chặtchẽ và toàn diện là một công việc tất yếu cho
việc hình thành và phát triển thị trường này.
2.3.2 Thông tin, tư vấn công cụ phái sinh đến các nhf đàu tư
Việc thông tin, tuyên truyền và phổ biến kiến thức có thể thực hiện bằng nhiều
cách như :Qua báo đài, TV, các phương tiện thông tin đại chúng…
Thành lập trung tâm tư vấn đầu tư về chứng khoán nói chung và CCPS nói
riêng, trungtâm này có nhiệm vụ đào tạo, cấp chứng chỉ, tư vấn cho các nhà đấu
tư, các doanh nghiệp.
Đa dạng hóa hình thức đào tạo, bồi dưỡng nghiệp vụ nhằm đáp ứng nhu cầu của
các đốitượng, thông tin tuyên truyền, phổ biến kiến thức về TTCK cho công
chúng.
Cho phép các tổ chức đào tạo chứng khoán nước ngoài có uy tín thực hiện dịch
vụ đàotạo chứng khoán tại Việt Nam. Công nhận các chứng chỉ Quốc tế trong
lĩnh vực chứng khoán.
2.3.3 Phát triển hạ tầng công nghệ thông tin.
Đẩy mạnh đầu tư trang thiết bị, đồng bộ hóa giải pháp CNTT, gồm hệ thống
giao dịch, hệthống giám sát, hệ thống công bố và phân phối thông tin, hệ thống
lưu ký, hệ thống thanh toán và bù trừ, hệ thống đăng ký …các hệ thống phải
được xây dựng và thiết kế hiện đại,tiên tiến và theo tiêu chuẩn quốc tế.
- Hệ thống công bố và phân phối thông tin phải có tính tự động hóa cao, nhằm
đảm bảo tính minh bạch, tức thời, bảo mật và toàn vẹn thông tin.
- Hệ thống giám sát trực tuyến có khả năng xử lý các tiêu chí giám sát phức tạp,
có khả năng
tái tạo thị trường và ñảm bảo truy xuất khối lượng dữ liệu giao dịch lớn.
10. - Hệ thống giao dịch hỗ trợ nhiều phương thức giao dịch, nhiều hình thức giao
dịch, hỗ trợ cơ chế chuyển lệnh giao dịch thông sàn từ các CTCK, bảo đảm tự
động hóa quy trình của nhà đầu tư, hướng tới mô hình xử lý thẳng.
Từng bước kết nối giao dịch với các SGDCK trong khu vực và trên thế giới
Xây dựng hệ thống tổng hợp thông tin hiện đại, ñồng bộ cho toàn bộ thị trường
bao gồm :
- Giám sát giao dịch trực tuyến theo thời gian thực, kết nối trực tiếp vào hệ
thống giao dịch
và giám sát của các SGDCK ñảm bảo tính công bằng, minh bạch trong hoạt
động theo thông lệ Quốc tế.
2.3.4 Nâng cao chất lượng nguồn nhân lực.
Để phát triển TTCKPS thì UBCKNN cần phải có một kế hoạch đào tạo, phổ
biến kiến thức rất cụ thể, chi tiết và có lộ trình theo sự phát triển của TTCK.
Tiến hành đào tạo các kiến thức cơ bản về chứng khoán và các công cụ tài chính
trong đó cần đặc biệt coi trọng và chú ý ñến CCPS và TTCKPS. Sau khi đã có
một số lượng kiến thức cơ bản nhất định giai đoạn tiếp theo đó là quá trình đào
tạo chuyên sâu thậm chí là cấpchứng chỉ hành.
Hình thức đào tạo, có thể đào tạo tập trung, đào tạo cập nhật, phổ biến kiến thức
hoặc tuyên truyền dưới hình thức báo chí, truyền hình…Tuy nhiên, về lâu dài
cần đào tạo bài bản và quy trình cụ thể.
2.4.Lộ trình cho chừng khoán phái sinh ở Việt Nam
UBCK cũng sẽ trình Bộ để bổ sung các quy định về tổ chức và hoạt động của
các đối tượng tham gia TTCK phái sinh, quy định về công bố thông tin, quy
định về cấp chứng chỉ hành nghề kinh doanh chứng khoán phái sinh , quy định
về thuế, phí trên thị trường CKPS... để bảo đảm một hành lang pháp lý tương
đối đầy đủ giúp cho thị trường vận hành hiệu quả, ổn định.
11. Việc triển khai xây dựng TTCK phái sinh được gắn với việc tái cấu mô hình tổ
chức thị trường theo đề án hợp nhất các Sở GDCK. Sàn giao dịch chứng khoán
phái sinh là một trong ba sàn giao dịch thuộc Sở GDCK Việt Nam theo mô hình
tái cấu trúc hai Sở GDCK hiện hành (HOSE và HNX) thành một Sở thống nhất.
Sàn giao dịch phái sinh vận hành song hành cùng sàn giao dịch cổ phiếu, sàn
giao dịch trái phiếu. Hệ thống giao dịch CKPS sẽ được tổ chức gần giống với hệ
thống giao dịch trên thị trường cổ phiếu, đó là hệ thống đấu giá khớp lệnh với
các phiên giao dịch khác nhau.
Trung tâm LKCK Việt Nam (VSD) vẫn là đơn vị tổ chức việc thanh toán bù trừ
cho các CKPS. Hệ thống thanh toán sẽ cần một Trung tâm TTBT (Clearing
house) đóng vai trò là đối tác trung tâm (CCP)bên cạnh hệ thống đăng ký, lưu
ký, bù trừ và thanh toán chứng khoán hiện nay của VSD. Bộ phận TTBT với
chức năng CCP sẽ đóng vai trò là người bán của mọi người mua và người mua
của mọi người bán. Rủi ro thanh toán sẽ được đảm bảo bởi CCP sẽ là người chịu
rủi ro cuối cùng.
Điều này đã được Thủ tướng Chính phủ phê duyệt về chủ trương trong Quyết
định phê duyệt Đề án phát triển TTCK Việt Nam giai đoạn 2011-2020 số
252/QĐ-TTg ngày 01/03/2012 trong Nhóm giải pháp về tái cấu trúc tổ chức thị

+ Tổ chức việc giao dịch chứng khoán theo hướng cả nước chỉ có một SGDCK;
+Phán định các khu vực thị trường thành thị trường cổ phiếu, thị trường trái
phiếu, thị trường chứng khoán phái sinh;
+ Liên kết giữa SGDCK và TTLKCK để gắn kết mạnh hoạt động thanh toán, bù
trừ và lưu ký chứng khoán với hoạt động giao dịch chứng khoán...
Dự kiến TTCK phái sinh sẽ đi theo hướng thị trường tập trung. UBCK đánh giá
đây là lựa chọn phù hợ với điều kiện thực tiễn hiện nay và cho phép cơ quan
quản lý có những chuẩn bị cho tất cả các công cụ gốc là chứng khoán, vàng, lãi
suất, hối đoái và hàng hóa.
2.6 Thời điểm cho thị trường chứng khoán phái sinh ở việt nam
12. Việc xây dựng thị trường phái sinh là một mục tiêu quan trọng trong chiến lược
phát triển thị trường chứng khoán Việt Nam 2011-2020 Tuy nhiên,thực trạng thị
trường hiện tại lại đang đặt ra một bài toán khó.
Điểm chung mà ai cũng phải nhìn nhận rằng thị trường phái sinh ở Việt Nam
không thể triển khai trong một sớm một chiều mà cần có thời gian chuẩn bị lâu
dài.
Thị trường chứng khoán phái sinh là thị trường giao dịch các chứng khoán phái
sinh như hợp đồng tương lai , hợp đồng quyền chọn và các công cụ phái sinh
khác. Hợp đồng tương lai là sự kế thừa và phát triển hàng hóa ấn định, với một
mức giá và thời điểm ấn định trong tương lại. Hợp đồng kỳ hạn với chức năng
nguyên thủy là công cụ bảo hộ (bảo hiểm) giá nông phẩm, hợp đồng tương lai
ngoài vai trò bảo hộ giá còn là công cụ đầu cơ.
Giao dịch hợp đồng tương lai với đặc trưng là giao dịch ký quỹ, mức ký quỹ
thấp, người đầu tư chỉ bỏ ra một số vốn rất nhỏ, có thể kiểm soát được một giao
dịch, đưa đến thu nhập (hoặc bị thua lỗ) từ một giá trị lớn hơn nhiều. Vì vậy, đầu
tư hợp đồng tương lai là đầu tư mạo hiểm, có đòn bẩy tài chính mạnh. Để áp ứng
nhu cầu đầu tư số đông, chấp nhận rủi ro giới hạn, hợp đồng quyền chọn ra đời.
Hợp đồng quyền chọn là công cụ đầu tư có khả năng phân tán rủi ro từ vốn đầu
tư hạn chế.
-Hầu hết các chuyên gia đều nhất trí với việc hình thành một thị trường chứng
khoán phái sinh đúng nghĩa ở Việt Nam bởi đây là sản phẩm tất yếu trong tiến
trình phát triển ngày càng rộng và đa dạng của thị trường tài chính.
-Trong quá trình hình thành và phát triển, bên cạnh những các sản phẩm truyền
thống như cổ phiếu, trái phiếu, chứng chỉ quỹ… đã đến lúc thị trường cần mở
rộng thêm các sản phẩm mới, đa dạng hơn, hấp dẫn hơn như các chứng khoán
phái sinh. Đồng thời, hiện nay rất nhiều đối tượng muốn có một thị trường các
công cụ phái sinh ở Việt Nam nhằm đáp ứng nhu cầu phòng vệ rủi ro, đáp ứng
nhu cầu đầu tư sinh lợi và thúc đẩy sự phát triển của thị trường
Các thị trường phái sinh sơ khai của Việt Nam như sàn giao dịch hạt điều của
Trung tâm giao dịch chứng khoán TPHCM (nay là Sở giao dịch) thất bại ngay từ
13. phiên giao dịch đầu tiên do đối tác bỏ cuộc. Trung tâm giao dịch cà phê Buôn
Mê Thuột đã có 7 năm thành lập, nhưng hiện nay chỉ là nơi cung cấp sân phơi
và dịch vụ bảo quản cà phê cho một số hộ nông dân. Sở giao dịch hàng hóa Việt
Nam của Công ty TNHH Triệu Phong tuy đã có 3 năm khai trương hoạt động
nhưng nay vẫn là một ẩn số.
-Nguyên nhân của sự không thành công này có nhiều cách đánh giá khác nhau
như do thiếu cơ chế, chính sách, thiếu quản lý chỉ đạo cụ thể. Nhưng suy cho
cùng, nguyên nhân bao trùm là do thiếu kiến thức, thiếu kiến thức phổ cập cho
công chúng đầu tư, cho những đối tượng là thành phần tham gia mua bán, giao
dịch trên thị trường, và thiếu kiến thức căn bản cần thiết đối với những người tổ
chức, điều hành, hoạch định chính sách thị trường.
-Thị trường phái sinh là một phạm trù rất rộng, do đó để xây dựng thị trường
phải có bước đi cụ thể, kỹ lưỡng, có lộ trình với luật chơi, cơ chế phòng vệ… có
quy định rõ ràng về bán khống . Bởi phái sinh mà không có bán khống là vô
nghĩa. Do vậy, cần mất khá nhiều thời gian để xây dựng.
-UBCKNN đang xây dựng Nghị định chi tiết về về thị trường phái sinh nhằm
quản lý cả thị trường tập trung và phi tập trung. Trên cơ sở Nghị định, Bộ Tài
chính và UBCKNN sẽ hướng dẫn cụ thể về các sản phẩm được phép giao dịch,
các biện pháp kỹ thuật để ngăn ngừa thao túng thị trường như quy định hạn mức
giao dịch, giới hạn giá thực hiện…
Thị trường này sẽ hoạt động dưa trên hệ thống công nghệ hiện đại sau khi hai Sở
giao dịch chứng khoán hiện nay được hợp nhất.
Mặt khác, sau khi có Nghị định và trước khi triển khai thị trường, cơ quan quản
lý cần ít nhất 6 tháng đến 1 năm để các thành viên thị trường chuẩn bị cơ sở vật
chất, đồng thời thực hiện tuyên truyền, đào tạo nhà đầu tư.
-Nếu được triển khai tốt thì nhanh nhất cũng phải đến cuối năm 2014 đầu 2015,
Việt Nam mới có sàn giao dịch chứng khoán phái sinh tập trung.
3.Kết luận
14. -Công cụ tài chính phái sinh là sản phẩm của nền kinh tế hiện đại, kĩ thuật tài
chính này đòi họi một lộ trình hiểu biết và phát triển nhất định của bất kì nền
kinh tế nào
-Chứng khoán phái sinh là những công cụ phức tạp và còn nhiều mới mẻ trên thị
trường Việt Nam cần phải nghiên cứu một cách cụ thể rõ ràng để có thể thấu
hiểu và vận dụng chúng một cách có hiệu quả nhất
-Muốn thị trường chừng khoán phái sinh phát triển thì hàng hóa trên thị trường
phải phong phú đa dạng ,khối lượng lớn nhiều chủng loại
-Các công cụ tài chính phái ta hiện nay .Vì vậy chúng ta cần đẩy nhanh tiến độ
trông việc phát triển thị trường chứng khoán phái sinh ở Việt Nam một cách có
hệ thống và hoàn thiện nhất
