KNOW ALL MEN BY THESE PRESENTS:
This Memorandum of Agreement and Deed of Donation (Agreement)
made this _____ day of ________ by and between:
_______________ (Local Government/Community Partner),
a non-stock, non-profit organization duly organized and
existing under the laws of the Republic of the Philippines, with
address at ___________________, represented herein by its
_____________ (title), and hereinafter referred to as
“________”
LIBRARY RENEWAL PARTNERSHIP, a coalition of non-
stock, non-profit organizations duly organized and existing
under the laws of the Republic of the Philippines, representee
by (LRP PARTNER) with office address at represented herein
by its _________ (title) , __________ (name), and
hereinafter referred to as “LRP”
Witnesseth:
WHEREAS, ”_______ (Local Government/Community Partner)” aims to
bring about quality education as a universal right and as a foundation for
alleviating poverty and economic development;
WHEREAS, a major component of LRP program is the development and
creation of libraries in local government units where it is actively engaged in
education, literacy, and community development;
WHEREAS, the LRP, have agreed to provide books and educational
materials to augment and strengthen the basic education reform program of
the _______________;
WHEREAS, ________ currently needs to improve its public library
facilities and community literacy levels;
WHEREAS, the _________ is willing to provide the necessary support
and technical services for the maintenance and upkeep of the library and
provide for literacy programs in the community;
NOW, THERFORE, for and in consideration of the foregoing premises,
the parties hereto have agreed to the following:
SECTION 1
OBLIGATIONS OF PARTNER INSTITUTIONS
LRP shall donate books and educational materials to ________ in support of
its literacy and education governance programs currently in place at
______(name of community/area). The list of support is outlined in
Attachment 1
SECTION 2
OBLIGATIONS OF _______________
2.1 ________________ shall prepare and update, as necessary, and at a
minimum, annually, a 3-year Development Plan and Progress Report
Attachment 2 and Attachment 3, which shall be evaluated by LRP
before LRP fulfills its obligations.
2.2 _______________ shall provide the proper equipment (i.e. shelves,
seats, tables, etc.) in order for the general public to make full use of the
library.
2.3 _______________ shall defray the costs of shipping the donated books
from Manila to ____________ (name of community/area).
2.4 _______________ shall make an inventory and properly catalog all
books in its possession, including its current collection and all books
that have been donated by the parties to this agreement.
2.5 _______________ shall provide the necessary funds to maintain and
sustain the library, including but limited to utilities and the salary of a
librarian who shall oversee and supervise the operations of the library.
2.6 _______________ shall make the library available to the general public
at a mutually acceptable arrangement to complement the programs of
the LRP.
2.7 ______________ shall provide and post a plaque containing the list
of current and new donors.
SECTION 3
GENERAL PROVISIONS
3.1. That each party undertakes that in performing its obligations under
this Agreement, such party shall comply with all relevant Philippine
laws, rules and regulations.
3.2) Records shall be established and maintained which are necessary
and appropriate in accordance with good management practice
(under the circumstances of this Agreement) to record accurately
and completely all of the following: the performance of obligations,
financial status of the program and compliance with Sections 1 and 2
of this Agreement.
3.3) All records shall be maintained and retained until at least twenty-four
months from the end of the calendar year in which this Agreement is
completed or terminated.
3.4.) Either party may inspect records of the program.
SECTION 4.
REVIEW OF THE PROGRAM
This Agreement may be reviewed in a regular meeting or special meeting
called for the purpose by any of the parties herein involved.
SECTION 5.
AMENDMENT
The parties may amend, alter or modify this Agreement at any time upon
written agreement duly signed by all the parties.

SECTION 6.
TIME OF AGREEMENT
This Agreement takes effect upon the signing of its acknowledgement and
will be effective for three (3) years thereafter unless sooner terminated by
either party upon the giving of sixty (60) days written notice to the other
party, and is renewable upon mutual consent.
SECTION 7.
SEPARABILITY CLAUSE
If any provision of this Agreement shall be construed to be illegal or invalid,
such shall not affect the legality, validity, and enforceability of the other
provisions of this Agreement.
SECTION 8.
ENTIRE AGREEMENT
8.1 This Agreement states the entirety of the agreement between the
parties. The parties are not and shall not be bound by any stipulation,
representation, agreement, promises, oral or otherwise, not contained in
this Agreement or incorporated herein by reference.
8.2 All changes to this Agreement must be made in writing and signed by all
parties.
