A company may declare and pay dividends only out of profits of the current year or previous years as per the provisions of Chapter VIII of the Companies Act, 2013. Sections 123 to 127 of the Act govern the declaration and payment of dividends by companies, stipulating that dividends must be declared and paid out of profits made by the company in the current financial year or previous years.
