1. CHANGING THE COMPANY
How to make changes to your private limited company
after the process of company formation has been
completed.
2. IS IT POSSIBLE TO MAKE A CHANGE?
Ideally a company will get all its vital information correct at the
time of company registration. However, as time goes on some
of these details may change with the business.
Many details about a company can be changed – with people
commonly looking to alter the name, the composition of
directors and shareholders, or the location of the company.
These changes can be made with the experienced help of
accountant, or through Companies House.
N.B. All changes described throughout the presentation refer to
a company with Model Articles. Non-standard articles may
have provisions that inhibit certain changes.
3. CHANGING THE NAME: IS IT POSSIBLE?
Yes – it is entirely possible to change the company
name. In order to complete the company name
change, you need:
The original company name
The company registration number
An original signature – this must be from
authorised personnel (such as a director)
A special resolution – that is agreement from 75%
of the shareholders
4. CHANGING THE NAME: RULES AND
REGULATIONS
When deciding to file for a name change, the
company is subject to the same Companies House
regulation as if it was a newly set up company.
The name must be unique – i.e. it cannot be too
similar to any other limited companies on the
register.
It must not include sensitive words – restricted
words on Companies House (e.g. ‘Group’).
5. APPOINTING A DIRECTOR: IS IT POSSIBLE?
Yes – a company is able to add and remove
individuals to various offices in their company, for
example as a director. The following information is
needed to complete the process:
Company details: name and registration number
New director details: titles, names, addresses,
occupation and nationality
Date of appointment
An original signature: again from an authorised
party (e.g. current director)
6. APPOINTING A DIRECTOR: RULES AND
REGULATIONS
There are only a few requirements in order to be eligible
for appointment as a director. For example:
All directors of limited companies must be over the age
of 16.
A director cannot be appointed if they are an
undercharged bankrupt.
A director cannot be appointed if they have been
disqualified from holding the office.
These rules apply to directors upon company
registration, as well as appointing at a later date.
7. CHANGE REGISTERED OFFICE: IS IT
POSSIBLE?
A company may decide that they wish to change their
registered office for a number of reasons. They may
move their physical premises, or decide to register
at an accountants as opposed to their home. The
following details are required:
The company name
The company registration number
A new UK registered office address
8. CHANGE REGISTERED OFFICE: RULES
AND REGULATIONS
When setting up a company, the location of the
company’s registered office is often one of the most
strongly considered issues.
The registered office must be a UK address – all
limited companies must have this.
It can be a residential address – however there are
certain risks with this. The address is publically
available, and on the company register. In addition,
certain rental and mortgage agreements may have
restrictions on the use of an address for business.
9. THE LEGAL REQUIREMENT!
It is very important that when you make any changes to
your company, you follow the statutory requirement of
updating your company register.
The company register is a document, received upon
company formation, which contains all information about
directors, shareholders, and company addresses.
It is a legal requirement for UK companies to ensure this is
up-to-date.
