Executive Summary
During 2012, many of the metrics describing the venture capital industry in the United States were similar to those of the prior two years. The decline in the number of firms and capital managed was expected but not as large as some were anticipating. Venture investment focused on companies in the seed and early stages, with many later-stage companies continuing to await a helpful IPO environment. Investment in early-stage life science companies continues to soften.
Fundraising remained very challenging for the majority of venture firms, largely because of a dearth of healthy exits that would distribute yet-unrealized returns to current fund investors. The number of initial public offerings in 2012 fell slightly from 2011 levels, but the proceeds and IPO valuation tally were both up significantly,largely as a result of one huge IPO and a handful of large ones.
A healthy venture capital ecosystem requires its metrics to be in balance. And while the quality of new business opportunities, known as deal flow, remains very high and the best opportunities are getting funded, stresses remain.

• Overall fundraising decreased in 2012 by 43% to €23.6bn compared to 2011. This reduction was driven by lower activity of larger funds. In 2012 only 13 funds were raising more than €250m compared to 26 in 2011. Funds that raised in excess of €250m in 2012 dropped in total volume by 51% compared to 2011. In contrast, the volume raised by funds smaller than €250m reduced by only 25% in the same period.
• Pension funds and fund of funds accounted for almost half of all sources of funds with more than 20% each. Family offices & private individuals, government agencies and sovereign wealth funds follow as major sources with 10-12% each.
• Despite macroeconomic challenges, €8.6bn (40%) of funds raised came from institutional investors outside of Europe.

• The overall amount of €36.5bn invested in European companies in 2012 reduced by 19% compared to the previous year. This was due to the weak first half of 2012 coinciding with economic uncertainty in Europe. In contrast, the number of private equity backed companies remained stable at almost 5,000 European companies. Therefore, it was less capital intensive for the industry to invest in a constant number of companies in Europe. About 43% of the companies that received investment in 2012 were private equity backed for the first time.
• The total amount of venture capital invested reduced year on year by 14% to €3.2bn. The number of venture capital backed companies remained stable at about 2,900. For the first time more than 1,000 companies attracted growth investments despite a decrease in amount of 26% compared to 2011. Buyout investments reached €28bn. More than 800 companies received buyout investments similar to the level from 2011 although the investment amount reduced by 19%.

• More than 2,000 European companies were exited, representing former equity investments of €22bn. While the number of companies remained stable the amount divested at cost decreased by 29%.
• Of all exited companies in 2012 venture capital represented almost 50% and growth 23%. Their typical exits included trade sale, sale to another private equity firm and write-off. Buyout related exits attributed 85% of equity amount divested at cost. This presents a decline of 26%. Prominent exit routes were trade sale, sale to another private equity firm and public offering.
• Initial Public Offering (IPO) levels remained very low. Only three buyout and five venture capital investments were able to take this exit route.

* I hereby certify the information provided in this Application to be accurate and acknowledge that I have received, understand and accept as binding the General Terms and Conditions
(GTC) for the Cornèrcard Visa and MasterCard Classic and Gold from Cornèr Bank Ltd., issued by Cornèrcard. I hereby authorize Cornèr Bank Ltd. to deny this Application at its
discretion. Upon approval of this Application, I will receive the Card(s) applied for, a copy of this Card Application with credit agreement, the complete GTCs (available online at www.
cornercard.ch/d/agb or by calling +41 (0)844 00 41 41) as well as my personal PIN. In addition, I will receive the General Terms of Insurance for those insurance plans included
automatically and at no charge with Cornèrcard Classic products or made available for purchase upon request. Any applicable premiums will be automatically charged to my Card. By
using and/or signing the Card, I acknowledge that I have received, understand and accept in full the complete GTCs (including the clauses of consent, transferability and confirmation
set forth in Art. 9 Par. 1,2,3 and 4) as well as all applicable Terms of Insurance. Annual fees, exchange rates and handling charges: Annual fee for Principal Card: CHF 100; annual
fee for Additional Card: CHF 50. Purchases made in foreign currencies will be posted at the retail rate of exchange of Cornèr Bank Ltd. in effect on the date posted plus a foreign currency
conversion fee of no more than 0.9 %. Cornèr Bank Ltd. is entitled to charge a handling fee of CHF 20 for each late notice and for each payment order (direct debit) returned on the
grounds of insufficient funds. Cash withdrawals are subject to a commission of 2.5% but not less than CHF 6 for withdrawals at ATMs and CHF 10 for withdrawals at bank counters.
Autorization: I hereby authorize Cornèr Bank Ltd. to use my e-mail address for its own marketing activities and to forward information about my personal data (last name, first name,

as an ecological footprint listing individual CO2 emissions due to card use according to merchant categories. Cornèrcard compensates my CO2 emissions by purchasing corresponding

5. Excerpt from the General Terms and Conditions for Classic and Gold
Cards Visa and MasterCard of Cornèr Bank Ltd.
1. Use of the Card/Monthly statement/Liability
The Cardholder acknowledges the signed amount of a card transaction to be exact and expressly and
irrevocably authorizes the Bank to pay the amount to the affiliated merchant or authorized bank. The
Bank shall not be held liable for any transactions concluded by using the Card. The Principal Cardholder
shall be severally held liable for any obligations arising from the use of Supplemental or Additional Cards
even if statements are issued separately to the holders of such Cards.
2. Insurance mediation and data protection
I acknowledge that the insurer is liable for any errors, negligence or incorrect information in connection
with the insurance contracts provided. My personal data shall be treated as confidential. Cornèr Bank
Ltd. shall comply with the provisions of data protection legislation in the processing and storage of
personal data. Cornèr Bank Ltd. may commission third parties in Switzerland to process the card
application and to administer card relations and transactions where allowed under Swiss law and
subject to assurance of appropriate data protection.
Personal data made available in connection with the insurance may be forwarded to the insurers and
shall be processed by Cornèr Bank Ltd. and the insurers only for the purpose of concluding and
administering the insurance contract as well as processing a claim. Personal data may be disclosed to
authorized third parties and/or other Group companies of Cornèr Bank Ltd. for the purpose of
administering the insurance contract. Data may be transferred abroad if such third country provides for
equivalent data protection (recognized as such by Swiss data protection legislation). Personal data is
stored in electronic form and/or paper format. I hereby acknowledge that, under the data protection
legislation, I may be entitled to obtain information and, on certain conditions, to have certain data stored
at Cornèr Bank Ltd. corrected, blocked or deleted.
3. Applicable law and jurisdiction
All legal relations between the holder of a Principal, Supplemental or Additional Card shall be subject to
Swiss law. Subject to mandatory provisions of Swiss law, the place of performance, the place of special
proceedings for holders of a Principal, Supplemental or Additional Card domiciled abroad and the
exclusive place of jurisdiction for all disputes shall be Lugano. The Bank, however, also reserves the right
to take legal action against the holder of a Principal, Supplemental or Additional Card in the competent
court at his place of domicile or at any other competent court.
Credit Option Agreement
between Cornèr Bank Ltd., Via Canova 16, 6901 Lugano (hereinafter “Bank”) and the
Cardholder
1. Credit option/Interest
The credit option allows the holder of a Principal or Supplemental Card (hereinafter “Cardholder”) to pay
the due amount shown on the monthly statement in installments for transactions concluded after
expiration of the revocation period (see Art. 3 below). The Bank hereby is to receive the minimum
amount by the due date shown on the monthly statement, i.e. 5% of the entire balance but not less than
CHF 100. In the event the Bank has not received the due amount by the due date or such amount is less
than the minimum amount due, the Cardholder shall, without further notice, be deemed in arrears for the
entire balance with all of the legal consequences pertaining thereto. Such failure by the Cardholder shall
also cause the entire balance of any other statements for which the Cardholder is responsible to
become immediately due and payable. Any amounts over and above the spending limit must be paid
immediately. The annual interest rate due on outstanding amounts depends on the Cardholder’s
payment history but shall not exceed 15%. Any partial payments shall first be applied to the payment of
interest due.
2. Credit worthiness/Spending limit/Overall limit
The spending limit is based on the credit check and is notified to the Cardholder together with a copy of
this document and the credit card. Said limit shall be no more than 15% (for Classic Cards) or 20 % (for
Gold Cards) of the annual income or fraction thereof shown on the Card Application. As a rule, the
maximum amount is set at CHF 10,000 (for Classic Cards) and CHF 90,000 (for Gold Cards).
A credit check is conducted on the basis of the information provided by the Cardholder on the Card
Application. Such information is verified through inquiries made to the Clearing House for Consumer
Credit (IKO) and the Center for Credit Information (ZEK). Additional information may be obtained from
public authorities, employer or from the Cardholder›s banks.
The spending limit determined for the Principal Cardholder is to be understood as an overall limit for his
Principal and Additional Cards whereby the total of all card transactions must not exceed this overall
limit. Similarly, the spending limit determined for the Supplemental Cardholder is to be understood as a
combined spending limit for all his Supplemental Cards.
The Bank reserves the right to modify the spending limit at any time upon notification in writing to the
Cardholder. The Cardholder is to inform the Bank immediately of any adverse change in his financial
situation.
3. Revocation and Termination
The Cardholder has the right to revoke this Credit Agreement in writing within 7 days following receipt of
the duplicate of this document. The Bank is entitled to cancel in writing at any time the credit option by
giving a 30 days› notice. Furthermore, this Credit Agreement expires with the expiration of the Credit
Card Agreement.
4. Miscellaneous
Any amendments to this Credit Agreement must be made in writing. Also applicable are the General
Terms and Conditions for Cornèrcard Visa and Cornèrcard MasterCard cards of Cornèr Bank Ltd. made
available to the Cardholder together with a copy of the Card Application, the Credit Agreement as well
as the Card (may be viewed at www.cornercard.ch or ordered by calling (0)844 00 41 41.

Legal Protection Insurance
on my Principal Card and, if applicable, any Supplemental Cards. Transactions carried out with any
Additional Cards are covered only to the extent insurance protection is provided for the Principal Card.
Policyholder is Cornèr Bank Ltd., insurers are AIG Life Insurance Company (Switzerland) Ltd, Via
Camara 19, 6932 Breganzona (death benefit) and AIG Europe Limited, London, Opfikon Branch,
Sägereistrasse 29, 8152 Glattbrugg (all other risks).
Claims can only be exercised against the insurance companies. The monthly premium
amounts to 0.49% of the outstanding balance shown on your monthly statement and shall be charged
to your billing unit directly.
Insurance protection covers the following risks:
1. Death due to illness or accident: Payment of insured outstanding balance pursuant to GTI up
to CHF 10’000 (gold card: CHF 40’000).
2. Temporary total incapacity for work: If incapacity for work lasts more than 60 consecutive
days, insurer will pay 10% of the insured outstanding balance per month up to CHF 1’000 (gold card:
CHF 1’500) pursuant to GTI.
3. Permanent total disability: Payment of the insured outstanding balance pursuant to GTI up to
CHF 10’000 (gold card: CHF 15’000).
4. Involuntary loss of employment: If unemployment lasts more than 60 consecutive days, insurer
will pay 10% of the insured outstanding balance per full 30-day period of consecutive unemployment
pursuant to the GTI. Payment will be made in no more than 10 monthly installments up to CHF 1’000
per month (gold card: CHF 1’500).
Applying for Payment Protection Insurance, I hereby certify that I am between 18 and 62 years old,
reside in Switzerland or in the Principality of Liechtenstein (the enclaves of Büsingen am Hochrhein (DE)
and Campione d’Italia (IT) are excluded), have been employed for more than 6 months and at least 16
hours a week (self-employed are not entitled to unemployment coverage), that my current
employment is for an indefinite period and I have not been given notice, I do not plan to take early
retirement in the immediate future, have not been absent in part or in full from work due to illness or
accident for more than 25 workdays during the last 12 months, have not been treated on an in-patient
basis for more than 20 successive days and am not scheduled for admission to a hospital.
Coverage begins on the date shown in the letter of coverage confirmation (and upon compliance with
the above terms) and remains in effect only to the extent all due premiums are paid and my card has not
been blocked permanently (due to pending collection or bankruptcy proceedings). Coverage also ends
upon termination and return of all cards included in the same billing unit and upon full payment of the
outstanding balance. My insurance ends automatically with my 75th birthday but ends with my 65th
birthday in the event of incapacity for work, disability or unemployment.

Flight Accident Insurance:

for Flight Accident Insurance.
Insurance coverage:
− Flight accidents when traveling on an air carrier
− Accidents when traveling on a public carrier (bus, taxi or train) authorized to transport passengers
from or to an airport, in direct connection with an insured flight.
Commencement and duration: Coverage begins as soon as the registration has been received by
Cornèrcard and is concluded for a period of one year. Unless the insurance is terminated at least two
months prior to expiration, it will be extended tacitly for another year. If the Card is cancelled in writing,
coverage shall end when the Card expires.
Conditions: Insurance applies worldwide provided at least 51% of all costs of air travel have been paid
for in advance with Cornèrcard.
