TNR Gold Corp. (TSX-V: TNR) is a mineral exploration company actively pursuing a portfolio of gold, copper, and Rare Earth Element (REE) containing properties worldwide. Our primary focus is in exploration and development of our key ventures which are the Shotgun gold project in Alaska, TNR iron ore and REE projects in Soules Bay, Canada and our ongoing project generator in Argentina. The Argentine Los Azules project is held under the wholly-owned subsidiary Solitario Argentina S. A. ("Solitario"), we are currently moving forward with the litigation over some of the claims on the property while we continue to explore and identifying new quality prospective ventures globally.
TNR's strategy is to strengthen its assets through partnerships with mid-tier and major companies, and establish long-term cash flow through royalty interests and project development.
North American Nickel is a public company that trades on the TSX Venture Exchange (NAN: TSX.V) and is committed to discovering nickel-copper-platinum group metal mines in Canada and Greenland. The Company’s main focus will be on its Maniitsoq project in Greenland and on its two offset dyke projects in the world-renowned Sudbury mining camp in Ontario.
The Company has acquired a Mineral Exploration Licence on the southwest coast of Greenland that grants exclusive exploration rights to a 4,841 km2 area. The licence covers numerous high-grade drill-indicated and surface outcrop exposures of nickel – copper sulphide mineralization associated with mafic-ultramafic intrusions. The Maniitsoq Project is 160 km north of Nuuk, the capital of Greenland. The property sits on tide water where ports have a year-round shipping season. Surface exploration and helicopter-borne time-domain EM (TEM) and magnetic surveys, completed in 2011 by NAN, identified new targets and showed that modern, helicopter TEM is a powerful and effective exploration tool in this area. Drilling and additional helicopter TEM surveying is planned for 2012.

www.seribangash.com
A Memorandum of Association (MOA) is a legal document that outlines the fundamental principles and objectives upon which a company operates. It serves as the company's charter or constitution and defines the scope of its activities. Here's a detailed note on the MOA:
Contents of Memorandum of Association:
Name Clause: This clause states the name of the company, which should end with words like "Limited" or "Ltd." for a public limited company and "Private Limited" or "Pvt. Ltd." for a private limited company.
https://seribangash.com/article-of-association-is-legal-doc-of-company/
Registered Office Clause: It specifies the location where the company's registered office is situated. This office is where all official communications and notices are sent.
Objective Clause: This clause delineates the main objectives for which the company is formed. It's important to define these objectives clearly, as the company cannot undertake activities beyond those mentioned in this clause.
www.seribangash.com
Liability Clause: It outlines the extent of liability of the company's members. In the case of companies limited by shares, the liability of members is limited to the amount unpaid on their shares. For companies limited by guarantee, members' liability is limited to the amount they undertake to contribute if the company is wound up.

Capital Clause: This clause specifies the authorized capital of the company, i.e., the maximum amount of share capital the company is authorized to issue. It also mentions the division of this capital into shares and their respective nominal value.
Association Clause: It simply states that the subscribers wish to form a company and agree to become members of it, in accordance with the terms of the MOA.
Importance of Memorandum of Association:
Legal Requirement: The MOA is a legal requirement for the formation of a company. It must be filed with the Registrar of Companies during the incorporation process.
Constitutional Document: It serves as the company's constitutional document, defining its scope, powers, and limitations.
Protection of Members: It protects the interests of the company's members by clearly defining the objectives and limiting their liability.
External Communication: It provides clarity to external parties, such as investors, creditors, and regulatory authorities, regarding the company's objectives and powers.
https://seribangash.com/difference-public-and-private-company-law/
Binding Authority: The company and its members are bound by the provisions of the MOA. Any action taken beyond its scope may be considered ultra vires (beyond the powers) of the company and therefore void.
Amendment of MOA:
While the MOA lays down the company's fundamental principles, it is not entirely immutable. It can be amended, but only under specific circumstances and in compliance with legal procedures. Amendments typically require shareholder

flows, to be materially different from any future results, performances or achievements or other events expressly or implicitly predicted by such
forward-looking statements.
• Such risks, uncertainties and other factors include, but are not limited to, factors associated with fluctuations in the market price of precious metals,
mining industry risks, recent operating losses, uncertainty of title to properties, risk associated with foreign operations, environmental risks and
hazards, proposed legislation affecting the mining industry, litigation, governmental regulation of the mining industry, properties without known
mineable reserves, uncertainty as to calculations of reserves, mineral deposits and grades, requirement of additional financing, uninsured risks, risk of

affected by the inability to obtain required environmental and other regulatory approval, environmental or operating permits. The estimate may also
be materially affected by global economic conditions such as the price of gold and silver, the price of oil and other commodities utilized in the
production of gold and silver. Unknown geologic or hydrologic conditions or other unknown factors may materially affect the resource estimates. Net
smelter returns and metallurgical recoveries at Sinchao have not been considered.
• This document uses the terms "measured resources", 'indicated resources' and 'inferred resources'. Investors are cautioned not to assume that any
part or all of the mineral deposits in these categories will ever be converted into reserves. In addition, 'inferred resources' have a great amount of
uncertainty as to their existence, and economic and legal feasibility. It cannot be assumed that all or any part of an inferred mineral resource will ever
be upgraded to a higher category. Investors are cautioned not to assume that part or all of an inferred resource exists, or is economically or legally
mineable.
