RE: LETTER OF APPOINTMENT
This letter sets out the terms and conditions on which employment is offered to you by AB WEST
Consulting (hereinafter referred as the employer) and is subject to: -
1. Definitions and Interpretation
In this contract: -
1.1 “Employer” means AB WEST Consulting
1.2 “Incapacity” means any illness or other like cause preventing you from attending to your duties.
2. Commencement
2.1 Your employment will be deemed to commence on the ………………………………. and shall continue until
terminated in accordance with the provisions of this Contract or the expiry of the period provided for in
clause 1.2 above.
3. Designation
3.1 You shall serve the Employer in the capacity of a Business Development Officer as more particularly
set out in the job description attached hereto and marked Schedule 1 and such other duties as you may
be assigned to you from time to time.
4. Remuneration
4.1 Monthly retainer salary of 10,000/= per month plus a 12% commission of the net sales revenue.
4.2 The BDO is subject to a compulsory 1 month probation period (30 days after signing the contract)
where he / she will be expected to meet the minimum probation-period sales target of 5 -10 closed
sales (of any of the company products and services) with a valuation of not less than kshs 200,000.

2. 4.3 Your salary shall be paid monthly payable by either by cheque or cash or agreed between the
Employer and you in writing.
4.4 Your salary will be reviewed upwards every three (3) months according to the set performance
parameters and your appraisal reports.
5 Responsibility for Money
You must duly and promptly account for all moneys received by you in the course of your duties and pay
over the same to the Employer or its agents or bankers at such times and in such manner as the
Employer directs.
6 Representing the Employer
You are not permitted to represent yourself as an authorized agent for the Employer except in the
course of the proper performance of your duties or where authorized so to do. When your employment
ceases, you must not hold yourself out in any business context as being an employee of the Employer.
Should there be any misrepresentation or intention to deceive in this respect, the Employer may take
proceedings against you to prevent any recurrence and to recover any losses incurred as a result.
7 Employment Termination.
Your employment shall terminate upon: -
7.1 a good faith finding by the Employer of failure to perform your assigned duties, dishonesty, gross
negligence or misconduct;
7.2 a material breach of any material obligations under this Contract;
7.3 the occurrence of any event justifying termination under the Employment Act of the Republic of
Kenya or at common law;
7.4 Your conviction of a criminal offence by a court of competent jurisdiction;
7.5 Your inability, due to a physical or mental disability, whether or not consecutive, during any 3
consecutive Months to perform the services contemplated under this Contract.
8 Hand-over
On termination of your employment for any cause whatsoever you will hand over to the Employer all
property of the Employer which you have or for which you are responsible including records of your own
work or work for which you are responsible together with any files, lists and notes that were given to
you or compiled by you in the execution of your duties.

3. 9 Invalid Clauses:
If any provision of this Contract is held to be invalid, amendments to this Contract may be made by
addition or deletion of wording as appropriate to remove the invalid part or provision but otherwise
retain the provision and other provisions of this Contract to the maximum extent permissible under the
applicable law.
10 Governing Law: -
This agreement is governed by and shall be construed in accordance with the laws of Kenya and the
Parties submit to the exclusive jurisdiction of Kenyan Courts.
11 Entire Agreement:
This Contract supersedes all prior proposals, understandings and all other agreements, oral and written,
between you and the Employer relating to the subject matter of this Contract. You confirm that there
have been no representations or statements, oral or written, which you have relied upon, except those
expressly, set forth in this Contract. This Contract may not be modified, altered or amended except by
written instrument duly executed by you and the Employer.
If you accept this offer of employment on the conditions and terms stated herein, kindly sign and return
to the undersigned as soon as possible the duplicate of this letter and keep the original.
