2. Company Registration in Lithuania
The Lithuanian business may be organized as:
sole proprietorship (PĮ),
public limited liability company (AB)
private limited liability company (UAB)
general partnership (TUB), limited partnership (KUB)
state enterprise
municipal enterprise
non-profit organization (VŠĮ),
agricultural company
co-operative enterprise
European company
European Economic Interest Grouping.
3. Steps in registering a company
The procedure of incorporation has a few steps that have to be
followed and doesn’t take longer than 3 weeks after the
registration:
The desired company name must be checked at the Public
Institution Register Centre at reserved if it’s available.
After receiving the confirmation that the name is
available, the entrepreneur must open a bank account a
deposit the minimum share capital (if he wants to open a
public or a limited liability company). A receipt must be
issued stating the amount of deposited capital.
4. The Memorandum of Association must be signed,
notarized and deposited at the Public Institution
Register Centre. In case of a partnership, the
partnership agreement may also be necessary for the
registration.
After that, the company must apply for a company
official seal, used in every future financial transaction.
In maximum 5 days after receiving the certificate of
registration, the company must apply for the taxes at
the Tax-Payer at State Tax Inspectorate.
5. Set up an UAB
With a minimum share capital of approx 2900 Euros,
an entrepreneur may open a private limited liability
company in Lithuania - Uzdaroji Akcine Bendrove
(UAB).
It may be formed by a single shareholder but the
maximum number may not overcome 249. The
company formation in Lithuania doesn’t exceed 3
weeks after registration if all the requested papers are
in order.
