A Memorandum of Association (MOA) is a legal document
prepared in the formation and registration process of a limited
liability company to define its relationship with shareholders.
It has five points that are given below:

Article of Association (AOA):-

6. An article of Association is a document that contains
the rules and regulation for the administration of the
company.
The five points of AOA are given below:
1-Transmission of shares: Transmission includes
devolution of title by death, succession, marriage,
insolvency, etc. It is not voluntary but is in fact brought
about by operation of law.
2-Surrender of shares: Surrender of shares is when
the shareholders voluntary return the shares they own to
the A-Z sports
3-Conversion of shares in stock: In consonance
with the articles of association, A-Z sports can convert the
shares into stock by an ordinary resolution in a general
meeting.
4-Alteration of capital: Increase, decrease or
rearrangement of capital must be done as the articles of
association provide.
5-Voting rights of members: The member’s right
to vote on certain company matters and the manner in

association.
Contract According To Formation
Express Contracts: Our Company calls some
Celebrities to work with us in our advertising campaign;
all things will be done orally.
According To Enforceability
Valid contract: If any celebrity agrees to promote our
brand and agrees on terms and conditions of salary. If we
pay him less then what we have done in the contract he can
take action against us.
According To Performance
Executed Contract: Any customer who purchased
any good from our outlet and paid the price on the spot. It is
an executed contract because both the parties have
performed there duties.
Void able Contract
Void able contract: If any sponsored athlete find in
any unethical thing we will cancel the sponsorship.

8. One Mortgage:
A mortgage is a loan in which property or real estate
is used as collateral. The borrower enters into an agreement
with the lender (usually a bank) wherein the borrower
receives cash upfront then makes payments over a set time
span until he pays back the lender in full.
As we are currently working on new technology of
footballs we want to introduce new football before the
world cup starts research and development needs a lot of
budget to make it happen.
