2. • Established in 1996 by 4 (four) accountants with more than 15 years of experience in local and international auditing and
business consulting, Villas Rodil Auditores e Consultores took the names of two of its founders, who at the time already
had great prominence in the professional environment.
Recognized by the market because of the relevant achievements in almost 20 years of activity, Villas Rodil has developed
the most diverse activities in auditing and consulting. Among the main achievements, we emphasize privatization
processes of BANESPA – Banco do Estado de São Paulo and COPEL - Companhia Paranaense de Energia; consolidation of a
Public-Private Partnerships (PPP) between Nossa Caixa Nosso Banco and several institutions in the financial market;
Audit at CPMI – Comissão Parlamentar Mista de Inquérito dos Correios. Additionally, Villas Rodil led Nexia International
network in Brazil, 8th largest network in the world auditing firms.
In 2012, the auditing arm made a merger with Baker Tilly International, 7ª largest Auditing Network in the World.
In 2013, led by one of its founding partners, Silmar Marques Palumbo remained with the consulting arm of Villas Rodil
and changed the name of the Company to NVR Auditores e Consultores that began to focus mainly in activities of
consulting, comprising Tax Consulting and Business Consulting.

Founder and Partner with a vast background in Auditing, Tax Consulting, Legal Consulting and Financial Consulting
for more than 30 years. Acted as responsible in consulting of Incorporation and Legal Reestructuring, Tax Planning and
Tax Review in a great variety of business activities. Participated also of numerous Merger & Acquisiton operations,
Valuations focused on Public Offering aiming to rebuy shares, etc.. Partner and founder of PORTBANK, acting in
Merger & Acquisition, former partner of Trevisan Auditores e Consultores, Member of Banco Bandeirantes S/A Council
and Member of CRC/SP – Conselho Regional de Contabilidade do Estado de São Paulo Council. Palumbo has a degree
in Economics, in Accounting and in Law.

Partner with more than 20 years of background, Ronaldo has worked with Auditing, Tax Consulting, Incorporation
Consulting, Due Diligence for M&A and related activities. Since 2006 is an exclusive associated of Avante Capital in
Brazil, a Canadian Financial Boutique, working as capital raiser to private projects in Latin America, bringing to clients
big size institutional funds and private equity groups from North America and Europe. Ronaldo has a degree in
Accounting and is graduating in Estratégia e Gestão de Negócios. He started his career at Trevisan Auditores
Independentes in 1993. In 1998 became partner of Villas Rodil, currently NVR.
