2. The base pay will be 95,000 per year.
3. The Company will grant you an option to acquire an additional 2,500 shares ofCompany common stock,
subject to approval by the Board of Directors/Compensation Committee ofthe Board ofDirectors of
the Company. The option exercise price will be equal to the fair market value ofCompany stock on
February 28, 2007 and vesting in your stock options will commence on February 12, 2007.
4. All other benefits; i.e. vacation, holiday, tuition reimbursement, will remain as originally outlined.
