Equity
1. Offering 40% Equity if initial received by 1 December 2016 – there are
consignments / shipments awaiting us.
Loan amount:
Initial USD 256 000 and 105 000 USD (right now) and
110 250 USD in eleven (11) monthly stages for 1 year totalling 1 573750 USD, FOE.
Capital Stages:
1. The initial amount of USD 356 000;
2. A monthly amount of USD 100 000 as from the month following the initial
amount (1).
3. These amounts must be FOE.
4. The total is USD 1573750 (one million five-hundred and seventy-three
thousand, seven hundred and fifty USD)
Usage of Funds (in USD):
1. USD 100 000: To pay for the parcels currently awaiting the proprietor – this
is a cash-only business.
2. USD 21 000. Need to obtain equipment that is more sophisticated and far
more accurate than that which we presently have.
3. USD 5000 (USD 1000 / group). Currently sponsoring 5 selected experienced
groups and expect this to increase exponentially as more people come to
hear of our operations. This will only occur for the first month.
4. USD 30 000. Require a 4-wheel-drive vehicle (with winch, PTO, sand-track,
electric wheel pump, etc.) to get to the mining operations, carry necessary

poor if not non-existent; the terrain is very sandy and rocky. The area
covered can be 4000 km per week depending on the availability of parcels
and distance of mining operations.
5. USD 100 000 huge carat standby funds – in the event that a huge, good
quality diamond is discovered.
What is the proprietor’s drive?
 To provide opportunity, work and income for people in an area that is rich in
resources – however these are unavailable to them due to the larger
international companies seemingly exploiting them.
 the proprietor are currently in talks with smaller producers that are willing to
sell rough diamonds to them at market related prices and already have
shipments / parcels of rough gems awaiting them.
 These parcels vary weekly from between USD 4000 and 100 000 consisting
of good quality stones weighing between 2 and 50 carat (TCW – total carat
weight). Occasionally stones are up to about 30 carat and some have been
known to exceed this.
 (The main reason for the good quality being that they are alluvial – those of
lower quality would be destroyed before reaching their destination.)
 The proprietors are also in talks to secure a concession and have been
offered a potential share in an existing diamond mine.
 All providers are BEE and 10% of profits from Best Gems will be ploughed
back into schools and crèches.
 Should there ever be a glut in the supply of diamonds, the proprietors have
good relations with existing mines who will supply them.
Experience:
The proprietors have been in diamonds for quite some time – particularly since one
of the farms (owned by the one proprietor’s father) had a small diamond mining
operation.

 Initial Loan stage Monies will be paid into BG’s bank account by March
2017.
 Monthly Loan stage Monies will be paid into BG’s bank account and be
available by the 1st day of the month.
 Prices of diamonds and their availability remain the same from March
2017 to March 2022.
 That it takes 1 year for full cycle - extraction to beautification to sale.
 The Purchase price denotes the price paid for the rough diamonds and
is taken at the higher price paid to the larger mainstream mines.
 Rapaport Pricelists are used to determine fair market price.
 Weight loss from rough to cut and polished is at 50%.
 Price will vary from stone to stone depending upon Carat, Color, Cut
and Clarity.
 Legislation remains as is at 1 September, 2016.
 Working relationships with diamond stakeholders remains intact as at
1 September, 2016.
 The Sale price is taken from the parcel of a sub-standard sampling
(i.e. there are minimum standards that Best Gems operates on - the
sampling involves portions of what SG would not consider under
normal circumstances).
 The amount of diamonds processed will not go below 50 carats per
month (been in touch with a contact, now 85 years old, that has been
a geologist in South Africa since 1954, being contracted by a large
diamond mining concern - this gentleman is this year to start his own
concession).

 That the diamonds currently offered will be sold by the time that the
funding is obtained. {As we pay market related prices, diamond
producers have reserved high value parcels. For example, a phone call
from a supplier who has was approached by Producers with a Parcel
consisting of good stones in excess of 10 carats – and the bigger the
stone the higher the value}.
 It may not be acceptable for the purveyors of the loan that the loan be
taken in stages.
 Market value of diamonds collapses below point of profitability.
