RETIRED FROM CITY PUBLIC SERVICE (“CPS ENERGY”). 1984-2014
Experience includes:
Preparation and negotiation, if applicable, of most legal and transactional documents associated
with CPS Energy’s corporate operations and commercial matters. Such documents included the
redrafting of the CPS Energy Rules and Regulations for Electric and Gas Services, customer service
applications, criteria and rules of service for customer participation in CPS Energy’s retail programs
and offerings, line extension agreements, bills of sale, licenses for use of personal property and/or
land, non-disclosure agreements, assignments, request for proposals, leases, community
relations/promotion/program agreements, compliance certifications, and financial and security
forms;
Served as lead legal advisor to the CPS Energy divisions of Customer Service, Retail, Marketing,
Public Relations, Wholesale Power, Generation, IT, Facilities and other corporate clients, as needed,
on matters such as customer terms of service and protections, municipal regulations, land rights
and acquisition processes, risk management, procurement of products and services (such as
energy, fuels, large equipment, business systems, construction and consultants), intellectual
property rights and filings, claims associated with vendor default and defective products and
services, corporate marketing and advertisement, and data and information security and rights.
Served as lead attorney on numerous project teams responsible for the procurement and delivery
of high-risk/high-dollar projects for construction or installation of large capital projects with
contract values of up to a $1billion dollars, such as the JK Spruce Generation Station #1 and #2,
Northside Customer Service Center, and the new CPS Energy Data Center.
Served as sole in house attorney on projects associated with business information system upgrades,
wholesale and ancillary purchases of power from traditional and renewable sources, and long term
fuel supply and coal and gas transportation agreements. Primary responsibility was to prepare and
negotiate commercial terms and assist in the administration of the contract following completion.
Facilitated process mapping exercises associated with business process improvement efforts;
Supported claims, mediation and litigation personnel and functions stemming from breach of
contract, warranty, property damage, delay, and change orders;
Developed template purchase order and standard procurement commercial terms and conditions;
2. Provided training to business clients on risk mitigation strategies, contract terminology, writing
specifications, project delivery methods, procurement methodologies;
Monitored and supported corporate intellectual property development and protection.
Supported the government relations function by reviewing legislative bills during Texas Legislative
sessions and provided legal analysis;
Monitored changes in federal state and local laws, provided legal analysis summarizing effect, and
assisted in the development of compliance plans as necessary
