Dear John:
As you are aware, Velocys recently made a strategic decision to use a manufacturing partner(s) to
produce our commercial reactors. As such, we have gone through a process to evaluate our capabilities
and skill mix in the manufacturing department against our future needs and workload. Based upon this
evaluation, it is with regret that I inform you that your position has been identified as part of the
reduction of work force action. The lay-off does not, in anyway, reflect negatively on your performance.
This action is effective immediately. You will be paid through the close of business today. In addition,
you will receive any paid time off accrued through today.
Attached to this letter is a Separation Agreement (the Agreement) which you should take home and
review. You should also review the Agreement with an attorney to ensure you fully understand the
obligations within the Agreement. The Agreement must be signed and returned to Velocys by October
10, 2008 to receive the severance amount.
In addition, we are attaching a letter reminding you of your Employment Agreement. Please review this
agreement, acknowledge, date and return one copy with the Separation Agreement.
You will receive information on how to rollover your 40 1(k) account within one month of your actual
termination date. If you have questions in the meantime, please contact Fidelity.
If you apply for unemployment compensation benefits, please remember that TriNet is your employer of
