Bifenthrin is a pyrethroid insecticide used to control a range of pests. It has a low aqueous solubility and is not volatile. There is a low risk of
groundwater contamination based on its chemical properties and it is not persistent in soil. It acts on the nervous system of insects,

HPM Chemicals & Fertilizers Ltd., having registered ofce at 209-210 Anupam Bhawan, Azadpur Commercial Complex, Delhi-
110 033, India, herein after referred to as “Company”, is the manufacturer of various Agro-chemicals, Fertilizers, Insecticides,
Fungicides, Herbicidesetc.hereby expressit'sALLINDIASALESPOLICY2019-20asdetailedhereunder.
This ALL INDIA SALES POLICY governs all sales made to the present as well as prospective distributors. By making a purchase,
thedistributorisagreeingtobeboundbyalloftheterms&conditionsofthispolicy.
REGISTRATION: Every distributor is required to be registered with the company, prior to ordering any product. For this purpose, a
KYC form is required to be lled up providing details of owners, constitution, business, bank etc to establish the legal identity.
AADHAR CARD and PAN of the distributor and/or the distributor representative are TWO mandatory documents in KYC. The
distributormustbeintimated inwriting tothecompanyasandwhenthereareanychangesoftheinformationinKYCdocuments.
In case of the registration for single proprietorship concern, person desiring registration will be required to submit Aadhar card,
PAN card, Voter Card etc. of all such person/s becoming successor-in-interest as his/her legal heirs/ legal successors/ legal
assignees.
In case of the registration for partnership rm/LL.P
, as the case may be, the Aadhar Card, Pan Card, Voter Card/ID of all the
partner/salongwithPartnershipAgreement/Deed,havetobesubmitted.
In case of company registered as per provisions of The Companies Act, DIN no. along with the Aadhar Card, PAN Card, Voter
Card/IDofalltheDirector/shavetobesubmitted.
The declaration given by the distributor in the KYC form with regard to the value of their assets and/or their measurable
sales/business of agro-chemicals shall be supported by proper documents to the satisfaction of the nominated authority of the
company. In the event the company will come to be aware of any falsity of the information, the Company shall have all the right
and opportunity and shall have liberty to withdraw the registration of the Distributor besides taking any other legal action against
suchfalsedeclarationintheKYCform.
ENROLMENT: Every distributor is required to pay minimum deposit of Rs. 25,000/- (Twenty Five Thousand only) as refundable
and interest free enrolment amount along with lled up KYC form. On approval of the KYC forms by the nominated authority of the
company,acreditlimitwillbeallocatedinxedtermsofbothamountandnumberofdays(maximum90days).
Approval of the KYC form of past/present as well as prospective distributor/s is done only at the Registered ofce of the Company
at New Delhi and the party code for their respective running account is also generated and approved at their Registered ofce at
New Delhi. Running Account of the each registered Distributor is being monitored, run and controlled at the registered ofce of the
companyatNewDelhithroughcomputeraccessiblenetwork/system.
PRINCIPAL CERTIFICATE: A Principal Certicate shall be issued to the distributor under the Insecticide Act, 1968 and Insecticide
Rule, 1971 amendment thereof. The distributor shall abide by the all conditions of the Principal Certicate and shall store the
insecticides as supplied by the company as per the provisions of the Act and Rules under the provisions of the said Act and the
rule. Further the distributor must undertake to abide by all the provisions and conditions as formulated by the said Act and the
RulesfordoingbusinessatDistributor'spremises.Thedistributorshallberesponsibleforanyviolationwhatsoever.
The distributors shall maintain all the records of the persons/rms to whom the company's Principal Certicate have been issued
in his territory on their recommendation and shall produce such record as and when required by the competent authority. and
whenrequiredbythecompetentauthority.
The distributor shall purchase the material only through the authorized sources as mentioned in the Principal Certicate and sell to
the authorized dealers/sub dealers who are possessing Principal Certicate of the company. The distributor must sell the
company's sealed products in their original packing and under their original Trade Mark/Trade Name/Brand Name. The distributor
shall be solely responsible for any liability arising on selling the material in loose form or in the packing other than those provided
bythecompany.
DELIVERY: Unless otherwise stated, materials will be supplied on F.O.R. basis up to the nearest point. Materials will be supplied by the best available
road transport, provided the supply is for more than ve (5) cases of any product or invoice value not less than Rs. 25,000/- (Rupees Twenty Five
Thousand only) and the distributor has provided complete and correct address and telephone/mobile number. The company may approve any
specialschemefordeliveryifrequiredinsomespeciccasesatitsowndiscretion.
In case the products supplied are below ve (5) cases or invoice value not equals or more than Rs. 25000/- (Rupees Twenty Five Thousands only),
the freight will be borne by the distributor. Materials are deemed to be delivered to the distributor upon booking the same with the transport. The
distributor shall intimate in writing to the concerned Depot/Branch ofce within seven (7) days from the date of the receipt of invoice, if materials are
notreceivedbythem.
No order will be executed if it exceeds the allotted credit limit of the distributor. Therefore, in order to avoid such inconvenience, strict adherence to the
credit limit/credit days.All supplies shall be governed by the force majeure clause. No claim under any circumstances shall be entertained for non-
supplyofmaterial.
Order of supply by the registered distributor of the company shall be complete once the registered distributor received them against their order
placed by them themselves and the outstanding as shown in their running account with the company for the supply of goods, unless earlier reduced
to and/or duly revised by the company in writing, whether before or after payment, shall, without any demur, be admitted outstanding and liability of
theregistereddistributortowardsthecompany.
GOODS AND SERVICES TAX (GST): GST will be charged on sale price as per the rate applicable. For this purpose, every distributor has to submit
their GSTN to the company along with KYC documents. In case of sales return, GST shall be refunded as per the GST rules. GST on the rate difference
andotherdiscountswillnotberefunded.
PAYMENTS: The Company does not accept cash. The company shall not take cognizance of any cash payment taken by any of our company staff or
anyotherpersononbehalfofthecompany.
Alloutstandingpaymentshallbeclearedwithin 90days.Ifanypaymentisdelayedormadeafterduedate,interestwillbecharged@18%p.a.

CASH DISCOUNTS: Cash discount will be allowed to the Distributors for early payment. Cash discounts shall be calculated on net payment after
deducting all other discounts/schemes. Cash discount and other discounts will be allowed by the way of credit notes only. Hence, distributors
shouldmakefullpaymentaspertheinvoice.Nocashdiscount/otherdiscountwillbeallowedtothedistributorsinsalesinvoice.

ADVANCE SCHEME: The Company announces advance payment schemes from time to time. Additional Cash Discounts on advance payments
shall be paid for the period specied in the scheme, or up to the period of declaration of rst date or date of supply of material whichever is earlier. The
company will pay such additional discounts only on the materials lifted against the advances. Advance will be considered after deduction of 90 days
overduepayment.
DEBIT/CREDIT NOTES: Debit/Credit notes once issued will not be taken back. The respective marketing head/GMs are requested to submit all
schemes/commitments before issue of credit notes. Gift items given or credit notes issued exceeding the value of Rs.10000/- (Rupees Ten
Thousands only) in respect of lucky draw coupon schemes are subject to tax deduction at source as per Income Tax Act, 1961 and will borne by the
winner.
PREVIOUS YEAR CLAIM: No credit note will be issued for the preceding/previous year's claim. All are requested to submit their claims within 45
daysfromclosingofthenancialyearaspreviousyearexpensesarenotallowedundertheprovisionsofIncomeTaxAct1961.
LEAKAGE: Leakage materials should not be re-booked for further delivery by the distributors. In case the dispatches are made, the company shall
notbeliableforanyclaims.
SHORTAGE/ WRONG AND EXCESS SUPPLY: Any claims regarding shortage due to transporter negligence shall only be accepted on submission of
shortage certicate from the transporter within 15 days from the date of invoice. Any wrong/excess supply of material should be intimated in writing
totheconcernedDepot/Branchwithin 7daysfromreceipt.
GOODS RETURN: Materials once sold against conrmed order shall not be taken back. As per rule 10 A (b) of the Insecticide Rules, 1971, all expired
stocks shall be disposed off and shall not be used for remanufacture. Hence, loose stock/expired stock will not be taken back under any
circumstances.
INTER-PARTY TRANSFER OF STOCK: No inter party transfer will be allowed even on request of our sales staff. Distributors will be held responsible
forallinterpartytransfersandnocredit/debitnoteswillbeissuedbythecompany.
NO VERBAL COMMITMENT: Prices/schemes will be communicated to the distributors in writing. No verbal commitment on prices or schemes will
be honoured and in exceptional case of any deviation, same should be duly approved by the respective Marketing Heads/GM in writing with a copy to
headofce(H.O.).
NO REIMBURSMENT OF EXPENSES: The distributors will not incur any expenses, whatsoever, on behalf of the company
(advertisement/publicity/eld assistant etc.) without getting prior approval by the marketing head/GM in writing and shall be reimbursed on
productionofactualbill/receipts.Alltheformalitiesregardingsuchexpensese.g.TDS,ServiceTax,LaborLawwillbebornebythedistributor.
SECONDARYFREIGHT:SecondaryfreightwillbereimbursedonproductionofactualGRsalongwithevidenceofpayment.
WARRANTY: Since the uses of the products are beyond our control, we do not assume any responsibility other than for the uniform quality of the
products.
GENERAL: The Company has right to terminate the distributorship at any time without any prior notice or to appoint any number of distributors/dealer
inanyterritory.AnyviolationofthisSalesPolicymayalsoresultinterminationofdistributorship.
If any part of this policy is held to be invalid or unenforceable, the same will be deemed superseded by a valid and enforceable provision most closely
matching with the intent of the original provision and the remainder of this policy will continue in effect. The company may assign our rights and
responsibilitieshereunderwithoutanynoticetothedistributor.
That any dispute arising out of this sales policy shall be referred to the sole arbitrator to be appointed with the consent of the company and the
distributorandthedecision/awardofsucharbitratorshallbebinding uponthepartieshereto.

1. I/We shall comply with, adhere to and full the terms, condition of Principal Certicates, issued under Insecticides Act, 1968.
2. I/We shall , at my/our risk and responsibility, store the insecticides, supplied by the company, as per the provisions of Insecticides Act, 1968 and Insecticides Rules,
1971 and direction issued by Government, an authority therein and myself/ourselves shall Indemnify Company against any loss or damage caused to Company for
any breach, violations of the Insecticides Act 1968 and Rules, directions, notications etc. made there-under.
3. I/We shall maintain the records of the persons/rms to whom Company's Principal Certicates have been issued in my/our territory onmy/our recommendation (s)
and should be produced whenever required.
4. I/We shall not return any material which was supplied by the Company against my/our conrmed order and shall be liable make payment forthwith as per the
demand.
5. I/We shall not sell to customers or return any old/loose & expired material to the Company.
6. No material/product shall be sold beyond out of my/our territory, as allotted by the Company.
7. No material/goods shall be given to any of the marketing staff/project ofcer of the Company without proper authorization in writing from the Company.
8. I/We shall make all payments to the company through RTGS/ NEFT/ Demand Drafts/AT PAR cheques only and will not make any cash payments to any of the
representatives of the Company unless it is specically instructed in writing by the Head Ofce of the Company.
9.If under any circumstances, I/WE make any payment to Company through cheques towards outstanding, I/We shall ensure honouring of cheque on presentation by
Company by my/our bank and I/WE assure the company that no cheque shall be bounced. If in any unavoidable circumstances the same got dishonoured I/WE shall
bear the charges of Rs. 1000.00 per cheque for the cheque return charges.
10. All outstanding of the company shall be cleared within the stipulated credit period of 120 days .If any payment is delayed or made after the expiry of the stipulated
credit period, the company is authorized to charge interest @18% pa.
11. I/We shall not claim any expenses of any nature from the Company until & unless same is approved in writing by the Head Ofce of the Company.
12. I/We shall sell the Company sealed products in their original packings and under only in their original trademarks/brand names or trade names. I/WE shall be solely
responsible, liable for any liability, arising out of its selling the materials in loose form or in packings other than those provided by the Company.
13. I/We shall purchase material only through the authorized sources of the Company as mentioned in the Principal Certicate and shall also sell to the authorized
dealers/sub-dealers who are having Principal Certicates of the Company.
14. As and when there is any change, alteration etc. in the constitution, status of my/our business entity, the same shall be intimated to the Company, immediately.
15. I/We do agree that, no verbal commitment will be entertained unless agreed upon in writing and duly signed by authorized Manager of the Company.
16. I/We agree that the company will not be responsible for stocks given to the sales staff/project ofcer for onward sales (Inter-party transfers).
17. No material/goods are allowed to be returned to depot/C&f without any approval from statehead/HO.
18. I/We shall not engage in manufacturing of the similar product launched by the Company either during existence of this undertaking and also one year thereafter.
19. I/We agree that every dispute, differences, claims for the recovery of outstanding dues or any other questions arising out of or in connection with this contract,
undertaking and its existence, interpretation, validity or termination etc., shall be referred to and nally resolved, adjudicated by the a sole arbitrator to be
appointed/nominated by the Company ,whose decision shall be nal and binding upon both the parties. The arbitration proceedings shall be held exclusively at
Delhi, in accordance with the provisions of the Arbitration &Conciliation Act, 1996.
20. All disputes, differences among the parties hereto shall be subject to the exclusive jurisdiction of Courts at Delhi alone.
21. I/We shall regularly inspect from the site of the Company ( www.hpmindia.com) to monitor the Company Policy and no separate notication or intimation for any
change or alteration shall be required. Any change, amendment, alteration in Company Policy shall be made on the company's website.
22. I/We will intimate short/ Leakage material within 7 days after receiving the material.
23. I/We shall not make any disclosure, During the terms of this agreement and for one year following its termination, agrees to receive and hold condential
information of the Company in trust and in strictest condence and shall not use, reproduce, distribute, disclose or otherwise disseminate any condential
information except as necessary to perform its obligations hereunder or required by law, disclosures of the condential information may be made only to the me/us
or our employees and agents who have a specic need to know and are subject to condentiality restrictions at least as restrictive as those contained herein.
“Condential Information” means condential information relating to the business, products and services of the company which is or has been disclosed to the
distributor, and which has value to the company and is not generally known to the company's competitors, including (without limitation), information regarding the
specications provided to distributor by the company and the company's product plans, designs, costs, prices, nances, marketing plans, business opportunities,
personnel, R&D activates and know how.
